If an AI agent accepts a price, signs a service order, or sends a payment outside its human principal’s instructions, the agent normally is not the party that answers for the loss. It is usually neither a legal person nor an independent contracting party. Responsibility is traced through the principal’s identity, the credentials used, the authority granted, the evidence of assent, and the contract’s governing law and dispute clause. A court, arbitrator, mediator, payment-reversal process, escrow arrangement, or another expressly chosen service settles the resulting dispute—not the software itself. Because no single worldwide liability rule exists, the outcome is fact-specific and depends heavily on the transaction record and the wording agreed before execution.
What happens when an AI agent exceeds its instructions?
The first legal question is not whether the model “intended” to make a bad bargain. It is whether a legally identifiable principal authorized the act, whether the counterparty could reasonably rely on that authority, and what the transaction’s terms say about mistakes, authentication, and recourse.
Consider an agent configured to buy components below a price ceiling. It accepts a higher quote after misreading a unit, triggers an instant payment, and then the company says the purchase was unauthorized. Investigators will need to establish which company account was used, who deployed the agent, what policy and prompt were active, whether a human approval was required, what the supplier was shown, and whether a payment provider treated the instruction as authenticated. Those facts can lead to a binding contract, a voidable transaction, a payment dispute, or a claim against one or more service providers.
Automation does not erase ordinary requirements for contract formation, consumer or commercial protection, payment authorization, data protection, or evidence. The United Nations Commission on International Trade Law (UNCITRAL) adopted its Model Law on Automated Contracting on 11 July 2024 to help recognize and attribute automated transactions, while expressly preserving other legal requirements. It is a model law for jurisdictions to adopt or adapt, not a universal statute that decides every dispute.

Is the AI agent itself a legal party?
Usually no. An agent can generate messages, select offers, invoke tools, and transmit a transaction, but it generally has no separate legal personality, assets, or capacity to bear a judgment.
The UK Information Commissioner’s Office (ICO) states that agentic systems “are not and should not be considered as legal entities.” Its guidance also says organizations remain responsible for personal-information processing when an agent misunderstands instructions or behaves unexpectedly. The same practical logic applies to commercial transactions: the investigation follows the organization or person that deployed, operated, or authorized the system, rather than treating the model as an independent debtor.
That does not make the software irrelevant. Its logs, configuration, tool permissions, model version, and failure mode can determine whether a principal gave effective authority, whether a deployer used reasonable safeguards, or whether a provider’s product was defective. The agent is evidence of what happened and a mechanism through which authority was exercised, not normally the entity that pays damages.
How do identity, authority, and assent determine liability?
Identity, authority, assent, and a reliable audit trail are the four practical links between an automated action and a legally enforceable deal.
Identity and attribution
The transaction should identify the legal entity or individual on whose behalf the agent acts, the account or credential used, and the counterparty receiving the message. Shared credentials, unverified wallets, or an agent that can switch accounts without a trace make attribution harder and increase the chance that a payment provider or counterparty contests authorization.
Authority envelope
An authority envelope states what the agent may do: permitted counterparties, products, currencies, jurisdictions, spend ceilings, delivery terms, and escalation triggers. A policy that says “buy the cheapest option” is materially weaker than one that specifies a maximum total price, approved vendors, tax treatment, shipping limits, and a requirement for human approval when terms fall outside those bounds.
Assent and contract formation
Whether an agent’s click, API call, or signed message counts as assent depends on applicable law and the contract. UNCITRAL’s model law is intended to facilitate automated and machine-to-machine contracting, including AI and smart contracts, while preventing automation from being used to evade other legal rules. A counterparty may argue that the agent acted within apparent authority; the principal may argue that an internal limit was exceeded. The governing law, notice of those limits, and the parties’ prior course of dealing become important.

Evidence and auditability
Preserve the prompt or instruction, policy version, model and tool calls, retrieved offers, approvals, terms displayed, acceptance event, timestamps, identity assertions, and payment records. The International Monetary Fund (IMF) identifies instruction gaps, opaque decisions, high-speed execution, and authorization-traceability failures as risks that can leave users and payment service providers disputing who approved what. A contemporaneous, tamper-evident record is often more useful than a later explanation generated by the same system.
Who actually settles a failed agent transaction?
The contract’s forum and any payment or recovery mechanism determine who hears and resolves the dispute. The AI system does not adjudicate its own mistake.
Court litigation
A court clause can specify the jurisdiction and venue, subject to mandatory consumer, employment, insolvency, or other rules. Courts can order damages, restitution, injunctions, or recognition of a judgment. Cross-border enforcement may depend on the jurisdictions involved and the applicable treaty or local law.
Commercial arbitration
An arbitration clause sends the dispute to a private tribunal under named rules and can provide a process suited to cross-border commerce. The American Arbitration Association (AAA) publishes this model wording: “Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration administered by the AAA in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.” A clause should be clear about the administering institution, rules, seat, language, number of arbitrators, and scope; ambiguity can create a preliminary fight over whether arbitration applies.

Mediation and negotiated settlement
Mediation can resolve a mistaken purchase or service failure without a binding adjudication, provided the parties agree on the mediator and settlement authority. It is useful when the parties want to preserve a commercial relationship, but it does not by itself force a settlement.
Escrow, reversal, and payment recovery
An escrow agent can hold funds until delivery or a verification event. Card-network chargebacks, bank recalls, platform reversals, and contractual refund windows may offer faster relief than litigation, but each has its own eligibility rules and deadlines. “Final” settlement on a blockchain or other payment rail may be difficult to reverse, so a recovery process should be designed before the agent is allowed to pay.
Protocol-linked recourse
Machine-readable legal metadata can make the selected forum discoverable before execution. It can point the parties to a court or arbitration clause, an escrow service, identity evidence, and a human escalation channel, but the protocol does not replace the legal institution that decides the claim.

Which participant may bear the loss?
Loss allocation is fact-specific. The account holder, deployer, platform, model provider, payment service provider (PSP), or more than one of them may face a claim depending on authority, design, warnings, contracts, and conduct.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errors| Participant | Why a claim may arise | Questions investigators ask |
|---|---|---|
| Principal or account holder | The agent acted through the principal’s account or within apparent authority. | Who owned the account? Were limits communicated to the counterparty? Was the credential protected? |
| System deployer or operator | Inadequate testing, monitoring, access controls, or escalation design. | Were high-consequence actions gated by deterministic checks and human approval? |
| Platform or marketplace | The platform supplied transaction rails, representations, or a contractual refund process. | What did its terms promise about authorization, reversals, and identity? |
| Model provider | A product defect, unsafe design, or contractual warranty may be alleged. | Was the failure caused by the model, the surrounding application, or the operator’s configuration? |
| Payment service provider | Payment authentication, fraud controls, settlement, or disputed-payment handling may be contested. | What signal authorized the payment, and what dispute and recall rules apply? |
The IMF’s 2026 analysis specifically associates disputed and unexpected payments with users and PSPs, while opacity and product-liability exposure can implicate deployers and model providers. Those are risk allocations, not an automatic finding that every participant is liable.
What legal rules exist today, and what remains unsettled?
There is no single worldwide liability rule for agentic commerce. Local legislation, the chosen governing law, and the transaction contract remain decisive.
UNCITRAL Model Law on Automated Contracting
Adopted on 11 July 2024, the model law provides recognition and attribution concepts for automated systems and aims to facilitate AI, smart-contract, and machine-to-machine transactions. It does not grant agents legal personality or excuse violations of other law. Its effect depends on whether and how a jurisdiction enacts it.
European policy and liability proposals
A 2025 European Parliament civil-liability study advocates a strict-liability approach for high-risk systems centered on a single responsible operator. The OECD discusses a possible shift toward responsibility for design, oversight, and risk mitigation when autonomous systems cause harm. These are policy analysis and proposals, not one enacted global regime; national implementation and sector-specific rules still matter.

How does the Legal Context Protocol help?
The AAA and Integra Ledger announced the Legal Context Protocol (LCP) on 24 June 2026 to make legal terms, consent, jurisdiction, and recourse discoverable and verifiable for agent transactions. LCP is intended to solve a metadata problem: an agent may know how to call a payment API but not which legal terms govern that call or where a dispute must go.

An implementation can attach or hash a legal-context file to the transaction record. The file may identify the parties, governing law, dispute forum, consent event, version of the terms, escrow or refund path, and identity or compliance references. Optional signed acceptance can show who accepted which version and when. Integrations may connect the record to dispute-resolution, escrow, compliance, and identity infrastructure.
LCP does not decide whether a contract is valid, prove that an agent stayed within authority, or make a provider liable. Its value is evidentiary and operational: it gives the agent, counterparty, payment service, and later decision-maker the same machine-readable reference before money moves.
How should you design an agent transaction before deployment?
Use the following sequence to make authority and recovery explicit before allowing an agent to commit funds or accept binding terms.
- Name the principal. Bind the agent to a legal entity or individual and use a verifiable identity for the account, signing key, and counterparty connection.
- Write the authority envelope. Set limits for counterparties, products, jurisdictions, currency, total and recurring spend, delivery, data access, and prohibited actions.
- Separate decisions from payment authorization. Let the agent recommend or negotiate, but require deterministic policy checks and transaction-level approval for high-consequence commitments.
- Define escalation triggers. Pause for a human when price, quantity, jurisdiction, indemnity, data use, cancellation, or counterparty identity falls outside policy.
- Record the complete event. Preserve prompts, tool calls, approvals, offers, terms presented, acceptance, timestamps, identity assertions, and payment messages in a tamper-evident log.
- Attach legal context. Link the exact terms, governing law, forum, refund rules, and escalation contacts to the transaction; use signed or hashed records where appropriate.
- Plan recovery. Document stop commands, payment holds, reversal or refund requests, escrow release conditions, chargeback routes, and who can suspend the agent.
- Test adverse conditions. Exercise ambiguity, prompt injection, unavailable counterparties, duplicate orders, stale prices, partial fulfillment, and unexpected tool output. Record the result and remediate before production use.
- Reconcile finality. Confirm that the agent’s probabilistic decision process cannot bypass deterministic payment authorization or a settlement rail that the business cannot reverse.
How can buyers compare different agentic-commerce arrangements?
Compare the legal and operational controls, not just the model’s capability. A fast agent with weak attribution can create more exposure than a slower system with clear recourse.
| Comparison axis | What strong practice looks like | Warning sign |
|---|---|---|
| Identity and attribution | Named principal, verified credentials, and signed transaction record. | Shared keys or an account that cannot show which agent acted. |
| Scope of authority | Explicit spend, product, jurisdiction, and escalation limits. | Natural-language instructions with no enforceable ceiling. |
| Assent and formation | Terms and acceptance event are presented and retained before execution. | The agent accepts terms that were never shown to the principal. |
| Auditability | Immutable or tamper-evident logs covering prompts, tools, approvals, and payments. | Only a final chat transcript or a model-generated explanation. |
| Settlement finality | Known hold, cancellation, recall, and refund windows. | Irreversible payment immediately after a probabilistic decision. |
| Governing law and jurisdiction | Law, venue, seat, and language are stated and machine-discoverable. | Conflicting terms or no cross-border forum. |
| Court versus arbitration | A clear clause names the institution or court and applicable rules. | Vague “resolve disputes online” language. |
| Loss allocation | Contracts address principal, deployer, platform, model provider, and PSP responsibilities. | Every provider disclaims responsibility without defining operational duties. |
What should you do after an agent makes a disputed deal?
Act quickly because payment networks, platforms, and contractual notices often impose short windows.
- Pause the agent and revoke or rotate credentials without destroying the logs needed to investigate.
- Preserve the exact policy, prompt, model and tool versions, terms, approvals, timestamps, and payment identifiers.
- Notify the counterparty and payment provider through the contractual channel; request a hold, recall, reversal, or refund where available.
- Check the contract for governing law, court or arbitration requirements, notice addresses, mediation steps, and limitation periods.
- Separate the commercial remedy from any data-protection, fraud, consumer, or cybersecurity reporting duty.
- Have counsel or an authorized dispute team determine whether the agent acted within actual or apparent authority and which parties must be notified.
Do not rely on a model’s retrospective explanation as proof of authorization. The decisive evidence is the contemporaneous record and the legal terms that governed the act.

In AAA’s 24 June 2026 launch release, a Gartner projection is quoted that 90% of B2B purchases could be made by 2028 and that automated exchanges could exceed $15 trillion. That is a projection reported by AAA, not an independently verified Gartner publication in the cited material. If volumes approach that scale, machine-readable authority, forum, and recourse become infrastructure requirements rather than optional documentation.

Bridget M. McCormack, AAA’s president and chief executive, described the need as “that same capacity delivered at machine speed, with clear jurisdictional authority and agreement about recourse.” The practical implication is straightforward: every automated commitment should carry enough identity, authority, legal context, and evidence for a human institution to resolve it later.
What is the bottom-line answer?
When an AI agent makes a bad deal, the principal, deployer, platform, model provider, or payment service provider may bear responsibility depending on authority, contracts, safeguards, and applicable law. The dispute is settled by the forum chosen in the transaction—court, arbitration, mediation, escrow or payment-recovery process—not by the agent. Before deployment, require explicit authority limits, deterministic payment controls, complete audit logs, machine-discoverable legal terms, and a tested human stop and recovery path.
Frequently Asked Questions
Can a company cancel a contract just because its AI agent made a mistake?
Not automatically. The company must examine the governing law, the agent’s actual or apparent authority, what the counterparty was told, and any statutory cancellation or consumer protections. A private internal limit that was never communicated may not defeat a counterparty’s reliance.
Are AI-agent transactions valid across borders?
They can be, but validity and enforcement depend on the jurisdictions, conflict-of-law rules, and contract language involved. The parties should specify governing law, forum, language, identity requirements, and how electronic assent is recorded before the agent acts.
What evidence proves who authorized an automated payment?
A strong record connects the principal, credential, policy version, prompt, tool call, approval, terms, acceptance event, timestamp, and payment message. Logs should be protected from alteration and retained independently of the model so that a later generated explanation is not the only evidence.
Does an arbitration clause cover an agent’s unauthorized purchase?
It may if the clause is broad enough to cover disputes arising out of the contract or its breach, but the tribunal or court may first need to decide whether a contract was formed and whether the clause itself applies. Clear wording, named rules, and a defined seat reduce that threshold dispute.
What is the safest way to let an agent negotiate without letting it create an unwanted obligation?
Give it a bounded negotiation role and require a deterministic approval gate before acceptance, signature, or payment. The gate should check price, quantity, jurisdiction, counterparty, data use, cancellation, and indemnity terms against policy, then record the approving identity.
