Before signing a long-term GPU cloud contract, prove that the provider has committed in writing to the exact GPUs, quantity, topology, region, delivery dates, workload rights, price, service levels, and remedies your project needs. Treat the signed order form and every document it incorporates—not a marketing page—as the authority. Model the full cost, test representative workloads, define what happens when capacity or performance falls short, and negotiate a workable renewal, data-export, and termination plan. The checklist below turns those questions into a document-by-document review.

Which documents define what you are actually buying?

The order form, service description, part number or SKU, and service-specific terms together define the purchase. A web page can explain a product, but it does not establish the terms of your offer unless the agreement incorporates a particular version.

Reconcile every identifier

Create a single schedule that copies the service name and SKU exactly as they appear in the order form. Match the GPU generation and model, number of GPUs or instances, interconnect and topology, region and availability zone, operating system, software image, storage tier, and any managed services across every incorporated document. NVIDIA’s agreement, for example, ties subscription parameters to the applicable Order Form, Part Number, or offering description; the version attached to your contract controls.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Check precedence and version control

Ask which document wins if terms conflict. Record document titles, revision dates, URLs or attachment names, and the order of precedence in the contract. A service description that can be changed unilaterally after signature is not the same protection as a dated exhibit attached to the order. Confirm that all referenced schedules are present and that a later online update cannot silently alter your committed capacity, price, or remedies.

How should you define the GPU commitment?

Write the commitment as an operational specification, not a product label. A long-term promise is meaningful only if a delivery team can determine exactly what must be available, where, and when.

Put these fields in the order form

  • Legal customer entity and billing account.
  • GPU model, memory configuration, host or instance type, and total GPU or instance count.
  • Topology, including multi-GPU node layout, interconnect, network bandwidth, and any locality requirement.
  • Region, availability zone, data-center location, and data-residency requirement.
  • Start date, end date, ramp schedule, minimum term, and any phased delivery milestones.
  • Whether capacity is reserved, dedicated, isolated, or best effort, and whether you may move it between zones or regions.
  • Permitted workloads, software and driver versions, orchestration choices, and restrictions on resale, benchmarking, or regulated data.
  • Renewal mechanics, notice deadlines, and the price that applies after the initial term.

Define a shortfall

Specify what counts as non-delivery: a late start, fewer GPUs than ordered, the wrong model, a different topology, or capacity that is technically allocated but unusable. Set a cure period, a right to reject a failed milestone, and a remedy such as a pro-rated refund, replacement capacity, fee waiver, or termination right. Do not assume that a reservation label creates a remedy; the remedy must appear in the agreement.

How can you prove the capacity will run your workload?

Run acceptance tests before the commitment becomes irreversible. Capacity that exists on paper can still fail because of drivers, distributed-training behavior, storage throughput, or network contention.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Build a representative test plan

  1. Use the framework, CUDA or accelerator libraries, drivers, container images, and orchestration method planned for production.
  2. Run a representative training job, inference service, or both, using realistic model size, batch size, precision, checkpoint frequency, and data volume.
  3. Measure single-node and distributed scaling, GPU utilization, interconnect bandwidth, network latency, storage throughput, checkpoint and restore time, and job failure behavior.
  4. Repeat tests at the intended scale and during a period that can reveal queueing or noisy-neighbor effects.
  5. Record the software image, test data, timestamps, metrics, and acceptance thresholds in a signed test report.

Attach acceptance criteria

State which results are pass or fail and who certifies them. Define the provider’s obligation if the configuration misses a threshold: remediation, substitution with an equivalent or better model, a delayed billing start, or cancellation without an early-termination charge. The reviewed provider documents do not establish a universal benchmark or acceptance standard, so your contract must supply one.

What should be included in a GPU cloud cost model?

Compare the total cost of the workload, not the advertised GPU-hour rate. Ask for a written bill of materials and a usage estimate that separates committed, metered, and optional charges.

Cost component Questions to put in writing
Reservation or minimum spend Is there an upfront fee, a monthly minimum, or a take-or-pay obligation? When is it invoiced, and is any portion refundable?
Compute What is the unit of billing, rounding interval, included host capacity, and overage rate?
Operating system and software Are OS licenses, managed images, drivers, orchestration, or support billed separately?
Storage and snapshots What are capacity, I/O, snapshot, backup, and restore charges, and do they continue after compute is stopped?
Network What are ingress, inter-region transfer, internet egress, IP-address, load-balancer, and cross-zone charges?
Support and services Which support tier, consulting, monitoring, security, and managed-service fees are mandatory or optional?
Taxes and adjustments Which taxes, regulatory fees, currency conversions, and annual price-index changes apply?
Unused capacity Can unused GPUs roll over, be released, exchanged, or transferred, or do charges continue while idle?

AWS documents a specific Capacity Block model in which price depends on supply and demand at purchase, is charged upfront, and remains fixed after reservation. Its documentation also states that operating-system charges may apply while instances run and that Savings Plans and Reserved Instance discounts do not apply. Those are product-specific mechanics, not assumptions for another provider.

Akamai states that GPU egress is not included in most cases and that hourly pricing varies by GPU type, region, and deployment size; some models require a contract. Obtain a deployment-specific quote rather than treating either statement as a universal rate.

Model realistic scenarios

Calculate at least three cases: full utilization, expected utilization, and an interruption or migration case. Include data-ingest and export volumes, checkpoint copies, idle periods between jobs, development environments, and a second region if disaster recovery is required. Show payment timing and cash exposure separately from the nominal three-year total.

How do GPU capacity reservations work, and do they satisfy a multi-year need?

A reservation product may guarantee a bounded block of capacity for a defined period; it does not automatically provide a multi-year commitment, portability, or a performance warranty.

AWS publishes Capacity Block durations in one-day increments through 14 days, then seven-day increments through 182 days. Its API documentation also describes instance-count limits and region-scoped offerings whose availability changes over time. Those limits illustrate why you must check duration, quantity, region, and renewal mechanics for the exact product. A short reservation can be useful for a scheduled training run while being unsuitable as the legal foundation for a multi-year platform.

Clarify allocation behavior

Ask whether the provider allocates named hosts, a quantity of instances, or a capacity pool. Confirm when allocation is considered delivered, how replacements are handled, whether GPUs can be moved between availability zones, and what happens during hardware failure. Require notice before a model substitution and define what “equivalent” means for memory, interconnect, performance, and software compatibility.

What does the SLA really guarantee?

An SLA headline is incomplete without its measurement formula, exclusions, claim process, and remedy. Review availability, capacity, performance, support response, and data durability as separate promises.

Check the measurement rules

  • Measurement period: calendar month, billing month, or another interval.
  • Measurement object: control plane, running service, allocated capacity, individual GPU, or an entire cluster.
  • Minimum incident duration and aggregation rules.
  • Exclusions for maintenance, customer configuration, third-party networks, force majeure, or unpaid accounts.
  • Evidence required from the customer and the system of record used by the provider.
  • Claim deadline, submission method, and the person authorized to submit it.

NVIDIA’s published DGX Cloud terms provide a concrete example: service availability is stated as 99% and capacity availability as 95% per calendar month. Its calculation excludes interruptions shorter than 15 minutes, claims must be submitted within two months, and validated failures receive service credits as the stated sole remedy. The same terms describe a 24-hour critical-issue resolution period as a commercially reasonable-efforts target, not an unconditional guarantee. These figures and rules apply to those NVIDIA terms, not to cloud contracts generally.

Value the remedy correctly

Determine whether a credit applies to the affected service, the whole committed spend, or a narrow fee; whether it expires; and whether credits can be combined with termination rights. A service credit may have little value if you cannot use it during the remaining term. Negotiate a refund or termination option for persistent capacity failure, not only a future credit.

Which support, security, and data terms matter most?

GPU infrastructure is useful only when incidents can be escalated and data can be protected and recovered. Put operational responsibilities on a clear RACI-style schedule.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Support and maintenance

Record support hours, severity definitions, acknowledgement and response targets, escalation contacts, maintenance windows, notice periods, status-page commitments, and incident-report deadlines. Distinguish a target based on commercially reasonable efforts from a measurable service level with a remedy. Ask who owns a failed distributed job, lost checkpoint, or delayed replacement.

Security and compliance

Confirm data-processing terms, subprocessors, data locations, encryption in transit and at rest, key-management options, tenant isolation, vulnerability handling, audit reports, penetration-testing restrictions, personnel access, and incident-notification timing. Map each requirement to a named clause or attachment; a general security webpage is not a substitute for negotiated obligations.

Retention, backup, and deletion

Specify retention periods for object storage, block volumes, snapshots, logs, and support tickets. Define deletion timing after expiry, the evidence of deletion, and who pays for export and restore. NVIDIA’s agreement recommends maintaining a full data backup and states that NVIDIA will not retain customer data for retrieval; treat that as a warning to assign backup ownership explicitly in your own contract.

What renewal and termination rights should you negotiate?

Long commitments shift risk into the future, so the contract needs an exit that works technically and financially.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Renewal and price changes

State whether renewal is automatic, the notice deadline, the renewal term, and how the new price is calculated. Cap increases or require a fresh order form. Clarify whether discounts depend on minimum usage, timely payment, a specific GPU model, or an unbroken term.

Termination scenarios

Address customer convenience termination, provider breach, repeated capacity shortfall, security incident, service discontinuation, insolvency, regulatory change, and force majeure. For each case, specify notice, cure period, unpaid amounts, refund or credit calculation, data-export time, and assistance during migration. NVIDIA’s agreement illustrates why this detail matters: it describes non-cancelable orders and continued payment obligations in specified termination circumstances, and says no credit or refund is provided for subscription fees in certain termination outcomes. The exact effect depends on the governing agreement and order.

Plan the technical exit

  1. List every dataset, model artifact, container, secret, image, log, and metadata item that must leave the platform.
  2. Choose portable formats and a destination environment before signing.
  3. Estimate transfer time, egress cost, staging storage, checksum verification, and a period of parallel operation.
  4. Require API access and reasonable provider assistance during the export window.
  5. Test restoration and a representative workload outside the provider before final deletion.

How should you compare two GPU cloud offers?

Use one normalized scorecard and attach evidence for every cell. A lower GPU-hour price can lose once capacity risk, egress, payment timing, or weak remedies are included.

Comparison axis Evidence to compare
Capacity GPU model and count, topology, region, delivery milestones, substitution rules, and shortfall remedy.
Workload fit Accepted benchmark results, framework and driver compatibility, scaling, storage, network, checkpointing, and job recovery.
Commercials Upfront reservation, minimum spend, metered rate, OS and software fees, storage, egress, taxes, support, and idle exposure.
Service protection Availability definitions, measurement interval, exclusions, claim deadline, support targets, and remedy value.
Security and data Residency, isolation, subprocessors, incident notice, retention, backup, deletion, and export controls.
Flexibility Ramp, reduction, exchange, renewal pricing, termination rights, migration assistance, and portability.

Mark each item as guaranteed in the order, incorporated by reference, a provider target, or not stated. Escalate every “not stated” item before approval; silence is not a capacity guarantee or a price protection.

Frequently Asked Questions

Can a provider’s GPU availability dashboard replace a contractual capacity guarantee?

No. A dashboard can show current or historical availability, but it does not define your delivery date, quantity, topology, or remedy. Require those commitments in the signed order and incorporated terms.

Should I reserve capacity before my model architecture is finalized?

Avoid an irreversible term until the planned framework, drivers, memory footprint, network pattern, and storage path have passed representative tests. If timing forces an early reservation, negotiate a short validation phase or a cancellation right tied to documented acceptance failure.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Who pays for moving data out at the end of a GPU contract?

The agreement should say whether export, internet egress, cross-region transfer, staging storage, and provider assistance are included or billable. Price those items using your actual dataset and checkpoint volumes rather than assuming migration is free.

What evidence should I keep for an SLA claim?

Preserve incident IDs, timestamps, affected resources, monitoring exports, job logs, provider notices, and the calculation of business impact. Submit the package through the contract’s stated channel before its claim deadline.
