An IPO usually leaves your startup stock-option grant in place. Your grant notice and equity plan still determine vesting, exercise price, expiration and post-termination rules. Going public changes the company’s valuation and may create a trading market, but it does not make every option immediately exercisable or every exercised share immediately sellable. Lock-ups, registration, blackout periods, tax withholding and your employment status still control what you can do.
What an IPO changes—and what it does not
A public listing gives the company publicly quoted shares and subjects it to ongoing securities reporting. That can make your equity easier to value and, eventually, easier to sell. It does not rewrite your individual option contract automatically.
The legally controlling documents are your grant notice, the equity incentive plan and any transaction documents approved for the IPO. They specify the number of options, type (incentive stock options, or ISOs, versus nonstatutory stock options, or NSOs), exercise price, vesting schedule, expiration date and special provisions such as acceleration. Read those documents rather than relying on a general IPO rule.
- Vested options generally remain outstanding and exercisable until they expire or another contractual event ends them.
- Unvested options generally continue vesting while you satisfy the service conditions.
- An IPO, merger or board-approved transaction can instead accelerate, cash out, replace or otherwise modify awards if the governing documents permit it.
The public share price can be above or below your exercise price. That spread affects the economic value and, for many exercises, the tax calculation, but it does not by itself change the vesting schedule.

Vested and unvested options after the listing
Vested options
Vesting means you have earned the contractual right to exercise the specified number of options. After the IPO, a vested option normally remains an option—not a share. You must submit an exercise request, pay the exercise price and satisfy any required withholding. Only then do you acquire shares.
Check the grant’s expiration date and any special deadline tied to an IPO, tender offer or other corporate event. A plan may allow the company to amend administrative procedures without changing the economic terms, so follow the current exercise instructions supplied by the company or its equity administrator.
Unvested options
Unvested options generally keep vesting under the existing schedule, often subject to continued employment and any performance conditions. An IPO does not ordinarily cause an automatic conversion into unrestricted shares. If the company adopted acceleration provisions, they may apply only to specified events, such as a change in control, and may require both a transaction and a later termination of employment.
Review the plan’s definition of “change in control.” A stock-market listing alone may not satisfy that definition. Any acceleration, replacement or cancellation should appear in the IPO-related resolutions, plan amendment or employee communications; do not infer it from the first day of trading.
Exercise and sale are separate events
Exercising an option is a purchase transaction: you pay the exercise price and receive shares. Selling is a later disposition of those shares. A public quote can exist while either step remains restricted.

| Stage | What happens | Questions to verify |
|---|---|---|
| Option grant | You receive a contractual right to buy shares at the stated exercise price. | ISO or NSO? Number granted? Vesting and expiration? |
| Vesting | The right becomes exercisable as service or performance conditions are met. | How many are vested today? Any acceleration? |
| Exercise | You pay the exercise price and required taxes or withholding, acquiring shares. | Cash, net exercise or cashless method? Current fair-market value? |
| Sale | You transfer shares on the market or in an approved transaction. | Lock-up, blackout, trading policy and broker approval? |
Many employees can exercise during a lock-up but cannot sell the resulting shares until the lock-up ends. The company may also restrict shares acquired through exercise even when other publicly traded shares are eligible for sale.
Lock-ups, registration and trading windows
The common 180-day lock-up
The U.S. Securities and Exchange Commission says, “The terms of lockup agreements may vary, but most prevent insiders from selling their shares for 180 days.” The 180-day period is common investor guidance, not a universal rule. Your prospectus and signed lock-up agreement control the actual start date, end date, covered securities, permitted transfers, exceptions and waiver process.

Some agreements cover shares acquired after the IPO through option exercise or restricted-stock-unit settlement. Others contain different treatment for employee-plan shares. Confirm whether the restriction applies to shares you exercise after the listing, not merely to shares you held before it.
Registration and Form S-8
An IPO does not automatically register every option or share for resale. SEC staff guidance identifies Form S-8 as the principal registration route for securities issued under an employee benefit plan by a reporting company. Registration is a company filing; it does not override a lock-up, blackout period, insider-trading policy or contractual transfer restriction.
Ask the equity administrator which plan shares are covered by the company’s Form S-8 filing, whether your broker has completed its required setup and which documents are needed for an exercise. The prospectus and post-IPO trading policy should identify blackout windows and approval procedures. A public ticker is not proof that your particular shares are cleared for sale.

Tax treatment when you exercise or sell
Tax depends on option type, the timing of each event, your jurisdiction and the company’s valuation. The following rules describe the federal concepts in the cited IRS and exchange guidance; they are not a calculation of your personal liability.

For a nonstatutory option without a readily determinable value at grant, IRS Topic 427 generally describes no tax at grant. When you exercise, ordinary income is generally recognized on the fair-market-value excess over the amount paid:
ordinary income at exercise = (fair-market value per share − exercise price per share) × shares exercised
For a newly public company, the quoted market price may be used as evidence of fair market value, but the company’s payroll or equity administrator determines the withholding mechanics. The employer may withhold shares, cash or another permitted amount. Exercise can therefore create a tax bill before you are allowed to sell.
Your later sale generally compares the sale price with your tax basis, which ordinarily includes the exercise price plus income already recognized. The difference is generally capital gain or loss, with the holding period determining whether the gain is short- or long-term under applicable rules.

ISOs: statutory requirements and AMT
ISO treatment is governed by Internal Revenue Code Section 422. An employee exercising an ISO should receive Form 3921 from the employer. Favorable treatment depends on satisfying statutory requirements, including holding periods and limits on the grant.
New York Stock Exchange IPO guidance summarizes the usual holding periods for favorable ISO treatment as at least two years from the grant date and one year from the exercise date. Selling before both periods are met is a disqualifying disposition and can produce ordinary-income treatment for some or all of the spread. Even when no regular income tax is due at exercise, the exercise spread can create alternative minimum tax (AMT). Obtain an individualized projection before exercising a large block.
Section 83(b) and early exercise
A Section 83(b) election is mainly an early-exercise issue. If you exercise into shares that are still substantially nonvested, the tax rules can allow an election to include the value—less what you paid—in income at transfer rather than as the shares vest. An applicable election generally must be filed with the IRS within 30 days of the transfer. A 2017 SEC-filed option agreement uses that 30-day deadline for qualifying early-exercised nonvested shares.
Shares that are already vested ordinarily do not require an 83(b) election. The deadline is strict, and the election can accelerate tax even if the shares later lose value or are forfeited. Keep proof of filing and consult a tax professional before relying on it.
What happens if you leave before or after the IPO?
Termination rules remain tied to the grant and plan. Unvested options are commonly forfeited when employment ends. Vested options usually remain exercisable only for the post-termination period stated in the grant—often a specified number of days or months, with different treatment for retirement, disability, death or termination for cause.

An IPO does not automatically extend that deadline. A former employee may be able to exercise during a lock-up but still be unable to sell the shares until the restriction expires. Before resigning, obtain a written statement of your vested quantity, exercise deadline, payment methods, tax withholding and any lock-up that will apply.
Deciding whether to exercise
There is no universal “exercise on the IPO” answer. Compare the following choices with your cash needs, tax position and risk tolerance.
| Choice | Potential benefit | Main risk or cost |
|---|---|---|
| Exercise now | Begins the share holding period and may secure a lower exercise price before a higher market value increases the spread. | Requires cash and may trigger NSO income or ISO AMT while shares remain locked up or decline. |
| Wait to exercise | Preserves cash and provides more information about price and trading restrictions. | The option can expire, employment can end, or a higher price can increase taxes; an ISO’s holding-period clock has not started. |
| Cash exercise | Simple ownership record and no forced sale of shares. | Requires the full exercise price plus withholding and concentrates more wealth in one company. |
| Net or cashless exercise, if offered | Uses shares or sale proceeds to cover some exercise cost and withholding. | May be unavailable during a lock-up, may produce fewer shares and can have different tax and broker procedures. |
| Sell at the first permitted date | Reduces concentration and can provide liquidity. | May create short-term tax, miss future gains or occur during a price decline. |
| Continue holding | Retains upside exposure and may support long-term capital-gain treatment. | Leaves you exposed to volatility, company-specific risk and future tax changes. |
Model the outcome at several share prices, including a price below the IPO level. Include exercise cost, withholding, AMT risk, broker fees, lock-up duration and the possibility that you cannot sell immediately. Treat the public price as a market signal, not a guarantee of value.
Documents to collect before taking action
- Individual grant notice: confirm option type, number granted, vested quantity, exercise price and expiration.
- Equity incentive plan: read vesting, acceleration, amendment, transfer and post-termination provisions.
- IPO prospectus: locate the lock-up, employee-plan, risk-factor and share-registration disclosures.
- Lock-up agreement: verify the exact end date, covered shares, exceptions and waiver language.
- Trading policy and blackout calendar: identify windows, pre-clearance and transactions that are prohibited.
- Exercise instructions: confirm cash, net or cashless methods, withholding, broker forms and settlement timing.
- Valuation and tax records: retain the exercise confirmation, fair-market-value information, Form 3921 for an ISO, payroll records for an NSO and any 83(b) filing proof.
- Employment status and deadline: if departure is possible, obtain the post-termination exercise period in writing.
Common mistakes and how to avoid them
- Assuming options became shares: check the account for an actual exercise transaction; vesting alone is not ownership.
- Assuming the first trading day means immediate liquidity: read the lock-up and blackout provisions before exercising or planning a sale.
- Ignoring withholding: ask how the company will collect NSO income tax or ISO-related amounts and whether a cash payment is required.
- Missing the 83(b) deadline: calendar the 30-day filing date on the day of an early exercise and retain delivery evidence.
- Forgetting the departure clock: an IPO does not pause the contractual post-termination period.
- Concentrating too much wealth: compare company equity with your emergency fund, debt obligations and diversified investments.
- Relying on a headline IPO price: prices can fall after listing, while your exercise cost and tax obligations remain fixed.
A practical sequence for employees
- Download every grant, plan amendment and IPO-related notice from the equity platform.
- Separate vested, unvested, ISO and NSO quantities; record each exercise price and expiration date.
- Read the prospectus and lock-up agreement for the precise sale restriction, including post-IPO exercises.
- Ask the company or broker whether your plan shares are covered by Form S-8 and what approval or blackout steps apply.
- Have a tax professional model NSO ordinary income, ISO AMT, 83(b) consequences and estimated withholding at multiple prices.
- Compare exercise methods and the cash required with the possibility of a price decline or inability to sell.
- Submit an exercise only after confirming settlement, tax collection and the date on which a sale would actually be permitted.
The IPO creates a new market context, not a single automatic outcome. Your grant documents, tax classification, employment status and the company’s lock-up and trading procedures determine what your options are worth and when you can turn them into cash.
