Do not sign a layoff severance agreement until you know exactly what you are receiving, what you are giving up, and which deadlines apply. In the United States, federal law usually does not require an employer to offer severance. The U.S. Department of Labor states: “There is no requirement in the Fair Labor Standards Act (FLSA) for severance pay.” Severance is normally a negotiated exchange: the employer provides money or benefits, and you provide a release of claims and other continuing promises.
This employee-side guide explains how to value the package, make a written counteroffer, review every important clause, handle COBRA and taxes, and identify issues involving age-waiver rules, WARN notice, unemployment, equity and state law. It is U.S.-focused; a state statute, union agreement, employment contract or individual claim can materially change the answer.
What a severance package really is
A severance package is not automatically “money the company owes you.” It is usually a contract offered when employment ends. The proposed payment may be conditioned on signing a release, returning company property, keeping information confidential, refraining from certain statements, cooperating after departure or meeting another condition.
Separate what you have already earned from what is being offered for the release. Final wages, earned commissions, vested retirement benefits and vacation payout required by state law may be owed even if you reject the agreement. A release should provide consideration beyond those existing entitlements. Equal Employment Opportunity Commission (EEOC) guidance treats the additional severance as the consideration for waiving claims.

There is no reliable nationwide formula such as “one week per year.” The EEOC says amounts vary by employer and may be expressed as a fixed sum or weeks of salary per year of service. Your leverage depends on the written offer, company policy, contract language, length of service, role, documented performance, potential legal claims, timing, equity and the employer’s desire for a clean separation.
Protect your position before you negotiate
Start by recording facts while they are fresh. Save the offer, handbook provisions, bonus plans, equity notices, pay statements, performance reviews and relevant emails in a lawful way. Do not copy trade secrets or restricted customer data. Confirm whether the employer describes the event as a layoff, reduction in force, position elimination or termination for cause; the characterization can affect references, unemployment and future explanations.
- Write down the proposed termination date and the date benefits end.
- Identify whether pay is a lump sum, salary continuation, installments or a combination.
- Note every condition: release, non-revocation, confidentiality, non-disparagement, cooperation, property return, repayment or non-compete language.
- Check whether you have a written employment contract, collective-bargaining agreement or severance policy.
- List pending commissions, earned bonuses, unused vacation, vested and unvested equity, expense reimbursements and retirement contributions.
- Record deadlines for signing, revoking, exercising options and electing health coverage.
Ask the company to identify the governing plan or policy for each amount. A spreadsheet and a folder containing every draft prevent an oral promise from disappearing when the final document is prepared.

Build a worksheet before proposing a number. Put legally earned amounts in one section and negotiated consideration in another. This prevents an employer from presenting ordinary final pay as if it were an extra benefit.
| Item | Questions to answer | Why it matters |
|---|---|---|
| Final wages | What work was performed through the termination date, and when will it be paid? | Usually an existing wage obligation, not a concession for signing. |
| Accrued vacation or paid time off | Does your state require payout, and does the policy impose a valid forfeiture rule? | State wage-payment law and the written policy control. |
| Bonus and commission | What is earned under the plan, what measurement date applies, and who decides disputes? | Plans often distinguish earned compensation from discretionary awards. |
| Equity | What vests on termination, is there accelerated vesting, and how long is the exercise window? | A short exercise period or loss of vesting can exceed the cash value of extra weeks. |
| Severance cash | How many weeks or months, in what form, and on what dates? | Compare the after-tax value and the risk of delayed payment. |
| Health coverage | What is the exact COBRA premium, subsidy amount and subsidy duration? | Employer-paid premiums can be more useful than an equivalent taxable cash amount. |
| Retirement and other benefits | What happens to employer matching, life insurance, disability coverage and retirement-plan loans? | Benefits may end on different dates and have separate conversion or repayment rules. |
| Transition support | Is outplacement, career coaching or training included, and who pays? | Useful support can preserve cash while you search for work. |
| Reference language | Will the employer provide a neutral or agreed reference and confirm a reduction in force? | A written reference term is more dependable than a verbal assurance. |
Value benefits in dollars you would otherwise spend. Ask payroll or the plan administrator for the current monthly COBRA premium rather than estimating from your employee deduction. Treat equity as uncertain unless vesting, exercise rules, valuation and tax treatment are clear.

Choose a realistic target without relying on a formula
Because there is no universal severance multiplier, set three numbers: your ideal outcome, a defensible target and your minimum acceptable package. Base them on months of job-search runway, household cash needs, benefits cost, likely unemployment timing, equity loss and the rights surrendered in the release.
Your explanation should be businesslike: identify the requested amount or edit, connect it to a concrete fact, and offer a defined exchange. For example, you might request additional weeks because the termination date cuts off a scheduled bonus, or request a COBRA subsidy because the cash offer is too small to cover family coverage during the search. Do not threaten claims you cannot support; preserve credibility by describing documented facts and asking for review time.
Requests that are commonly negotiable
Employers do not have to accept any particular request, but specific proposals are easier to evaluate than a general demand for “more.” Consider trading each ask for a clear concession.
- More cash or weeks: Request a stated number of additional weeks, explaining service, role, transition duties or the timing of the layoff.
- Payment timing: Ask for a lump sum, installments or a later start date that improves cash planning. Confirm how payment timing affects benefits and taxes.
- Bonus and commission: Define whether a pending award is paid, prorated or calculated under the plan, and specify the payment date.
- Equity: Seek vesting through the termination date, a longer exercise window or written treatment of awards that would otherwise be forfeited.
- COBRA subsidy: Request employer payment of all or part of the premium for a stated number of months, with a clear payment mechanism and end date.
- Reference and departure statement: Obtain agreed wording, a designated contact and a written statement that the separation was part of a reduction in force if accurate.
- Release scope: Narrow the released parties, time period and claims, and preserve vested benefits, workers’ compensation rights and other non-waivable rights.
- Confidentiality and non-disparagement: Add exceptions for legal advisers, tax professionals, immediate family, government agencies and truthful testimony. Ask for mutual obligations rather than a one-sided promise.
- Cooperation: Limit future cooperation to reasonable requests, advance notice, normal business hours and reimbursement of expenses.
- Repayment and clawbacks: Delete automatic repayment triggers or limit them to a material, uncured breach with notice and an opportunity to respond.
- Attorneys’ fees and venue: Resist one-sided fee shifting and an inconvenient forum, especially where state law gives you stronger protections.
Put the requests in a short written counterproposal. Include replacement language where possible instead of asking the employer to guess what “reasonable” means.
Review the agreement line by line
Payment terms and conditions
Verify the gross amount, number of payments, payment dates, withholding, delivery method and what happens if a payment is late. Determine whether the employer can stop future installments after an alleged breach. If payment depends on signing by a certain date, make sure you still have enough time for legal review.

The release of claims
List every person and entity being released: the employer, parent companies, subsidiaries, benefit plans, officers, directors and insurers. Check the covered time period and whether unknown claims are included. The release should identify claims that cannot legally be waived and preserve vested plan rights, workers’ compensation claims and rights that arise after signing.

The agreement may not prevent you from filing a discrimination charge with the EEOC or participating in an EEOC investigation. The EEOC states: “The agreement may not restrict the employee from filing a charge of discrimination with the EEOC.” A clause can require notice to the employer or limit your recovery of personal damages only where the law allows, but it cannot lawfully block agency communication.
Confidentiality and non-disparagement
Read what counts as confidential, how long the duty lasts and whether you can disclose the agreement to a spouse, lawyer, accountant, therapist or government agency. A non-disparagement clause should define prohibited conduct rather than ban all negative opinions, and it should be mutual if the employer wants your promise. Confirm that truthful testimony, legal process and protected concerted activity remain allowed.
Continuing obligations
Look for invention-assignment, nonsolicitation, non-compete, cooperation, records-return and data-deletion provisions. A separation agreement may repeat restrictions from an earlier contract or create new ones. State law can limit or prohibit some restrictive covenants, so do not assume a broad clause is enforceable or harmless.
Governing law, venue and enforcement
Identify which state’s law applies, where a dispute must be brought, whether arbitration is required and who pays fees. Check severability language: it may allow a court to remove an invalid clause while enforcing the rest. Understand whether the employer can demand repayment of all severance for a minor breach.

Extra rules for workers age 40 or older
If you are covered by the federal Age Discrimination in Employment Act (ADEA), the Older Workers Benefit Protection Act (OWBPA) imposes special requirements on an age-discrimination waiver. The waiver must be knowing and voluntary and must meet statutory conditions; a generic release is not enough.
- The agreement must be written clearly enough for you to understand its effect.
- It must refer specifically to rights under the ADEA.
- It must not waive rights arising after you sign.
- You must receive consideration beyond benefits you already have.
- You must be advised in writing to consult an attorney.
- You must receive the applicable consideration period before signing and a statutory revocation period after signing.
For an individual termination, the usual consideration period is 21 days and the revocation period is seven days, unless a lawful written agreement provides otherwise. A group termination or reduction in force generally requires a longer consideration period and written information about the decisional unit, the eligibility factors and the job titles and ages of selected and non-selected employees. The EEOC’s waiver guidance explains the checklist and the consequences of defective disclosures. If any required information is missing, stop and obtain legal advice rather than assuming the clock is valid.
Check WARN and state notice rights
The federal Worker Adjustment and Retraining Notification (WARN) Act can require advance notice for qualifying plant closings and mass layoffs. Coverage depends on employer size, the number and percentage of affected workers, the location, the employment relationship and statutory exceptions. The Department of Labor provides worker guidance, but the facts must be applied to your workplace.
Many states have “mini-WARN” laws with different thresholds, notice periods or penalties. Compare the employer’s notice, last day of work and pay in lieu of notice with both federal and state rules. A severance release should not quietly convert a possible notice claim into a waiver without giving you a chance to evaluate it.

COBRA is separate from severance cash. The Department of Labor describes it as a federal law allowing workers and families to temporarily keep employer health coverage after events such as job loss or reduced hours. After a qualifying loss of coverage, COBRA generally permits up to 18 months of continuation, with possible extensions in some situations. The premium can be as much as 102% of the plan cost, including the permitted administrative charge.

You generally have 60 days to elect COBRA, measured from the later of the date coverage ends or the date the election notice is provided. Ask for the exact premium for each coverage tier, the date active coverage ends, the deadline to elect and the deadline for payment. Employers sometimes subsidize COBRA in a separation agreement; insist on the number of months, whether the subsidy is paid directly or reimbursed, and what happens if you become eligible for another group plan.
| Coverage approach | Advantages | Questions to resolve |
|---|---|---|
| Employer-paid COBRA | Preserves the existing network and reduces immediate medical-cost risk. | How long is the subsidy, and does it end when you obtain another job? |
| Employee-paid COBRA | Usually keeps the same plan while you compare alternatives. | Can your budget support up to 102% of the plan cost? |
| Marketplace or other coverage | May cost less or offer different subsidies and networks. | When can coverage start, and will doctors and prescriptions remain covered? |
Do not decline COBRA solely because you expect a new job. Compare start dates, deductibles, networks and pre-existing medication needs before choosing.
Understand taxes and payment structure
The IRS generally treats severance as supplemental wage income. Payroll withholding may be applied using the supplemental-wage method or combined with regular wages, depending on how the employer pays it. Withholding is not the same as your final tax liability, so calculate an estimated after-tax amount and reserve cash for any balance due.

| Lump sum | Immediate liquidity and a single payment date. | Large withholding, possible repayment condition and loss of income if the search lasts longer than expected. |
| Salary continuation | Spreads income over several pay periods and may align with benefits. | Payments may stop after a breach, new job or company event; verify benefit eligibility. |
| Installments | Can smooth budgeting and sometimes preserve leverage until obligations are completed. | Later payments carry collection and employer-solvency risk; clarify acceleration or default remedies. |
Ask payroll how withholding will be calculated, whether retirement contributions continue and whether payment timing changes unemployment eligibility. A tax professional can model your individual federal and state result.
Unemployment, final pay and equity are state- and plan-specific
Severance can affect when unemployment benefits begin, but the rule is not uniform across the United States. Some states offset benefits during weeks covered by salary continuation; others treat a lump sum differently or do not offset it. File promptly with your state agency and report the payment accurately rather than relying on the employer’s description.
State wage-payment law determines when final wages, commissions and vacation must be paid. Review the written bonus and equity plans for definitions of “earned,” termination treatment, vesting dates and exercise windows. A separation agreement cannot necessarily erase a non-waivable wage right, but signing a broad release can make a dispute harder to pursue. Get local advice when a substantial bonus, commission or equity award is involved.
Use a controlled written negotiation
- Confirm the baseline. Ask for the termination date, payment calculation, benefit-end dates, tax withholding method and every condition of the offer.
- Build the worksheet. Separate existing entitlements from new consideration and assign realistic values to COBRA, equity and transition benefits.
- Review deadlines. Calendar the signing date, any ADEA consideration and revocation periods, COBRA election deadline, option exercise deadline and unemployment filing date.
- Draft one counterproposal. List each requested amount or clause change, explain the business reason briefly and provide replacement wording where practical.
- Ask for a response deadline that preserves review time. Do not accept artificial urgency that deprives you of a statutory or reasonable review period.
- Keep the record. Save every draft and email. After a call, send a short confirmation of what was discussed.
- Verify the final version. Compare it against your accepted terms, including references, COBRA, equity, payment dates and agency-rights carve-outs.
- Sign only the complete agreement. Do not rely on a promise that is absent from the document or an attached schedule.
When professional review is worth the cost
An employment lawyer is particularly valuable when the release is broad, you are 40 or older, the layoff followed a complaint or protected leave, the employer alleges misconduct, equity or restrictive covenants are involved, the agreement contains a repayment trigger, WARN exposure is possible or the amount is substantial. Bring the offer, policies, contracts, pay records, equity documents and a timeline. A lawyer can identify non-waivable rights, calculate realistic leverage and propose precise language; no lawyer can guarantee a particular severance amount or enforceability result.
Quick Recap
Final decision checklist
- Do I know what is already owed without signing?
- Is the additional consideration worth the claims and promises I would surrender?
- Are payment dates, withholding and default remedies unambiguous?
- Are bonus, commission, equity, references and COBRA written into the agreement?
- Does the release preserve agency participation, vested benefits and other non-waivable rights?
- Have I received the correct age-waiver disclosures and time periods, if applicable?
- Could federal WARN or a state notice law affect my leverage?
- Have I checked state rules on unemployment, final pay, restrictive covenants and taxes?
- Can I afford the after-tax package and health-coverage cost if the job search takes longer than expected?
