Data-center expansion becomes financeable when a credible counterparty commits to both the facility and the electricity it will consume. Long-term leases or licensing agreements create predictable revenue for the campus owner, while utility contracts, power-purchase agreements (PPAs) or on-site generation reserve the energy needed to operate it. The signed paper is not proof that a project will succeed: lenders still need to verify the tenant’s credit, interconnection progress, construction milestones and delivered power. That distinction is crucial as the International Energy Agency expects the largest data-center operators to spend more than $700 billion in 2026, while U.S. data-center electricity demand is projected to double or triple by 2028.

Why do data centers need long-term contracts?

Data centers require unusually large, long-lived investments in land, buildings, substations, transmission upgrades, cooling systems and generation. A short-term customer can leave before those costs are recovered. A long-term counterparty agreement gives the owner contracted cash flow that can support debt and construction spending, and it tells utilities that reserved capacity has a customer behind it.

Moody’s describes most AI-infrastructure assets as operating under long-term leases. Its credit analysis separates contracted economics from the tenant’s uncertain utilization ramp: a hyperscaler may owe rent or a minimum payment before every rack is occupied, but the owner still faces commissioning, energization and operating risks. The tenant’s credit quality determines how much of that risk becomes a financing concern.

Scale is driving both demand and capital. The IEA’s 2026 report says the largest data-center operators are set to spend more than $700 billion during 2026, mostly on new facilities. A 2024 U.S. Department of Energy/Lawrence Berkeley National Laboratory study found that U.S. data-center load had tripled over the preceding decade and could double or triple again by 2028.

How do hyperscalers lock in power for new data centers?

Power is usually secured through one or more of three structures identified by the Congressional Research Service (CRS). Each structure leaves different delivery and credit risks with the customer, utility or generator.

Grid service

The data center buys electricity through its local utility, which supplies power from its generation portfolio and maintains the wires. The customer normally pays an approved tariff, plus charges for transmission, distribution, demand and sometimes dedicated upgrades. Grid service is simple for the customer, but the project depends on an available interconnection and on the utility completing required network work.

Power-purchase agreements

A PPA commits the customer to electricity from a specified generator or provider, with delivery still made through the local utility. The contract can define the term, price formula, volume, renewable or nuclear attributes, delivery profile and remedies for under-delivery. The IEA reported 45 terawatt-hours of data-center PPAs in the first half of 2026, nearly 20% above the first half of 2025; nearly 70% of that volume was in the United States. The American Clean Power Association reported that Amazon, Microsoft, Meta and Google contracted 11.3 gigawatts in 2024.

Self-supply and behind-the-meter generation

In a behind-the-meter arrangement, the data center or a third party owns or operates generation at the site. This can reduce dependence on a constrained grid connection, but it transfers fuel, maintenance, emissions, permitting and outage risks to the project. Most campuses still need a grid connection for balancing and backup.

A nuclear example shows how long the financial commitment can be. The U.S. Energy Information Administration reported in 2024 that Constellation signed a 20-year PPA to supply Microsoft data centers from Three Mile Island Unit 1.

What do tenant and colocation contracts actually commit?

Leases and licensing agreements are the revenue anchor for powered shells, high-density colocation and hyperscale campuses. Underwriting should identify the following terms rather than relying on the headline megawatt figure:

  • Committed capacity: contracted IT megawatts, building capacity and the utility capacity reserved for the site are different measurements.
  • Start and delivery dates: rent may begin at signing, at substantial completion, at energization or only when the tenant can use the space.
  • Payment protection: take-or-pay obligations, minimum monthly charges, capacity reservations, escalators and parent guarantees determine cash flow if utilization is slow.
  • Milestones and remedies: construction deadlines, commissioning tests, liquidated damages and termination rights govern what happens when energization is late.
  • Expansion and renewal: options can support future growth but may also reserve power that the tenant never takes.

Core Scientific disclosed six facilities licensed to CoreWeave under agreements entered from February 2024. The company said the projects were expected to generate approximately $10 billion in aggregate revenue, support about 590 megawatts of contracted net IT capacity and sit within approximately 900 megawatts of secured grid capacity. Those figures describe contractual and secured positions, not proof that all 590 megawatts were already energized or operating.

What is the difference between announced, contracted and delivered capacity?

Capacity should be reported on a status ladder. Treating every announced megawatt as operational overstates supply and understates financing risk.

Status What it means Evidence to request
Announced A company has publicly described a proposed site or expansion. Site plan, permits and a stated development schedule.
Contracted A customer has signed a lease, license or power commitment, subject to its conditions. Executed agreement, credit support, capacity definition and termination clauses.
Under construction Physical work has started, but electrical equipment and network upgrades may remain incomplete. Engineering milestones, procurement records and interconnection work orders.
Energized The utility has delivered power to the relevant service point and testing can occur. Utility energization notice, meter data and commissioning certificates.
Operational The tenant can run its intended IT load under normal service conditions. Acceptance tests, operating records and evidence of usable, not merely nameplate, capacity.

The IEA warns that announced capacity and connection queues can exceed what is ultimately built. Phased connections, minimum-payment commitments and contracts matched to the life of the power assets help filter speculative projects.

Who pays if a data center never connects to the grid?

The answer depends on the tariff and the contract, but utilities increasingly seek protection before building dedicated infrastructure. The Public Utilities Commission of Ohio says new data centers may have to provide collateral, pay a minimum demand charge, sign an electric-service contract lasting at least 8–12 years and pay an exit fee if they end service early.

These provisions address separate failure modes: a customer reserves capacity but uses less than forecast, leaves before the utility recovers upgrade costs, or fails to connect after the utility has committed capital. Collateral can cover unpaid bills or construction obligations; minimum charges preserve revenue during a slow ramp; an exit fee shifts some stranded-asset risk back to the departing customer.

Such terms do not eliminate regulatory exposure. A commission must still decide whether the tariff fairly allocates transmission, generation and reliability costs, and whether remaining customers could be left with assets sized for a cancelled project.

How should lenders compare data-center contracts?

A useful comparison uses the same questions for the real-estate agreement and the power agreement:

Risk axis Questions that matter
Tenor and termination How many years are firm? Are there renewal, change-of-control or early-exit rights?
Counterparty credit Is the tenant investment grade? Is there a parent guarantee, letter of credit or other collateral?
Payment protection Are charges take-or-pay, tied to minimum demand or adjusted by an escalator?
Power certainty How many megawatts are physically deliverable? What are the PPA delivery profile, backup and curtailment rights?
Construction linkage Which milestones trigger payments, and what liquidated damages apply if commissioning or energization slips?
Capacity status Is the figure announced, contracted, under construction, energized or operational?
Regulatory exposure Has the tariff been approved, who pays for upgrades, and what happens to assets if the customer exits?

Investment-grade hyperscalers can cushion delays because they are more likely to honor minimum payments while a campus is commissioned. That does not make a weak interconnection or an unavailable generator acceptable; credit quality and physical deliverability are separate tests.

Why is generation availability becoming a central constraint?

FERC Chairman Mark Christie summarized the system problem this way: “The combination of rapidly increasing electricity demand, driven by hyperscale customers such as data centers, paired with the alarming rate of base load generation retirements and lack of new dispatchable generation, is not sustainable and must be addressed.” A signed lease cannot create transmission capacity or replace a retired plant. Projects therefore need a credible schedule for interconnection, generation, substations and backup, with contracts that assign the cost when any link is late.

What should a project review verify before calling capacity financeable?

  1. Match the tenant’s contracted IT load to the utility’s documented service capacity; do not substitute a marketing number for an interconnection commitment.
  2. Read every condition precedent in the lease and PPA, including credit ratings, permits, construction completion and energization tests.
  3. Model the minimum payment, escalator, collateral and exit fee under a delayed or partial-occupancy scenario.
  4. Confirm who funds substations, transmission upgrades, generation, fuel and backup, and whether those costs can be recovered from other ratepayers.
  5. Require evidence that “secured” megawatts have progressed from an announcement to a utility-approved, physically deliverable connection.

Frequently Asked Questions

Do data-center PPAs guarantee uninterrupted electricity?

No. A PPA establishes a commercial supply commitment, but delivery normally uses the local grid and remains subject to transmission limits, outages, scheduling rules and any negotiated curtailment rights. A facility still needs utility service, reserves and backup systems sized for its reliability standard.

Can a hyperscaler walk away from a signed data-center lease?

That depends on the agreement’s conditions precedent, termination fees, change-of-control provisions and security package. A lease may permit exit after a missed delivery milestone, while a take-or-pay clause can require payment even if the tenant deploys equipment more slowly than planned.

How can regulators prevent a cancelled project from burdening other customers?

They can require collateral, minimum bills, long service terms and exit charges before approving a connection. Regulators can also require transparent cost-allocation studies and periodic reviews of unused capacity so that dedicated upgrades are not automatically shifted to the broader rate base.

What documents show that a site is truly operational?

Look for the utility’s energization notice, accepted interconnection tests, meter or telemetry records, commissioning and acceptance certificates, and evidence that the tenant is running its intended IT load. A signed lease, a queue position or a public capacity announcement alone does not establish operational status.
