If a business customer stops paying, verify the debt and your records, contact the customer to identify the problem, and escalate in writing if payment does not follow. Keep every invoice, contract, delivery record, and message together. Before adding fees, hiring a collector, or filing a claim, check the contract, applicable state law, deadlines, and whether the customer can pay. The right sequence is usually a professional reminder, a clear demand, and then a proportionate remedy—not an unsupported threat.
What should I do first when a business invoice goes unpaid?
Start with a short fact check, then contact the customer. An overdue balance may reflect a missed payment, an accounts-payable delay, a cash-flow problem, a credit that was not applied, or a genuine dispute about performance. Knowing which it is helps you choose a useful next step and avoid making an inaccurate demand.
Reconcile the account
Confirm the invoice number, amount, due date, payment instructions, and any payments, credits, returns, or adjustments. Check that the customer received the invoice and that your payment details still work. Compare the bill with the purchase order and the agreement; if the work or goods were challenged, locate the delivery, acceptance, timesheet, or completion records before asserting that the full amount is due.
Confirm who owes the money
Use the legal entity named in the signed agreement, purchase order, or other relevant record—not simply the trade name on an email signature. Confirm the entity’s address and the right accounts-payable contact. A court claim against the wrong entity can waste time and undermine an otherwise valid claim. Do not assume an owner is personally responsible unless a personal guarantee or another legal basis supports that conclusion.

Make a direct, professional inquiry
Ask whether the invoice was received, whether anything is preventing payment, and who can confirm a payment date. If the customer says the invoice is disputed, request the specific issue and supporting details in writing. Separate any genuinely disputed portion from an undisputed balance, and do not quietly add charges or describe a disputed amount as settled fact.
How many reminders should I send before escalating?
There is no universal number of reminders that must come before escalation. Use a documented sequence: a courteous reminder near the missed due date, a call after a missed commitment, a written demand with a firm response date, and then a next step you are prepared and legally able to take.
At or just after the due date
Send a concise reminder that identifies the invoice and asks the customer to confirm receipt and payment timing. Include the amount due, due date, and an easy way to pay. Charity A. Anastasio of the American Bar Association puts the practical point simply: “Clients pay bills that are easy to pay.” Make the payment instructions clear without turning the first note into a legal threat.

After a missed promise
If the customer promised payment and did not follow through, call the accounts-payable contact and, where appropriate, the decision maker. Ask for a specific date rather than a vague assurance such as “soon.” Follow the call with a brief written recap. The ABA’s guidance describes staged reminders, calls, and payment arrangements; the useful record is not merely that you tried to reach someone, but what was promised and when.
Send a formal written demand
If reminders have not produced payment, send a demand or billing notice that states the invoice number, principal balance, due date, any authorized contractual charges, accepted payment methods, and a firm date for payment or a written response. Identify the contractual or legally available next step you may take, such as suspending new work, referring the account, or filing a claim. Avoid threatening an action you cannot take, do not intend to take, or have not checked for legal and contractual limits.

Keep a copy and proof of delivery, along with the complete communication history. The U.S. Department of the Treasury’s 2018 The Debt Collection Process says, “The request generally comes in the form of a written billing notice, invoice, or demand letter,” with additional letters or calls if payment is not timely. That supports a clear, documented request; it does not establish a fixed number of notices for every private commercial invoice.
What records should I keep before making a demand?
Build one evidence file before referring the matter to a collection agency, consulting counsel, or going to court. A complete file helps you evaluate the claim, answer a real dispute, and avoid asking a third party or court to reconstruct the transaction from scattered messages.
Account and performance records
- Signed agreement, amendments, applicable terms, and purchase orders.
- Invoices, an account statement or aging, and a ledger of payments, credits, returns, or adjustments.
- Delivery receipts, acceptance records, timesheets, completion records, or other evidence showing what was supplied.
- Customer correspondence, call notes, prior payment history, and written promises to pay.
- The customer’s correct legal entity, address, and known accounts-payable and decision-maker contacts.
Contract provisions to review
Look for due dates, late charges or interest, attorney-fee and cost provisions, suspension or termination rights, personal guarantees, security interests, lien rights, dispute procedures, arbitration, venue, and governing law. The ABA recommends functional payment terms and notes that reasonable interest, lien rights where available, and attorney-fee or cost recovery where permitted can matter. A term in a contract is not automatically enforceable in every state or situation; check the governing law and any relevant statutory limits before relying on it.
Can I charge late fees or interest on an overdue business invoice?
Only charge what the contract and applicable law authorize. Check whether the agreement clearly provides for a late charge or interest, how it is calculated, when it begins, and whether the term applies to this customer and transaction. If there is no applicable term, do not assume that a charge can be added just because the invoice is late.
Before putting a charge in a demand, verify the principal balance and calculation, and separate the original invoice amount from any added amount. State rules can limit fees or interest, and the contract’s governing-law clause may affect the analysis. If the amount is significant or the customer disputes the charge, get legal advice before claiming it as due. The same caution applies to attorney fees and collection costs: include them only when permitted by the agreement and law.

What if the customer offers to pay in installments or asks for a discount?
A written payment arrangement can turn an uncertain promise into a clear schedule, but only if it states exactly what the parties are agreeing to. Decide whether a short plan is more valuable than immediate escalation, based on the customer’s payment history, the amount, and the likelihood of recovery.

Record the total balance covered, each installment amount and due date, and how payments will be applied. State any agreed interest or discount, what happens if an installment is missed, and whether you will suspend new work or credit while the balance remains unpaid. Make clear whether the plan replaces earlier terms or merely gives the customer additional time, if that distinction matters under the agreement.
Document a settlement carefully
A discounted compromise trades some potential recovery for speed and certainty. In a signed settlement, state whether the agreed payment resolves the entire account, when any release or withdrawal of a claim takes effect, and what happens if the customer misses an installment. If a release or claim withdrawal is conditional on payment clearing, say so explicitly. Do not misstate the balance or add fees that are not authorized.
Should I use a collection agency, hire a lawyer, or sue?
Choose an escalation path by expected net recovery, not by the size of the invoice alone. Compare the likely amount recovered after fees with the time, evidence, enforceability, customer relationship, and risk involved. The ABA recommends a cost-benefit analysis because collection routes can consume money and time and can affect the relationship.
| Option | When it may fit | What to check |
|---|---|---|
| Collection agency | You want a third party to pursue the balance and the account is suitable for its commercial-debt process. | Request a written fee schedule; confirm it handles commercial accounts; ask how it handles disputes and reporting. Give it the full evidence file and monitor the account. |
| Commercial lawyer | The account is high-value, disputed, secured, near a deadline, or involves complex contract or legal questions. | Understand the lawyer’s fees, likely costs, available remedies, and whether the contract requires arbitration or specifies venue. |
| Claim in court | The evidence supports the claim and a judgment is likely to be worth pursuing and collectible. | Verify the legal defendant, venue, service address, contract terms, limitation period, recoverable fees, and collectability before filing. |
| Lien, guarantee, or security remedy | A valid contract or applicable law may provide a way to secure or enforce payment. | Confirm that the remedy applies, that required steps and deadlines were met, and that it can be enforced. Lien rules vary, including by state and type of work. |
There are no universal agency fees, court timelines, or recovery odds established for every unpaid commercial invoice. Ask for the actual terms and assess the customer’s solvency, the strength of your evidence, and the likely net result for this account. A judgment is not the same as payment; consider whether the customer has assets or another enforceable source of recovery before spending more to obtain one.

Before filing a claim
Check the contract and relevant procedure before filing. Confirm the customer’s legal name and service address, the correct venue, any arbitration requirement, the applicable limitation period, and whether attorney fees or other costs are recoverable. If the customer has already sued you or served a court document, note the response deadline and obtain legal help promptly. Ignoring court papers can lead to a default judgment.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What legal rules apply to collecting a business debt?
This is general U.S.-oriented guidance, not a determination of the law governing a particular account. The federal Fair Debt Collection Practices Act (FDCPA) is mainly a consumer-debt statute. The ABA says that a person or entity collecting a debt owed to itself under its own name is generally not a “debt collector” under the FDCPA, but state laws can differ and a hired third party may have additional duties.
Do not assume consumer-debt rules are irrelevant just because an invoice came from a business. The debtor could be an individual, sole proprietor, or personal guarantor, or the account could be handled by a third party. The Federal Trade Commission’s validation and written-dispute guidance is for covered consumer debts; whether it applies depends on the debt and who is collecting it. Check the legal classification before using a consumer-debt collection process or sending a threat.
Check the deadline before threatening or filing
Limitation periods vary by state, debt type, contract, and events such as a payment or acknowledgment. The Consumer Financial Protection Bureau’s 2024 consumer guidance says many states use periods of roughly three to six years, while emphasizing that the law varies. That range is not a deadline you can safely apply to every business invoice. Have counsel calculate the applicable period from the relevant facts before threatening litigation or filing.

Regulation F prohibits a debt collector from suing or threatening suit on a time-barred consumer debt. That rule concerns covered consumer debt and collectors; do not assume it answers every question about an original creditor’s commercial invoice. State commercial codes, lien laws, licensing rules, fee restrictions, arbitration clauses, bankruptcy stays, and cross-border issues can also change the result. A lawyer should review a high-value, disputed, secured, insolvent, or near-deadline account.

Can invoice factoring help if I need cash now?
Factoring may provide liquidity, but it is financing rather than proof that the customer owes the invoice. The Small Business Administration describes invoice factoring as selling outstanding invoices to a private lender for an advance; after the customer pays, the lender sends the remaining balance less fees.
Compare the factoring fees and recourse terms with other ways to manage cash flow, such as a credit line or continuing ordinary collection. Check eligibility, whether the lender can require repayment if the customer does not pay, whether the customer will be notified, and how the arrangement may affect the relationship. If the invoice is disputed or the customer is unlikely to pay, an advance does not resolve the underlying collection problem.
How do I decide whether the next step is worth it?
Before escalating, estimate the net amount you could realistically recover and what pursuing it would require. The best route depends on both the legal claim and the practical chance of collecting from this particular customer.
- Expected net recovery: Estimate the likely payment after agency, legal, filing, or enforcement costs—not just the face value of the invoice.
- Evidence strength: Check whether the signed terms, invoice, performance records, and communications support the balance and answer the customer’s stated objection.
- Time and deadline risk: Consider the time required for each option and whether a limitation period, lien deadline, or other procedural requirement is approaching.
- Enforceability and solvency: Assess whether the customer appears able to pay and whether a judgment, guarantee, lien, or security interest could actually be enforced.
- Business consequences: Weigh confidentiality and the value of the customer relationship against the cost of continued credit or work while the account is overdue.
If you continue supplying goods or services, decide deliberately whether to suspend new work or credit and check the contract before doing so. A clear written policy for overdue accounts can help your team act consistently, but it does not replace checking the specific agreement and law that apply to this customer.
Frequently Asked Questions
Does the 30-day FDCPA dispute period apply to every unpaid business invoice?
No. The FTC describes a general 30-day period for consumers to dispute information in a validation notice under the FDCPA, which concerns covered consumer debts. It is not a general 30-day response rule for every commercial invoice.
How long can an unpaid business invoice affect a consumer credit report?
The FTC says negative information generally may remain on a consumer credit report for seven years, but that is consumer guidance and may not apply to commercial trade-credit reporting. Reporting practices and applicable rules depend on the type of account and reporting arrangement.
Does an old invoice disappear if I wait long enough?
Not necessarily. The CFPB says a debt generally does not expire or disappear until it is paid, even though a limitation period may restrict a lawsuit or other collection action. The effect of an old debt depends on the applicable law and facts.
