What does PMIC mean?
PMIC means power-management integrated circuit: a chip that helps manage and distribute power in an electronic system. The public announcements about this transaction identify power-management technology and products, but do not provide a complete technical explanation of how each chip worked or a full list of the affected designs.
What Apple agreed to pay
The headline figure was $600 million, but it had two different components. Treating the entire amount as an acquisition price or as cash paid for a business gives the wrong picture.

Dialog’s 2018 announcement and 2019 closing announcement described the $300 million product amount as a prepayment. It therefore should not be reported as another $300 million acquisition payment.

What Apple received from Dialog
Licenses to power-management technology
The arrangement gave Apple a perpetual license to Dialog power-management intellectual property as it existed at closing. Dialog’s later annual-report disclosure also described an effective license covering certain intellectual property as it existed at closing and was developed for at least four years afterward.
That license did not mean Apple owned every licensed patent. Dialog explicitly stated that legal ownership of the licensed intellectual-property rights did not transfer. A relatively small number of patents were included among the business assets transferred to Apple, but the public disclosures do not provide a complete patent schedule.

Selected business assets
Certain assets moved to Apple as part of the transaction. The available announcements and filings do not establish that all of Dialog’s PMIC assets, product lines, or operations transferred.
More than 300 employees
More than 300 Dialog employees joined Apple. Dialog reported the figure as “more than 300,” not as an exact headcount, and the public materials do not give a complete breakdown by location or job function.

What did not happen
- Apple did not acquire Dialog Semiconductor as a whole.
- The agreement was not described as a purchase of all Dialog PMIC operations.
- Apple did not receive outright ownership of every piece of intellectual property covered by the licenses.
- The full $600 million was not a cash acquisition price.
Dialog continued operating after the transaction and continued its commercial relationship with Apple.
Timeline of the Apple–Dialog transaction
- October 11, 2018: Dialog announced the agreement. It described technology licensing, selected asset transfers, the move of more than 300 employees to Apple, and new Apple contracts covering power management, audio subsystems, charging, and other mixed-signal integrated-circuit development and supply.
- April 8, 2019: Dialog announced that the transaction had closed after regulatory approvals and other closing conditions were satisfied.
How Dialog’s supply relationship with Apple continued
The deal was also a restructuring of a long-running supplier relationship, not simply a one-time transfer of technology. Dialog said Apple awarded it new contracts to develop and supply power-management, audio, charging, and other mixed-signal chips. Dialog’s 2017 statement had already identified Apple as a customer for customized PMICs, while noting that its continuing role depended on technology, quality, price, and volume expectations.

That arrangement explains why the $300 million product prepayment matters: Dialog was expected to keep delivering products after the transaction closed. The payment represented future supply, with deliveries scheduled over the following three years, rather than an additional purchase of Dialog assets.

Calling the transaction “Apple’s purchase of Dialog’s PMIC business” is a convenient shorthand, but it compresses several legally and financially different actions. The agreement combined a license, selected asset transfers, employee moves, new development and supply contracts, and a product prepayment. Those distinctions matter when comparing this transaction with an outright company acquisition or a conventional asset purchase.

The most precise short description is: Apple paid Dialog $300 million in cash for licensing and selected assets, prepaid another $300 million for Dialog products over three years, and brought more than 300 employees into Apple under an agreement that closed in April 2019.
