Tata Sons is still treated as an upper-layer non-banking financial company (NBFC), and the Reserve Bank of India (RBI) has reportedly rejected its request to surrender its core investment company (CIC) registration. The Tata Sons board has since resolved to begin a listing process. RBI Governor Sanjay Malhotra said on 23 October 2026 that an upper-layer NBFC or CIC with direct or indirect access to funds is required to list. That makes an eventual Tata Sons IPO a live regulatory issue, but there is still no announced launch date, exchange, offer size, valuation, price band or prospectus as of 26 October 2026.
Will Tata Sons IPO happen?
An IPO is now more likely than it was when Tata Sons sought deregistration, because the RBI reportedly rejected that request and the board has started listing work. However, “more likely” is not the same as a scheduled public offer: no filing has published the timetable or commercial terms, and Tata Sons could still need to resolve compliance details before an issue is launched.
The immediate trigger is Tata Sons’ status under the RBI’s scale-based NBFC framework. The company was classified in the upper layer in 2022. Upper-layer entities were given a three-year period to list, making September 2025 the operative deadline discussed in reporting. That period has passed without a public Tata Sons share offering.

Does RBI require Tata Sons to list?
Yes, if Tata Sons remains an upper-layer NBFC or CIC, the RBI’s stated position is that it must list. Speaking at the NDTV World Summit on 23 October 2026, Governor Sanjay Malhotra said: “And if it is in the upper layer, then it is required to list.” He explained that registration matters because a CIC sits above group companies and may have direct or indirect access to funds.

Why Tata Sons is regulated as a CIC
The RBI’s 2025 FAQ defines a CIC as an NBFC with assets of at least ₹100 crore, at least 90% of net assets invested in group companies and at least 60% of net assets in group-company equity, subject to the FAQ’s other conditions. CICs can be placed in the middle or upper layer under the scale-based framework; upper-layer entities face enhanced prudential and listing requirements.

PTI reported that timing, structure and size were undetermined. Until Tata Sons or a regulator files formal offer documents, market estimates should not be treated as confirmed IPO terms. The reported figure of about $400 billion for the wider Tata Group is contextual and is not a Tata Sons IPO valuation.

Does repaying Tata Sons’ debt remove its IPO obligation?
Not automatically. The reported repayment of more than ₹21,000 crore in 2024 was followed by a deregistration application, but the RBI’s reported rejection of that application left the company within the framework described by the regulator.

Could Tata Sons avoid listing through a future rule change?
That outcome cannot be ruled out solely from the current reporting because revised qualification rules were discussed in June 2026. Any exemption or reclassification would need to be reflected in a subsequent RBI decision or filing; none is identified here.
