Shadow AI is the use of artificial-intelligence tools or agents at work without those tools being captured in an organization’s approved systems and processes. It can create potential exposure of sensitive information, reduce an employer’s visibility and control over data, and add security weaknesses when an AI agent can act inside corporate systems. Those are risk pathways, not proof that every unapproved use causes harm or automatically creates legal liability. The practical response is to discover how AI is actually being used, set clear data and tool boundaries, provide approved options that meet real needs, and monitor high-risk activity. The UK National Cyber Security Centre (NCSC) says shadow AI is unlikely to disappear completely; its goal should be to reduce risk rather than assume it can be eliminated.
What is shadow AI in the workplace?
The NCSC defines shadow AI as AI technology used in ways that are not captured by an organization’s approved systems and processes. The term covers more than a chatbot opened in a browser. It can include a worker pasting customer text into a public model, a team buying an AI transcription service on a corporate card, a developer installing an unapproved coding assistant, or an employee connecting an autonomous agent to a shared drive.
“Unapproved” does not necessarily mean malicious. People may be trying to complete routine work faster, solve a problem that approved software cannot handle, or test a capability before procurement has finished. The governance problem is that security, privacy, legal, records-management, and procurement teams may not know the tool is being used or what data is flowing through it.

Shadow AI is therefore a visibility and control problem. An organization can have a written AI policy and still lack an accurate inventory of models, browser extensions, plug-ins, APIs, and agents operating in its environment. The same employee may use an approved enterprise assistant for one task and an unmanaged public service for another.

Why can shadow AI create liability and cyber-security risk?
Shadow AI can create potential legal, contractual, operational, and cyber-security exposure, but the evidence does not establish that every instance is unlawful or that liability follows automatically. The outcome depends on the jurisdiction, the type of data, the purpose of processing, contracts, sector rules, and what actually happened.
Sensitive information can leave the organization
When a worker submits source code, personal data, customer records, medical details, financial figures, internal strategy, or confidential correspondence to a consumer AI service, the organization may not know where that information is stored, how long it is retained, who can access it, or whether it is used to improve the service. A provider may offer privacy controls, but those controls differ by product, account type, region, and configuration. Sending data to a public tool can also breach a customer contract or an internal handling rule even when no public disclosure occurs.
Visibility and control can disappear
Approved systems normally provide identity management, logging, retention settings, contractual terms, and a defined administrator. An employee’s personal account or an unvetted browser plug-in may provide none of those controls. Security teams then have difficulty answering basic questions: which model processed the data, which account was used, what prompts and outputs were generated, and whether the information remains accessible.
Agents can turn a data problem into an access problem
An AI agent that can read mail, edit documents, call APIs, create tickets, or execute code has the same permissions as its account. If an attacker manipulates the agent through a prompt, a poisoned document, a malicious web page, or stolen credentials, the agent may perform an action that looks legitimate to downstream systems. The NCSC identifies this as a conditional vulnerability: the danger depends on the agent’s permissions, connected systems, safeguards, and the attacker’s ability to influence its inputs.

How common is reported shadow AI use?
Available percentages are not measurements of one universal population. They use different countries, company sizes, respondent roles, definitions, and fieldwork dates. Read them as separate indicators rather than adding or averaging them.
| Source and population | Finding | What it does—and does not—show |
|---|---|---|
| PagerDuty survey, 2026; 1,250 office professionals at organizations with at least $500 million in annual revenue in Australia, Japan, the UK, and the US | 66% said they had used workplace AI they believed company policy did not permit | A self-reported result for this large-company, four-country sample; not an estimate for every worker or employer |
| PagerDuty survey, same sample | 88% said they had shared work-related information with public AI tools | Shows reported behavior, not that the information was exposed, retained, or misused |
| OneTrust and Sapio Research survey, 2026; 1,200 senior decision-makers across eight countries at organizations with at least $100 million in revenue | 48% reported clear visibility into sanctioned and unsanctioned AI use | Measures leaders’ view of visibility, not the actual number of tools in use |
| OneTrust and Sapio Research survey, same population | 46% reported good visibility into approved AI but limited visibility into employee-led or unsanctioned use | Highlights a gap between formal programs and informal use |
| OneTrust and Sapio Research survey, same population | 33% said employees used unapproved AI because approved options or processes were not available quickly enough | A reported association with process friction, not proof that speed was the sole cause |
| Cloud Security Alliance survey, 2026, focused on enterprise AI agents | 54% reported between one and 100 unsanctioned AI agents | Agent-specific evidence; it should not be generalized to all workplace AI use |
The Federal Reserve’s April 2026 analysis explains why estimates vary: surveys use different definitions, respondents, methods, and reporting conditions. A worker self-report about using an unauthorized tool is not directly comparable with a senior executive’s assessment of organizational visibility.
What information do employees put into public AI tools?
In the PagerDuty 2026 survey, 88% of respondents said they had shared work-related information with public AI tools. Within that sample, 43% reported sharing correspondence, 40% meeting notes or summaries, 34% customer data, and 31% financial information or confidential company documents and strategies. These are respondent reports; they do not establish that every item was regulated, that a provider retained it, or that a breach occurred.

Organizations should classify the data before deciding whether a tool is acceptable. A low-risk prompt containing public marketing copy is materially different from a prompt containing a customer identifier, source code, health record, authentication token, or merger document. “Do not enter confidential data” is too vague unless employees can recognize the categories and know which approved service handles each one.
How do unsanctioned AI agents change the threat model?
A chatbot usually returns text or an image in response to a prompt. An agent can pursue a goal across several steps, call tools, and change records. That autonomy increases both the value and the blast radius of a mistake.
Common agent pathways
- Overbroad permissions: an agent has write access when read-only access would have met the use case.
- Untrusted inputs: a document, email, web page, or ticket contains instructions that the agent treats as higher priority than the owner intended.
- Secret exposure: API keys or session tokens are placed in prompts, configuration files, logs, or generated code.
- Unreviewed actions: the agent sends messages, changes production settings, or approves transactions without a human checkpoint.
- Hidden persistence: an employee creates an integration that continues running after the original experiment or job ends.
The Cloud Security Alliance’s 2026 figure—54% of organizations in its cited survey reporting between one and 100 unsanctioned AI agents—describes enterprise agents specifically. It is a warning to inventory automated identities and integrations, not a general estimate of how many workers use shadow AI.

- Discover actual use. Review identity-provider logs, DNS and secure-web-gateway data, browser-extension inventories, software expenses, API keys, cloud access, code repositories, and help-desk requests. Ask business units which tools they use and what tasks those tools perform. Include contractors, subsidiaries, and personal devices used for work where policy permits investigation.
- Classify use cases and data. Record the model or agent, owner, purpose, inputs, outputs, connected systems, geographic processing location, retention behavior, and required permissions. Mark whether the use involves personal data, customer information, confidential material, regulated records, source code, or safety-critical decisions.
- Publish a short approved-tool list. Name the services employees may use, the account type required, the permitted data classes, and the prohibited actions. Link each tool to its administrator, support route, retention setting, and incident-reporting method. Update the list when a product, region, or plan changes.
- Provide a safe path for new needs. Create a lightweight intake form with a service-level target for review. Ask for the use case and data type first; reserve deeper security and legal review for higher-risk cases. OneTrust’s finding that 33% of respondents associated unapproved use with unavailable or slow approved options makes process speed a governance control, not merely a convenience.
- Apply least privilege to agents. Give an agent only the files, tools, and actions required for its task. Use separate identities, short-lived credentials, environment boundaries, allow-listed functions, rate limits, and human approval for external communication, financial actions, deletion, or production changes.
- Log and monitor proportionately. Capture account, model, tool calls, data classification, approvals, and outcome for high-risk workflows. Alert on unusual volume, new integrations, sensitive-data patterns, privilege escalation, or an agent acting outside its normal sequence. Protect logs because prompts and outputs may themselves contain confidential information.
- Train with realistic examples. Show employees how a prompt containing a customer record differs from one containing public text, how to remove secrets, how to verify generated code, and how to report an accidental disclosure. Training should explain the approved alternative rather than rely only on warnings.
- Review and retire. Reassess tools after material model, vendor, contract, or feature changes. Remove abandoned accounts and integrations, rotate credentials, preserve records required by policy, and close temporary access when a project ends.
How should policy balance employee needs with security?
The NCSC frames the challenge as giving employees access to tools that meet their needs while managing cyber risk. Start with the work people are trying to do, then design a controlled route to that outcome.
Replace vague bans with decision rules
- Allowed: public or internally approved information in an approved account, with ordinary review of the output.
- Conditional: confidential or personal data only in a service whose contract, region, retention, and access controls have been approved for that data class.
- Prohibited without explicit approval: credentials, secrets, highly restricted records, regulated data, or autonomous actions that can alter production, payments, legal commitments, or customer communications.
Measure whether the program works
Useful measures include the percentage of known AI use cases with an owner, time to approve a low-risk request, the number of unowned agents, high-risk tools blocked or migrated, sensitive-data alerts resolved, and stale integrations removed. A rising number of approved use cases can be positive if visibility and controls rise with it.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What should a company do after discovering unauthorized AI use?
Respond to facts, not assumptions. The immediate objective is to contain exposure while preserving information needed to understand what happened.
- Record the tool, account, user, time period, prompts or files involved where law and policy permit, and connected permissions.
- Ask the provider about deletion, retention, training use, access logs, and regional processing; preserve relevant contractual and technical evidence.
- Revoke exposed keys, sessions, tokens, and integrations. Reduce permissions before restoring a legitimate workflow.
- Assess whether personal, customer, regulated, privileged, or confidential information was involved and notify privacy, security, legal, compliance, or customers according to applicable rules and contracts.
- Move the legitimate use case to an approved service, document the decision, and update controls so the same need does not recreate the same workaround.
Do not label an employee dishonest merely because a tool was not on the approved list. Determine whether the policy was clear, whether an approved alternative existed, what data was used, and whether the person reported the issue promptly.

Does shadow AI automatically create legal liability?
No. “Liability” is a possibility that depends on facts, not a universal result of using an unapproved tool. A particular incident might raise questions about privacy, confidentiality, intellectual property, records retention, sector regulation, employment duties, or a customer contract, but the applicable rules vary by jurisdiction and circumstances.
The evidence summarized here does not establish a jurisdiction-specific legal conclusion. Organizations should obtain advice for their own data, contracts, locations, and business activities. Security exposure and legal liability are related but distinct: a policy violation may occur without a reportable breach, and a breach can occur even when a tool was formally approved.
What is the practical governance checklist?
- Maintain an inventory of models, agents, plug-ins, APIs, accounts, owners, and connected systems.
- Map each use case to data classes, purpose, retention, region, and permissions.
- Give employees a current approved-tool list and a fast route to request additions.
- Use least privilege, separate identities, human approval, and environment limits for agents.
- Monitor for sensitive-data transfer, new integrations, unusual volume, and dormant access.
- Train staff on concrete examples and make accidental-reporting channels easy to find.
- Test incident response, including provider deletion requests and credential rotation.
- Review controls after model, vendor, contract, or feature changes.
Shadow AI is unlikely to disappear completely. Treating it as a continuing governance condition—rather than a one-time cleanup—lets an organization keep useful automation while reducing the chance that data, permissions, or accountability disappear with it.
Frequently Asked Questions
Can employees use a personal AI account for harmless work tasks?
Only when the employer’s policy explicitly allows it and the task uses data classified as suitable for that service. Personal accounts usually lack the organization’s identity, logging, retention, and contract controls, so even a seemingly harmless task should be checked against the approved-tool and data-handling rules.
Who should own a shadow-AI inventory?
A cross-functional owner is usually more effective than assigning it entirely to security. Security can track technical exposure, while privacy, legal, procurement, records management, and business owners validate data use, contracts, retention, and the purpose of each tool.
How often should an approved AI tool be reassessed?
Reassess it whenever the provider changes the model, training use, retention, hosting region, connected capabilities, or pricing tier, and at a regular interval set by risk. A tool that was acceptable for text drafting may need a new review after it gains autonomous actions or access to internal systems.
What should a worker do after accidentally pasting confidential information into an AI service?
Stop using the session, preserve the relevant details, and report it through the organization’s security or privacy channel immediately. Do not attempt to conceal the event or delete evidence; rapid reporting lets the organization revoke credentials, contact the provider, and assess notification duties.
