Outcome-based pricing charges for a defined customer-service result—usually an automated resolution—instead of seats, agent hours or raw message volume. It can align your bill with customer value, but only if the contract states exactly what counts, how it is measured, what happens when the AI is wrong, and what you can do when service fails. Before signing, read five clauses in this order: billable-outcome definition; measurement and audit; price and commitment mechanics; service levels and remedies; and data, security, liability and exit.
What is outcome-based pricing for AI customer service?
In an outcome model, the vendor invoices for completed results such as an automated answer or transaction rather than simply for access to an AI agent. The commercial promise is straightforward: if the system resolves more customer requests, you pay for more value. The contractual risk is that “resolution” can be defined so broadly that failed, repeated or low-quality interactions become billable.
Do not treat an outcome-based quote as a complete pricing model until the order form also covers implementation, integrations, support, third-party models, telephony, taxes, minimums, overages and renewal changes. Public offers are vendor- and order-specific; no authoritative source establishes a universal outcome price, savings percentage or standard contract length.

A billable resolution should be an operational event that you can recognize in a transcript and verify in a system log. The clause should state the result, quality threshold, time window and exclusions—not merely use marketing language such as “successful automation.”
Definitions to put in the contract
| Element | What to specify | Why it matters |
|---|---|---|
| Completed result | The exact answer or action the AI must deliver, such as changing an address, issuing a status update or solving a password problem. | A message that only acknowledges a request should not be confused with a completed service action. |
| Human involvement | Whether any transfer, takeover, review or follow-up by a human makes the interaction non-billable. | Some vendors count a bot handoff as an outcome; others count only fully automated cases. |
| Quality gate | A minimum relevance, accuracy and safety score, plus the evaluator, sampling method and pass threshold. | Without a gate, an incorrect answer can still trigger a charge. |
| Acceptance window | How long the customer must go without reopening the issue or contacting support again for the same matter. | A response that appears resolved for two minutes may fail when the customer returns later. |
| Exclusions | Spam, duplicate events, test traffic, bot loops, vendor-caused failures and other non-production activity. | These events inflate volume without representing customer value. |
Also define whether one customer query, one conversation, one case or one completed action is the billable unit. State how multilingual interactions, channel changes and several actions in one conversation are counted. If an interaction receives a low customer-satisfaction score or is reopened, specify whether it is reversed, credited or still charged.
Zendesk announced outcome-based pricing for AI agents on August 28, 2024, describing the model as focused on “automated resolutions.” Its announcement said, “Traditional pricing models no longer suffice in an era where customer value can and should be measured by outcomes directly tied to the success they achieve.” The same announcement projected that up to 80% of customer interactions will be automated; that is a company statement, not a universal performance benchmark.
2. How will outcomes be measured, attributed and audited?
The measurement clause determines which system creates the bill and how you can challenge it. Require a shared event definition, a complete event log and a reconciliation process before accepting any usage invoice.

Measurement terms to negotiate
- System of record: identify the platform, event ID and timestamp that establish a billable outcome.
- Attribution window: set the period used to connect a later human contact, repeat message or reopened case to the original interaction.
- Transfers and repeats: explain whether a transfer, callback, channel switch or duplicate contact creates a new unit or cancels the first one.
- Quality sampling: specify sample size, reviewer qualifications, scoring rubric and the treatment of failed samples.
- Visibility: require dashboard access and downloadable records with conversation, outcome, model or workflow version, timestamp and exclusion reason.
- Reconciliation: set the monthly close date, correction process and invoice-dispute deadline.
- Audit rights: permit inspection of relevant records or independent audit reports, subject to sensible confidentiality and security controls.
Document hierarchy matters. OpenAI’s business agreement illustrates the issue by making the Order Form control over service-specific terms, with the agreement and incorporated policies also governing the relationship. Its terms provide a defined period to dispute invoices and allow customers to request audit reports once per year. Your contract should identify the same hierarchy and state which document wins if an order form, service description and policy conflict.

Assign an internal owner for reconciliation. Procurement guidance consistently warns that reporting duties, service levels and renewal dates are easy to lose when they are tracked in separate spreadsheets or email threads. Put the calendar, data export and dispute workflow in the operating procedure that accompanies the contract.
3. Which price, commitment and overage mechanics must be written down?
The order form should contain the unit price and a formula that another person can reproduce from the event log. A headline price is incomplete if the contract leaves implementation, connectors or minimum commitments to a later statement of work.
| Commercial item | Required contract detail |
|---|---|
| Included volume | Number of outcomes, channels, environments and languages included in each billing period. |
| Minimum commitment | Whether unused units expire, roll over or remain payable; identify any non-cancellable minimum. |
| Prepaid credits | Issue date, expiration, transferability and treatment at renewal or termination. |
| Overages | Per-unit rate, volume tiers, rounding rules, cap and advance notice before a tier is crossed. |
| One-time and recurring fees | Implementation, professional services, integrations, managed service, support, training and connector charges. |
| Pass-through costs | Third-party model, telephony, messaging, storage, translation, payment or identity-verification fees. |
| Taxes and currency | Tax responsibility, invoice currency, exchange-rate source and any gross-up obligation. |
| Renewal changes | Notice period, permitted annual increase, new unit definitions and your right to reject a material change. |
OpenAI states that usage-based services are billed on usage and that minimum commitments may be non-cancellable. Sabio’s 2024 terms separate professional-services or setup and managed-service fees, while describing AI-engine pricing as bespoke. Tacton’s schedule says service credits generally expire at the end of the subscription term unless the parties agree otherwise. These examples show why you should not assume that credits, setup work or unused capacity receive the same treatment across vendors.
Attach a worked calculation to the order form. It should show the opening balance, included outcomes, exclusions, overage tiers, credits, taxes and final invoice for a representative month. If a number is not stated, label it as “not stated” in the negotiation record rather than allowing a salesperson’s estimate to become an implied term.

4. What service levels and remedies apply when the AI fails?
Outcome pricing is not an SLA. A contract can charge only for successful outcomes yet provide no uptime, latency, response-time or support commitment. Service levels must be written separately, with a remedy that addresses repeated failure rather than only a small credit.
Specify the service-level mechanics
- Uptime percentage and the monthly measurement window.
- Latency or response-time target for each supported channel.
- Escalation and support response targets, including severity definitions.
- Planned-maintenance notice, incident notification and status-report obligations.
- Exclusions for customer configuration, unsupported integrations, force majeure and third-party outages.
- Credit calculation, claim procedure, deadline and whether credits are your sole remedy.
Tacton expressly states that no SLA, response-time commitment or guaranteed delivery timeline applies unless the Services Description says so. Google’s Dialogflow SLA, published in 2020, sets at least 99.9% monthly uptime and uses financial credits as the stated remedy. The Amazon Connect Customer SLA, last updated April 28, 2026, sets at least 99.99% monthly uptime and provides service credits, subject to exclusions such as customer configuration and integrations. Those figures apply to the cited services and versions; they are not interchangeable promises for every AI support product.
If credits are the sole remedy, negotiate a right to terminate or reduce the commitment after repeated failures. Define the trigger—such as missing the target in a stated number of months—and require the vendor to provide usable incident data so you can prove the trigger occurred.

Outcome systems process prompts, transcripts, metadata and generated responses. The contract should say who owns each category, who may use it, where it is processed and how you retrieve or delete it when the relationship ends.
Rank #4
Data and model-use questions
- Does the customer retain ownership of prompts, transcripts, metadata and outputs?
- May the vendor, its model provider or a subcontractor train or improve a general model with your content? Require express opt-in for any such use.
- Which subprocessors and processing regions are permitted, and how much notice is required for changes?
- Who is the controller or processor under the applicable data-protection agreement?
- What security reports, encryption controls, access logs and breach-notice deadlines apply?
- Which regulated data is prohibited, and what happens if a user submits it accidentally?
OpenAI’s agreement says the customer retains ownership of Input and owns Output, limits content use, incorporates a data-processing addendum for personal data, permits annual audit-report requests and provides for deletion of Customer Content after termination subject to legal and safety exceptions. Zendesk’s AI Services Addendum says service data will not be used by an LLM provider except to provide and secure the AI services. Ask for an equivalent statement in your own order documents, including any exceptions for abuse monitoring, legal retention or security investigation.
Liability and exit terms
- Set indemnities for intellectual-property claims, confidentiality breaches and data-protection violations.
- Check whether the liability cap covers data incidents, security failures, service credits and unpaid minimum commitments, or excludes them.
- Limit suspension rights so a billing dispute or isolated policy event does not unnecessarily stop critical support.
- Require export of transcripts, outcome events, configurations and knowledge content in a documented, usable format.
- Set a deletion deadline and require written deletion certification, subject to clearly stated legal or safety exceptions.
- Define transition assistance, renewal notice, treatment of prepaid credits and survival of payment, confidentiality and data obligations.
How should you compare competing proposals?
Use the same evidence request for every vendor. A low unit rate can be more expensive than a higher one when it excludes integrations, counts transfers as outcomes or offers only weak remedies.
| Comparison axis | Questions to score |
|---|---|
| Billable-unit clarity | Is a resolution defined by a completed action, with explicit quality and exclusion rules? |
| Escalation treatment | Are transfers, repeats, low-CSAT cases and reopened issues credited or charged? |
| Measurement transparency | Can you access event-level records, calculation logic and audit evidence? |
| Total cost | Are setup, connectors, managed service, third-party usage, taxes and overages included? |
| SLA strength | Are uptime, latency, support and incident duties measurable, with meaningful remedies? |
| Data controls | Are training restrictions, subprocessors, regions, retention and deletion explicit? |
| Liability and indemnity | Do caps and exclusions leave meaningful protection for security and IP risks? |
| Renewal and portability | Can you reject price changes, export your data and leave without stranded commitments? |
What negotiation checklist should you complete before signing?
- Attach ten representative conversations and mark which are billable under the proposed definition.
- Make the vendor’s event log and calculation method the authoritative billing record, with reconciliation rights.
- Cap overages and require notice before a volume tier is crossed.
- Separate implementation and integration fees from outcome charges.
- Add measurable uptime and response targets, credits and a repeated-failure termination right.
- Prohibit model training on customer data unless expressly opted in; name subprocessors and processing regions.
- Require export in a usable format and deletion certification after termination.
- Check order-form precedence, auto-renewal notice, minimum commitments and survival of payment or data obligations.
How can a worked conversation sample expose billing disputes?
Include a table like the following as an exhibit. It is an illustrative classification to negotiate; the signed definition controls.
Do these 3 things before closing this tab:

| Password reset completed without a human | Billable candidate | What quality and acceptance window apply? |
| Order-status answer followed by a repeat contact within the window | One outcome or credit | How are repeats attributed? |
| Bot transfers to a human for missing information | Usually non-billable | Does any handoff count? |
| Answer receives a low satisfaction score and is reopened | Credit or exclusion | What score and reversal rule apply? |
| Duplicate webhook for the same case | Excluded | Which event ID prevents double counting? |
| Spam message | Excluded | Who classifies spam and how is it audited? |
| Internal test conversation | Excluded | How are test environments tagged? |
| Automated reply during a vendor outage | Excluded or service credit | How are vendor-caused failures identified? |
| Safety refusal that routes to a specialist | Depends on definition | Is a safe escalation a successful outcome? |
| Translated answer requiring agent correction | Non-billable if quality fails | Which language-specific test applies? |
What common contract failures should you fix before launch?
- Marketing metric replaces an operational definition: replace “resolved” with event, quality and timing criteria.
- Invoice cannot be reproduced: require event-level exports and a reconciliation deadline.
- Cheap unit price hides services: list every one-time, recurring and pass-through fee in the order form.
- Credits are the only remedy: add a repeated-failure exit right and preserve claims for serious breaches.
- Training language is vague: obtain an explicit opt-in rule and a named subprocessor list.
- Exit is treated as an afterthought: agree export format, deletion certification and transition assistance before deployment.
Frequently Asked Questions
Can outcome pricing work in a support operation that still uses human agents?
Yes. Use a blended schedule that charges only for qualifying automated outcomes while paying separately for human-handled cases or reserved capacity. The contract should prevent a single case from generating both an automated-outcome fee and an unplanned human-service fee unless that combination is intentional.
Best Value
- Large area for complete description of work proposed
- Includes space for customer to sign his/her acceptance of proposal.
- 1-part form includes carbons to create 2 part forms if necessary.
- Space at top for company stamp.
Should we run a pilot before accepting a minimum commitment?
A pilot can test classification, quality gates and invoice data before volume is locked in. Make the pilot’s data export and audit rights identical to production, and state whether pilot outcomes, setup work or model tuning consume the later commitment.
How do taxes and currency affect an outcome-based invoice?
A per-outcome rate may be quoted in one currency while taxes, telephony or model charges arrive in another. Specify the exchange-rate source, invoice date, tax responsibility and any gross-up so a currency move cannot silently change the unit economics.
Who should approve a disputed outcome invoice?
Assign one operational owner to validate event records, finance to check the formula and procurement or legal to enforce the dispute deadline. A written escalation path prevents a disputed invoice from becoming an accidental acceptance through inaction.
