Meta is not holding $95 billion in new cash today. The figure was the October 2026 headline for a package that initially combined about $22.5 billion of Class A common-stock forward sales, $12.5 billion of mandatory-convertible preferred stock and a separate, only contemplated, $60 billion Class C at-the-market (ATM) program. Meta later increased the priced common-stock transaction to $25 billion, so the two priced offerings total $37.5 billion; adding the proposed ATM capacity would produce a potential $97.5 billion. The ATM was not yet established, and Meta’s October 26, 2026 launch announcement and later pricing announcement did not confirm that the priced offerings actually closed as of October 30, 2026.
For shareholders, the important issue is timing and instrument design: Class A shares are expected to be issued when forward contracts settle, preferred stock carries a 6.50% cumulative dividend and can convert into equity, and future Class C sales could reduce economic ownership without adding votes. The one-for-one Class C distribution planned for existing holders is different: by itself, it does not dilute a holder’s percentage interest.
Is Meta raising $95 billion or $97.5 billion?
Both numbers describe different points in the announcement. Meta’s October 26 launch described approximately $35 billion of underwritten offerings plus a contemplated approximately $60 billion Class C ATM program. The launch release said the ATM had not been agreed, might never be established or used, and was not expected to begin before Class C trading in the first quarter of 2027. Meta’s launch announcement is the source of that original capacity framing.
The later pricing announcement increased the Class A component to $25 billion. That makes the priced common and preferred offerings $25 billion plus $12.5 billion, or $37.5 billion. If Meta eventually establishes and fully uses the proposed $60 billion ATM, the announced capacities would add to $97.5 billion. That is a ceiling-like combination of priced transactions and a possible future program, not a statement that Meta has received $97.5 billion or will sell that amount.

Underwriter options are separate contingencies. The offerings included options for up to 37.5 million additional preferred depositary shares and up to $3.75 billion of additional common stock during a 30-day period. They should not be counted as completed financing unless a later filing confirms exercise and issuance.
What are the three financing instruments?
Each component creates a different claim on Meta. Amount, settlement timing, dividends, conversion and voting rights matter more than the headline total.
Class A common stock through forward sales
The priced common-stock transaction covers 40 million Class A shares at $625 per share. Forward purchasers were expected to borrow and sell those shares to investors. Meta said it would not initially receive the sale proceeds; instead, it expects to issue settlement shares for proceeds later under the forward agreements. The initial forward price was approximately $622.92 per share, implying about $24.9 billion of settlement proceeds before expenses if settled on the stated terms. Settlement may occur on or before November 19, 2027, subject to adjustments.

This structure separates investor trading from Meta’s receipt of cash and issuance of new shares. A release that expected the offerings to close on October 29 is not proof that closing occurred, and a closing would still be different from later forward settlement.
Mandatory-convertible preferred stock
Meta priced 250 million depositary shares at $50 each, representing $12.5 billion of preferred securities. Each depositary share represents an interest in mandatory-convertible preferred stock with a stated 6.50% cumulative annual dividend. Unless converted earlier under the security’s terms, settlement is expected around August 15, 2029.
The initial conversion range is 0.0681 to 0.0800 Class A share per depositary share, subject to adjustments. Multiplying that range by 250 million depositary shares gives a mechanical 17.025 million to 20 million Class A-share equivalents before adjustments. Once the Class C recapitalization conditions are met, conversion is expected to be into Class C under adjusted terms. Therefore, the range is not a definitive 2029 Class C share count and should not be added mechanically to a future ATM total.

Prospective Class C ATM sales
The proposed ATM would let Meta sell newly issued, non-voting Class C shares over time at then-current market prices. It was not yet established as of the October 26 launch, and Meta gave no assurance that it would establish or use the program. The company said sales were not expected to start before Class C trading in the first quarter of 2027.

Will existing META shareholders be diluted?
Eventually issued shares can reduce an existing holder’s percentage of Meta’s equity, but the date and amount depend on settlement, conversion and any ATM sales. A simple illustration makes the denominator visible.
Meta reported 2,214,472,367 Class A shares and 341,768,886 Class B shares outstanding on October 20, 2026, or 2,556,241,253 combined shares. Those are historical figures, not a live count. If Meta later issues exactly the 40 million forward shares and nothing else changes, the new-share fraction on a simple combined-share basis is 40,000,000 divided by 2,596,241,253, or about 1.54%. That means pre-existing holders collectively would represent about 98.46% rather than 100% of that simplified denominator.
If the common-stock underwriter option were fully exercised, the common issuance could be 46 million shares. On the same simplified basis, 46,000,000 divided by 2,602,241,253 is about 1.77%. These are arithmetic illustrations, not management forecasts, immediate October issuance, a prediction of the share price or a diluted-earnings-per-share calculation.
The real percentage can differ because the company may issue Class C rather than Class A, settle preferred conversion under adjusted terms, sell some or none of the ATM capacity, grant employee equity, repurchase shares or experience other changes in the denominator. A holder’s economic percentage is also distinct from voting power because Meta has three classes with different rights.

No. Meta plans to distribute one Class C share for every Class A or Class B share after an amended charter scheduled to take effect on January 19, 2027. The record and payment dates were still to be determined. Because every existing holder receives the same proportionate distribution, the initial dividend does not change that holder’s percentage interest in Meta’s total equity.

Meta’s information statement says, “The percentage interest of each shareholder in the total equity of Meta will not be changed by the Recapitalization or the Dividend.” Its third-quarter results release similarly says, “The stock dividend will not change the voting power of any shareholder.” Those statements concern the pro-rata distribution, not later Class C shares sold to new investors.
After the distribution, Meta could issue additional Class C shares through financing. Such issuance can reduce existing holders’ economic percentages without adding votes, because Class C generally has no voting rights. A Class C market discount could also mean that Meta must issue more C shares to raise a given amount of money, increasing economic dilution even while voting control is preserved.
Meta expects the distribution to make the quoted Class A price reflect approximately a two-for-one split effect. Since a holder also receives a Class C share, a mechanical decline in the Class A quote is not by itself evidence of an equivalent loss in the holder’s total position value. Class A and Class C can trade at different prices because Class A carries voting rights, and future prices are uncertain. The recapitalization details are in Meta’s October 2026 information statement filed with the SEC.

Announcement, closing, settlement and conversion are separate events. The following sequence keeps the dates and conditions distinct.
- October 20, 2026: Meta’s reported Class A and Class B share counts establish the historical baseline used for dilution illustrations.
- October 26 launch: Meta announced the underwritten offerings and described the possible $60 billion Class C ATM. The ATM was not yet an agreement.
- Later pricing announcement: The common offering was set at $25 billion for 40 million Class A shares at $625; the preferred offering was set at $12.5 billion for 250 million depositary shares at $50. The release page is dated October 27 while its dateline says October 26, so it is best treated as the later pricing announcement rather than assigned an intraday sequence.
- Expected October 29 closing: The pricing release expected both offerings to close, subject to conditions. Actual closing and any option exercise require confirmation in a later issuer release or SEC filing.
- By November 19, 2027: Meta expects forward-sale settlement by this date or earlier under the agreements, receiving approximately $24.9 billion before expenses at the initial forward price and issuing the settlement shares, subject to adjustments.
- January 19, 2027 and later: The amended charter is scheduled to become effective, with the one-for-one Class C distribution dependent on that event. Class C trading is expected in the first quarter of 2027, but a planned distribution does not itself establish ATM sales.
- Around August 15, 2029: Preferred settlement is expected absent earlier conversion. The number and class of shares delivered will depend on the preferred terms and adjustments.
How does the preferred dividend affect common shareholders?
The 6.50% rate is a stated cumulative dividend on the preferred liquidation preference, not a guaranteed return on a common share. Cumulative means unpaid dividends generally accumulate under the security’s terms, creating an additional claim that common shareholders must consider before treating future earnings as wholly available to common equity.
Conversion can replace that dividend claim with an equity claim, but the eventual share count is not fixed by the initial conversion range alone. Adjustments, the timing of conversion and the Class C recapitalization can change the result. A shareholder analyzing diluted earnings should therefore model both continuing preferred dividends and possible converted shares rather than choosing one outcome as certain.

Will Zuckerberg keep control after the financing?
The planned structure is designed to separate economic funding from votes. Class A carries one vote per share, Class B carries ten votes, and Class C generally carries no votes. Meta’s information statement reported that Mark Zuckerberg beneficially held 60.6% of voting power at the October 20 record date.

A pro-rata Class C distribution leaves each holder’s relative voting position unchanged initially. Later Class C issuance can raise capital without proportionately reducing existing votes, which can help preserve control. The trade-off is that non-voting shares still participate economically, so issuing them reduces the percentage of future earnings and assets represented by each existing share. Investors should evaluate governance and economics separately rather than describing the plan simply as “no dilution.”
Can Meta afford the planned investment?
Meta tied the financing to artificial-intelligence infrastructure and its core business, but the figures provide context rather than a guaranteed return. Meta projected 2026 capital expenditure of $135 billion to $145 billion. That is a forward estimate, not an audited final-year spending result, and it does not establish that the financing will earn a particular return.
At September 30, 2026, Meta reported $82.45 billion in cash, cash equivalents and marketable securities. That balance-sheet snapshot is not the same as unrestricted funding for every element of a potential $97.5 billion program. Meta also reported negative $2.12 billion of third-quarter 2026 free cash flow, a non-GAAP quarterly measure, while its Form 10-Q reported $96.873 billion of operating cash flow for the nine months ended September 30. The periods and measures are different and should not be substituted for one another.
Meta made no Class A repurchases in the first nine months of 2026 and had $25.03 billion of remaining repurchase authorization at September 30. Authorization is permission, not a commitment; it does not prove that future repurchases will offset new issuance. The relevant investment question is whether the cash deployed into AI capacity and the core business produces returns greater than the preferred dividends, eventual common or Class C claims and any opportunity cost of issuing equity.
How should shareholders analyze the raise?
A disciplined analysis separates the financing’s legal mechanics from a forecast about Meta’s stock price. Use this framework when new filings arrive.

- Model preferred claims: Include cumulative dividends, potential conversion and any adjustment provisions through the expected 2029 settlement window.
- Measure the denominator: Add Class A, Class B and Class C shares actually outstanding, plus dilutive awards and other securities, instead of relying on the October 20 historical count.
- Separate votes from economics: Calculate both a holder’s percentage of equity and voting power. Non-voting Class C can preserve control while still diluting earnings and asset claims.
- Check ATM activity: Determine whether Meta established the program, how much capacity remains and the prices at which shares were sold. A $60 billion authorization without sales is not dilution.
- Compare returns with claims: Assess operating results and AI investment returns against preferred dividends and the additional shares that participate in future earnings. No predetermined share-price reaction follows from the financing structure alone.
What should shareholders watch next?
The next material disclosures are factual rather than speculative. Check a later Meta release or SEC filing for confirmation of the expected October 29 closings and any underwriter option exercises. Then monitor forward settlements through November 2027, the actual number of shares delivered, preferred conversion adjustments, the Class C distribution and listing, and any ATM agreement or sales.
Until those filings appear, keep conditional events in conditional language. The announced $95 billion was an original potential-financing description; the later $97.5 billion arithmetic combines $37.5 billion of priced offerings with a proposed $60 billion program. Neither label should be presented as completed proceeds, a final issuance cap or an immediate dilution rate.
What does the financing mean in practical terms?
Existing shareholders face several possible claims on future earnings, but they do not all arrive at once. The forward sale points to a later common-share issuance, the preferred securities add a dividend and possible conversion, and the ATM could create further non-voting Class C shares only if Meta establishes and uses it. The planned one-for-one Class C distribution is a recapitalization of existing ownership, not a new investor sale.
The sound conclusion is therefore conditional: dilution depends on shares actually issued and preferred securities actually converted, while the economic justification depends on what Meta earns from the capital relative to those claims. The headline financing amount is a starting point for analysis, not the answer.
Frequently Asked Questions
Is the proposed $60 billion Class C ATM already active?
No. Meta described it as a possible future program that had not yet been agreed as of the launch announcement. It was not expected to start before Class C trading in the first quarter of 2027, and Meta gave no assurance that it would establish or use the program.
Do I have to buy Class C shares to receive the planned distribution?
The proposed distribution is one Class C share for each Class A or Class B share held on a record date that had not yet been set. The plan is described as a pro-rata stock dividend, not an offer requiring holders to purchase anything.
Why might Class A and Class C trade at different prices after the recapitalization?
Class A carries voting rights while Class C generally does not, so investors may value the classes differently. Meta also expects the distribution to create a roughly two-for-one effect in the Class A quote, but the combined value of a holder’s Class A and Class C position will depend on both market prices.

What filing confirms how many shares were issued in the forward transaction?
A later Meta issuer release or SEC filing should state the closing, settlement method, net proceeds and shares delivered. The original pricing release’s expected dates do not establish that settlement or issuance occurred.
