IPO, FPO and OFS describe different ways shares reach Indian investors. An IPO is a company’s first public offer while it is unlisted; an FPO is a later public offer by a company that is already listed; and an OFS is an exchange-based sale of existing shares by current holders of a listed company. The crucial distinctions are the issuer’s listing status, whether shares are newly issued or already owned, who receives the money, and how investors bid and receive allotments. An IPO or FPO can combine a fresh issue with an offer for sale, so the label alone does not tell you where all the proceeds will go.
| Name | Best for | Key spec | Checked |
|---|---|---|---|
| IPO | Investing when an unlisted company first invites public shareholders | Fresh shares, existing shares, or both; leads to stock-exchange listing | Oct 2026 |
| FPO | Participating in a public offer from an already listed company | Fresh shares, an offer for sale, or both after listing | Oct 2026 |
| OFS | Buying existing listed shares during a dedicated exchange window | Existing holders sell; floor price, T-day and T+1 bidding rules | Oct 2026 |
What do IPO, FPO and OFS mean?
The abbreviations identify the transaction structure, not a quality rating. A well-known company can use any of the three, and none is automatically safer or more profitable. Read the specific offer document or exchange notice to establish the price, purpose, eligibility and allocation rules.
IPO: the first public offer by an unlisted company
SEBI defines an Initial Public Offer as the first time an unlisted company offers shares or convertible securities to the public. It may make a fresh issue, sell shares held by existing owners, or do both. The transaction creates the route to a stock-exchange listing and subsequent trading by public shareholders.
Because an IPO can contain an offer-for-sale component, calling it a fresh fund-raising exercise without reading the prospectus can be misleading. The document separates the number of new shares from the number sold by existing holders and states the intended use of money raised through the fresh portion.

FPO: a further public offer by a listed company
A Further Public Offer is made by a company that is already listed when the offer opens. SEBI’s definition permits a fresh issue, an offer for sale, or both. An FPO therefore differs from an IPO primarily by the issuer’s status at the time of the offer, not by a mandatory requirement that every share be newly created.
An FPO uses public-issue procedures, such as an offer document, investor categories and allotment. Existing shareholders can already trade the company’s stock, but the FPO may increase the number of shares in public hands or allow specified holders to sell part of their stake.
OFS: an exchange sale of existing listed shares
An Offer for Sale is a process through which existing shareholders, commonly promoters or large investors, sell shares of a listed company to the public through the stock exchange. The shares already exist; the transaction transfers them from the selling holders to successful bidders.

The OFS framework uses a separate exchange window rather than the multi-day application process associated with most public issues. The seller publishes an OFS notice naming the seller, exchange, dates, number of shares, allocation method, any green-shoe option and the seller’s broker.
What is the difference between IPO, FPO and OFS?
| Comparison point | IPO | FPO | OFS |
|---|---|---|---|
| Company status | Unlisted before the offer | Already listed | Already listed |
| Shares sold | Fresh shares, existing shares, or both | Fresh shares, existing shares, or both | Existing shares held by selling shareholders |
| Main purpose | First public offering and route to listing | Raise additional capital, permit an offer for sale, or combine both | Give existing holders an exchange mechanism to sell |
| Recipient of proceeds | Issuer for the fresh portion; selling holders for any OFS portion | Issuer for the fresh portion; selling holders for any OFS portion | Selling shareholders |
| Pricing route | Fixed price or book-built price discovery | Fixed price or book-built price discovery | Floor price and exchange-window clearing process |
| Investor setting | Primary-market public issue before listing | Primary-market public issue from a listed issuer | Exchange-based purchase of already listed shares |
| Retail timing | Dates and categories in the issue document | Dates and categories in the issue document | Retail bids on T+1 under the cited OFS framework; non-retail bids on T day |
The proceeds rule follows the difference between a fresh issue and an offer for sale. New shares bring capital to the issuer, while an OFS transfers sale consideration to the holders who sell. A combined offer can therefore send money to both groups, in proportions stated in the offer document.
Does OFS money go to the company?
Normally, no. In an OFS, the company is not issuing those shares; existing shareholders are selling them, so the sale proceeds belong to the selling shareholders. The company may disclose the transaction and remain responsible for corporate information, but that does not turn the sale consideration into fresh company capital.

The same distinction applies inside an IPO or FPO. The fresh-issue component funds the issuer according to the stated objects, while an offer-for-sale component pays the shareholders named as sellers. Never infer the destination of all proceeds from the headline size of the issue.
How are IPO and FPO prices discovered?
SEBI recognises fixed-price and book-built public issues. In a fixed-price issue, the issuer sets the price before applications open. In a book-built issue, the issuer publishes a price band and collects bids at different prices; demand is then used to discover the final issue price.
SEBI Investor describes book building as a price-discovery process. A retail applicant may use the cut-off option where offered, agreeing to pay the final discovered price rather than selecting a particular price within the band. A bid below the discovered price can fail to receive an allotment, and oversubscription can reduce the number of shares allotted even when the application is valid.
Before applying, check the price band, lot size, minimum application, category limits, cut-off availability and the dates in the red herring prospectus or final offer document. These details are transaction-specific and can differ between two issues using the same public-issue label.
How does an OFS work for retail investors?
An OFS is short and operationally different from an IPO or FPO. Follow the current exchange notice and your broker’s OFS screen; the following sequence reflects the cited SEBI framework.
Quick wins for a faster PC:
Clear out junk files and repair common Windows errorsFree Scan →Scan for outdated or missing drivers - takes under a minuteDriver Scan →- Read the notice. Confirm the selling shareholder, exchange, number of shares, offer dates, allocation method, seller’s broker and whether a green-shoe option is disclosed.
- Check the floor price. SEBI defines it as the minimum price at which the seller intends to sell. A retail discount may be offered under the permitted methodology, so the final retail allocation price can be below the stated floor where the notice allows it.
- Place a bid in the correct window. Non-retail investors bid on T day during normal trading hours. Retail investors bid on T+1 under the cited framework.
- Use the retail limit carefully. A retail investor’s aggregate bid value across exchanges must not exceed INR 2 lakhs for the retail category under that framework.
- Select cut-off if available. This lets a retail bidder accept the final price determined by the OFS process instead of entering a price that could be too low.
- Review allocation and settlement. Oversubscription, the allocation method and any reserved categories determine how many shares you receive. Follow the exchange and broker confirmation for debits, credits and unfilled bids.
At least 10% of the OFS offer size is reserved for retail investors under the cited SEBI framework. At least 25% is reserved for mutual funds and insurance companies, subject to the applicable allocation methodology. These are framework requirements, not a promise that every live OFS will have identical participation or allotment outcomes.

How do IPO and FPO applications work?
Public-issue applications generally run over several days and use the categories and procedures stated in the offer document. The practical checklist is:
- Read the offer document. Identify the fresh-issue size, OFS size, objects of the issue, promoter information, financial statements, risks and timetable.
- Confirm eligibility and application size. Check the retail or other category, lot size, price band or fixed price, and the maximum amount permitted for that category.
- Choose a bid price. In a book-built issue, decide whether to enter a price within the band or use the cut-off option if available to retail applicants.
- Submit through an approved channel. ASBA blocks the specified amount in your bank account rather than immediately transferring it to the issuer. The bank releases the blocked amount when shares are not allotted, subject to the applicable process.
- Track the outcome. The registrar and exchange publish allotment and listing information. An allotment may be smaller than the applied quantity when demand exceeds the available shares.
An FPO follows this public-issue pattern even though the issuer is already listed. The existing market price can provide context, but it does not replace reading the FPO’s own price, rationale, dilution and risk disclosures.
Which is better: IPO, FPO or OFS?
There is no universal winner. Choose the transaction that fits your objective only after comparing the issuer’s disclosures, valuation information supplied in the offer materials, use of funds, seller rationale, price mechanics and allocation risk.

What common misconceptions should Indian investors avoid?
An IPO is always a fresh issue
Incorrect. SEBI’s IPO definition allows a first public offer made entirely through an offer for sale or through a combination of fresh and existing shares. The fresh/OFS split is more informative than the IPO label.
An FPO is simply a second IPO
That shorthand hides the legal distinction. An FPO is a public offer by an issuer that is already listed, and it can include an OFS component. The company’s listing status when the offer is made is the defining difference.
An OFS automatically means the company is raising money
An OFS transfers existing shares and normally pays the selling holders. Only a fresh-issue component raises capital for the issuer.
A lower OFS floor price guarantees a bargain
The floor price is the seller’s minimum intended sale price, not an independent valuation. The exchange notice and the company’s disclosures still need to support your decision.
Applying for the maximum quantity guarantees a larger allotment
Oversubscription and category-wise allocation can reduce allotments. A valid application can receive fewer shares than requested or none, depending on the stated rules and demand.

How should you use the offer document and exchange notice?
Start with the transaction structure, then verify the commercial details. In an IPO or FPO, locate the sections that identify fresh shares, shares offered by existing holders, objects of the issue, risk factors, financial details, promoter information, price band and timetable. In an OFS, locate the seller, floor price, discount methodology, reservation, bid dates, allocation method, broker and settlement information.

Use the latest version available for the live transaction. A general explanation of IPO, FPO or OFS cannot override a later exchange circular, revised timetable or amended offer document. Save the notice you relied on, record the bid reference and monitor official allotment and settlement communications.
What is the practical verdict?
Classify the offer before judging it: IPO means first public access from an unlisted issuer, FPO means a further public offer from an already listed issuer, and OFS means existing listed shares sold through an exchange window. Then split the transaction into fresh and existing shares, identify who receives the proceeds, and follow the exact pricing, timing and allocation rules in the current documents. That sequence prevents the most costly category errors without assuming that any one structure is inherently better.
Frequently Asked Questions
Can an unlisted company conduct an OFS?
Not under SEBI’s OFS definition, because the mechanism is a sale of shares in a listed company through the stock exchange. An unlisted company first has to reach the public market through an eligible public-offer route before an exchange-based OFS can apply.
Does an OFS floor price guarantee the price I will pay?
No. It is the minimum price at which the seller intends to sell, and the final clearing or retail-discount methodology in the notice determines the applicable allocation price. A floor price also does not guarantee that your bid will be allotted.
Why can two retail applicants receive different OFS allotments?
Demand may exceed the shares available to the retail category, and the notice’s allocation method then determines the distribution. Different valid bid quantities, prices or cut-off choices can therefore lead to different outcomes.
Where can I verify the live dates for an IPO, FPO or OFS?
Use the current offer document for an IPO or FPO and the exchange’s current OFS notice for an OFS, then confirm that your broker displays the same window. The dates in explanatory articles are not a substitute for the live document.
