Instacart is evaluating strategic-sale options and has been working with an investment bank, according to reports published in October 2026. The Information reported preliminary conversations with DoorDash and Uber; Bloomberg later reported that Uber walked away and that DoorDash remained a preliminary contact. No signed agreement, announced bid, or definitive buyer has been disclosed.
That makes this a reported sale process, not a completed transaction. The outcome could depend on valuation, financing, shareholder support, retailer relationships, integration plans and antitrust review.
Is Instacart being sold?
Not yet. Instacart, whose legal name is Maplebear Inc., is reportedly exploring a sale rather than announcing that it has accepted an offer. The reports describe early-stage discussions and private conversations with people familiar with the matter, so the process could produce a transaction, continue privately or end without a deal.
The Information reported that Instacart hired an investment bank to examine options. Reuters and Bloomberg have not reported a signed merger agreement or a formal public bid. Instacart, Uber and DoorDash did not immediately comment to Reuters; that silence is neither confirmation nor denial.

Who is trying to buy Instacart?
DoorDash and Uber were reported as preliminary contacts, but their positions are different.

Calling either company the buyer would be inaccurate. A preliminary conversation is not a bid, and the current reports do not establish that DoorDash has made a proposal.
Why would Instacart consider a sale now?
The strategic pressure comes from both sides of the grocery market. DoorDash and Uber Eats are expanding grocery and convenience delivery, retailers are building their own digital channels, and Amazon is expanding quick-delivery services. Those moves can reduce the distinctiveness of an independent grocery marketplace.

EMarketer analyst Zak Stambor described the risk this way: “Instacart risks getting squeezed between retailers building their own digital channels and larger platforms that can bundle grocery with other services, giving consumers more reasons to keep coming back.” He also said a deal could give Instacart “the resources and reach to compete more effectively than it could on its own.”
Growth comparisons help explain the pressure, although they do not prove that a sale is necessary. The Information reported that Instacart’s annual revenue growth slowed to 11% in both 2024 and 2025, from 19% in 2023. Over the same 2025 period, it reported 28% revenue growth for DoorDash and 18% for Uber.
How much is Instacart worth?
Reuters put Instacart’s market value at about $12 billion at the October 22, 2026, close. The Information said a typical 30%–40% takeover premium could imply approximately $16 billion–$17 billion, but that is an illustrative market benchmark, not a reported offer or agreed valuation.

Is Instacart financially weak?
Instacart still reports substantial operating capacity. In its second-quarter 2026 release, the company reported $1 billion in revenue, 14% year-over-year revenue growth and $480 million in free cash flow.

The same release highlighted several businesses beyond consumer grocery orders:
- AI shopping and replacement features for the marketplace.
- Enterprise ecommerce tools for retailers.
- Caper in-store technology.
- FoodStorm ordering software.
- Partnerships with retailers.
Those figures show that Instacart remains an active, cash-generating company. They also show why a buyer might value its technology and retailer relationships even as its growth rate trails the larger delivery platforms cited above.

A buyer could combine Instacart’s grocery demand, retailer integrations and fulfillment expertise with a larger delivery network and customer base. Reuters described the potential logic as strengthening a buyer’s online-grocery ambitions.

Regulators and other authorities could examine whether the transaction reduces competition for consumers, restaurants, grocers, retailers or delivery workers and whether remedies would be needed.

Approval would also depend on factors beyond antitrust analysis, including buyer financing, the premium offered, shareholder response, integration plans and whether the parties would accept divestitures or other conditions. Current reports do not establish that any buyer has reached that stage.
What should readers watch next?
The clearest evidence of progress would be a definitive agreement, a company announcement, securities filings or a formally disclosed proposal. Until one of those appears, headlines should be read as reports about a potential transaction rather than confirmation of an acquisition.
- Whether DoorDash confirms or denies continued discussions.
- Whether another strategic or financial buyer is identified.
