Evaluate legal AI as a governed workflow and vendor decision, not as a chatbot purchase. Start by defining the legal task, jurisdictions, users, data classes, sources, error tolerance and approval owner. Then require evidence for authority coverage, citation traceability, accuracy, confidentiality, retention, training use, security, integrations, auditability, support, cost and exit. Pilot shortlisted tools on representative, protected matters with independent lawyer review. No tool removes professional responsibility: the firm or legal department remains accountable for confidentiality, competence, supervision, candor, client communication and the final advice.
What does a sound legal AI evaluation cover?
A defensible evaluation connects a specific workflow to its legal risk, evidence requirements and operating controls. A research assistant, contract triage tool and litigation-drafting system should not be approved through the same test or review level.
Define the use case before looking at products
Write a one-page brief that states the workflow, matter type, jurisdictions, user groups, data sensitivity, required authorities, acceptable latency, error tolerance and sign-off person. Include whether outputs are internal notes, work product, client communications, filings or decision support. Public-facing advice and consequential decisions require the strongest review and change controls.

- Low consequence: formatting, scheduling or internal administrative assistance. Monitoring and sampling may be sufficient.
- Moderate consequence: first-pass clause summaries, intake classification or internal knowledge retrieval. Require a trained reviewer before the result enters a matter file.
- High consequence: legal research, contract language, negotiation positions, filings, client advice and decision support. Require active lawyer verification of facts, authorities, reasoning and permitted use of data.
Record the classification in the approval file. It determines the pilot set, reviewer qualifications, logging and escalation rules.

How do you test legal-source quality and reliability?
Ask the vendor to prove what legal material the system can retrieve and how it stays current; a fluent answer is not evidence of authority.
Check coverage, currency and jurisdiction
Request a description of the databases, licensed content and update process. Test statutes, regulations, reported and unreported decisions, administrative material and secondary sources relevant to each jurisdiction in your brief. Include questions involving recent amendments, conflicting authority, procedural rules and local citation conventions. A tool that performs well in one country or practice area may be incomplete in another.
Verify every citation and quotation
For each test answer, open the cited authority and confirm that it supports the proposition, the quotation is exact and the decision remains good law. Look for fabricated cases, incorrect docket numbers, stale versions, missing adverse precedent, jurisdiction mistakes and conclusions that have no cited support. Require a direct path from the generated statement to the underlying source, not merely a citation string.
Use adversarial and held-out questions
Prepare questions whose facts are intentionally incomplete, misleading or jurisdiction-specific. Add matters with minority views, negative treatment and exceptions. Keep a held-out set that users and vendors do not see during configuration; otherwise a demonstration can measure memorization rather than reliability. The Singapore Ministry of Law legal-sector guide specifically recommends checking hallucination, source completeness, currency, jurisdiction, precise prompts and independent confirmation that cases remain good law.
Score more than correctness
Capture factual accuracy, authority validity, completeness, reasoning quality, uncertainty disclosures, time to answer and rework. A concise answer that omits a controlling exception can be more dangerous than a slower, qualified answer. Have a qualified lawyer score outputs against a written rubric and retain the prompt, model or product version and source snapshot used.
Is a legal AI tool safe for confidential and privileged data?
Confidentiality is a procurement gate. Do not place client or company information into a system until its data terms and technical controls are documented, reviewed and approved.
Questions for the vendor’s contract and privacy terms
- What content can the vendor, affiliates and subprocessors access?
- Is customer data used to train, fine-tune or evaluate a shared model, and can that use be disabled contractually and technically?
- How long are prompts, uploads, outputs, telemetry and backups retained?
- Can the customer delete matter data and obtain written confirmation, including from subprocessors?
- Where is data stored and processed, and what cross-border transfers occur?
- What notice, cooperation and cost commitments apply after a breach?
- Can the customer export data, prompts, metadata, audit logs and configuration at termination?
Technical controls to verify
Review encryption in transit and at rest, identity federation, multifactor authentication, role-based access, tenant isolation, administrator privileges, key management, vulnerability management, penetration testing and security attestations. Confirm that permissions inherited from a document or matter system are enforced in search and generation, not just displayed in the interface. Require audit logs showing who accessed data, what was submitted, which version responded and what was exported.

Why on-premises is not an automatic answer
Internal or on-premises deployment can reduce some external-sharing and transfer risks, but it does not eliminate misconfiguration, excessive internal access, insecure connectors, unlogged activity, retention problems or third-party components. Apply the same evidence standard to access, deletion, patching, monitoring and incident response.
Use a safe starting point when evidence is incomplete
If controls are not documented and verified, begin with public, synthetic or thoroughly anonymised material. Anonymisation must remove combinations of facts that could re-identify a person, client or transaction. Establish a written prohibition on uploading restricted data until procurement and information-security owners approve the tool.
How do you determine whether the workflow actually fits?
Map product functions to the work lawyers perform, then test the handoffs and failure modes around them; a feature list is not proof of fit.
Test the complete task chain
For legal research, test question formulation, source retrieval, authority checking, memo drafting and citation export. For contract review, test document ingestion, clause identification, playbook rules, redlines, exceptions and human approval. For summarisation or knowledge retrieval, test long documents, tables, scanned pages, version conflicts and links back to the source. For intake or matter management, test classification, routing, conflict checks and records creation.
Validate integrations and permissions
Connect the pilot to the document-management, email, identity, billing, knowledge or matter systems that users actually rely on. Check whether permissions are inherited correctly, whether metadata is preserved, and what happens when an API, connector or authentication service fails. Record logs retained for successful and failed calls. A tool that requires copying documents into a separate repository may create confidentiality, version-control and adoption problems even when its model output is strong.
Measure usability without confusing it with quality
Record training time, prompt complexity, accessibility, response latency and the number of steps needed to preserve citations and matter records. User enthusiasm is useful adoption evidence, but it cannot replace legal-source and security testing.
What vendor due diligence and contract terms matter?
Evaluate the supplier’s ability to support a controlled legal service over time, not just its demonstration.

Company and technology durability
- Review ownership, operating history, financial or service continuity indicators and the release process.
- Ask how legal-data licences are obtained and what happens if a licence or content partner changes.
- Request product-version notices, deprecation policy, support channels, response targets and escalation contacts.
- Examine independent security reports, penetration-test summaries and remediation practices rather than relying on badges alone.
Negotiate protections proportionate to the risk
Seek warranties covering service operation, data handling and compliance commitments that matter to the use case. Address intellectual-property claims, confidentiality, breach cooperation, indemnities, limitation of liability, subcontracting, audit rights, material-change notice and termination assistance. Liability caps that are acceptable for an internal drafting aid may be inadequate for a system handling regulated client records or high-value transactions.
Plan the exit before signing
Specify export formats, retention and deletion deadlines, assistance fees, transition access and how prompts, outputs, citations, feedback, logs and configurations will be extracted. The Law Society recommends supplier due diligence, negotiated warranties and liability terms, long-term support, objective lifecycle review and deletion or extraction planning when requirements are no longer met.
How should a law firm or legal department run a representative pilot?
A controlled pilot should reproduce real work while protecting real people and matters; demonstrations alone cannot establish fitness.
- Assemble the test set. Use a held-out collection of appropriately protected matters covering routine, difficult, adversarial and jurisdiction-specific examples. Include documents with poor scans, tables, redactions, conflicting versions and known counterarguments where those occur in practice.
- Set the rubric. Define pass thresholds for factual accuracy, citation validity, completeness, time saved, rework, escalation rate, bias indicators, confidentiality controls and user acceptance. Decide which failures are automatic disqualifiers.
- Freeze the configuration. Record product and model versions, retrieval settings, connected repositories, system instructions, user roles and date. Do not change these silently during scoring.
- Run matched tasks. Have users complete the same matters with the current process and the candidate tool where practical. Measure elapsed time and review time, not only generation time.
- Require independent lawyer review. A qualified lawyer verifies every output that could be used in practice, including authorities, quotations, calculations, omissions and confidentiality handling.
- Log and classify failures. Save prompts, outputs, source links, reviewer decisions, corrections, escalations and system errors. Separate user mistakes from model mistakes and integration failures.
- Re-test after changes. Repeat critical cases after a material model, retrieval, connector or policy update. Approval is conditional on continued performance.
- Make a documented decision. Approve a defined scope, approve with restrictions, extend the pilot or reject the tool. State the evidence, unresolved risks, owner and review date.
What comparison matrix should you use?
Use one matrix for every shortlisted option, then weight each column by the workflow’s risk instead of calculating an unqualified overall score.

Mark each cell as evidenced, partially evidenced or unverified, with an owner and date. Do not treat an unverified marketing claim as a passing score.

AI use does not transfer professional responsibility. Lawyers and their organisations remain accountable for the work and advice delivered to clients.
Core duties identified by professional guidance
New York City Bar Formal Opinion 2024-5 (2024) addresses confidentiality, conflicts, competence, diligence, advertising and solicitation, compliance with law, supervision, client consultation, candor to tribunals, non-meritorious claims, fees and discrimination when using generative AI. ABA Formal Opinion 512, announced July 29, 2024, says lawyers must fully consider applicable ethical obligations, including competent representation, protection of client information, communication and reasonable fees consistent with time spent using AI. The Solicitors Regulation Authority warns that AI does not diminish or transfer professional responsibilities, and the Law Society calls for effective, professional quality control over output.

Set review levels in policy
Publish approved tools, prohibited data, required disclosures, review depth, incident reporting, records retention and billing rules. Require the responsible lawyer to verify every client-facing or consequential output. Supervise staff and external providers, document material corrections and escalate suspected confidentiality breaches or fabricated authorities.
Address client communication and fees
Decide when engagement terms, client instructions, court rules or confidentiality obligations require disclosure or consent. Track AI-related time and expenses accurately; do not charge a client for unperformed work or represent machine-generated effort as lawyer time. Your policy should identify who approves any pass-through charge and how it is explained.

Use a complete cost-and-outcome model rather than a licence price or a vendor’s claimed percentage.
Count all operating costs
- Subscription, seat, usage, storage, connector and premium-content charges.
- Implementation, data preparation, integration, identity and security review.
- Training, policy work, prompt or playbook maintenance and user support.
- Lawyer review, correction, escalation, duplicate work and incident response.
- Exit, migration and replacement costs if the service changes or is discontinued.
Measure net value in the pilot
Compare baseline cycle time and quality with the candidate process. Subtract review and rework time from generation savings, and record whether throughput, turnaround, consistency or risk controls improved. Report results by task and user group; an average can hide a serious failure in a high-risk matter.

How should ongoing monitoring and reapproval work?
Treat deployment as a lifecycle, with named owners and a trigger-based review schedule.
Monitor production use
Sample outputs for unsupported claims, missing authorities, privacy violations, access errors, bias and unexplained changes in latency or quality. Track incidents, near misses, user overrides, escalations and complaints. Keep records sufficient to reconstruct what version and data produced an answer.
Define reapproval triggers
- Material model, retrieval, connector, hosting or terms-of-service changes.
- New jurisdiction, practice area, user population or data classification.
- Security incident, substantiated hallucination or repeated citation failure.
- Source-licensing change, vendor acquisition, service-level decline or financial distress.
- Evidence that measured value no longer exceeds review and governance costs.
Retire safely
When a tool no longer meets requirements, stop new intake, preserve necessary matter records, export governed data and logs, confirm deletion, revoke credentials and document the replacement process. Keep human review in place during migration.
What are the most common evaluation mistakes?
Most failures come from treating a polished demonstration as proof, or from approving a tool without assigning operational ownership.
- Testing generic prompts only: Replace them with representative, adverse and jurisdiction-specific matters.
- Counting fluent prose as accuracy: Verify every authority, quotation, calculation and omitted exception.
- Accepting “we do not train on your data” without detail: Ask what is retained, who can access it, which subprocessors are involved and how deletion works.
- Ignoring connectors: Test permission inheritance, failed calls, duplicate copies and audit logs.
- Using one approval path for every task: Match review and controls to consequence and sensitivity.
- Omitting contract and exit review: Negotiate warranties, liability, change notice, export and deletion before production data is used.
- Measuring only time saved: Include rework, escalation, quality, incidents and reviewer time.
- Failing to re-test updates: Treat material version or source changes as a new evaluation event.
What is the practical decision rule?
Approve a legal AI tool only when the defined workflow meets its evidence thresholds, confidentiality controls are contractually and technically verified, trained reviewers can reproduce the result, and the total value remains positive after oversight costs. Approve it for a narrower scope when only some tasks pass. Reject or defer it when authority coverage, data handling, auditability or exit rights remain unverified. The responsible lawyer still signs off on consequential work, regardless of the product’s confidence score or brand reputation.

Do we need client consent before using legal AI?
It depends on the engagement, jurisdiction, court or regulator rules, and the data and service terms involved. Check the client’s instructions and engagement letter, explain material confidentiality or workflow implications when required, and document the decision before processing client information.
Can a legal AI vendor see documents uploaded by our firm?
That cannot be answered from a product name alone. Access depends on the contract, retention settings, support privileges, subprocessors, hosting model and security configuration, so obtain written answers and technical evidence before uploading restricted material.

How often should a legal AI tool be re-evaluated?
Use a scheduled review at least annually for an active system, plus an immediate review after a material model, source, connector, security, ownership or terms change. High-risk workflows should use continuous sampling rather than waiting for the annual date.
What evidence should we keep for an AI-generated legal memo?
Retain the prompt or task instruction, product and model version, source materials or citation paths, generated draft, lawyer’s verification and corrections, and the final approved work product. Apply the retention period and access controls that govern the underlying matter.
