Evaluate an AI startup as a business and a financing transaction, not as a company that deserves an automatic “AI premium.” Build a valuation range from verified revenue, customer durability, complete AI-related costs, capital needs, defensibility, and the rights attached to the security you would buy. Start by recording the valuation date, geography, financing instrument, pre-money or post-money basis, and fully diluted ownership. Then reconcile the company’s revenue claims, model its cost to serve, test its market and technical advantages, and run explicit base, downside, and upside cases. The result should be a range with stated assumptions and unresolved diligence items—not a falsely precise number or a recommendation based on a sector label.
What exactly are you valuing?
Before reviewing a price, define whether you are valuing the operating company, a particular class of shares, a new financing round, or a possible secondary purchase. Those are related but different questions: a negotiated price for one security class does not prove that every class has the same economics or that the price predicts an eventual exit.
Record the transaction facts first
- Valuation date and currency.
- Company geography, operating stage, and customer market.
- Instrument: priced equity round, SAFE, convertible note, or secondary transfer.
- Capital being raised and whether the quoted figure is pre-money or post-money.
- Exact security class, voting and economic rights, and any side letters.
- Fully diluted capitalization, including options and the proposed option-pool treatment.
Request the current capitalization table and financing documents before treating a headline valuation as comparable with another deal. Ownership percentages can change materially when an option pool is created or expanded, when convertibles convert, or when different share classes carry different preferences.

“Post-money” includes the new capital; “pre-money” describes the value immediately before that investment. Two rounds can show the same headline number while giving investors very different ownership if the amount raised, option-pool changes, or fully diluted share count differs. Recalculate the implied ownership from the documents rather than relying on a presentation slide.

How do you test whether the market and customer problem are real?
A large top-down market estimate is only a hypothesis. Your evidence should connect a specific buyer, a painful problem, a buying process, and repeatable production use to the revenue the company claims it can earn.
Identify the economic buyer and substitute
Ask who signs, who uses the product, who controls the budget, and what the customer does today. The substitute may be an incumbent software product, an internal team, a model or platform provider, or a manual process. Determine what measurable outcome the AI product improves—cost, speed, accuracy, revenue, risk, or capacity—and how that outcome is assessed during renewal.
Separate production adoption from interest
Obtain customer references and establish the scope of each deployment. Paid, repeated production use is different from a free trial, a pilot, a signed contract that has not started, or a nonbinding pipeline entry. A company can have an impressive logo list and still lack evidence that customers use the product deeply enough to renew.
Check whether a claimed contract is enforceable, when revenue can begin, what usage or acceptance conditions apply, and whether implementation work remains. A market-size slide cannot substitute for this customer-level evidence.
How should you rebuild the startup’s revenue story?
Ask management to define every revenue figure, its period, and its source, then reconcile the claims to contracts, invoices, usage records, renewals, and cash receipts where appropriate. Do not place every dollar in one recurring-revenue bucket.
Classify each revenue stream
- Recognized revenue for the reporting period.
- Annualized run rate or ARR, with the calculation date and assumptions.
- Enforceable recurring commitments.
- Variable, usage-based charges.
- Implementation, integration, training, and other project services.
- Pilots and trials.
- Signed-but-not-started commitments and nonbinding pipeline.
Reconcile annualized figures to actual invoices and usage. A temporary usage spike, a heavily discounted first contract, or a concentrated pilot can make growth look more durable than it is. If services or implementation are material, explain why a recurring-revenue multiple should apply to that portion at all.
Examine retention, concentration, and expansion
Review renewals and retention by customer cohort, not only an aggregate percentage. Separate new-customer growth from expansion in existing accounts and identify the source of expansion: more seats, more usage, price increases, or additional products. Measure concentration by customer and by contract; losing one account should be reflected in downside cases if it would materially change revenue.

There is no universal revenue-quality threshold that determines a fair AI valuation. The appropriate treatment depends on contract enforceability, repeat behavior, collection history, discounting, customer concentration, and the cost required to deliver the revenue.
How do AI economics change the valuation?
Classify the company before selecting a multiple or forecast. A model developer, an AI application, and an infrastructure provider can have very different gross margins, working-capital needs, capital commitments, and financing timelines.
Model-building and model-training businesses
Companies that train or substantially fine-tune models may incur large training runs, specialized infrastructure commitments, data acquisition costs, and ongoing evaluation expenses. Map when those costs are paid, which are recurring, and what utilization is needed to recover them. A short demonstration of model quality does not establish that the business can fund training at commercial scale.
AI applications
An application company may buy model access and pay recurring inference charges for every customer interaction. Include model API or inference costs, cloud and hosting, human review, support, deployment, integration, and training. Gross margin can deteriorate as customers increase usage unless pricing, caching, routing, or model selection offsets the additional compute.
Infrastructure providers
An infrastructure business may need substantial commitments for facilities, power, networking, equipment, or reserved capacity. Compare it with infrastructure businesses where possible instead of applying a generic software multiple. The timing of those commitments and the utilization required to cover them should appear in the cash-flow and financing cases.
Test unit economics under representative workloads
Request cost and performance data for real customer workloads, including peak demand, latency, failure rates, and human escalation. Examine reliability and evaluation results outside a polished demonstration. A product that requires repeated human review or intensive integration may generate revenue but still produce margins and returns unlike those of a conventional subscription software company.
How can you test defensibility and operating risk?
Defensibility is a company-specific claim that must be demonstrated. Using AI, owning a model, or having access to a popular model provider does not by itself establish a durable moat.

Demand evidence for the claimed advantage
Management may point to proprietary data, workflow adoption, distribution, technical performance, or execution speed. For each claim, ask what permission the company has to use the data, how deeply the product is embedded in a customer workflow, and whether customers would incur meaningful disruption by switching. Measure technical performance on the tasks customers actually pay for, not only on a benchmark selected by the company.

Test substitution and dependency
Ask what a customer could build internally, buy from a model or platform provider, or obtain from a competitor. Identify dependencies on a single model supplier, cloud provider, data licensor, or distribution channel. A provider can change pricing, access terms, model behavior, or usage limits, so model that exposure in downside cases where it could affect gross margin or service continuity.
Review governance and compliance exposure
Check data provenance and permissions, intellectual-property ownership and assignments, privacy and security controls, reliability monitoring, model evaluation, incident response, and regulatory obligations in the company’s actual geographies and customer sectors. The NIST AI Risk Management Framework can organize these questions as a voluntary framework; it is not a certification and does not prove that a company complies with every applicable rule.
Which valuation methods fit the evidence?
Choose a method that matches the company’s operating history and economics. No method removes uncertainty; a good analysis makes the assumptions that drive the result visible.
Use forecast cash flows when the operating record supports them
For a company with credible revenue and cost history, forecast cash flows under explicit assumptions for customer additions, renewals, expansion, pricing, gross margin, operating expense, capital expenditure, working capital, and future financing. A discounted-cash-flow analysis is useful for showing which assumptions create value, but its output remains sensitive to the forecast and terminal assumptions.

Select peers by stage, financing date, product layer, revenue model, growth and margin profile, geography, customer segment, and regulatory exposure. Compare recognized revenue with annualized or contracted revenue on a like-for-like basis. Explain every important mismatch. An infrastructure company, a model-training company, and an application with heavy human review should not be treated as interchangeable merely because each uses AI.
If no close comparable exists, disclose that limitation and rely more heavily on explicit cash-flow and scenario assumptions. A broad “AI” category is not a peer set.

Make scenarios and uncertainty explicit
Build at least a base case and a downside case; add an upside case only when its assumptions are concrete. Vary adoption, renewal, usage, inference cost, gross margin, financing timing, and competitive response. State where each risk enters the analysis.
Do not count the same risk twice. If a probability-weighted forecast already reflects a lower chance of renewal, do not automatically add a separate discount-rate penalty or post-valuation adjustment for that identical risk. Grant Thornton’s guidance on valuing uncertainty in the AI sector states: “The principal danger in layering multiple adjustments is that the same risk can inadvertently be counted more than once, and a rigorous valuation will therefore be explicit about where each risk is reflected and ensure that no single risk factor is double counted across the analysis.”
How do financing terms affect your actual investor outcome?
Price and investor outcome must be assessed together. Calculate ownership on a fully diluted basis and model what happens after the proposed round and likely future financing.
Read the rights attached to the security
- Liquidation preference and whether it participates after receiving the preference.
- Anti-dilution protection and the circumstances in which it applies.
- Conversion mechanics for preferred shares, SAFEs, or notes.
- Option-pool creation or expansion before or after the investment.
- Voting, board, information, and protective provisions.
- Transfer restrictions and any side-letter rights.
A high headline valuation can accompany a large raise or a rights package that changes who receives proceeds first. Model exit proceeds across plausible outcomes rather than comparing only the price per share.
Connect the raise to milestones and runway
Ask what the new capital is intended to fund, which product or revenue milestones it should achieve, and how long it lasts in base and downside cases. Include higher inference costs, delayed customer deployments, additional hiring, and a slower fundraising market in the downside. If execution takes longer or costs more, estimate the likely size and timing of the next round and the resulting dilution.
Carta’s former head of insights Peter Walker, as quoted in its account of a Series A guide, puts the issue plainly: “Valuations are often simply the output of the other two parts of the equation—cash raised and dilution. Most massive valuation rounds also come with massive funding amounts. How much cash do you really need?” Treat the amount raised and the dilution it creates as part of the valuation decision, not as separate facts.

Confirm the original Carta publication and cohort definitions before using its medians in a high-stakes comparison, and consult the underlying NVCA yearbook for the burn-multiple context. The available benchmarks do not establish a universal AI startup valuation multiple or a threshold that makes a company fairly valued.
What should your investment memo conclude?
Write the conclusion as a range and a decision condition, not a single impressive number. A useful memo should contain:
- The security, valuation date, pre-money or post-money basis, amount raised, and fully diluted ownership.
- A revenue bridge from recognized revenue to recurring commitments, usage, services, pilots, and pipeline.
- Customer concentration, renewal, retention, and expansion evidence, with unresolved requests listed.
- A cost-to-serve model that includes inference, cloud, human review, support, deployment, integration, and infrastructure commitments relevant to the business.
- The specific defensibility claims, evidence supporting each, and key substitution or dependency risks.
- Base, downside, and (where justified) upside valuation cases with assumptions and the location of each risk.
- Exit-proceeds and dilution outcomes under the proposed rights and plausible future financing.
- A list of diligence conditions that would change the range or make the investment unacceptable.
Set a walk-away condition before negotiations begin. If management will not provide enough information to reconcile revenue, ownership, costs, or rights, the uncertainty is itself material: you may be unable to determine what you are buying or whether the quoted price is attractive.

No. The $4.5 million round, $23.9 million post-money valuation, and 19.4% dilution are Q2 2026 observations from Carta’s platform cohort. They are useful conversation context only; cohort definitions, geography, security terms, and the company’s economics can make a direct comparison misleading.
What if the company will not provide a fully diluted capitalization table?
You cannot reliably calculate ownership, dilution, or exit proceeds without it. Treat the missing table and financing documents as an unresolved diligence condition and avoid converting the headline price into a personal return estimate.
How should I use a burn-multiple benchmark in an AI investment model?

Does a NIST AI Risk Management Framework review prove that an AI startup is compliant?
No. It is a voluntary framework for organizing risk questions. Compliance depends on the company’s products, data, customers, and jurisdictions, so the framework should supplement—not replace—legal, security, privacy, and technical diligence.
