Evaluate an AI coding startup as a software, data-rights, security and financing business—not as a compelling demo. A defensible go/no-go decision requires verified customer outcomes, reproducible tests on representative repositories, fully loaded unit economics, documented ownership of code and data, and financing terms that match the company’s risk. Treat every pitch-deck statement as a claim that needs an owner, source record, measurement method, period and downside implication. Keep verified evidence, assumptions and unresolved questions in separate sections of your decision file.
What should an investment decision prove?
Your decision should answer five questions with evidence: do customers receive measurable and repeatable value; does the product complete real coding work safely and correctly; can the company deliver at an acceptable margin without fragile dependencies; does it control the rights and security needed to operate; and can the team execute while preserving investor protections? A polished interface or impressive benchmark is not proof of durable demand.
Create an evidence ledger before management meetings. For each material claim, record the responsible executive, the underlying document or system of record, the test method, the period covered, the definition used, and what would happen if the claim proved wrong. Ask the founder to identify assumptions explicitly rather than blending projections with historical results.

- Verified evidence: signed contracts, invoices, product telemetry, test logs, security records and executed legal documents.
- Assumptions: forecast conversion, expected model prices, planned hires, target retention and other estimates that have not yet occurred.
- Open questions: missing permissions, unexplained metric changes, untested failure modes and dependencies without a fallback.
- Downside cases: the operational, financial and legal effect if a customer leaves, a model provider changes terms, costs rise or a security incident occurs.
Have the company date every export and explain definitions. “Active user,” “automated task,” “gross margin,” “annual recurring revenue” and “retention” can each produce materially different numbers.

How do I verify that customers have real, repeatable value?
Start with the workflow and economic buyer, then reconcile the reported traction to primary records. A demo proves that a scenario can be staged; it does not prove that a team relies on the product or renews it.
Map the customer problem
- Identify the user who writes or reviews code, the buyer who controls the budget and the business outcome each person owns.
- Document the old workflow, the exact product intervention and the measurable result—such as cycle time, escaped defects, deployment frequency or engineering capacity. Do not accept “productivity” without a defined baseline and measurement window.
- Ask what must change in repositories, permissions, CI pipelines and review practices before a customer can obtain the result.
- Determine whether usage is occasional experimentation or embedded in a recurring process. Review frequency, seats, repositories, task volume and the percentage of accounts active after onboarding.
Reconcile reported revenue and usage
For each material account, match the company’s customer list and ARR or usage report to signed order forms, invoices, payment receipts and product telemetry. Investigate credits, free periods, pilot conversions, one-time services and contracts that can be cancelled without notice. Compare contracted seats or consumption with actual activity.
Request renewal, expansion and contraction by cohort. Calculate customer concentration by both revenue and usage: the loss of one design partner can look harmless in a logo count while removing most paid consumption. Obtain permission for reference calls with a mix of large, small, renewed and churned customers. Ask references what they stopped doing, what still requires human work and why they would or would not renew.
Questions for the founder
- Which customer outcome has been measured against a documented baseline, by whom and over what period?
- What share of revenue is from repeatable subscriptions versus pilots, services or credits?
- How many customers renewed on their original terms, expanded seats or usage, downgraded, or churned?
- What percentage of billed tasks are actually run, completed and accepted by users?
- Which account represents the largest share of ARR, gross profit and model-token volume?
How should I test an AI coding product on real work?
Run a controlled evaluation on representative repositories and deployment-like conditions. Measure not only whether a task appears complete, but whether the change is correct, secure, maintainable and reproducible.
Build the test set
- Select repositories that reflect the target customers’ languages, frameworks, build systems, test coverage and dependency patterns. Include new features, bug fixes, refactors, migrations, documentation and security fixes.
- Define acceptance tests and a human-review rubric before running the product. Freeze the prompts, repository snapshot, tool permissions, model version, temperature or equivalent settings, time limits and retry policy.
- Run the same tasks through the startup and a credible baseline, such as the existing human workflow or another approved tool. Preserve the complete test set and all outputs so later releases can be checked for regressions.
- Repeat a sample of tasks to measure variance. A result that appears once but cannot be reproduced is a reliability risk.
Record task-level outcomes
| Measure | What to capture |
|---|---|
| Success and correctness | Tests passed, reviewer acceptance, functional defects, security defects and whether the requested scope was met. |
| Regression risk | Unrelated tests broken, API or schema changes, performance changes and rollback effort. |
| Human intervention | Prompts rewritten, files manually edited, approvals required, escalations and minutes of expert review. |
| Operational behavior | Latency, timeouts, tool errors, rate-limit events, context failures and recovery steps. |
| Reproducibility | Variation across repeated runs, model or prompt changes and the proportion of tasks that can be rerun successfully. |
Ask for the percentage of tasks completed without human intervention and the exact denominator. “Autonomous” may mean code generation only, while a customer may require planning, implementation, testing, review and deployment. Separate each stage. Inspect difficult failures, not only averages: prompt injection through repository content, unsafe shell commands, secrets exposure, hallucinated APIs, license violations and changes that pass weak tests.

What architecture and dependency risks matter most?
Draw the complete request path: user prompt and code context, retrieval, orchestration, model providers, tools, cloud infrastructure and monitoring. For every component, identify the contract, region, service-level commitments, data use, price formula, rate limits and replacement time.
Test concentration and change risk
- Determine how much inference depends on one model provider, one cloud, one vector database or one specialized tool.
- Review provider rights to retain prompts, code, outputs and telemetry; confirm whether enterprise settings differ from default terms.
- Model a sudden price increase, context-window reduction, deprecation or quality regression. Ask whether the startup can switch models without retraining customers or rewriting orchestration.
- Check reserved cloud capacity, minimum-spend commitments, accelerator availability and support escalation. A forecast that assumes unlimited low-cost compute is not a plan.
- Inventory open-source components, licenses and obligations triggered by distribution, hosted service or model fine-tuning.
A durable moat must survive a competitor obtaining access to the same foundation model. Look for proprietary workflow integration, trusted evaluation data obtained with permission, switching costs created by repository history or automation, distribution advantages and operational know-how that are difficult to copy.

Require a rights map covering source code, training and retrieval data, prompts, model weights, generated outputs and evaluation sets. For each item, record owner, license or consent, permitted uses, geographic limits, retention period and deletion process.
Review corporate and employment records
- Confirm signed invention-assignment and confidentiality agreements for employees, founders, contractors and advisers, including people who left.
- Trace third-party code and datasets to their licenses and notices. Check whether an obligation to disclose source, offer reciprocal rights or restrict commercial use applies.
- Verify that customers have granted permission for repository access, training, retrieval, telemetry and support review. A contract allowing service delivery may not allow model training.
- Review vendor representations, warranties, indemnities, exclusions and liability caps. Determine who bears the cost of an infringement or data-use claim.
- Compare privacy statements, product settings and actual data flows. Confirm storage location, subprocessors, cross-border transfers, deletion and backup retention.
Ask for a sample data-flow diagram and evidence that deletion requests propagate through caches, indexes, logs, backups and fine-tuned artifacts. If ownership is disputed or undocumented, treat the affected feature or dataset as unavailable in your base case until cured.
What security, privacy and responsible-AI evidence should I demand?
Assess controls against the actual product, users, data and jurisdictions rather than accepting a generic security slide. A coding agent can read proprietary source, execute tools and alter production-bound artifacts, so its permissions and audit trail require special scrutiny.

How do I rebuild unit economics and capital needs?
Recalculate gross and contribution margin from the workload delivered, not from software revenue minus a single cloud line. Include inference, retrieval, storage, observability, support, human review, payment fees and other variable delivery costs.
Use workload-based economics
| Cost or metric | Diligence treatment |
|---|---|
| Inference | Token or compute use by task, model, retries and context; model both current and stressed provider prices. |
| Retrieval and storage | Embedding, vector search, repository synchronization, artifact storage, backups and egress. |
| Human review and support | Safety escalations, onboarding, implementation, customer success and per-account support time. |
| Revenue quality | Contracted recurring revenue separated from pilots, services, credits, discounts and usage that may not repeat. |
| Capital needs | Cloud commitments, hiring plan, security and compliance work, working capital and cash runway under base and downside cases. |
Calculate cohorts separately for self-serve, sales-assisted and enterprise motions. For each, inspect acquisition channel, conversion, payback, gross retention, net retention, expansion, support burden and sales-cycle length. Sensitize token volume, model prices, customer mix, utilization and renewal. A customer can be profitable at one workload and loss-making at another, so report margin by segment and task type.
What should I examine about the team, governance and financing?
Interview founders and technical leaders about systems they have shipped, tradeoffs they rejected and failures they have corrected. Compare roadmap promises with delivered milestones, release quality and hiring capacity. Candor about limitations is more informative than certainty.
Corporate and investor protections
- Verify the cap table, option-pool treatment, dilution from outstanding instruments, debt, liquidation preferences, participation rights and any side letters.
- Review board composition, observer rights, reserved matters, information rights and the process for approving related-party transactions.
- Confirm ownership of critical technical and customer knowledge, succession plans and hiring requirements for security, evaluation, privacy and infrastructure.
- Reconcile use of proceeds with the milestone plan: product reliability, customer growth, compliance, compute capacity and runway.
- Model financing scenarios if growth slows, a provider fails or gross margin remains below plan.
Assign a named owner for model evaluation, privacy, security, incident response, customer complaints and regulatory monitoring before closing. Undefined ownership becomes an execution and governance risk as the company scales.

How should I compare two or more AI coding startups?
Use one scorecard with identical definitions and time windows. Do not award points for presentation quality, celebrity customers without verified outcomes or a benchmark that does not match the target workflow.
| Dimension | Evidence to compare |
|---|---|
| Customer value | Verified outcomes, renewal, expansion, concentration and repeat usage. |
| Product performance | Task success, correctness, failure rates, regressions, latency, intervention and reproducibility. |
| Economics | Inference-inclusive gross and contribution margin, retention, acquisition payback and capital intensity. |
| Defensibility | Proprietary workflow, data rights, switching costs, distribution and operational advantage. |
| Dependency risk | Model, data, cloud and tool concentration, terms exposure and tested fallback options. |
| Rights and readiness | IP ownership, privacy, security controls, incident response and regulatory coverage. |
| Execution and terms | Milestone delivery, leadership depth, governance, dilution, preferences and runway. |
Set a minimum evidence threshold for each critical dimension. A startup with exceptional product scores but unresolved code ownership should remain “not investable yet,” not receive an offsetting average score. Record confidence beside each score and explain what evidence would change it.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What red flags should stop or pause an investment?
- Revenue cannot be reconciled to contracts, invoices, payments and telemetry, or pilots are presented as recurring ARR.
- Customer concentration, churn or expansion is omitted, redefined between periods or supported only by founder-selected references.
- Product results come from curated examples, omit a baseline, lack acceptance criteria or cannot be reproduced.
- “Autonomous” completion excludes review, testing, escalation or manual edits without disclosing the denominator.
- One model or cloud provider supplies most capability and there is no tested fallback, contractual protection or migration plan.
- Employees or contractors lack invention assignments; training data, repository access or generated-output rights are unclear.
- Prompts and source code are retained or used for training contrary to customer expectations, or deletion cannot be demonstrated.
- Security claims rely on a logo or future certification while access, sandboxing, logging and incident ownership are undefined.
- Gross margin excludes human review, retrieval, support, retries, storage or committed cloud spend.
- The cap table, liquidation preferences, debt, option pool or use of proceeds is incomplete or inconsistent across documents.
Pause the process when a red flag affects legality, customer trust, safety or the ability to deliver the product. Set a written cure condition, owner and deadline; do not convert an unresolved issue into a soft assumption.
How do I monitor risk after investing?
Due diligence is a baseline, not a one-time approval. The HLC describes its purpose as testing an investor’s expectations while identifying risks. Turn the evidence ledger into recurring reporting and trigger-based review.
Define trigger events
- Material model-provider, cloud, retrieval or tool change; price increase; deprecation; outage or quality regression.
- Loss, downgrade or non-renewal of a major customer, or a material shift in customer concentration.
- Security incident, suspected prompt injection, vulnerability disclosure, breach notification or cyber-insurance change.
- New data use, changed retention, disputed license, employee departure affecting critical knowledge or discovery of an ownership gap.
- Regulatory development affecting customer data, automated coding decisions, cross-border transfers or model obligations.
- Gross-margin deterioration, token-volume surge, cash runway falling below the board’s threshold or a financing round on materially different terms.
At each review, rerun a fixed regression suite, update cohort and workload economics, verify access and incident metrics, and compare delivered milestones with the approved plan. Preserve the same definitions so a change reflects the business rather than a reporting trick.

How does the market context affect valuation judgment?
The market is expanding rapidly but remains early-stage, so market growth should inform opportunity sizing, not substitute for company evidence. The OECD reported USD 47.4 billion of global venture investment in artificial intelligence in 2024 and USD 109.3 billion in 2025; the 2025 amount represented more than 42% of all AI venture investment. The UK Department for Science, Innovation and Technology’s 2024 sector study found that more than half of dedicated AI companies identified that year were seed stage, while the venture- and growth-stage share rose from 37% in 2023 to 39% in 2024.
Those figures describe capital flows and company age, not the quality, traction or valuation of an individual coding startup. Apply the same evidence standard in a crowded market as in a quiet one. The OECD’s responsible-business guidance emphasizes practical implementation of its responsible-conduct and AI principles; use that orientation to connect governance controls to real product and customer risks rather than treating principles as marketing language.
Frequently Asked Questions
What documents should an AI coding startup provide first?
Request the current cap table, customer and revenue schedule, cohort report, major contracts, architecture and data-flow diagrams, model and cloud agreements, IP assignment records, security policies, incident log, product evaluation protocol and latest cash forecast. Ask for exports with definitions and dates so figures can be reconciled rather than copied from slides.
Recommended Free Tools
How large should a coding-product evaluation test set be?
There is no universal task count that makes a result valid. Make it large and varied enough to cover the customer’s languages, repositories, task types and failure modes, then repeat a subset to measure variance; preserve the exact set for regression testing after model or product changes.
Can an AI coding startup have a moat if it uses a public foundation model?
Yes, but the moat must come from assets and workflows that remain difficult to copy when competitors can access the same model. Evidence may include permissioned evaluation data, deep repository and CI integration, trusted safety controls, switching costs, distribution or operating know-how; model access alone is not defensibility.
How should I treat a pilot customer in ARR calculations?
Separate pilots, credits, paid proofs of concept and services from recurring contracts that have renewal obligations. Count a pilot as recurring revenue only when the executed agreement and billing terms support that definition, and show conversion and renewal rates for the pilot cohort.
What is the most important post-investment metric for an AI coding company?
Track a small dashboard rather than one headline number: accepted task success and intervention rate, workload-level contribution margin, cohort retention and expansion, provider concentration, security incidents and cash runway. Review the same definitions on a fixed cadence and investigate trigger events immediately.
