Start with the company’s latest annual Form 10-K and its more recent Form 10-Q, using the SEC’s EDGAR database to find the filings. Understand what the business does, read its disclosed risks, connect its operating and financial results to management’s explanation, and decide whether the possible downside fits your time horizon and portfolio. AI can help organize that work, but it cannot replace checking important claims against the underlying documents or decide whether a stock suits your circumstances.

What does it mean to evaluate a stock?

Evaluating a stock means assessing both the company behind it and the investment decision you would make at the price available to you. A company can have a business you understand and still be an unsuitable investment for your goals, time horizon, ability to bear losses, or existing portfolio exposure.

The process here is a repeatable way to gather and question evidence—not a stock pick or a formula for predicting a share price. SEC filings can help you understand a public company, its risks, and its reported performance. They do not tell you that its stock is attractive or guarantee that an investment will succeed.

Where should I start my stock research?

For a U.S. public company, begin with its latest Form 10-K and then check for a newer Form 10-Q. Investor.gov describes these reports as sources of information about a company’s business, risks, and operating and financial results. EDGAR is the SEC database where you can locate public-company filings.

  1. Find the issuer’s filings in EDGAR. Confirm that the filing belongs to the company you mean to research, including its legal name and ticker where shown.
  2. Open the latest annual report, Form 10-K. Use it to build a basic picture of the business, its markets, risks, and reported results.
  3. Look for a subsequent quarterly report, Form 10-Q. Read it to see what the company has reported since the annual filing and whether circumstances have changed.
  4. Keep track of the filing dates. When you write down a figure or claim, note which filing it came from so you can distinguish newer information from older disclosures.
  5. Keep the prior annual filing available. Comparing earlier language can show whether a risk, business condition, or explanation has changed, although a wording change alone does not prove that the business has improved or deteriorated.

Use the official filing as your base record rather than relying on an isolated social-media post, message-board comment, promotional summary, or older article. The SEC makes public-company information available so investors can assess whether to buy, sell, or hold a security; the existence of a filing is not an endorsement of the company or its shares.

What documents and notes should I keep?

A simple research file can prevent dates and claims from becoming mixed together. Save the links or identifying details for the latest 10-K, the most recent 10-Q, and any earlier filing you use for comparison. Next to each important statement, record the filing type, filing date, reporting period, and section. This is especially useful when an annual report and a later quarterly report describe the same issue differently.

Separate what the company reports from your interpretation. For example, one note might state the reported result and period; another might state management’s explanation; a third might identify an unresolved question. Keeping those categories distinct makes it harder for a plausible inference to be mistaken for a disclosed fact.

How do I understand what the company actually does?

Start with the business description in the filing. Identify the company’s principal products or services, the markets it serves, and the competitors and operating conditions it discusses. The goal is to explain the business clearly in your own words before deciding whether its prospects make sense to you.

  • What does the company sell, and who are its customers?
  • Which markets or operating conditions does the filing identify as important?
  • What competitors or alternatives does the company discuss?
  • Which parts of the business appear sensitive to broader economic or sector conditions?
  • Can you explain, in plain language, how the company’s business works?

Try writing a short description without using unexplained financial jargon. Include what creates revenue and what conditions could interrupt it. Then check that description against the filing’s later discussion of risks and results. If your explanation does not fit those sections, go back and resolve the discrepancy.

If the company’s own disclosures do not let you form a clear explanation, treat that as an unresolved research question. Do not replace missing understanding with a confident-sounding summary from a third party or an AI tool. Not being able to explain the business is itself a reason to pause rather than a reason to assume the missing details are favorable.

How should I read the company’s risk disclosures?

Read the Risk Factors section and identify which risks are general to the economy or sector and which are specific to this company. When useful, compare the current disclosure with the prior annual or quarterly filing to see how the company’s wording or emphasis has changed.

Risk factors describe exposures; they do not establish that a risk will happen or fully quantify its future effect. A list of risks is therefore not a forecast. For each important item, record what the company says could happen, what part of the business could be affected, and what remains uncertain about the likelihood or impact.

  • Company-specific risks: exposures tied to this issuer or its business, as described in its filings.
  • Broader risks: economic, market, or sector conditions that could affect multiple companies.
  • Changes in disclosure: differences from earlier filings that may merit closer attention, without assuming that a wording change alone proves a problem.

Use the risk list to form questions, not to count paragraphs or rank a company by the number of warnings it includes. A broad risk can affect many issuers, while a seemingly narrow risk can matter greatly if it touches an important product, market, or operating condition. The filing may identify an exposure without giving you enough information to calculate its eventual effect; mark that uncertainty explicitly.

How do I connect financial results to the business?

Look at the company’s reported operating and financial results over time, then ask what explains the changes. Read management’s discussion of performance alongside the figures and risk disclosures. The useful question is not just whether a number rose or fell, but whether the company’s explanation is consistent with what it reports elsewhere.

  1. Note the reported results. Keep the period and filing date with each figure you use.
  2. Read management’s explanation. Identify the factors the company says drove the results, including conditions it describes as temporary or continuing.
  3. Compare the explanation with the disclosures. Check whether the described drivers fit the business and risks the filing presents.
  4. Compare periods carefully. Make sure you know whether a figure is quarterly, year-to-date, or annual and whether you are comparing like periods.
  5. Write down unanswered questions. A point that the filing does not resolve should remain uncertain rather than being filled in with an assumption.

Read the numbers in context. A change in reported results may reflect an operating condition, a market change, or another factor the company describes. Your task at this stage is to understand the company’s account and test it for consistency, not to convert one figure into a prediction.

No single metric, by itself, proves that a stock is cheap, safe, or likely to rise. The SEC materials covered here do not provide a universal valuation threshold, and a filing review cannot eliminate the possibility of loss. If you cannot connect a result to the company’s explanation and disclosed conditions, leave the interpretation open.

How can I check claims from news, posts, or company announcements?

Treat claims outside the filings as leads to investigate, not as a complete basis for an investment decision. Investor.gov cautions against relying solely on unsolicited emails, message-board posts, or company news releases. When a claim could affect your view, look for confirmation in the company’s filings or another reliable primary record.

  • Identify the specific claim, figure, or event.
  • Find the primary record that is supposed to support it.
  • Check that the record concerns the same company and the relevant period.
  • Distinguish what the source actually states from what a commentator or tool infers.
  • Check whether a later filing changes or qualifies the earlier statement.

If you cannot verify a material claim, leave it unresolved. Confidence, repetition, or a precise-looking number is not a substitute for evidence. A company news release can provide a lead, but it should not be your only record for a conclusion that could change your decision.

How do I decide whether the stock fits my portfolio?

Consider the stock in the context of your own circumstances, not just the company’s prospects. Think about when you may need the money, your willingness and ability to withstand losses, and how much exposure you already have to the company or its sector.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Time horizon: Would a decline or a long period of uncertainty matter before you expect to use the money?
  • Capacity and tolerance for loss: Is the amount you could lose consistent with both your finances and your comfort with risk?
  • Existing exposure: Do you already hold this company or other investments exposed to the same sector?
  • Diversification: Would this purchase increase concentration in one company or area of the market?

Investor.gov describes diversification across holdings and sectors as a way to reduce concentration risk. Funds can own many investments, but a narrowly focused fund may not provide broad diversification. Check actual holdings and sector exposure rather than assuming that a fund’s label tells you how diversified it is. A fund and an individual stock therefore involve different kinds of exposure: a single stock concentrates company-specific outcomes, while a broadly spread fund can distribute exposure across companies, subject to its actual holdings.

Stocks carry uncertainty: company-specific or external developments can affect their prices, and investors can lose money. As a broad historical illustration—not a forecast for any particular company or year—the SEC’s Investor.gov says large-company stocks as a group have lost money on average about one out of every three years. The page does not state a publication year for that statistic. That observation does not estimate the chance of loss for the company you are considering.

What should I write down before deciding?

Make a brief record of your reasoning before acting. This makes it easier to distinguish the evidence you checked from assumptions you are making and to notice what could change your view. It is a practical way to organize due diligence, not a tested formula or promise of performance.

  • Why the investment might work: the business facts and reported results that support your view.
  • Main risks: the company-specific and broader exposures that could weaken it.
  • Evidence that would change your mind: the facts or disclosures you would need to reassess.
  • Portfolio fit: how the possible position relates to your time horizon, loss tolerance, and existing holdings.
  • Unresolved questions: information you could not confirm or that the disclosures do not settle.
  • Source dates: the filing date and reporting period for each material fact.

Investor.gov’s investor-education material puts the principle plainly: “Research is a part of an investor’s due diligence.” The work is to understand what the available evidence supports—and where it stops. Revisit the notes when a new 10-Q or 10-K appears, or when a material claim prompts you to check the filings again.

What changes if I use AI?

The underlying research process stays the same: use current primary disclosures, assess the business and risks, and decide whether the investment fits your circumstances. AI can be an organizer for that work, but SEC guidance warns that automated investment tools may rely on incorrect assumptions, consider a limited set of investments, and produce results shaped by the questions and information supplied. The SEC alert is general guidance; it does not establish that a particular current generative-AI system can value stocks reliably.

Approach Useful role What you still need to check
Without AI Read the filings directly, take notes on the business, risks, results, and open questions. Confirm important claims and figures in the source documents and keep their dates with them.
With AI Ask it to organize filing sections, explain terminology, summarize text you provide, or suggest questions to investigate. Verify each material figure, date, quotation, and company claim against the cited filing; check assumptions and missing context yourself.

Compare the two approaches on four practical tests: whether claims can be traced to primary filings, how much company context is covered, whether assumptions and missing information are surfaced, and whether you independently check dates, figures, and risks. AI may save time organizing text, while direct reading keeps the wording and qualifications in view. Neither approach removes the need for judgment.

How to use AI without outsourcing the decision

  1. Give it a bounded task. For example, ask it to summarize a filing section you provide, extract the company’s stated risks, explain a term, or list questions raised by a disclosure.
  2. Ask for traceable support. Request the filing name, date, reporting period, and section behind each material claim.
  3. Open the source yourself. Confirm that the cited record exists and says what the summary claims it says.
  4. Check the limits of the answer. Look for unsupported numbers, confident forecasts, missing risks, or conclusions that assume facts about your circumstances.
  5. Compare with the latest filing. Make sure the answer did not rely on an older annual report when a newer quarterly report is available.
  6. Make your own portfolio decision. Do not treat an AI-generated answer as a buy instruction.

A tool’s answer depends in part on the question asked and the information supplied. If those inputs leave out a risk, a newer filing, or relevant personal circumstances, a polished response can still be incomplete. Ask the tool to identify what it does not know, but treat its response as a prompt for checking, not proof that the gap is harmless. Treat an unverified claim as unresolved until you check it independently.

What are the most common mistakes?

  • Starting with a recommendation instead of the filing: a post or promotional summary can omit qualifications that matter.
  • Using an old report: a later 10-Q may contain newer results or risks.
  • Reading risk factors as predictions: disclosures identify exposures but do not say that every risk will occur.
  • Overreading one number: no isolated metric establishes value, safety, or a future return.
  • Confusing repetition with confirmation: many posts can repeat the same unsupported claim.
  • Ignoring portfolio concentration: a reasonable company analysis does not account for your existing holdings unless you do that separately.
  • Assuming a fund is diversified from its name: inspect the actual holdings and sector spread.
  • Accepting an AI answer without checking inputs: incomplete documents or a narrow question can produce an incomplete conclusion.

These mistakes have the same remedy: return to the current primary disclosure, identify what is known and unknown, and connect the stock to your own time horizon and ability to bear losses.

What can this process tell me—and what can’t it?

A filing-based review can help you understand a company’s disclosed business, risks, operating and financial results, and management’s explanation of those results. It can also help you identify assumptions and questions to investigate before deciding. A written record makes your reasoning auditable to you: you can see which claims came from a filing, which were interpretations, and which remain unanswered.

Further questions readers often ask

If a company has a 10-K and a 10-Q, should I read both? Yes. Use the 10-K for the fuller annual description and the subsequent 10-Q for newer reported information. The later filing does not make the annual report irrelevant; use the dates and periods to understand what changed.

What if the filing and a news story appear to conflict? Identify the exact statements and periods, then check the primary records and later filings. Do not resolve a material conflict by choosing the more confident-sounding account.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

How often should I repeat the process? Recheck the latest filings when you are considering a purchase and when a new report or material event could change your view. The process does not prescribe a trading schedule or guarantee that frequent checking improves returns.

Is an investing book required? No. Investor.gov notes that how-to investing books discuss general rules of thumb, while investment choices depend on personal goals and circumstances. A book can be an educational aid, but it does not replace current filings or your own portfolio assessment.

Frequently Asked Questions

Does filing a 10-K mean the SEC has approved the company or its stock?

No. A 10-K is a company disclosure that investors can use as part of due diligence; its presence in the SEC’s filing system is not an SEC endorsement or a signal to buy.

Can I use this SEC-based process for a company listed outside the United States?

This guide relies on U.S. SEC and Investor.gov materials and is most directly applicable to U.S. public-company filings. It does not specify which filings or regulator records apply to a company in another jurisdiction, so confirm the appropriate official disclosure system for that issuer.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

How should I evaluate a fund instead of an individual stock?

A fund’s holdings can spread exposure across companies, but a narrowly focused fund may still be concentrated. Review its actual holdings and sector exposure rather than relying on its name alone.

Is a 10-Q a replacement for the 10-K?

No. Use the 10-K for the annual business, risk, and results discussion, then use the newer 10-Q to check what has changed since that annual filing.

Can AI predict whether a stock will rise?

The SEC warning does not establish that a particular current AI system can value stocks reliably. AI output can depend on incorrect assumptions, limited investment choices, and the information supplied, so verify material claims and do not treat an answer as a buy instruction.

What should I do if I cannot explain the company’s business?

Treat that as an unresolved due-diligence question. Return to the company’s business description, products, markets, competitors, and operating conditions rather than filling the gap with a third-party or AI summary.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Does diversification prevent losses?

No. Investor.gov describes diversification as a way to reduce concentration risk, not eliminate investment risk. A fund can still be narrowly focused, and any stock can lose value.

What does the statistic about large-company stocks losing money mean?

Investor.gov gives it as a broad historical illustration that large-company stocks as a group have lost money on average about one out of every three years. It is not a prediction for a particular company, stock, or future year.

Should I rely on a company news release or message-board post?

Use it as a lead at most. Investor.gov cautions against relying solely on unsolicited emails, message-board posts, or company news releases; confirm material claims in filings or another reliable primary record.

The Bottom Line

Use the latest 10-K and 10-Q to understand the business, risks, and results; verify outside claims; then judge time horizon, loss tolerance, and concentration. AI can organize questions and filing text, but every material fact still needs a check against the dated primary document—and the final buy decision remains yours.
