Compare a potential AI IPO from its newest SEC registration statement or prospectus, not from its AI label, media coverage, or a headline valuation. Build a side-by-side record of the company’s customers, product, revenue quality, losses, cash needs, operating history, risks, dilution, use of proceeds, and offering terms. Then separate reported results from management forecasts and explain where the evidence is too limited for a firm conclusion. This approach helps you identify what is known, what is merely projected, and which differences make two companies hard to compare. It is an analytical framework, not a recommendation to buy or avoid any issuer.
What exactly are you comparing before an AI company goes public?
A potential IPO is an offering by a private or already-public company that is preparing to sell shares to the public. Before the sale, the company files a registration statement with the U.S. Securities and Exchange Commission (SEC), usually including a prospectus. The filing describes the business, financial statements, risks, ownership, planned use of proceeds, and proposed share terms.
Your comparison is therefore between disclosed businesses and offerings, not between marketing descriptions of artificial intelligence. Two companies can both call themselves AI companies while serving different buyers, recognizing revenue differently, carrying different infrastructure costs, or having very different amounts of operating history. Record those differences before trying to rank them.

How do I find and verify the latest registration statement?
Use the SEC’s EDGAR database to locate each issuer’s registration statement and prospectus. Confirm the legal issuer name, form type, filing date, and whether the document is preliminary or final. Check the filing history for amendments rather than relying on an older copy saved by a news site or an investor forum.
- Search EDGAR for the issuer’s legal name or Central Index Key.
- Open the newest registration statement or prospectus and note its filing date.
- Look for amended filings and read the newest version of every section you use.
- Save the period covered by the financial statements, the proposed offering size, and the share classes described.
- Mark information that is still absent, such as a final price or final share count in a preliminary filing.
A prospectus is the company’s disclosure document, not an independent endorsement. The SEC’s investor bulletin states: “The SEC’s declaration of effectiveness does not represent an approval of the merits of the IPO or an indication that the information disclosed is complete or accurate.”
What should a side-by-side comparison worksheet contain?
Use identical columns for every issuer, while preserving each company’s own fiscal periods and accounting definitions. The following framework covers the disclosures most relevant to an AI IPO comparison.

| Comparison axis | Questions to answer from the filing | What to watch |
|---|---|---|
| Business and market | What does the company sell? Which customers and markets does it serve? Who are significant customers or suppliers? What alternatives compete for the same budget? | Broad AI-market claims without evidence of a specific product, buyer, or repeatable use case. |
| Revenue quality and trajectory | What are revenue and growth across comparable periods? Is revenue concentrated? What does management say explains the change? | Growth claims without a clear period or an explanation of customer concentration, consumption, renewals, or contract changes. |
| Costs, losses, and cash | What are losses, operating expenses, cash resources, and financing needs? Which milestones must be funded? | Continued losses or rising spending without evidence that revenue can cover costs, creating a possible need for further capital. |
| Commercial maturity | How long has the business operated at comparable scale? Are products deployed and commercialized? What data supports retention, repeat usage, or unit economics? | Early-stage economics or limited history that makes demand and forecasts difficult to evaluate. |
| Risk and execution | Which risks could materially affect operations, results, or the investment? How exposed is the business to technology, customer, supplier, market, financing, or execution changes? | Boilerplate summaries that hide company-specific dependencies. |
| Offering and ownership | What are the offering terms, use of proceeds, dilution, and the difference between the IPO price and existing holders’ cost or book value? | Treating a prominent valuation or AI label as a substitute for examining share count, dilution, and the cash the company actually receives. |
This is an analytical framework, not a validated score or an industry ranking. Explain when different business models or disclosure practices make a direct comparison weak.
How do I compare what each AI company actually sells?
Start with the product and the paying customer. Identify whether the issuer sells software subscriptions, usage-based services, model access, consulting, hardware, data, or a combination. Then identify who signs the contract, who uses the product, what budget pays for it, and what alternatives compete for that budget.
Map the customer and use case
- Separate named customers from broad categories such as “large enterprises” or “public-sector organizations.”
- Note whether revenue depends on a few customers, one industry, one geography, or one distribution partner.
- Record significant suppliers, including cloud, data, semiconductor, hosting, or model providers, when the filing identifies them.
- Describe the customer problem in operational terms: for example, automating a workflow, generating content, detecting fraud, or optimizing a physical process.
Test the competitive claim
Read the competition section and compare the alternatives the buyer could choose, including internal development, conventional software, human labor, or another vendor’s model. A claim that a company operates in a large AI market does not show that its specific product has a defensible position. Look for evidence such as deployments, renewals, contract duration, implementation requirements, switching costs, or measurable customer outcomes.
How should I evaluate revenue quality and growth?
Compare revenue for the same number of fiscal periods, then read management’s explanation for each material change. Growth is more informative when you can see its source, durability, and cost.
Make periods genuinely comparable
Write each issuer’s fiscal year-end and the exact periods used. A company with a March year-end may report a different economic period than one with a December year-end. Do not place a quarterly figure beside a full-year figure or compare a recently acquired business with an older stand-alone period without labeling the change.
Look beyond the headline percentage
- Record absolute revenue as well as the growth rate.
- Identify customer concentration and the effect of a large contract, renewal, termination, or consumption spike.
- Distinguish recurring subscriptions from one-time licenses, implementation work, professional services, and usage that can fall when customers reduce activity.
- Read deferred revenue, remaining performance obligations, bookings, or contracted backlog only when the filing defines the measure and explains how it converts to recognized revenue.
- Check whether acquisitions, foreign exchange, price changes, or accounting changes explain part of the increase.
Management may present non-GAAP or alternative operating measures. Keep those measures in a separate column from audited revenue and net income, and read the reconciliation and definition before using them.

How do losses, spending, and cash needs change the comparison?
An AI description does not establish profitability or a path to it. Compare gross margin, research and development, sales and marketing, general and administrative costs, operating loss, net loss, cash, cash equivalents, restricted cash, and financing obligations. Then connect spending to milestones the company says it must fund.
Read the income statement with the cash-flow statement
A non-cash expense can widen an accounting loss without an immediate cash payment, while capitalized costs or working-capital changes can make cash use differ from the reported loss. Examine operating cash flow, investing cash flow, financing cash flow, and the reconciliation of non-GAAP measures. Note debt maturities, credit facilities, lease commitments, purchase obligations, and any restrictions on cash.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsAsk how long the balance sheet can support the plan
Estimate the direction of cash use from the filing’s recent periods, but do not treat a simple annualized burn rate as a forecast. The company may be changing hiring, infrastructure capacity, pricing, or acquisition activity. Instead, identify the explicit financing needs, stated liquidity risks, and milestones that management says require additional capital.
A company-specific illustration
C3.ai, Inc.’s Form 10-K for the fiscal year ended April 30, 2026 reported net losses of $470.4 million for fiscal 2026, $288.7 million for fiscal 2025, and $279.7 million for fiscal 2024. It reported an accumulated deficit of $1.8 billion at April 30, 2026, and said it expected losses to continue for the foreseeable future while expressing uncertainty about whether or when it would achieve or maintain profitability. Those figures describe one issuer, not a typical AI company or a forecast for another IPO. Use the same method for each company you examine.
How can I judge an AI company’s commercial maturity?
Ask how long the company has operated at the scale it is now describing and whether its products are truly commercialized. A recently launched product may have impressive pilots but too little history to establish retention, repeat usage, support costs, or durable unit economics.
Separate stages of traction
- Research or prototype: technical demonstrations may exist without paying customers or production reliability.
- Pilot: a customer is testing the product, but scope, pricing, renewal, and support requirements may still change.
- Commercial deployment: the product is sold under a contract and used in a customer’s operations.
- Repeatable scale: multiple cohorts show renewals, expansion, predictable implementation, and acceptable contribution economics.
Look for the company’s definitions of customers, production deployments, annual recurring revenue, net retention, bookings, or usage. These labels are not interchangeable. A “customer” might be a paid enterprise, a free user, a pilot participant, or a channel partner, depending on the issuer’s definition.
An SEC filing by an AI-agent-focused issuer described limited operating history and early-stage economics as constraints on evaluating its prospects and forecasts. Treat that type of disclosure as a direct limitation on what can be inferred from current traction, not as proof that the business will fail.
How do I read AI-specific risks without getting lost in boilerplate?
Start with the risk factors that could change revenue, costs, liquidity, or ownership, then tie each risk to a disclosed dependency. A long list is not automatically more informative; the useful question is how a risk would affect this company’s numbers and execution.
Technology and model dependence
Identify dependence on third-party foundation models, cloud infrastructure, data licenses, chips, or specialized talent. Consider price increases, access restrictions, outages, model performance changes, intellectual-property disputes, and the cost of moving to an alternative provider. If the company develops its own models, examine the capital, compute, data, and personnel required to maintain them.

Customer and market dependence
Check whether a small number of customers generate a material share of revenue, whether sales cycles are long, and whether customers can delay deployment during budget pressure. Read the issuer’s discussion of regulation, privacy, cybersecurity, export controls, and sector-specific rules where those issues affect the product.

Compare hiring plans, sales capacity, implementation resources, service-level commitments, and the company’s ability to support a growing installed base. Rapid growth can increase support and infrastructure costs before a contract produces positive contribution economics.
Use the filing’s own evidence
Do not replace company-specific risks with generic fear about AI. Weigh each risk against revenue concentration, cash resources, margins, customer contracts, supplier arrangements, and the operating history disclosed elsewhere in the filing.
What should I examine in the offering terms, dilution, and use of proceeds?
The offering determines what new investors receive and what the company actually funds. Read the proposed number of shares, price range if available, share classes, voting rights, lockups, selling shareholders, and the number of shares outstanding after the transaction.
Calculate the economic effect of dilution
Compare your potential ownership with the fully diluted share count, including options, restricted stock, warrants, convertible securities, and other instruments disclosed by the issuer. A larger share count can reduce each share’s claim on future earnings even if the company raises more cash. Distinguish primary shares sold by the company from secondary shares sold by existing holders; only the primary portion, after expenses, provides new capital to the business.
Follow the proceeds
Record the stated allocation for research and development, infrastructure, sales, acquisitions, debt repayment, working capital, or general corporate purposes. General-purpose language gives management more flexibility and makes it harder to connect the IPO to a specific milestone. Compare the planned spending with the company’s recent cash use and obligations.
Do not confuse valuation with resources
A headline valuation is not the same as cash on the balance sheet, revenue, or enterprise value. Compare the proposed price with the number of shares, options, preferred conversion terms, and any existing-holder sale. Note that the IPO price may differ from the cost basis or book value of shares held by founders, employees, or earlier investors.
How do fiscal years, accounting choices, and reporting exemptions affect comparisons?
Flag differences before drawing conclusions. Issuers may use different fiscal calendars, revenue-recognition details, definitions for non-GAAP measures, or presentation choices. Emerging growth companies can provide less historical financial information and receive certain reporting accommodations, which can make their records less comparable with a larger issuer’s disclosures.
- Write the fiscal year-end beside every figure.
- Use the same currency and units, or state the conversion method and date when a conversion is necessary.
- Keep GAAP figures separate from adjusted figures.
- Read accounting-policy notes for revenue, stock compensation, leases, acquisitions, and impairment.
- Mark periods that include a major acquisition, divestiture, restructuring, or change in customer-contract terms.
- State when one issuer provides fewer years of audited results than another.
When a difference prevents a fair calculation, write “not comparable” and explain why rather than filling the gap with an estimate.

How do I separate reported facts from forecasts and AI capability claims?
Create two evidence columns: reported or contract-based information, and management expectations or forward-looking statements. Historical revenue, cash, losses, customer concentration, and share counts belong in the first column. Market size, expected growth, future margins, planned product performance, and a projected date for profitability belong in the second.
Test an AI capability claim against the operational evidence that would make it valuable: deployment count, usage, renewal, implementation time, accuracy or reliability measures defined by the issuer, support costs, and customer spending. A technical benchmark may not predict a customer’s willingness to pay. Likewise, a large total-addressable-market estimate does not show that this company can reach the market profitably.
Use the filing’s forward-looking-statement warnings and assumptions. If a forecast depends on rapid customer adoption, stable model costs, or continued access to data and cloud capacity, list those dependencies next to the forecast instead of presenting it as a likely outcome.
What does SEC review mean for an IPO investor?
SEC staff review focuses on whether the registration statement provides required disclosure and responds to comments. It is not a certification that the business model works, the valuation is fair, the forecasts will occur, or every statement is complete and accurate. Effectiveness permits the offering to proceed under the securities laws; it does not remove business or investment risk.
Because filings can change during review, revisit the latest amendment before relying on a risk factor, financial figure, share count, price range, or use-of-proceeds description. If a final prospectus differs from an earlier preliminary version, use the final terms in your comparison and retain the earlier version only to understand what changed.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What is a practical step-by-step process for comparing several potential AI IPOs?
- Define the comparison date. Write the date on your worksheet and use the newest available filing for every issuer. Record whether each document is preliminary, amended, or final.
- Capture the identity and scope. Note the legal issuer, fiscal year-end, share classes, reporting status, and the periods covered by audited and interim statements.
- Summarize the business. In a few precise lines, identify the product, paying customer, geography, industry, pricing model, major suppliers, and stated alternatives.
- Extract operating evidence. Record customer counts using the issuer’s definition, deployments, recurring or usage-based measures, concentration, retention information, backlog, and any limits on the data.
- Build the financial view. Enter revenue, growth, gross profit, operating expenses, operating loss, net loss, cash, debt, operating cash flow, and capital commitments for equivalent periods.
- Assess maturity. Mark whether the evidence comes from research, pilots, commercial deployments, or repeatable scale, and how long the company has operated at that level.
- Rank dependencies by consequence. Link technology, supplier, customer, regulatory, cybersecurity, talent, and financing risks to the line items or milestones they could affect.
- Model ownership. Enter primary and secondary shares, proposed price range, fully diluted shares, voting rights, lockups, options, warrants, and expected proceeds after expenses.
- Separate fact from expectation. Label each management forecast, market-size claim, and profitability target as forward-looking and list its assumptions.
- Write uncertainty explicitly. Identify missing history, non-comparable measures, unresolved amendments, and any conclusion that would change if the final terms differ.
Which common comparison mistakes should I avoid?
Using an old prospectus
Problem: an outdated document may show a different share count, price range, risk section, or financial period. Fix: check the filing history and use the newest amendment.
Comparing slogans instead of products
Problem: “AI platform” can describe unrelated businesses. Fix: name the buyer, workflow, contract type, and alternative in your worksheet.
Equating revenue growth with quality
Problem: one large contract or a temporary usage surge can inflate growth. Fix: inspect concentration, renewals, contract duration, and the explanation for the change.

Treating pilots as recurring demand
Problem: pilot revenue may not renew or may require heavy implementation work. Fix: separate pilots from paid production deployments and look for cohort or retention evidence.
Using a single score
Problem: a score hides whether a company is strong because of revenue, cash, a temporary contract, or a favorable accounting definition. Fix: keep the evidence visible and explain trade-offs in words.
Assuming SEC effectiveness is approval
Problem: effectiveness can be mistaken for a quality seal. Fix: treat it as a disclosure and legal-process milestone, then perform your own analysis.

How should the final comparison be written or presented?
Present one row per issuer and one column per evidence category, followed by a short narrative for the differences that matter most. State the filing date and periods beside each figure. Explain whether a conclusion is based on audited history, interim results, contracts, management guidance, or an assumption.
A useful conclusion does not name a universally “best” AI IPO. It identifies which company has stronger evidence for the specific question being asked, such as recurring demand, liquidity, customer diversity, or commercial maturity, and identifies the risks that could overturn that view. If the disclosures do not support a reliable comparison, say so and specify what additional filing, period, or operating evidence would be needed.
Frequently Asked Questions
Can I compare a private AI company with a public AI stock?
Only with care. A private company may disclose fewer audited periods, less information about customer concentration, and no public-market share price, so compare operating evidence and financial definitions while labeling the missing data. Its eventual prospectus may materially change the picture.
What if an issuer has no final IPO price yet?
Use the preliminary price range and share-count assumptions only as provisional terms. Recalculate ownership, proceeds, and valuation when the final prospectus states the price and shares sold, and do not present the preliminary figures as settled economics.
Should I rely on adjusted EBITDA or another non-GAAP measure?
Use it as a supplemental view, not a replacement for GAAP results or cash flow. Read the issuer’s definition and reconciliation, then check whether recurring adjustments, stock compensation, infrastructure costs, or acquisition expenses are material to the business.
How can I tell whether an AI customer metric is meaningful?
Read the definition, measurement period, and eligibility rules in the filing. Ask whether the metric counts paying production users, pilots, free accounts, seats, or usage events, and whether the issuer discloses retention or revenue associated with each group.
