Compare the business that remains after the divestiture, not the old company with a few figures removed. Recast historical and forecast results to the continuing-business perimeter, normalize operating earnings, select peers with comparable economics, calculate multiples with matching definitions and dates, and then explain why the subject belongs at a particular point in the peer range. Use discounted cash flow (DCF) or sum-of-the-parts (SOTP) analysis as a cross-check when the sale changes the capital structure or leaves materially different segments.

No responsible peer multiple can be recommended without a named company, industry, geography and valuation date. The method below shows how to build a defensible comparison and how to communicate the uncertainty that remains after the sale.

Why a divestiture changes the valuation question

A divestiture can change almost every input used in a comparable-company analysis. Reported revenue and EBITDA may still include the sold operation for part of the historical period. Corporate functions that were shared with the disposed business may need to be rebuilt as standalone costs. Transition-services agreements can temporarily suppress or inflate expenses. Sale proceeds can reduce debt or sit as cash, while a retained stake, pension liability or contingent payment can remain economically relevant.

The appropriate subject is therefore the continuing business at the chosen valuation date. Accounting presentation is an important starting point, but discontinued-operation classification does not automatically provide the exact operating perimeter needed for valuation. Review the transaction agreement, current filings, retained arrangements and obligations before calculating a multiple. SEC financial-reporting guidance on discontinued operations and carve-out statements is useful for understanding presentation, but it is not a complete valuation recipe.

1. Fix the perimeter and valuation date before collecting multiples

Write a one-sentence valuation definition

State exactly what is being valued, for example: “The equity and enterprise value of the continuing North American software segment immediately after the sale closed on 30 June 2026, excluding the disposed logistics unit but including the retained minority investment.” This sentence prevents later mixing of pre-sale and post-sale figures.

  • Valuation date: the date at which market prices, debt, cash and ownership are measured.
  • Transaction completion date: when control and economic exposure actually changed; it may differ from announcement or signing.
  • Disposed businesses and assets: list legal entities, products, facilities, intellectual property and working-capital balances transferred.
  • Retained interests: identify minority stakes, earn-outs, indemnities, licenses or supply commitments that remain.
  • Measurement period: choose last-twelve-month (LTM), latest fiscal year, or a specified forward year for both the subject and peers.

If the selected period straddles closing, disclose how many months belong to the sold and continuing operations. A post-close LTM may not exist; in that case, build a pro-forma period and label the estimates and assumptions.

Build a perimeter reconciliation

Create a schedule from reported consolidated results to continuing-business results. At minimum, show revenue, cost of sales, operating expenses, depreciation and amortization, EBITDA, net debt and cash for each period. Identify whether each line is retained, disposed, shared or uncertain. Keep an audit trail to the filing, transaction disclosure or management schedule supporting every allocation.

Do not assume that a segment note contains enough detail. Parent-level insurance, information technology, procurement, facilities, tax, treasury and executive costs may have been allocated historically and may not be representative after separation. Conversely, some costs described as “corporate” may remain unavoidable obligations of the continuing company.

2. Rebuild normalized earnings and cash flow

Use a visible bridge to continuing-business EBITDA

Start with the reported GAAP result and show each adjustment to the metric used in the multiple. A useful bridge is:

  1. Reported operating income or net income, with the starting GAAP line identified.
  2. Add back depreciation and amortization when calculating EBITDA.
  3. Remove earnings and costs attributable to the disposed operation for the chosen period.
  4. Add the recurring standalone costs that the parent previously provided or allocated incompletely.
  5. Remove only genuinely nonrecurring separation or transaction items, with an explanation of why they will not recur.
  6. Reflect continuing transition-services charges and the expected cost after those arrangements expire.
  7. Arrive at normalized continuing-business EBITDA, then reconcile it back to the reported GAAP measure.

The same logic applies to revenue, EBIT, operating cash flow and free cash flow if those metrics are used instead of EBITDA. A business with heavy capital requirements can look attractive on EV/EBITDA while producing little free cash flow; show maintenance capital expenditure and working-capital needs separately.

  • Was the cash actually paid, and will a similar payment be required during separation or remediation?
  • Does the cost arise from a recurring operating process, customer contract or regulatory requirement?
  • Would an independent owner incur the cost after the sale?
  • Is the adjustment already reflected in a peer’s EBITDA definition?
  • Does removing it improve comparability or merely make the subject appear more profitable?

SEC staff guidance warns that non-GAAP measures are not always consistent across companies. Reconcile any adjusted EBITDA used as a performance measure to GAAP net income and describe the nature and relationship of each adjustment to operations and strategy. Apply the same policy to peers; otherwise the subject’s “normalized” figure and a peer’s similarly named figure are not comparable.

Show uncertainty with scenarios

Standalone costs are often the largest post-divestiture unknown. Build at least a base, low and high case for costs such as information technology, finance, procurement, facilities and insurance when management has not yet demonstrated the run rate. Present the resulting EBITDA and valuation sensitivity rather than selecting one precise add-back. Keep transaction expenses, stranded costs and recurring costs in separate rows so a reader can see which uncertainty drives the result.

3. Select peers for comparable economics

A broad industry code is not enough. A defensible peer set has similar products or services, customers, end markets, geography, regulation, growth, margins, capital intensity, cyclicality, scale and risk. Explain both inclusion and exclusion decisions. A smaller company in the same niche may be more informative than a large conglomerate whose economics are dominated by unrelated segments.

Comparison axis Questions to answer Why it affects the multiple
Business similarity Do products, customers, end markets, geography, regulation and segment mix overlap? Different economics can make a sector label misleading.
Financial profile How do revenue growth, EBITDA growth, margins, scale and earnings quality compare? Higher growth or more durable margins can support a premium.
Risk and durability What are the cyclicality, customer concentration, competitive position and forecast risks? Greater uncertainty commonly warrants a discount.
Capital intensity What maintenance capital, working capital and research spending are required? EBITDA does not capture all cash demands.
Capital structure Are debt, cash, pensions, preferred securities, noncontrolling interests and retained stakes treated consistently? These items affect enterprise-to-equity value bridges.
Data quality Are the figures audited, estimated, LTM or forward, and are adjustments disclosed? Weak or mismatched data can create false precision.

Use a core set of genuinely comparable companies and a secondary set for context. Record the reason for every exclusion, such as a different regulatory regime, negative EBITDA, an acquisition that changed the business, or insufficient disclosure. Do not let one extreme outlier determine the conclusion; show the full range and a median or other clearly identified statistic.

4. Match enterprise value to the right operating metric

Define the numerator

Enterprise value (EV) represents the value of operations before allocating value between debt and equity. A commonly used bridge is:

EV = fully diluted equity value + debt + preferred stock + noncontrolling interests + other specified debt-like items − cash and cash equivalents − specified unconsolidated investments

The exact bridge depends on the analysis. State whether leases, pension deficits, restricted cash, investments, earn-outs or other contingent obligations are included. SEC-filed transaction analyses illustrate that these components can differ by deal and date; copy their methodology only when it fits the subject’s facts.

Match numerator and denominator

  • EV/EBITDA: pair enterprise value with normalized operating EBITDA for the same period.
  • EV/EBIT: use when depreciation and amortization reflect real economic consumption and are comparable.
  • EV/revenue: useful for early-stage or negative-EBITDA companies, but it ignores margin differences.
  • Price/earnings: pair equity value with earnings available to common shareholders; do not use it with an enterprise-level denominator.
  • Price/book or other equity multiples: consider only when accounting assets and the business model make the measure meaningful.

Do not mix an LTM subject EBITDA with a peer’s next-year estimate without labeling the mismatch and explaining why it is necessary. The cleanest comparison uses the same period convention, currency, fiscal-year definition and valuation date. If a peer’s fiscal year ends at a different time, disclose the effect of seasonality and any adjustment.

Handle negative or volatile earnings

EV/EBITDA is not informative when EBITDA is negative or temporarily distorted. Use revenue multiples, a DCF or another method only with explicit limitations. A high revenue multiple may simply reflect an unusually low current margin, while a low EBITDA multiple may reflect a temporary peak. Examine several years of margins, growth and cash conversion before selecting a denominator.

5. Account for sale proceeds, retained interests and the new capital structure

Separate operating value from equity value. After estimating EV, bridge to equity value using the debt and cash that exist at the valuation date. Include debt, cash, retained investments, noncontrolling interests, preferred securities, pension or other debt-like obligations and relevant contingent consideration when they are economically applicable.

Avoid double counting sale proceeds

Sale proceeds may reduce net debt or remain as cash. Count them once in the balance-sheet bridge, not again as an operating adjustment. If proceeds are subject to working-capital, indemnity or other post-closing adjustments, use the amount expected to be realizable rather than the headline price and disclose the uncertainty.

Value a retained stake separately

A retained interest in the disposed business is an asset, not EBITDA from the continuing company. Consider its ownership percentage, liquidity, restrictions, expected distributions and marketability. If it is consolidated for accounting purposes but economically separable, explain whether it belongs in EV, equity value or a separate SOTP line.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Include continuing obligations

Transition-services agreements, guarantees, environmental liabilities, litigation, pension deficits, lease commitments and indemnities can survive closing. Do not add them automatically to debt; determine whether they are already reflected in the forecast cash flows or require a separate valuation adjustment. Show the treatment so readers can see that an obligation was neither omitted nor counted twice.

6. Use DCF and sum-of-the-parts as cross-checks

Discounted cash flow

A DCF should use cash flows for the standalone company, including the rebuilt cost base, taxes, working capital, capital expenditure and the investment required to replace temporary transition services. The discount rate, terminal growth and forecast period should reflect the continuing company’s risk, not the pre-sale conglomerate’s historical mix. Present sensitivity to the largest assumptions; a DCF is a cross-check, not a license to hide uncertain forecasts behind a single point estimate.

Sum-of-the-parts

Use SOTP when remaining segments have materially different growth, margins, capital intensity or peer groups. Value each segment with the metric and comparables that fit it, then aggregate the segment EVs. Reconcile shared corporate costs, stranded costs, net debt, retained interests and other adjustments once at the parent level. SEC-filed valuation materials illustrate this approach with segment-specific comparable multiples, but the assumptions and dates in those filings are transaction-specific rather than universal benchmarks.

Trading comparables versus precedent transactions

Public-company trading multiples generally reflect minority market pricing and current liquidity. Precedent transactions can include control premiums, synergies, financing conditions and deal-specific terms. They answer different questions and should not be blended without explaining the distinction. Use each method as a separate indication of value, then reconcile why the post-divestiture subject might sit between or outside the observed ranges.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

7. Explain where the company belongs in the peer range

The result should be an explanation, not just an average. A premium may be supported by faster durable growth, higher margins, recurring revenue, stronger competitive position, lower concentration or more reliable forecasts. A discount may reflect smaller scale, cyclicality, customer or product concentration, heavy capital needs, execution risk, stranded costs or uncertainty about the standalone cost base.

Show a table with each peer’s valuation date, EV definition, period, operating metric, multiple and key adjustments. Then show the subject’s corresponding figures and the implied value at selected points in the peer distribution. Identify which assumptions move the subject from the lower to the upper end of the range. Do not present the peer median as a forecast or as intrinsic value; it describes how the market priced selected companies under particular conditions.

8. A repeatable workflow and review checklist

  1. Define scope: name the continuing legal entities, geography, valuation date, transaction close date and measurement period.
  2. Collect evidence: obtain current filings, transaction disclosures, segment notes, debt schedules and retained-interest terms.
  3. Build the perimeter bridge: separate disposed, retained, shared and uncertain activities for historical and forecast periods.
  4. Normalize earnings: reconcile to GAAP, replace missing standalone costs, test every add-back and model sensitivities.
  5. Screen peers: apply written business, financial, risk and capital-intensity criteria; document exclusions.
  6. Standardize data: use the same currency, fiscal period, LTM or forward convention and adjustment policy.
  7. Calculate EV: document fully diluted shares, debt, cash, preferred securities, noncontrolling interests and other bridge items.
  8. Apply multiples: match EV with EV-level metrics and equity value with equity-level metrics; flag negative or distorted denominators.
  9. Cross-check: perform DCF and, where appropriate, SOTP or precedent-transaction analysis.
  10. Communicate: present the range, premium or discount rationale, sensitivities and unresolved obligations without implying false precision.

Common failure modes and fixes

  • Using pre-sale consolidated EBITDA: rebuild results for the continuing perimeter instead.
  • Relying on a sector-average multiple: justify peers by economics and show the distribution.
  • Mixing EV and equity measures: pair each numerator with its matching denominator and disclose the bridge.
  • Accepting every management add-back: test recurrence, cash impact and independent-owner economics.
  • Ignoring stranded or standalone costs: model the post-close cost base and show scenarios.
  • Counting sale proceeds twice: include them once in cash or net debt and nowhere else.
  • Applying one multiple to unlike segments: use SOTP when segment economics and peers differ materially.
  • Treating an illustrative filing multiple as a benchmark: keep transaction-specific dates and assumptions attached to the example.
  • Reporting a precise value despite weak inputs: widen the range and identify the assumptions that drive it.

What a publication-quality comparison should contain

A reader should be able to reproduce the conclusion from the article’s schedules. Include the valuation definition, transaction and valuation dates, post-divestiture perimeter, historical and forecast bridges, standalone-cost assumptions, peer inclusion and exclusion rules, EV formula, metric period, adjustment policy, peer range, subject positioning, capital-structure bridge and DCF or SOTP cross-check. State clearly which figures are reported, estimated, pro forma or contingent.

For an unspecified company and industry, there is no broadly applicable named post-divestiture peer statistic. Company-specific multiples from SEC filings are dated illustrations, not current industry benchmarks. A defensible conclusion becomes possible only after naming the company, industry, geography and valuation date and gathering the corresponding market and filing data.
