Start with the company’s latest shareholding-pattern filing on the NSE or BSE website. On NSE, search the company name or symbol, choose the reporting period, and open the “Promoter & Promoter Group” section. Record the as-on date, shares held, percentage, submission date, revision date and broadcast time. Then check the exchange’s insider-trading disclosures and the company’s corporate announcements for the transaction that could explain a change. A higher promoter percentage alone is not proof that promoters bought shares.
What each source can—and cannot—tell you
Indian exchanges publish two different kinds of evidence. The periodic shareholding pattern is an ownership snapshot on a stated “as on” date. It tells you how many shares the promoter and promoter group held at that date, their percentage of the company, and the names or entities included in the consolidated category. It does not, by itself, identify every purchase or sale during the quarter.
Transaction disclosures answer a narrower question: whether a named promoter, promoter-group member or other insider reported a purchase, sale, transfer or another securities transaction on a particular date. These filings appear in the NSE or BSE insider-trading disclosure feed and in the company’s corporate announcements. Use both sources together: the transaction filing explains an event, while the next shareholding pattern shows the resulting position.

SEBI’s corporate-filings directory points investors to exchange shareholding patterns and identifies insider-trading disclosures under Regulation 7(2) of the SEBI (Prohibition of Insider Trading) Regulations, 2015. A filing can be revised, delayed relative to the trade date, or affected by a corporate action, so preserve the filing metadata rather than relying on a screen that displays only a percentage.

Step 1: Identify the exact listed security
Before downloading anything, confirm the security you are investigating.
- Use the company’s current NSE symbol or BSE scrip code, not only a familiar company name.
- Check whether the issuer has more than one listed security, such as equity shares and another listed class.
- Confirm that the filing belongs to the listed entity and the exchange on which you hold or follow the security.
- Note the reporting period and the “as on” date shown in the filing header.
Name changes, symbol changes and similarly named subsidiaries can otherwise produce a plausible-looking but incorrect result. Save the issuer name, symbol or scrip and security type in your notes before comparing ownership.
Step 2: Download the latest shareholding pattern
Finding the filing on NSE
- Open the NSE corporate-filings or shareholding-pattern area.
- Search by the company name or NSE symbol.
- Select the period you need and open the filing for the equity security.
- Go to the “Promoter & Promoter Group” section.
- Download the CSV when you want to calculate changes or preserve a machine-readable copy. NSE also provides an XBRL conversion option for filings where that option is available.
Keep the original downloaded file as well as any spreadsheet you create from it. The page may later show a revised filing, while your investigation may depend on what was submitted at a particular time.

- The “as on” date, which is the ownership date represented by the snapshot.
- The number of shares held by the promoter and promoter group.
- The promoter-group percentage of total shares.
- The submission date and, where displayed, the revision date.
- The exchange broadcast time or timestamp.
- The detailed promoter and promoter-group names or entities listed inside the consolidated category.
The consolidated “Promoter & Promoter Group” line is useful for a quick total, but it can hide movement between individual entities. Read the detailed rows when you need to know which promoter bought, sold, transferred or pledged shares.
Step 3: Build a meaningful period comparison
One quarter is rarely enough. Pull at least the immediately preceding filing and the filing for the same quarter one year earlier. The first comparison shows the recent movement; the year-over-year comparison helps distinguish a one-off change from a continuing trend.
For each filing, preserve the total promoter-group shares and percentage along with the total shares outstanding if the filing provides it. Calculate two separate changes:
- Share-count change: current promoter-group shares minus earlier promoter-group shares.
- Percentage-point change: current promoter-group percentage minus earlier promoter-group percentage.
Do not substitute a percentage change for a share-count change. If the company issues or cancels shares, the denominator changes. Promoters can show a higher percentage without buying, or a lower percentage without selling, simply because total shares changed.

How to read the result
An increase in both shares held and percentage is consistent with a purchase, allotment or transfer into the promoter group, but it is not conclusive until the transaction and corporate-action records are checked. A higher percentage with flat promoter shares points toward a reduction in the company’s total shares, such as a buyback or cancellation. A lower percentage with flat promoter shares can indicate dilution from a new issue. A lower share count generally requires a sale, transfer out, invocation or another disposition, but the disclosure trail determines which one.
When comparing two stocks, use the same axes for both: promoter-group percentage, absolute shares, percentage-point change, transaction type and date, pledge or encumbrance status, total-share changes, filing and revision dates, and whether a regulatory threshold was crossed.
Step 4: Find the transaction behind a change
Search insider-trading disclosures
Use the NSE or BSE insider-trading disclosure feed and search by the issuer and the named promoter or promoter-group entity. Also search the company’s corporate-announcements page. Look for the transaction date, quantity, security type and whether the filing describes a purchase, sale, transfer, allotment or another event.
Regulation 7(2) disclosures are transaction-level records. Match the name in the disclosure to the detailed name in the shareholding pattern; “promoter group” is a legal and reporting category, not necessarily a single person or holding company.
Match the dates and quantities
- Write down the reported transaction date, number of securities and class of security.
- Check whether the transaction was an equity-share trade, an allotment, a transfer, exercise of a right or another security event.
- Compare the transaction with the next periodic shareholding snapshot after settlement or allotment.
- Check for more than one disclosure by the same entity during the period; a net change can conceal several purchases and sales.
- Review any revised filing and use the revised figures when documenting the final position, while retaining the original timestamp in your audit trail.
A transaction disclosure and a shareholding pattern may not carry the same date. The disclosure records an event; the periodic filing records the resulting ownership at its reporting date. Allow for that timing difference before declaring that the two sources conflict.
Step 5: Check SAST threshold disclosures
For a substantial acquisition or disposal, inspect disclosures under the takeover regulations (SAST). NSE’s compliance calendar summarizes Regulation 29 as follows:
- An acquisition reaching 5% or more is reportable.
- For a holder already at or above 5%, a change exceeding 2% is reportable.
- The Regulation 29(3) disclosure is generally due within two working days.
These thresholds concern reportable holdings and changes, not a guarantee that every smaller promoter trade will appear in the same SAST filing. Use the insider-trading feed and corporate announcements for the transaction-level search, then use SAST records as an additional regulatory cross-check.

Threshold rules and filing mechanics can change. NSE describes the entries in its compliance calendar as indicative only. Confirm the current SEBI regulation and exchange instructions for the date and transaction you are analysing before relying on a deadline or threshold.
“The compliance requirements shown above are indicative only.” — National Stock Exchange of India compliance calendar, page updated 24 October 2025.
Step 6: Rule out non-trade explanations
A quarter-to-quarter ownership change is not automatically a promoter purchase. Review the issuer’s corporate actions and encumbrance disclosures before drawing a conclusion.
Capital changes
- Preferential issue or other allotment: shares issued directly to a promoter can increase promoter ownership without an exchange purchase.
- Rights or other issue: a promoter may receive or subscribe to new shares, changing both the numerator and denominator.
- Buyback or cancellation: total shares can fall, raising the promoter percentage while promoter shares remain unchanged.
- Split or consolidation: the number of shares changes mechanically; compare adjusted quantities and the security terms.
- Merger, demerger or restructuring: shares may be exchanged or reclassified, producing a new holding without an ordinary market trade.
NSE’s compliance calendar describes a shareholding-pattern filing within 10 days after a capital change of plus or minus 2%. Treat that as a filing requirement summarized by the exchange, not as proof that the event was a purchase.
Transfers and encumbrances
A promoter can transfer shares between related entities or accounts. The promoter-group total may remain steady even though one named entity’s holding changes. Conversely, a pledge, release or invocation can change the reported encumbered amount and may be accompanied by separate promoter-encumbrance disclosures without a conventional buy or sell order.

How to decide whether promoters actually bought shares
Use a classification rather than a single signal. Your conclusion should fit the strongest evidence available:
- Open-market purchase: a named promoter or promoter-group entity reports a purchase, the security and quantity match, and the later shareholding pattern shows the corresponding increase.
- Sale: a named holder reports a disposal and the subsequent snapshot shows a lower holding, after accounting for transfers and corporate actions.
- Allotment or issue: the increase is explained by a preferential, rights or other allotment rather than a market purchase.
- Transfer: ownership moves between promoter-group entities or accounts without necessarily changing the consolidated group total.
- Pledge or encumbrance event: the documents change the secured or encumbered status, with no evidence of a purchase.
- Unresolved: the percentage moved but the transaction, capital-action or encumbrance records do not reconcile the share-count change.
Use “unresolved” when evidence is incomplete. It is more accurate than calling every unexplained increase “promoter buying.”
A practical record-keeping template
For each period, keep one row in your own investigation log with these fields:
- Issuer, exchange, symbol or scrip and security type.
- Shareholding-pattern “as on” date.
- Promoter-group shares and percentage.
- Total shares outstanding, when shown.
- Submission date, revision date and broadcast time.
- Names of the individual promoters and entities included in the group.
- Transaction disclosure date, quantity, security type and stated transaction.
- SAST disclosure reference, if a 5% or more acquisition or a change exceeding 2% for an existing 5% holder applies.
- Capital-action details, including issue, buyback, split, merger or restructuring.
- Pledge or other encumbrance status.
- Your final classification and the source filing or announcement retained for it.
Store the downloaded CSV or filing document with its original filename and timestamp. If the exchange later revises the filing, add the revised version rather than overwriting the earlier record.

Using only a stock-screening website
Third-party screens can be useful for discovery, but the exchange filing is the primary evidence. A screen may omit a revision, consolidate names differently or display a stale quarter. Verify every material number against NSE or BSE and the company announcement.
Assuming a percentage rise proves buying
Check absolute shares and total shares first. Buybacks, cancellations and allotments can move the percentage without an open-market purchase.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteComparing the wrong periods
Quarterly filings have different “as on” dates. Compare like periods and write the date beside every number. A filing submitted later is not necessarily a later ownership date.

Ignoring revisions
Use the revised shareholding pattern for the final reported position, but retain the revision date and original submission time so another reader can reproduce your conclusion.
Missing promoter-group entity movements
The consolidated line can stay constant while shares move between a promoter, family trust and holding company. Read the detailed rows when the identity of the buyer or seller matters.
Treating a pledge as a sale
A pledge, release or invocation is an encumbrance event. It requires its own disclosure check and should not be described as an ordinary purchase or sale without supporting transaction evidence.

The 5%, more-than-2% and two-working-day figures are the thresholds summarized in NSE’s compliance calendar under the cited framework. Because the calendar itself says its requirements are indicative, verify the current SEBI text and exchange instructions for a live case.
Interpreting promoter activity responsibly
Promoter ownership is one data point, not a standalone investment signal. A purchase can reflect a capital commitment, a restructuring, an allotment or a transfer between related entities. A sale can reflect liquidity needs, a pledge invocation, dilution management or a change in control arrangements. The filing tells you what was reported; it does not establish the promoter’s motive or predict the share price.
For a defensible comparison of two Indian stocks, present the promoter percentage beside absolute shares, the percentage-point movement, total-share changes, transaction dates and types, pledge status, filing revisions and relevant SAST disclosures. That format lets a reader distinguish an actual purchase from dilution or a mechanical change in the denominator.
