To check whether a company’s promoters have pledged or otherwise encumbered their shares, reconcile three disclosures for the same quarter: the latest quarterly shareholding pattern, the NSE Corporate Filings Pledged Data record, and the company’s Regulation 31(1)/(2) filing. Then read the stated reason and secured-party details and compare the figures with earlier quarters.
A pledge is only one form of encumbrance. SEBI also includes liens and similar arrangements, so a shareholding pattern by itself may not show the complete picture.
What promoter pledge and encumbrance mean
A promoter pledge is a security interest over shares used to secure borrowing or another obligation. If the borrower defaults, the lender may be able to enforce the security under the applicable agreement and law.
“Encumbrance” is broader than “pledge.” SEBI interpretive material states: “The term ‘encumbrance’ shall include a pledge, lien or any such transaction, by whatever name called.” An arrangement can therefore be an encumbrance even when the filing does not use the word pledge.

SEBI’s explanation focuses on risk: encumbrances that create a risk that promoter shares could be appropriated or sold by a third party are required to be disclosed under the Takeover Regulations. The disclosure does not, by itself, prove that a default has occurred or that a sale is imminent. It tells you that a third party has rights or control that need to be assessed.
What you need before searching
Identify the exact listed entity
Find the company’s NSE symbol or BSE code before opening a filing. Similar names, renamed companies and different share classes can lead to the wrong record. SEBI’s corporate-filings directory can be used to reach the official exchange filing pages.
Fix the reporting period
Write down the quarter and the filing date before copying any number. NSE labels its encumbrance figures as being “as of the last quarter,” while an exchange page may be updated after the quarter has ended. A percentage without its reporting period cannot be compared reliably with another percentage.
Keep a working record
Save the downloaded document or document version, its filing date and the page or table where each figure appears. This matters when an issuer submits a corrected filing or an exchange dashboard changes its displayed totals.
Step-by-step: check the filings
1. Download the latest quarterly shareholding pattern
Open the company’s official NSE or BSE filing page and download the latest quarterly shareholding pattern. In the NSE table, locate the row labelled Promoter & Promoter Group (A). Also note Public (B) and any other category shown in the table.
Record at least:
- the quarter or reporting date;
- promoter and promoter-group shares;
- promoter and promoter-group ownership as a percentage of total share capital;
- total shares outstanding used for the percentage; and
- any separate rows for promoter-group entities or persons acting in concert.
This filing establishes the denominator and the size of the promoter holding. It generally does not provide every detail needed to determine which portion is pledged, liened or otherwise encumbered.

2. Open NSE Corporate Filings Pledged Data
Use the NSE Corporate Filings Pledged Data page and search for the company’s symbol. Capture the record for the relevant last quarter, not merely the dashboard total shown for all issuers.

The NSE record provides several related measures. Copy each one rather than relying on a single headline percentage:
- total promoter holding;
- shares encumbered as of the last quarter;
- percentage of promoter shares encumbered;
- percentage of total shares encumbered;
- number of pledged shares;
- total demat shares; and
- pledge-to-demat percentage.
“Percentage of promoter shares encumbered” answers how much of the promoters’ own holding is affected. “Percentage of total shares” answers how large the encumbered block is relative to the entire company. Those ratios can differ substantially when promoters own a large or small fraction of the company.
3. Open the Regulation 31(1)/(2) filing
Locate the issuer’s Regulation 31(1)/(2) filing for the same reporting period. These filings identify the promoter or person acting in concert, the reporting date, promoter holding and encumbered holding in both number and percentage of total share capital.
Use this filing to check the figures at the holder level. A group-level number on the NSE data page may conceal that one promoter entity carries most of the encumbrance while other promoters have none.

Record:
- the stated purpose or reason for the encumbrance;
- the name or type of secured party, if disclosed;
- whether the security is described as a pledge, lien or another arrangement;
- the number of shares affected; and
- the date on which the encumbrance was created, released, invoked or otherwise changed, if the filing provides it.
The existence of an encumbrance does not explain its purpose. A reason and counterparty help you distinguish, for example, financing security from an arrangement connected with another corporate obligation, but the filing is not a credit rating or a guarantee that enforcement cannot occur.
5. Repeat the check for earlier quarters
Download the same three types of filing for each earlier quarter that you want to compare. Keep the definitions and denominators consistent. A current percentage can fall because promoter holdings increased, because encumbered shares were released, or because the total share count changed; the raw share count is needed to tell these situations apart.
How to reconcile the three datasets
| Document or dataset | What to copy | What it answers |
|---|---|---|
| Quarterly shareholding pattern | Promoter & Promoter Group (A), Public (B), other categories, promoter shares, ownership percentage and reporting period | How many shares promoters hold and what denominator the ownership percentage uses |
| NSE Corporate Filings Pledged Data | Total promoter holding, encumbered shares, percentage of promoter holding, percentage of total shares, pledged shares, demat shares and pledge/demat percentage | How much of the promoter holding and total company is shown as encumbered or pledged in the exchange dataset |
| Regulation 31(1)/(2) filing | Promoter or person acting in concert, reporting date, holding and encumbered holding in shares and percentages | Which holder is affected and how the issuer reports the encumbrance for that date |
| Reason and secured-party disclosure | Purpose, secured party, arrangement type and event date where stated | Why the encumbrance exists and who may have rights over the shares |
Numbers should be close after allowing for the reporting date, rounding and the scope of the category. If one filing covers a promoter group and another lists individual persons or entities, add the relevant rows before comparing them.

Calculations that make the risk easier to see
Use the disclosed share counts to calculate the same ratios yourself:
- Encumbrance as a percentage of promoter holding = encumbered promoter shares ÷ total promoter shares × 100.
- Encumbrance as a percentage of total share capital = encumbered shares ÷ total shares outstanding × 100.
- Pledge-to-demat percentage = pledged shares ÷ total demat shares × 100, using the NSE fields.
Carry the denominator and date with every result. “20% encumbered” is incomplete unless it says 20% of promoter holding or 20% of total share capital, and identifies the quarter.

| Pattern across quarters | What to investigate |
|---|---|
| Encumbered shares and both percentages rise | Whether new security was created, the secured party changed, and whether the reason indicates additional borrowing or another obligation |
| Encumbered shares fall | Whether the filing records a release, repayment, transfer or a change in the promoter denominator |
| Pledged shares disappear but another encumbrance remains | Whether the arrangement was released, converted to a lien or reported under a different category |
| Promoter percentage falls while encumbered shares stay similar | Whether total shares increased or promoter holdings changed, rather than assuming that risk was reduced |
| An invocation or sale is reported | The event date, resulting promoter holding and subsequent shareholding pattern |
| Exchange and issuer figures do not match | Reporting dates, rounding, holder scope, corrected filings and whether one figure covers pledges while another covers all encumbrances |
Look at the direction and speed of change, not just the latest snapshot. A small increase repeated over several quarters can be more informative than a one-time movement, while a sudden jump warrants checking the reason and counterparty immediately.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsComparing two companies fairly
There is no authoritative universal percentage at which a company becomes “safe” or “unsafe.” A meaningful comparison uses the same quarter and the same definitions for both issuers.
| Comparison axis | How to use it |
|---|---|
| Encumbered shares as a percentage of promoter holding | Shows how much of the promoters’ control block is subject to third-party rights |
| Encumbered shares as a percentage of total share capital | Shows the affected block relative to all outstanding shares |
| Direction and speed across periods | Separates a stable historical position from a rapidly changing one |
| Stated reason and secured-party type | Provides context for why the security exists and who may enforce it |
| Consistency among exchange datasets and issuer filings | Tests whether the reported numbers have the same scope and reporting date |
Do not rank companies using the promoter-percentage figure alone. A company with a lower promoter encumbrance ratio can still have a larger encumbered block as a percentage of total share capital, and a high ratio may have a different meaning depending on the reason and secured party.

Reading only the shareholding pattern
The shareholding pattern tells you the promoter holding but may not list every pledge, lien or similar transaction. Add the NSE pledged-data and Regulation 31 checks.
Confusing pledged shares with all encumbered shares
Pledged shares are a subset of encumbered shares. Liens and other qualifying transactions can make total encumbrance larger than the pledge count.
Mixing quarters
A current shareholding pattern compared with an older pledged-data record can create a false mismatch. Match reporting dates first, then compare filing dates and any correction notices.

Using a dashboard total as a company figure
The NSE page can display an aggregate number for all companies. Search the issuer and copy the company-level row for the desired quarter.
Ignoring the denominator
Always retain both the number of shares and the percentage of promoter holding and total share capital. A percentage can change when the denominator changes even if no shares are released.
Assuming a pledge proves default
A disclosed security does not establish that a borrower has defaulted or that the lender has begun enforcement. Look for an invocation, sale, release or other event in later filings.
Volatile NSE dashboard totals
At the time the NSE live page was accessed on 19 October 2026, it reported promoter pledges for 1,545 companies and a value of Rs. 957,808.561 crore of promoter pledged holding. These are live dashboard totals, not fixed historical statistics. They can change as companies file new data, so use the issuer-level quarter record for analysis and recheck the aggregate before quoting it.
A practical worksheet
For each quarter, keep a row containing the following fields:
- Company name, NSE symbol and BSE code.
- Reporting quarter and each filing’s submission date.
- Promoter & Promoter Group (A) shares and percentage.
- Public (B) and other category figures needed to verify total share capital.
- NSE total promoter holding, encumbered shares, promoter-encumbrance percentage, total-share percentage, pledged shares, demat shares and pledge/demat percentage.
- Regulation 31 holder names, holding and encumbered holding in shares and percentages.
- Reason, secured party and event type: creation, release, invocation or other change.
- Document filename, version and page or table reference.
After entering a new quarter, check the raw share counts first, recalculate the percentages, then investigate any sharp movement or mismatch. This sequence prevents a rounded percentage or stale dashboard value from driving the conclusion.
Bottom line for investors and analysts
The dependable check is a reconciliation, not a single search result: establish promoter ownership in the quarterly shareholding pattern, quantify encumbrance in NSE’s pledged-data record, verify holder-level details in Regulation 31 filings, and read the reason and secured-party disclosure. Preserve the quarter and document version, then monitor the series for increases, releases, invocation or inconsistent reporting. Because no universal safe threshold is established, interpret the percentage together with its trend, purpose, counterparty and potential enforcement risk.
