Before signing, verify the legal entity that will provide the AI service, assess its financial and operational ability to keep serving you, and negotiate a workable exit if it cannot. The depth of the review should match the service’s importance, the sensitivity of its data, your legal obligations, and how difficult it would be to switch. No single credit score or financial ratio can establish that an AI cloud provider is safe: the decision also depends on continuity, subcontractors, data portability, and enforceable contract rights.
What does financial-risk diligence tell you—and what can’t it tell you?
Financial diligence helps you judge whether the provider is likely to meet its obligations and whether your organization could absorb a disruption or transition. It is not a guarantee that the provider will remain in business, that its service will stay available, or that you will automatically recover data if it fails.
For a cloud service, financial risk and operational risk are connected. A provider may appear financially sound yet depend on a fragile infrastructure arrangement, a small number of subcontractors, or a model supplier you cannot replace quickly. Conversely, a provider with limited public financial disclosure may still be a viable choice for a low-impact use if the contract and technical design limit your exposure. Evaluate the arrangement, not just the company name.
EIOPA’s 2020 Guidelines on outsourcing to cloud service providers say due diligence should happen before outsourcing and that, for critical or important functions, suitability assessment should include the provider’s economic situation. That guidance applies in its relevant regulated context; buyers elsewhere should confirm which rules apply to them. It does not prescribe a universal credit rating, liquidity ratio, minimum cash runway, or failure-probability threshold.

How much diligence does this AI service need?
Start by describing the consequences of losing access, not by requesting every possible document. The more an outage, suspension, or migration delay could affect customers, regulated operations, or sensitive information, the more evidence and contractual protection you should require.
Classify the service’s business impact
Record what the AI system does, which teams and business processes depend on it, and what would stop working if the service were unavailable. Consider separate scenarios: provider failure, an account suspension, a security incident, a model or feature withdrawal, and a routine service outage. Those events may have different causes and different contractual remedies.
Also note the practical substitution path. Can you move to another provider or an internally operated alternative? Would you need to rebuild prompts, workflows, integrations, evaluations, or safety controls? How long could you operate without the service? A difficult transition raises your exposure even when the contract price is modest.

Classify data and legal constraints
Identify the data the service receives, generates, stores, or uses for model-related purposes. Record relevant confidentiality, privacy, security, data-location, retention, and deletion requirements. Establish which jurisdictions govern your organization, the provider, the contract, and the data locations; the provider’s brand or headquarters alone may not identify the entity or law that matters.
OSFI’s 2023 Third-Party Risk Management Guideline expects federally regulated Canadian financial institutions to identify third-party risk and criticality and apply expectations proportionately. It is not a universal legal rule, but it illustrates why a high-impact arrangement merits a more demanding review than an easily replaced subscription.
Which provider and financial records should you request?
First identify the precise legal entity that will sign and perform the contract. Then request evidence that is current, attributable to that entity or its support structure, and relevant to the service and regions you will actually use.
Confirm who is responsible
- Obtain the proposed contracting entity’s full legal name, jurisdiction of formation, registered or principal address, and corporate status information available in that jurisdiction.
- Ask which affiliate operates the service, holds customer data, provides support, or owns relevant infrastructure, and whether any of those responsibilities may be subcontracted.
- Identify any parent, guarantor, or other entity whose financial support the provider says is relevant. Verify whether that support is documented and whether the supporting entity is actually bound to it.
- Ask which entity will issue invoices, receive notices, and be responsible for service, data, security, and transition obligations.
Do not assume that a well-known corporate group guarantees the obligations of every subsidiary. If the contracting entity is a small subsidiary, determine whether the parent has given a legally effective commitment or merely appears in marketing materials.

Request financial information appropriate to the entity
Depending on the provider’s legal form, jurisdiction, size, reporting obligations, and the value and criticality of the contract, ask for available financial statements, relevant debt and liquidity information, ownership or funding context, and material insolvency or litigation disclosures. An audited financial statement and a management summary are not equivalent evidence: note who prepared each item, the period it covers, and whether it has been audited or independently reviewed.
Financial disclosure may be limited, particularly for private companies or entities that do not have the same reporting obligations as public companies. Record what you could not verify rather than treating missing information as proof of either strength or weakness. Where appropriate and lawful, consider whether information can be provided under confidentiality restrictions or assessed by an independent adviser.
The American Bar Association’s Cloud Computing Contract Checklist includes financial condition, corporate responsibility, insurance, capacity, subcontractors, data location, disaster recovery, redundancy, bankruptcy, and financial wherewithal among matters to examine. It is a checklist, not a prescribed financial test. The particular documents and analysis remain dependent on your circumstances and applicable law.
How should you judge financial strength without a magic score?
Use multiple pieces of evidence and explain what each does—and does not—establish. The sources for this topic do not set a generally applicable credit-score cutoff or minimum cash runway for AI cloud vendors, so inventing a pass/fail number would create false precision.
Quick wins for a faster PC:
Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Clear out junk files and repair common Windows errorsFree Scan →Separate evidence from assurances
For each material claim, record the source, date, entity covered, period covered, and scope. A financial statement may speak to one company and one reporting period; a parent-company announcement may not establish the subsidiary’s ability to perform; an assurance report may address defined controls rather than solvency. A provider’s statement that it is “well funded” is a management assertion unless independently substantiated.
Third-party certifications and audit reports can support diligence. EIOPA recognizes such evidence as potentially useful, but it should match the service, locations, entities, and controls in the arrangement. A certificate is not proof that every subcontractor or model component is covered, nor does it resolve the provider’s financial condition.
Look for dependencies that can magnify distress
Assess whether delivery depends on a single region, infrastructure provider, model supplier, specialized subcontractor, or small operational team. Ask how much capacity is available for your expected use and how the provider handles demand spikes, infrastructure failures, or the loss of a supplier. These are operational questions, but they matter to financial exposure because a provider’s inability to deliver can impose transition costs and business losses regardless of its balance sheet.

Adapt analysis to the provider’s structure. A public company, a privately held company, and a newly formed subsidiary may disclose different information. The absence of a public credit rating or comparable statement should prompt a discussion of alternative evidence and stronger protections, not an automatic conclusion about creditworthiness.

Random freezes, missing sound and display glitches usually trace back to one bad driver. Find and replace yours safely.Free scan · under a minuteWhat continuity and AI-specific evidence should you examine?
Ask for evidence of how the service will continue through disruption and how the AI supply chain works. Confirm that the material you receive covers the proposed service and the parties involved, rather than a broader corporate environment that may not include your arrangement.
Operational continuity and assurance
- Business-continuity and disaster-recovery processes, including the service components and regions they cover.
- Redundancy and capacity information relevant to the expected workload, alongside service levels and the consequences of missing them.
- Security and audit evidence, incident processes, and any assurance reports or certifications relevant to the proposed service.
- Subcontractor identities and responsibilities, data locations, and the process for reviewing material supply-chain changes.
- Support arrangements and the provider’s approach to service restoration, customer communications, and recovery of data or configurations.
The ABA checklist identifies several of these areas; EIOPA’s cloud guidance also addresses security, subcontracting, monitoring, audit rights, and exit. Ask what evidence is available, who prepared it, and whether exceptions or exclusions affect the service you intend to buy.
Map the AI supply chain and responsibilities
For AI services, identify the organizations and systems involved in receiving, processing, storing, or otherwise handling your data. Establish who determines the purposes and means of processing, and document controller and processor roles where those concepts apply. Clarify who is responsible for security, data access, model-related processing, and incident communications across the supply chain.
The UK Information Commissioner’s Office (ICO) recommends examining the whole supply chain and formally documenting relationships. Its AI audit framework also recommends considering accuracy and bias before procurement, asking about data, coding, or model sources, and considering accuracy-related key performance indicators or service-level agreements. The ICO states that this guidance is under review following the Data (Use and Access) Act; treat it as UK guidance and check its current status and applicability.
How do you turn the review into contract protections?
Convert the risks you found into specific duties, evidence rights, and remedies. A general promise to maintain a reliable service is less useful than an agreement that defines the service, identifies responsibilities, sets measurable obligations where appropriate, and explains what happens when the arrangement changes or ends.
Define the arrangement and its change controls
- Describe the service, relevant features, service term, fees, notice requirements, and other financial obligations clearly.
- Allocate responsibility for security, data access and handling, AI processing, and the parties in the supply chain.
- Specify notice or consultation for material changes to ownership, subcontractors, service components, or data locations where the risk warrants it.
- Set service levels, continuity and disaster-recovery obligations, incident notification duties, and reporting that lets you monitor performance.
- Set appropriate audit or assurance rights, including how you can verify obligations and address material deficiencies.
EIOPA’s guidance for cloud outsourcing involving critical or important functions identifies agreement topics such as service scope, duration, notice, applicable law and jurisdiction, financial obligations, subcontracting, data locations, and data protection. It also addresses monitoring, audit, termination, and exit. Those provisions are useful prompts, but their legal requirements depend on the buyer’s regulatory context.

Make termination and migration workable
Specify termination rights for material breach and repeated service failure, and discuss insolvency-related triggers with counsel familiar with the governing law. Define transition assistance, any continued service during migration, export formats, delivery timing, fees, and access to configurations and operational records. Require a process for confirming deletion when data is no longer needed, subject to applicable retention obligations.
Test whether the proposed export would be usable in practice. A file export may not preserve prompts, model settings, workflow logic, evaluation results, access controls, or the integrations needed to reproduce a process elsewhere. Identify what must move, what can be recreated, and what the provider will actually deliver before you rely on a generic promise to return data.

The Canadian Centre for Cyber Security’s cloud contract guidance, ITSM.50.104, has an effective date of October 22, 2024, and covers topics including security, data residency, supply-chain integrity, AI, migration, intellectual property, liability, and support. Its scope is a useful contract-planning reference, not a substitute for legal advice about the contract’s governing law.
Use liability and continuity mechanisms carefully
Consider liability allocation, indemnities, insurance, or escrow and licensing arrangements only where they fit the service and can be enforced under the applicable law. An escrow arrangement, for example, does not by itself ensure that deposited material is sufficient to operate a complex hosted AI service, or that you have the rights and infrastructure to use it.
A clause labelled “insolvency protection” is not a guarantee of access to data or continued service. Insolvency outcomes can depend on the provider’s structure, the location and control of assets, and applicable insolvency law. Have qualified counsel assess whether a proposed termination, data-access, escrow, or transition provision would work in the relevant jurisdiction rather than assuming that contract wording overrides insolvency proceedings.
How can you compare providers consistently?
Use the same evidence categories for each candidate, then weight them according to business impact and data sensitivity. The source guidance supports proportionate evaluation but does not publish a universal scoring rubric. If you use internal ratings, label them as your organization’s decision tool, document the evidence behind them, and avoid implying that a numerical score predicts failure.

What should you monitor after signing?
Diligence is not a one-time approval. Set a review cadence proportionate to the service’s criticality, and define events that trigger an earlier reassessment. EIOPA says diligence should be promptly reviewed or repeated when significant deficiencies or changes become known; the ICO’s supplier guidance also recommends periodic review and documented processes for managing and exiting cloud services.

Potential triggers include a material change in ownership, contracting entity, service scope, data location, or subcontractor; a significant incident; repeated service-level failures; newly disclosed financial concerns; or a change in the evidence available about continuity and security. Assign an owner to collect updates, decide whether the change affects risk, and document the response. If exposure has increased, possible responses may include additional evidence, remediation, a revised continuity plan, or use of the contract rights negotiated for that event.
Keep the exit plan current as well. Record the people who can authorize a migration, the data and configurations to retrieve, the systems that depend on the service, and the alternative operating arrangement. A contract right that no one can operationalize under time pressure may provide less protection than expected.
What should your pre-signing decision record contain?
Before approval, create a concise record that lets a reviewer understand why the arrangement is acceptable, what remains uncertain, and how the organization will respond if conditions change.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitches- The service’s business purpose, criticality, data categories, jurisdictions, and credible outage or exit scenarios.
- The named contracting entity and the roles of affiliates, infrastructure providers, model suppliers, and other material subcontractors.
- Financial and operational evidence reviewed, its date and scope, and information that was unavailable or unverified.
- Key dependencies, continuity evidence, assurance coverage, and any limitations that affect the planned use.
- Contract protections secured, exceptions accepted, and unresolved issues assigned to an owner.
- A realistic migration approach, including internal responsibilities, expected transition needs, and the decision triggers for reassessment.
This record should explain the decision rather than reduce it to a supposed universal pass mark. The relevant question is whether the provider, service design, evidence, and contract together leave your organization with an acceptable level of exposure.
Frequently Asked Questions
Can a startup or private AI provider be safe if it will not share full financial statements?
Limited disclosure is not by itself proof that a provider is unsafe, but it leaves more uncertainty to manage. Ask what alternative evidence it can provide, whether an accountable parent or guarantor will support the obligations, and whether your use can be designed so that switching or interruption has a bounded impact.
Does a cloud provider’s audit certification prove it can pay its bills?
No. A certification or audit report addresses a defined scope of controls or practices, not necessarily the provider’s solvency. Check the report’s covered entities, services, regions, and period, and assess financial condition separately.
Should I require source-code escrow for an AI cloud service?
Escrow is useful only if the deposited materials, release conditions, license rights, and technical environment would let you continue the service in practice. For a hosted AI offering, source code alone may not include the models, data, infrastructure, or third-party rights needed to operate it.
What if the provider refuses to promise continuous service during migration?
Treat that as a planning constraint, not just a clause to negotiate away. Estimate the maximum tolerable interruption, maintain a fallback process for critical work, and determine whether another provider or a reduced manual workflow can cover the transition.
