Assess a GPU cloud provider on three separate questions: can the contracting entity fund the service through your contract term, does the capacity it has promised actually exist and remain accessible, and can you recover or move your workloads if something goes wrong? Price, benchmark results and uptime claims answer none of those questions on their own. Treat the provider as critical infrastructure and a leveraged counterparty, then verify its finances, capacity and contract protections independently.
The practical test is whether documentary evidence supports the provider’s ability to deliver, whether that evidence survives realistic downside scenarios, and whether your agreement gives you useful options if it does not. No single cash-runway figure or leverage ratio is a universal pass mark; your workload’s criticality, migration time, contract value and prepaid exposure determine how much risk is acceptable.
How should I assess a GPU cloud provider?
Run three distinct diligence tests before signing: financial resilience, verified capacity and contract enforceability. A provider can pass one and fail another—for example, it may have funding but lack commissioned GPUs, or possess installed hardware that a lender can repossess if another entity defaults.

Determine whether the entity that owes you service can meet operating costs, debt service and committed capital spending through the contract term, including under adverse conditions. Review available cash and committed financing, not just fundraising announcements, projected revenue or the parent company’s balance sheet.

Verified capacity
Establish what GPU resources are installed, operational, reserved for your account and supported by the required power, cooling and network. A fleet total, press release, sales deck or uncommitted pipeline is a forecast until delivery and reservation evidence backs it up.
Contract enforceability
Check whether your remedies work against the entities that control the equipment and facility, not only the company that invoices you. A promise to refund a prepayment has limited value if the counterparty lacks the cash, the promise is unsecured, or a separate equipment owner can remove the GPUs.
iTechGuides Team’s October 19, 2026 guidance frames an AI cloud provider as critical infrastructure rather than a simple software subscription. That distinction changes the diligence question: you are assessing continuity of a physical, financed service—not just whether a software vendor appears healthy today.

Who owns the GPUs and controls the capacity I am buying?
Start with a legal-entity map. The customer-facing provider, parent, GPU owner, equipment lender or lessor, data-center tenant, colocation operator, power supplier and network provider can all be different parties, with separate rights and insolvency exposure.
Build the entity map
Record the exact name and registration jurisdiction of the contracting entity, its parent and relevant subsidiaries, beneficial owners, governing law, venue and applicable insolvency regimes. For each important asset or obligation, identify the entity that holds the right or bears the duty.

| Party or asset | What to identify | Why it matters |
|---|---|---|
| Contracting entity | Who signs the agreement, invoices you, receives deposits and owes service credits or migration support | A parent company’s cash does not automatically support the subsidiary that invoices you. |
| GPU owner or lessor | Who owns or leases each relevant GPU cluster; whether it is financed; and who holds liens or security interests | A lender or lessor may have rights to equipment after a borrower defaults. |
| Facility operator or landlord | Who controls the data-center lease, physical access and colocation services | Access to servers may depend on an entity that is not party to your cloud agreement. |
| Power and network providers | Which entities supply power and connectivity, and which customer or affiliate is responsible for payment | The cluster’s usefulness depends on continued facility power and network service. |
| Guarantor or credit-support provider | Which entity, if any, guarantees performance or provides a letter of credit or other support | The value of support depends on who provides it and what the agreement lets you claim. |
Ask for an organization chart and written explanation of the asset, financing and contract structure. Then match each assertion to executed agreements, ownership or lease records, financing documents and relevant contract terms. If a parent guarantee, direct agreement or step-in right is offered, check that it is executed, covers the obligations you care about and reaches the entity with control of the asset or service.
What financial information should I request?
Request evidence that lets you reconcile reported cash, obligations, financing and growth spending to the legal entity responsible for your service. For a private provider, CPA-reviewed statements are stronger evidence than management-only information when an audit is unavailable; management accounts can still help, but should be treated as weaker evidence.
What’s actually slowing this PC down?

Build a finance file
| Request | What it helps you assess |
|---|---|
| Latest two fiscal years of audited statements and latest interim accounts; for a private provider without an audit, CPA-reviewed statements if available | Financial position, operating performance and how the business has changed over time |
| Monthly cash-flow forecast, with unrestricted and restricted cash by entity and currency | Whether reported cash is legally and practically available to fund the service |
| Legally available committed credit facilities and evidence of their conditions | How much additional liquidity is actually accessible, rather than merely discussed or announced |
| Debt and lease schedules, including maturities, interest rates, collateral and covenants | Near-term cash demands, refinancing exposure and restrictions on the borrower |
| Covenant certificates, defaults, waivers and refinancing assumptions | Whether current financing remains in good standing and depends on future events |
| Committed GPU and facility capital-spending schedules | Whether planned deployments compete with existing obligations for cash |
| Customer and supplier concentration, receivables aging, insurance and litigation information | Exposure to a major customer failing to pay, a supplier disruption or other material demands on the business |
Reconcile sales-deck figures to the accounts of the entity that reports them. Separate executed, committed revenue from usage forecasts; distinguish refundable or segregated customer prepayments from general working capital; and verify that financing is executed rather than merely announced. A large backlog does not by itself show that the business can fund delivery or refinance debt, and it may conceal dependence on a small number of customers.
How do I stress-test the provider’s finances?
Model at least six months of adverse conditions, then extend the analysis across your contract term. The aim is not to forecast the provider perfectly; it is to see whether plausible setbacks could threaten your reserved service or make your prepayment difficult to recover.
Test the setbacks that affect cash and delivery
- Lower utilization: What happens if customers use less capacity than forecast, while facility, staffing and debt costs remain?
- Delayed deployment: How long can the provider carry equipment and facility costs before the promised GPUs begin generating revenue?
- Major customer non-payment: How would overdue or lost revenue affect cash available for operating costs and debt service?
- Higher power costs: Which costs rise, and can the provider absorb or pass them on under its customer agreements?
- GPU price declines or obsolescence: Would weaker resale or redeployment value affect collateral, financing or the ability to serve other customers?
- Delayed or unavailable refinancing: Can the provider meet maturities without relying on an uncommitted future financing round or loan?
For each scenario, ask how many months of operating expense and debt service can be covered by current available cash and committed facilities. Identify spending that can be deferred and the maintenance, expansion or other commitments that management would cut first. Then assess what those cuts would mean for your own reserved capacity, support and continuity.

Set the minimum liquidity, credit-support and termination gates to fit your exposure. A workload with a long migration lead time or a large non-refundable prepayment merits a different threshold from a short, readily replaceable workload. The October 2026 iTechGuides guidance does not prescribe a universally safe runway or leverage ratio; applying one without regard to contract length, replacement capacity and money at risk can give a misleading sense of safety.
How can I verify the GPUs and data-center capacity?
Ask the provider to prove the exact capacity allocated to your contract, rather than relying on an aggregate fleet count. Match asset and reservation records to delivery, installation, acceptance and facility evidence, and find out whether another party can repossess equipment or restrict access.
- Request a GPU inventory. Ask for each model and generation, serial or asset identifier, location, ownership or lease and financing status, operational state, and customer reservation. Match the inventory to the entity that owns or controls the equipment.
- Confirm delivery and commissioning. Request purchase orders, delivery records, installation evidence and acceptance records for the hardware that is supposed to serve your workload. Identify what is still ordered, in transit, being installed or awaiting acceptance.
- Match the configuration to your reservation. Confirm the quantity, topology, network arrangement, site and expected commissioning status for the capacity named in your order. Make sure the agreement defines the reserved resource in terms that can be checked.
- Check site dependencies. Review the power allocation, cooling design, network connectivity, redundancy and maintenance and spare-parts plans for the proposed site. Ask which entity holds the relevant facility, power and network arrangements.
- Map secured parties and access rights. Identify liens and lenders, lessors, landlords and colocation operators with rights over the equipment or facility. Ask what happens to access, power and operations if a borrower, tenant or other responsible entity defaults.
- Make acceptance observable. Tie service commencement or a major payment to defined commissioning and usable-capacity evidence, not simply an announced deployment date.
AM Compute’s 2026 checklist reports that GPUs account for about 77% of a cluster’s bill of materials and that GPU racks draw 40–80 kW. It also reports, citing Uptime Institute in 2026, that 67% of existing sites cannot support modern GPU densities. These figures are context for testing whether a proposed site and power design are plausible; they are not universal engineering limits or acceptance thresholds. Ask the provider to substantiate the design for the specific site and equipment in your contract.
How should I assess customer concentration and revenue quality?
Determine whether the revenue supporting the provider’s plans comes from executed, creditworthy commitments or from forecasts and non-binding interest. Review executed master service agreements and order forms, payment history, receivables aging, prepayments, take-or-pay terms and termination rights.
Ask what share of revenue and contracted cash flow depends on the largest customers, whether those customers are paying on time, and how much exposure would remain if one left. Then test whether the GPUs could be redeployed: hardware tied to a specific model, topology, region or tenant can be harder to place elsewhere than generic capacity.

AM Compute’s 2026 checklist cites two examples of credit support: IREN’s Microsoft contract requires 20% of each tranche up front, and a cited SharonAI/ESDS contract is worth $1.25 billion with $140 million in letters of credit. These are examples of arrangements, not standard requirements or suitable benchmarks for every provider. The relevant question is whether the support in your own contract is proportionate, enforceable and available when needed.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What contract terms protect my workloads and prepayments?
Negotiate continuity and exit rights before a financial or operational problem arises. Contract language should create timely visibility into deterioration, protect data and configurations, and give you workable remedies if reserved capacity fails or the counterparty defaults.
Require information and early-warning rights
Agree on recurring financial, liquidity, debt, covenant, capacity, facility, power and customer-concentration reporting appropriate to your exposure. Require prompt notice of missed debt payments, covenant breaches, financing defaults, insolvency or restructuring filings, loss of critical power or facility capacity, and inability to meet reserved GPU hours.
Define service failure objectively
Specify how uptime and usable GPU hours are measured, what exclusions apply, which credits are available, and how long the provider has to cure a failure. Avoid relying solely on an aggregate uptime figure if your workload depends on a particular reservation, topology or commissioning milestone.

Require usable data export, configuration escrow, checkpoint and key return, restoration tests, logs, documentation, engineering hours and transition assistance. Limit exposure to deposits and third-party action
Where possible, protect prepaid capacity with refund, escrow, credit or priority language. Seek parent guarantees, letters of credit, direct-payment or step-in rights, and non-disturbance agreements with relevant equipment owners or lenders. These protections address different risks: a refund promise does not itself preserve access to a cluster, and access rights do not necessarily return an unsecured prepayment.
How do I compare GPU cloud providers beyond price and uptime?
Use a consistent scorecard across four dimensions, then weight each dimension by the consequences of failure for your workload. Do not collapse the result into one number if a severe weakness in one area could independently stop service.
| Dimension | Evidence to compare | Decision question |
|---|---|---|
| Financial resilience | Unrestricted liquidity after deposits and committed spending; operating cash conversion; debt maturities; covenants; refinancing dependence; customer and supplier concentration | Can the service entity fund operations and obligations under downside conditions? |
| Verified capacity | Installed and reserved GPUs; ownership or lien status; power, cooling, networking and site redundancy; commissioning and delivery history | Is the specific capacity real, usable and accessible for the contract period? |
| Contract enforceability | Reporting and audit rights; guarantees and credit support; objective SLA remedies; escrow, export, transition, termination and non-disturbance terms | Can you detect trouble and exercise remedies against the entities that matter? |
| Replacement economics | Migration engineering effort, egress and transfer cost, alternative-capacity lead time, and prepaid money or workloads exposed | How quickly and at what cost could you recover if the provider stopped serving you? |
Compare evidence quality as well as the answers. Executed agreements, audited or reviewed accounts, financing records and commissioning documentation are stronger than management projections, uncommitted pipeline figures and public announcements. Record unresolved items as conditions to signing, capacity acceptance or payment rather than quietly treating them as confirmed.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesWhat warning signs should delay a commitment?
Pause or narrow the commitment if a material claim cannot be tied to the entity, asset or contract responsible for delivering it. A provider may be growing quickly and still expose you to a mismatch between where the money, hardware and obligations sit.
- Financial statements or current liquidity information are unavailable, materially out of date or not reconciled to the contracting entity.
- Available cash is described without separating restricted funds, customer deposits and cash held by other entities.
- Financing depends on a future fundraising round or refinancing that is announced but not committed.
- GPU counts, reservations or delivery dates rely on a sales deck or press release without asset, delivery or commissioning evidence.
- Debt, lease, covenant, lien or collateral information is incomplete, or the provider cannot explain what rights lenders and lessors have over the hardware.
- A small number of customers account for substantial expected cash flow, while their contracts, payment behavior or credit support are unclear.
- The contract lacks practical notice, export, transition and termination rights, or it gives remedies only against an entity that does not control the equipment or site.
- The alternative-capacity lead time and migration work are not understood, even though the workload or prepayment would be costly to move.
A warning sign is a reason to ask for evidence, reduce the initial commitment, or make payment conditional—not automatic proof that a provider will fail. The decision should turn on what remains exposed after the provider responds and whether the remaining risk fits the business consequence of interruption.
Frequently Asked Questions
Who should review GPU-cloud financing and capacity documents?
For a material commitment, involve people who can assess financial statements and debt terms alongside specialists in equipment appraisal, lien review, insurance, site and power capacity, and backup-operator planning. AM Compute’s 2026 lender checklist identifies those areas as relevant diligence work; it does not establish that any particular provider or adviser is available to perform it.
Can a provider’s strong parent company make a weaker subsidiary safe to contract with?
Not by itself. The practical protection depends on a guarantee or other enforceable support from the parent, and on whether the agreement reaches the entities that own the GPUs and control the facility.
Should I put every GPU serial number in the cloud contract?
The diligence inventory should identify equipment at asset level where available, but a contract can also define capacity through a verifiable reservation and commissioning process. If equipment is not yet delivered or assigned, make that status explicit and tie acceptance or payment to evidence that the contracted capacity has been commissioned.
