A small IT team can assess an AI vendor without a large compliance department by using a repeatable six-part review: map the service and data flows, classify the business impact, collect security evidence, minimize what you send, make controls contractual, then pilot and monitor the service. The goal is not to prove that a vendor is risk-free. It is to decide whether the remaining risk is understood, bounded, and acceptable for the specific use case.
NIST’s AI Risk Management Framework (AI RMF) and Generative AI Profile provide the governance structure; Federal Trade Commission guidance turns vendor-security expectations into practical business actions; UK Information Commissioner’s Office (ICO) guidance addresses minimization and processor contracts; and joint CISA guidance published April 15, 2024, focuses on confidentiality, integrity, availability, vulnerability mitigation, and protection, detection, and response.
What should a small IT team do first when reviewing an AI vendor?
Start with an inventory that describes the actual product, not just the vendor’s marketing name. Record the model or API, the business owner, intended users, connected systems, data categories, processing locations, subprocessors, and the business process that depends on the output. This inventory becomes the boundary for every later question.

Build a one-page service record
- Vendor and service: legal entity, product name, edition, model or API version, and account owner.
- Business purpose: the task being automated, the people who approve use, and what happens if the service is unavailable.
- Users and privileges: employees, contractors, administrators, service accounts, integrations, and required permissions.
- Data in motion: prompts, files, images, audio, metadata, logs, feedback, telemetry, and outputs sent to or returned from the service.
- Destinations: hosting regions, support systems, analytics tools, subprocessors, model providers, and backup locations.
- Business criticality: whether the process affects safety, finances, legal obligations, customers, employment, or other mission-critical operations.
NIST recommends maintaining inventories of third parties that can access organizational content and keeping an approved-provider list. Treat an unlisted AI browser extension, plug-in, or personal account as a new vendor request rather than an informal exception.

Map the data flow before asking about controls
Draw the path from user entry to final deletion: collection, transmission, inference, logging, human review, support access, model improvement, backup, and destruction. Mark every point where data leaves your environment. An architecture diagram that omits support tooling, telemetry, or subprocessors does not answer the risk question; ask the vendor to show those paths explicitly.
How do I classify the AI use case and its potential impact?
Classify both the information and the consequences of failure. A low-sensitivity experiment can use a lighter review than a system that processes personal, regulated, confidential, or mission-critical information, but the same vendor may require different controls for different uses.
Classify the information
- Public: material already approved for public release.
- Internal: ordinary operational information whose disclosure would be inconvenient but not materially harmful.
- Confidential: trade secrets, customer records, credentials, financial details, unreleased plans, or employee information.
- Regulated or sensitive: information subject to privacy, health, financial, employment, export, or contractual restrictions.
- Mission-critical: data or decisions whose loss, corruption, or unavailability could stop an essential process or create significant harm.
Score the consequences, not just the data label
For each proposed use, estimate the consequence of disclosure, manipulation, outage, and incorrect output. A public-data chatbot can still be high impact if it controls a customer-facing workflow; conversely, a confidential dataset might be acceptable in a segregated environment with strong contractual and technical controls. NIST warns that third-party AI can be opaque and complex, and that a supplier’s risk tolerance may not match the acquiring organization’s tolerance.

What security and privacy evidence should I request from an AI vendor?
Ask for evidence that lets you verify confidentiality, integrity, availability, and accountability. A polished security page is not a substitute for answers about your tenant, your data, and your contract.

Request architecture and data-handling evidence
- Current architecture and data-flow diagrams, including inference, logging, support, analytics, backups, and subprocessors.
- A description of tenant isolation, network boundaries, administrative access, and how one customer’s content is prevented from reaching another customer.
- Data locations, hosting regions, cross-border transfers, and the legal entities that can access or control the data.
- Retention schedules for prompts, uploads, outputs, logs, abuse-monitoring records, backups, and support tickets.
- Deletion procedures, backup expiry, legal-hold behavior, and the evidence supplied when deletion is complete.
- Whether customer data is used to train, fine-tune, evaluate, test, or otherwise improve a model, and whether each use can be disabled contractually.
Request security-control evidence
- Independent security attestations or assessment reports, their scope, coverage period, exceptions, and remediation status.
- Authentication options, single sign-on, multifactor authentication, role-based access, privileged-access controls, and service-account management.
- Encryption in transit and at rest, key-management responsibilities, key rotation, and any customer-managed-key option.
- Audit logging, log retention, customer access to logs, alerting, and investigation procedures.
- Secure-development practices, vulnerability disclosure, patch timelines, penetration-testing summaries, and software or model supply-chain controls.
- Incident response, service-level commitments, recovery objectives, geographic redundancy, and continuity arrangements.
CISA’s joint guidance of April 15, 2024, frames these questions around improving the confidentiality, integrity, and availability of AI systems. Ask the vendor to identify the control owner, the evidence date, and the scope for every assurance document; an out-of-scope certificate should not be treated as proof about the product under review.
Use a written question set
Send the same core questions to every finalist so answers can be compared. Require a named owner and a date for any answer that is “in progress.” If a vendor will not disclose a detail for security reasons, ask for an independent report, a control description, or a customer-facing summary that demonstrates the control without exposing sensitive implementation details.

One free scan finds every outdated or missing driver and matches the right update for your exact hardware.Free scan · exact hardware matchWill the AI company train on my data?
Do not infer the answer from a plan name or a public privacy statement. Ask specifically whether prompts, files, outputs, feedback, telemetry, and support content are used to train, fine-tune, evaluate, test, or otherwise improve any model, and whether each use is disabled by default and by contract.
Questions that remove ambiguity
- Is customer content used for model training or fine-tuning?
- Is it used for evaluation, safety testing, abuse detection, or product analytics even when training is disabled?
- Are humans or contractors allowed to review samples, and under what access controls?
- Are data from different tenants pooled, and can a customer opt out of every secondary use?
- Do these settings apply to the API, web interface, plugins, support channel, and backups?
- What happens to data already collected if the setting is changed or the contract ends?
Record the answer as a precise permitted-purpose clause. “We do not sell your data” does not answer whether the vendor may retain it, use it for service improvement, or share it with a model provider.
How can a small team minimize exposure before approving the service?
Reduce the amount, sensitivity, and lifetime of data before relying on the vendor’s controls. ICO guidance notes that machine-learning systems often require large datasets to be copied from their original context and shared or stored in multiple places, including with third parties.

Apply practical minimization controls
- Send only the fields required for the task; remove names, account numbers, exact dates, and free-text details when they are not needed.
- Use tokenization, pseudonymization, aggregation, or de-identification where the business process still works.
- Separate datasets and environments so a test project cannot access production records.
- Limit user privileges, API scopes, token lifetime, export rights, and administrator access.
- Set upload-size, file-type, and destination restrictions at the gateway or data-loss-prevention layer.
- Delete temporary transfer files and intermediate exports as soon as the task is complete.
- Prohibit credentials, private keys, unreleased source code, and regulated records in general-purpose prompts unless an approved design explicitly requires them.
Document where data moves and who can retrieve it. ICO recommends recording movements and storage, deleting unnecessary intermediate files, and considering privacy-enhancing technologies. A minimization rule should be testable: reviewers must be able to see which fields were removed and why the remaining fields are necessary.
What security clauses should be in an AI vendor contract?
Put the controls in the agreement, data-processing addendum, or an incorporated security schedule. FTC guidance says that if a business requires specific security standards, it should state them precisely and make them non-negotiable. Policy language that the vendor can change unilaterally is not an effective control.
Core contract checklist
| Contract area | What to specify | Evidence or remedy to request |
|---|---|---|
| Permitted purpose | Exactly which services may process customer content and which secondary uses are prohibited. | Written confirmation that training, evaluation, advertising, sale, or unrelated analytics are disabled unless expressly authorized. |
| Data ownership and instructions | Customer ownership, documented processing instructions, and limits on vendor access. | Named controller and processor roles, with responsibilities for each party. |
| Retention and deletion | Retention periods for prompts, files, outputs, logs, support records, and backups. | Deletion or return at termination, defined backup expiry, legal-hold rules, and deletion evidence. |
| Subprocessors | Identity, purpose, location, and access of each subprocessor, model provider, and hosting provider. | Advance notice of additions, objection or termination rights, and flow-down obligations. |
| Security measures | Encryption, key management, tenant isolation, authentication, logging, vulnerability management, secure development, and physical safeguards. | Current independent assessment, scope, exceptions, and remediation commitments. |
| Incidents and vulnerabilities | Notice deadline, required contents, cooperation, evidence preservation, and customer communications. | Assistance with investigation, containment, regulatory duties, and remediation. |
| Changes | Material model, architecture, hosting-region, subprocessor, or data-use changes. | Advance notice, reassessment rights, and termination or migration options. |
| Audit and assessment | Customer questionnaires, independent reports, audit cooperation, and evidence-refresh frequency. | Reasonable access to records and a remedy if evidence is missing or controls fail. |
| Availability and exit | Service levels, recovery commitments, export format, transition assistance, and termination for cause. | Fallback procedures, usable data export, and secure return or destruction. |
Align the contract with processor requirements
ICO guidance recommends written terms that identify controller and processor responsibilities; describe the subject matter, duration, purpose, data types, and people involved; authorize subprocessors; define technical and organizational measures; and require deletion or return at the end. Have privacy counsel adapt these requirements to the jurisdictions and data categories that apply to your organization.
How do I run a safe pilot before full deployment?
Use a pilot to test the vendor’s behavior, not merely its demo quality. Begin with synthetic, public, or low-sensitivity data and a limited group of users. Define acceptance criteria before sending production information.
- Prepare test cases: include ordinary requests, malformed files, prompt-injection attempts, sensitive-looking strings, access-denied scenarios, and expected failure cases.
- Verify configuration: confirm single sign-on, multifactor authentication, least-privilege roles, logging, retention settings, regional restrictions, and training opt-out settings.
- Measure outputs: check accuracy, harmful or fabricated responses, disclosure of test secrets, unauthorized tool calls, and whether human review catches errors.
- Exercise failure handling: disable the integration, revoke tokens, switch to the manual process, restore from an export, and contact the vendor’s incident channel.
- Review evidence: compare observed logs, deletion behavior, and support responses with the contract and questionnaire.
- Approve a bounded scope: document allowed data, users, systems, model versions, review requirements, and conditions that trigger a new assessment.
Keep a decision record containing the use-case classification, residual risks, compensating controls, approver, evidence dates, contract version, and review date. This record prevents a pilot exception from quietly becoming an enterprise dependency.

How should a small team monitor an AI vendor after approval?
Approval is the start of monitoring, not the end of due diligence. NIST’s Generative AI Profile calls for ongoing monitoring, dynamic risk assessments, and contingency processes for third-party failures.
Monitor these change signals
- New or removed subprocessors, hosting regions, model providers, or open-source components.
- Changes to training, retention, logging, privacy, acceptable-use, or security terms.
- Model-version changes that alter behavior, tool access, output format, or safety controls.
- Security incidents, vulnerability disclosures, outages, material service-level misses, or unexplained latency changes.
- Unexpected data in logs, support tickets, exports, or vendor dashboards.
- Use outside the approved purpose, new user groups, or connections to higher-sensitivity systems.
Set a review cadence based on impact
Use event-triggered reviews for any material change and schedule periodic evidence refreshes for every active vendor. High-impact services should have a named owner, a documented fallback, tested credential revocation, and a review interval shorter than low-impact experiments. The exact interval is an organizational decision; record the rationale rather than adopting a calendar date without considering risk.
When a vendor cannot meet a new requirement, choose among reducing the data, narrowing the use case, adding a compensating control, migrating to another service, or stopping the integration. Do not leave an unresolved exception without an owner and expiry condition.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How do I compare two AI vendors that both pass the initial review?
Compare the controls that affect your use case, not feature counts alone. Use a weighted scorecard in which a failure on a critical requirement can disqualify a vendor regardless of its total score.

What should I do when the vendor refuses to answer?
Classify the refusal as a risk signal, not an automatic failure. Ask whether the missing information can be supplied through a confidential review, an independent assessment, a standard security questionnaire, or a contractual commitment with verification rights.
- If the vendor will not state whether data is used for training, prohibit confidential and personal data and limit the service to public material.
- If deletion cannot be demonstrated, set a short retention limit, avoid uploads, or choose another service.
- If subprocessors and regions are undisclosed, do not send data whose transfer you cannot legally or contractually authorize.
- If incident notification is vague, require a defined deadline and cooperation obligations before production use.
- If the vendor will not support export or a fallback, keep the integration non-critical and maintain a tested manual process.
Document the unanswered question, the business consequence, the compensating control, the accountable approver, and the date the exception expires. A small team can accept uncertainty only when it is explicit and reversible.
What is a practical approval packet for a small IT team?
Keep the packet short enough to maintain but complete enough to support an audit or incident response. A useful packet contains:
- The service inventory and data-flow diagram.
- Use-case, information, and impact classification.
- Completed vendor questionnaire and dated evidence list.
- Threats, residual risks, and compensating controls.
- Minimization and access configuration record.
- Signed contract, data-processing terms, security schedule, and subprocessor list.
- Pilot results, acceptance criteria, fallback test, and incident contacts.
- Named owner, approver, review date, and conditions that force reassessment.
This packet lets a two- or three-person IT function apply the same standard repeatedly, even when legal, privacy, or security specialists are consulted only for higher-impact cases.
Frequently Asked Questions
Can a SOC 2 report alone prove that an AI vendor is safe?
No. A SOC 2 report covers the controls and period described in its scope, which may exclude the AI model, a specific API, subprocessors, or data-use practices. Read the scope and exceptions, then obtain direct answers about training, retention, deletion, tenant isolation, and model changes.
What if employees are already pasting company information into an unapproved AI tool?
Preserve relevant logs, notify the security and privacy owners, and determine what information was entered and whether the account is personal or organizational. Revoke tokens or sessions where appropriate, provide an approved alternative, and add a clear intake and blocking rule so the same path is not repeated.
Should prompts be treated as personal data?
They can be, if they identify or describe a person or can be linked back to one. Classify prompts, uploaded files, outputs, and metadata according to their content and linkability rather than assuming that text entered into an AI interface is anonymous.
How should we handle an AI vendor acquired by another company?
Treat the acquisition as a material change if it can alter the legal entity, subprocessors, hosting regions, terms, model providers, or access to data. Trigger the reassessment and use your contract’s change-notice, objection, export, and termination provisions before allowing continued processing.
