A higher AI-company valuation can increase the paper value of an employee’s equity, but it does not automatically create a personal windfall. The outcome depends on the award (shares, options or another security), the class of stock, the number of shares after dilution, any exercise cost, taxes and whether the holder can reach a real liquidity event. Keep three figures separate: the company’s financing valuation, the price at which someone actually sells, and the cash left after costs and taxes. A financing headline is a company-level signal, not a guaranteed payout for every employee.

How does startup equity become more valuable when an AI company raises its valuation?

Equity becomes more valuable when a financing round or secondary transaction establishes a higher price for the relevant security. If you own shares, that price can provide a new reference point for their paper value. If you hold options, the potential spread is generally the difference between the relevant share value and your exercise price, multiplied by the number of shares, before taxes and other costs.

That arithmetic is only an estimate until a buyer is willing to transact. A financing price applies to a particular security and set of rights. An employee may hold common stock or an option to buy common stock while investors buy preferred stock with different protections. The company’s post-money valuation also reflects the entire capitalization structure, not an employee’s individual percentage.

Paper value is not spendable cash

Paper value is a mark based on a recent financing, valuation report or transaction. Sale value is the price a holder can obtain in an approved tender, private secondary transaction, acquisition or public-market sale. Cash proceeds are what remains after the exercise price for options, taxes, transaction costs and any other obligations. A rising mark can therefore coexist with zero immediate liquidity.

A financing valuation is transaction-specific

Investors negotiate a price for a specified class of security under specified conversion, voting and liquidation terms. The same company can have preferred shares, common shares, options and convertible instruments outstanding at once. Treating the headline post-money number as though every share has identical economics can materially overstate an employee’s position.

What information determines an employee’s actual upside?

Your grant documents and the company’s capitalization records matter more than a news headline. Before estimating any windfall, identify each of these variables:

  • Award type: You may own common shares, hold options that require an exercise payment, or hold another instrument with its own conversion terms.
  • Security class: Preferred and common stock can carry different rights and prices. A preferred financing price is not automatically the value of employee common stock.
  • Share count: Use the number of shares actually granted or exercisable, not an assumed ownership percentage.
  • Dilution: Later financings, option pools and other issuances can reduce the fraction of the company represented by your shares.
  • Exercise cost: An option holder may need to pay the stated exercise price before owning shares that can be sold.
  • Taxes: The timing and amount depend on the award, transaction and jurisdiction. A tax bill can arise before a sale.
  • Liquidity rights: Company approval, transfer restrictions, lock-ups and an available buyer determine whether paper value can become cash.

The available evidence does not establish typical employee grant sizes, fully diluted share counts, dilution percentages or a universal tax result. Any personal estimate that skips those inputs is a scenario, not a forecast.

Why can preferred and common shares have different values?

Preferred stock often comes with negotiated rights that common stock does not have, including conversion mechanics and preferences in a sale. Those rights can justify a different transaction price. An employee’s common shares or options should therefore be analyzed under their own documents rather than by copying an investor’s preferred-share price.

An Amazon SEC Form 10-Q for the quarter ended June 30, 2026 illustrates the distinction at the investment level: Amazon reported investments in OpenAI Series C preferred stock and Anthropic nonvoting preferred stock, along with convertible notes. Those instruments have different rights and conversion conditions. The filing is evidence of differentiated investor securities, not a description of employee compensation plans.

Can employees cash out before an IPO?

Sometimes. Private-company holders may obtain liquidity through a company-organized tender offer, an approved private secondary sale, an acquisition or another transaction. Eligibility, price, security class, timing and transfer permissions are set by the company and the particular transaction; no route is automatic.

Tender offers

In a tender offer, the company or an arranged buyer invites eligible holders to sell a specified amount of a specified security at stated terms. A tender can provide a defined closing date and price, but the company may limit participation, the number of shares accepted or the classes that qualify.

Private secondary sales

A secondary sale matches an existing holder with a buyer rather than issuing new shares. The company may need to approve the transfer, exercise a right of first refusal or impose other restrictions. Price and closing certainty depend on the buyer, the security being sold and the transaction documents.

Waiting for an IPO or another liquidity event

Holding until an IPO, acquisition or later company-arranged sale preserves potential upside but leaves the holder exposed to delay, valuation changes and continued restrictions. A public listing can still involve a lock-up before shares may be sold, while an acquisition may pay in cash, stock or a combination under deal-specific terms.

Route Eligibility and permission Price and security Timing and certainty Key constraints
Tender offer Only holders selected under the company’s offer can participate. The offer specifies the price and eligible security. A scheduled transaction can provide a clearer closing window than an open-ended wait. Participation limits, company terms and transfer conditions apply.
Private secondary sale Requires a willing buyer and any company approvals required by the charter or agreements. Negotiated for the particular shares or other security being transferred. Depends on finding a buyer and completing approvals. Transfer restrictions, rights of first refusal and conversion terms can affect completion.
IPO, acquisition or later liquidity event Depends on the company completing the event and the holder satisfying its rules. Terms depend on the public offering or deal and the security held. Timing is uncertain until the event is announced and completed. Lock-ups, market conditions and deal terms can delay or change proceeds.

What recent AI-company activity shows

The Information estimated that employees and investors in OpenAI and Anthropic sold about $14 billion of shares over five years. It reported more than $9 billion in OpenAI employee share sales through tenders and described Anthropic employee share sales in 2025 and 2026. These are reported, company-specific examples, not evidence that every employee can sell.

Why can a rising valuation create a tax-and-cash mismatch?

Equity compensation can produce a tax obligation while the underlying shares remain private and unsold. The Information reported that employees may face taxes on stock compensation even when they cannot access a buyer. The exact result depends on the award type, the transaction and the holder’s jurisdiction, so there is no single tax rule that can be applied to every employee.

Before exercising options or accepting a transaction, obtain the award agreement, the company’s current transaction terms and advice from a qualified tax professional who understands the relevant jurisdiction. Model the cash needed for any exercise payment and potential tax bill separately from the expected sale proceeds. Do not assume that a paper gain supplies the cash to meet an earlier obligation.

What does Anthropic’s $380 billion valuation illustrate?

On February 12, 2026, Anthropic announced a $30 billion Series G financing at a $380 billion post-money valuation. The post-money figure is the company’s stated value immediately after that financing, not a guaranteed price at which an employee can sell common shares.

The example also shows why capital needs matter. Anthropic president and co-founder Daniela Amodei told The Information, “It’s a very capital-intensive business to train AI models,” and said public markets are well suited to provide capital to frontier AI companies over time. A large financing can strengthen a company’s resources while still leaving employee liquidity dependent on later transactions and approvals.

How might a company’s public-benefit policy affect equity value?

Valuation growth can be linked to commitments that allocate part of a company’s equity to a stated purpose. Anthropic announced that, subject to stockholder approval, 5% of its shares would be committed to a Public Benefit Fund. The company said the board could add another 2% for every 50% increase in company value over a baseline, and that further governance and valuation-milestone details would follow.

This proposal does not change an employee’s grant automatically. Its effect depends on stockholder approval, the final governance documents and how future issuances or transfers are handled. Treat it as a company-policy feature to review alongside the award documents, not as an additional personal allocation.

How can you estimate a stake without mistaking a headline for a payout?

Use a documented range rather than a single windfall number. The following process keeps the company valuation, transaction price and net cash separate:

  1. Inventory the award. Record whether you hold shares, options or another instrument; the number of shares; vesting or exercise conditions; and the stated exercise price, if any.
  2. Identify the relevant security. Confirm whether the reference price comes from preferred stock, common stock, a tender offer or another transaction. Do not substitute one class for another without a documented conversion or valuation basis.
  3. Check dilution and capitalization. Obtain the latest information the company provides about outstanding shares, option pools and new financings. A headline post-money valuation alone does not reveal your percentage.
  4. List liquidity paths. Determine whether a tender, secondary transfer, IPO, acquisition or other event is currently permitted, and whether you are eligible.
  5. Build three figures. Show (a) paper value at the stated reference price, (b) gross proceeds at an actual transaction price and (c) cash after exercise costs, taxes and fees. Label every assumption and date.
  6. Stress-test timing. Include a case in which no buyer appears for an extended period and a case in which the valuation changes before a sale. This prevents an illiquid mark from being treated as available cash.

A defensible calculation requires your grant and company cap-table terms, exercise price, applicable tax situation and an available transaction price. Without those inputs, publishing a precise “your stake is worth” number would imply facts that are not established.

What commonly prevents an expected windfall?

  • Using the post-money figure as a share price: Post-money valuation describes the whole company after financing, not necessarily the price of your security.
  • Ignoring security rights: Preferred investor terms may not transfer to employee common stock.
  • Overlooking dilution: New rounds and option-pool changes can reduce your economic share.
  • Forgetting exercise cash: Options can require payment before shares exist to sell.
  • Assuming liquidity: Private shares may remain restricted even after a dramatic valuation increase.
  • Counting aggregate sales as a personal benchmark: Reported billions combine many holders, securities and transactions under different terms.
  • Planning taxes after the sale: A tax date can arrive before a liquidity date, creating a funding gap.

What should an employee ask before accepting a liquidity opportunity?

  1. Which exact security and share class am I selling or exercising?
  2. What price applies to that security, and how was the price set?
  3. How many shares may I sell, and who is eligible?
  4. What company consents, transfer restrictions, lock-ups or conversion conditions apply?
  5. When will proceeds be paid, and what could delay closing?
  6. What exercise payment, taxes and transaction costs must be funded before or at closing?
  7. Which terms are estimates and which are contractual?

These questions turn a valuation headline into a transaction checklist. They also make it easier to compare taking partial liquidity now with retaining exposure to a future event.

Why does liquidity pressure increase as private AI companies grow?

Employees who have vested equity may hold it for years while the company raises at higher valuations. Caplight CEO Javier Avalos told The Information, “At that point, you start to feel a lot of pressure to provide liquidity to employees.” The pressure reflects the practical gap between an appreciating private-company stake and money an employee can actually use; it does not guarantee that a company will organize a sale.

Frequently Asked Questions

What does a post-money valuation include?

A post-money valuation is the company value stated immediately after a financing, incorporating the transaction’s new capital and negotiated security terms. It is a financing reference for the company as a whole, not a promise that every outstanding share can be sold at that figure.

Can I use an investor’s preferred-share price to value my employee common stock?

Not without a documented basis that accounts for the two securities’ rights and conversion terms. Preferred and common stock can have different economics, so the investor price should be treated as a reference point rather than an automatic employee-share price.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Are the reported multibillion-dollar employee sales a benchmark for my grant?

No. The reported totals aggregate many holders, years and transaction types, and The Information presented them as estimates. They demonstrate that liquidity has occurred at some AI companies, but they do not establish a typical grant size, sale price or employee outcome.

What documents should I review before deciding whether to exercise or sell?

Start with the grant or subscription agreement, the current capitalization information, any tender or secondary-sale documents and the company’s transfer restrictions. Pair those documents with advice on your own tax situation so that exercise cash and possible taxes are modeled before you commit.
