AI data centers are rarely paid for with one source of money. Operators combine operating cash flow, corporate bonds and loans, asset-level project debt, equipment and property leases, equity, and partnerships that put a facility in a separate company. Long-term customer commitments—especially take-or-pay contracts—can make the future revenue predictable enough to support borrowing against specific GPUs, buildings, and power systems.
The mix determines who owns the infrastructure, who carries construction and utilization risk, how much must be repaid each year, and whether obligations appear as debt, lease liabilities, or off-balance-sheet commitments. Microsoft’s fiscal-2025 disclosures, Oracle’s 2026 financing plan, and CoreWeave’s contracted-revenue model illustrate how the stack works in practice.
What does the funding stack for an AI data center look like?
An AI campus normally uses several layers of capital at once. A hyperscaler may pay part of construction from cash, issue unsecured bonds for the remainder, sign leases for additional sites or servers, and ask a financing subsidiary to borrow against a particular building and its customer contracts. An equity issuance can fill a gap or keep leverage within a target range.

- Operating cash flow: internally generated money used for land, construction, power equipment, networking, and GPUs.
- Corporate debt: senior unsecured bonds, revolving credit, term loans, or other borrowings backed by the company as a whole.
- Asset-level or project debt: secured loans tied to an identified facility, equipment pool, subsidiary, and contracted revenue.
- Leases: contractual rights to use buildings, data-center capacity, or equipment in exchange for scheduled payments.
- Equity: retained earnings or newly issued shares that absorb risk without creating mandatory repayment.
- Partnerships and special-purpose vehicles: another investor owns or finances the facility and leases capacity to the technology company.
- Customer commitments: take-or-pay or other multiyear contracts that provide predictable receipts to the infrastructure owner.
These layers are complementary rather than interchangeable. Cash is flexible but finite; unsecured debt is scalable but affects credit metrics; project debt can be cheaper when collateral and contracts are strong but is less flexible if a project underperforms; leases speed deployment while creating fixed commitments.

How does operating cash flow pay for AI capacity?
Cash-rich cloud and software companies can fund a substantial portion of expansion directly from operations. This avoids interest expense, collateral pledges, and share dilution, and it lets management accelerate or pause projects without renegotiating a lender’s consent.
Microsoft reported $136.2 billion of operating cash flow in fiscal 2025. In the same period, additions to property and equipment rose by $20.1 billion year over year. The company also reported $32.1 billion committed for construction, including new buildings, building improvements, and leasehold improvements, primarily for data centers. Those figures show why a mature hyperscaler can self-fund a meaningful build-out even while using other financing channels.
What cash funding costs
“Free” cash still has an opportunity cost. Every dollar directed to a campus is unavailable for dividends, share repurchases, acquisitions, working capital, or a different cloud region. A project funded entirely from cash also leaves the company exposed to the full residual value of specialized GPUs and power infrastructure if demand falls. Finance teams therefore compare the expected return on a new cluster with the return shareholders might receive from alternative uses of cash.
How do corporate bonds and loans finance AI data centers?
Corporate debt raises money at the parent-company level. A bond prospectus may describe the proceeds as general corporate purposes, which can include capital expenditure for data centers, servers, and network equipment. The lender generally relies on the issuer’s consolidated cash flows rather than on a mortgage over one building.
This structure is efficient for a large investment-grade borrower: one issuance can fund many sites, and the company can move money between projects as demand changes. The trade-off is balance-sheet pressure. Interest and principal are owed even if a particular cluster is underutilized, and a rapid increase in borrowing can raise leverage, refinancing exposure, and the cost of future debt.
Why combine debt with equity?
Oracle said its 2026 plan called for approximately $45 billion to $50 billion of gross proceeds to expand Oracle Cloud Infrastructure capacity for contracted customers. The company described a roughly equal split between equity and a one-time senior unsecured bond issuance. Equity does not require scheduled repayment, so it can protect an investment-grade profile when capital spending is rising faster than operating cash flow. The price is dilution for existing shareholders and, potentially, a higher required return than debt investors demand.

What is asset-level or project debt for AI infrastructure?
Asset-level financing borrows against a defined set of GPUs, servers, buildings, power systems, leases, and receivables. A lender can underwrite the project’s contracted revenue and collateral separately from the sponsor’s other businesses. This is particularly useful for specialist cloud operators that need to build quickly but do not have the same unrestricted cash generation as a hyperscaler.
CoreWeave states that it primarily finances infrastructure development through asset-level debt supported by take-or-pay customer contracts, supplemented by corporate-level equity and debt financing. On July 31, 2025, it entered a $2.6 billion secured delayed-draw term loan led by Morgan Stanley and MUFG, with Goldman Sachs and other banks in the syndicate. The facility was secured by substantially all assets of a subsidiary, supported equipment and infrastructure for a long-term OpenAI agreement, and carried pricing of SOFR plus 4%.
A delayed-draw structure lets the borrower take money as eligible construction or equipment costs arise rather than paying interest on the entire commitment from day one. Security gives lenders a claim on the pledged assets and project cash flows if the borrower defaults, while the sponsor retains ownership subject to the loan terms. CoreWeave’s chief development officer and co-founder, Brannin McBee, described the transaction as intended to lower the company’s cost of capital.
What lenders examine
- Whether the customer contract requires payment for capacity regardless of actual usage.
- The customer’s credit quality, termination rights, and concentration in the revenue forecast.
- Power availability, construction milestones, equipment delivery, and permits.
- Collateral value after a default, including how quickly GPUs can be redeployed or sold.
- Debt-service coverage, reserve accounts, insurance, and maintenance obligations.
- Restrictions on additional borrowing, asset sales, dividends, and changes to the project.
How do leases fund data-center buildings and GPUs?
A lease gives an operator the right to use a facility or equipment while spreading payments over the operating period. Property leases can cover a whole building, a powered shell, or a portion of a campus; equipment leases can cover servers, GPUs, networking gear, and cooling systems. The operator gets capacity without paying the entire purchase price upfront, and the lessor may specialize in owning and financing the asset.

They can align payments with the period in which a cluster generates revenue and preserve cash for fit-outs or software. They also create fixed commitments, renewal decisions, residual-value risk, and potential restrictions on moving or modifying equipment.

As of June 30, 2025, Microsoft disclosed $92.7 billion of additional leases that had not yet commenced. The company said these leases were primarily for data centers and expected them to commence between fiscal 2026 and fiscal 2031. That figure is a reminder that current funded debt alone does not show all future claims on cash.
Lease questions investors should ask
- Is the arrangement a property lease, an equipment lease, or a service contract that bundles capacity and operations?
- When do payments begin, and are there construction-period commitments before a site is usable?
- Who owns the GPUs at the end, and who bears technology-obsolescence or residual-value risk?
- Can the customer terminate, reduce capacity, or transfer the lease if demand changes?
How do partnerships and special-purpose vehicles work?
In a partnership structure, an investor or infrastructure fund may create a special-purpose vehicle (SPV). The SPV raises construction debt, owns the land or building, and leases capacity back to the technology company under a long-term agreement. The technology company can secure a large campus while sharing some financing and ownership with the partner.
Secondary reporting described a Meta–Blue Owl Louisiana project in which Blue Owl was the majority owner of an SPV that borrowed, built, and leased the facility back to Meta. Meta characterized the arrangement as an innovative partnership intended to support speed and flexibility. The precise accounting, guarantees, purchase options, and recourse depend on the signed contracts and filings; an SPV is not automatically off-balance-sheet, and a lease can still create a substantial reported liability.

Why use an SPV?
The structure can match long-lived infrastructure with investors that have a lower cost of capital or specialized construction expertise. It may also divide risks: the partner bears some ownership and financing risk, while the technology company commits to capacity and operating payments. In exchange, the operator may have less control over the asset, face lease escalation clauses, or give up some upside if the site becomes more valuable than expected.
How do take-or-pay contracts support AI data-center financing?
A take-or-pay contract requires a customer to pay for a committed amount of capacity whether or not it uses every accelerator-hour. That obligation gives the infrastructure owner a more predictable revenue stream than a purely on-demand cloud model. Lenders can model debt service against the contracted payments, subject to customer credit and contract enforceability.
CoreWeave reported $60.7 billion of remaining performance obligations (RPO) at December 31, 2025, up from $15.1 billion a year earlier. It said the committed contracts averaged approximately five years, with individual commitments generally running from one to six years. RPO is the value of contracted work not yet recognized as revenue; it is not cash already collected and does not equal profit.

Contracted revenue can support a dedicated borrowing facility, but it does not eliminate risk. A customer may experience financial distress, seek a restructuring, dispute service levels, or exercise a termination right. A few large customers can account for most commitments, so the lender also models concentration and replacement risk. The operator must still deliver power, uptime, networking, and the specified accelerator configuration throughout the term.

The same number of planned megawatts or GPUs can produce very different financial risk depending on the funding structure. Use the following comparison when reading a company filing or evaluating a proposed campus.
| Funding channel | Typical tenor and cost | Collateral and recourse | Who owns the asset? | Main dependency | Primary risk |
|---|---|---|---|---|---|
| Operating cash flow | No contractual interest; limited by internal cash generation | No lender collateral | Technology company | Profitability and competing uses of cash | Opportunity cost and full residual-value exposure |
| Corporate bonds or loans | Usually multiyear; priced to parent-company credit | Generally unsecured, with parent recourse | Technology company or its subsidiaries | Credit rating and refinancing access | Interest, leverage, and maturity concentration |
| Asset-level/project debt | Drawn over construction; amortization follows project terms | Secured by project assets and cash flows; often limited recourse | Borrower or project subsidiary | Collateral value and contracted revenue | Construction failure, utilization, and covenant default |
| Leases | Fixed payments over the use period; implicit cost varies by asset | Lessor owns the asset; remedies follow the lease | Lessor during the term, unless purchased | Site or equipment availability and contract terms | Long-term payment and obsolescence commitments |
| SPV partnership | Debt and equity terms set by the project owners | SPV assets, leases, and any sponsor guarantees | Investor, SPV, or shared ownership | Lease payments and partner capital | Control, accounting, and counterparty complexity |
| Equity issuance | No mandatory maturity; investors require a return | No debt collateral | Shareholders own the company | Market valuation and investor appetite | Dilution and share-price pressure |
Who carries construction, power, utilization, and technology risk?
Financing documents allocate risks rather than remove them. Construction lenders may require completion tests, contingency reserves, fixed-price engineering contracts, and evidence that utility interconnection is secured. Delays can postpone revenue while interest, lease payments, and equipment reservations continue.
Power is a separate bottleneck. A campus can have financing and customers but still miss its launch date if transmission upgrades, substations, or generation capacity are late. Contracts may pass some power-cost volatility to customers, but the exact allocation must be checked in the agreement.
Utilization risk is lower under take-or-pay commitments, yet it remains for uncontracted capacity and for renewals after the initial term. Technology risk is also material: a rapidly improving accelerator can reduce the resale value or competitiveness of an older GPU fleet before its debt or lease ends.

How can you analyze an AI data-center financing plan?
- Map the asset: identify land, buildings, power equipment, networking, GPUs, and who legally owns each item.
- List every obligation: include drawn debt, undrawn commitments, lease liabilities, purchase commitments, take-or-pay payments, guarantees, and SPV arrangements.
- Match funding to cash flow: compare construction draws and payment start dates with customer receipts and expected utilization.
- Separate recourse: determine whether lenders can claim the parent company, only a subsidiary, or specific collateral.
- Test downside cases: model a construction delay, higher power costs, a lost customer, lower GPU resale values, and refinancing at a higher interest rate.
- Check maturities: plot bond, loan, lease, and customer-contract expirations on one timeline to reveal refinancing cliffs.
- Read accounting notes: reconcile reported debt with lease liabilities, purchase commitments, guarantees, and obligations involving unconsolidated entities.
Is one funding model best for every AI data center?
No. A hyperscaler with abundant operating cash and a strong bond rating can favor corporate funding for flexibility, then use leases to secure scarce sites. A specialist operator with contracted customers may obtain better economics from asset-level debt, but it accepts tighter covenants and greater dependence on a small number of counterparties. An SPV can bring in infrastructure capital and accelerate construction, while equity protects the balance sheet when debt capacity is constrained.
The practical question is not whether a project uses debt, leases, or cash; it is whether the payment schedule, collateral, customer contracts, power supply, and technology life are aligned. A healthy structure leaves enough liquidity for overruns, avoids a single maturity wall, and does not assume that a five-year customer promise automatically covers a ten-year asset.
Frequently Asked Questions
Do data-center leases count as debt?
Accounting treatment depends on the lease type and the reporting rules, but many leases create a recognized right-of-use asset and lease liability rather than being included in funded borrowings. Credit analysts therefore add lease liabilities and future commitments to debt-like obligations when assessing leverage, even when a company presents them in a separate note.
The Tool Desk
Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Can a take-or-pay customer stop paying if it does not use the GPUs?
The defining feature is that payment is owed for the committed capacity, not only for measured usage. A customer may still have contractual termination, force-majeure, service-level, or insolvency rights, so lenders review the exact remedies and any parent guarantee instead of treating the commitment as risk-free.
Why would an AI company issue shares when borrowing may be cheaper?
Equity has no scheduled interest or maturity and can keep leverage within investment-grade or covenant limits during an unusually large build-out. The trade-off is dilution and the possibility that investors demand a higher return than bondholders, especially when demand for future AI capacity is uncertain.
What happens to project debt if a data center is completed late?
Loan agreements commonly require milestone tests, reserve funding, updated budgets, and waivers or amendments when completion slips. Interest can accrue before revenue starts, and failure to meet milestones may limit further draws or trigger a default, making contingency liquidity as important as the headline loan size.
