AI chips can secure equipment financing, but lenders do not value them like ordinary servers or generic machinery. They combine a current market appraisal, the cash flow the hardware is expected to generate, and an estimate of how competitive and saleable it will remain after the first customer contract. The analysis also tests power costs, cooling and networking, operator capability, customer concentration, contract protections, and the speed of technology refresh. A lender then applies a conservative advance rate or borrowing-base formula and rechecks the value throughout the loan. In practice, the durability of the operating platform’s cash flow often matters more than the chips’ standalone resale price.
How do lenders value AI chips as collateral?
A lender normally follows six linked analyses rather than assigning one price to a GPU or accelerator. The result is a collateral value that can support a loan, lease, or borrowing base while recognizing that AI hardware can lose economic value before it stops working.
1. Identify the exact asset and its condition
The appraisal starts with an asset register, not a marketing description. It records the chip generation and model, memory capacity, server configuration, interconnect, storage, installation site, operating status, ownership, liens, serial numbers, warranties, and maintenance history. The lender also checks whether the borrower can legally pledge the equipment and whether any supplier, landlord, or previous financier has a competing claim.
Configuration matters because a bare chip, a complete server, and a networked rack can have very different buyers and removal costs. A functioning cluster with the right interconnect may earn revenue; the same processors removed from that environment may be harder to sell or redeploy.

2. Establish a current market mark
An independent appraiser or valuation team looks for completed resale transactions and states the assumptions behind the appraisal. Asking prices are weaker evidence than closed sales. The analysis should identify whether the conclusion is an orderly-liquidation value, a forced-sale value, or a value for continued operation.
American Compute distinguishes a closing-date appraisal from recurring valuations used in covenants and borrowing-base tests. That distinction is important: a value accepted on the funding date is not automatically a safe value for the remaining term of a multi-year facility.
3. Separate physical usefulness from economic life
A chip can remain operational while becoming too expensive or too slow for the workloads that pay for it. KBRA describes the key post-contract question as whether customers will continue using the capacity at an attractive price. The answer depends on workload fit, software compatibility, switching costs, power cost per unit of compute, the availability of newer chips, and the operator’s refresh plan.
Clifford Chance cites an average GPU economic life of three to five years. That is an industry observation, not a guaranteed life for every model. S&P Global Ratings has cited four-to-five-year refresh pressure for high-performance GPUs and CPUs, which can force economic depreciation even when the equipment still passes technical tests.
4. Underwrite the contracted cash flow
The lender examines the revenue attached to the equipment: contract term, take-or-pay or minimum-commitment provisions, customer credit, payment history, extension rights, prepayment terms, termination rights, and debt-service coverage. It also measures customer concentration. A single highly rated customer may be stronger credit than many speculative customers, while a diversified customer base can reduce dependence on one counterparty.
Clifford Chance reports that newer GPU programs are increasingly sized to contracted revenue rather than theoretical resale value. In those structures, the chips are security for a cash-flow transaction; the contract and the customer’s ability to pay can determine the amount advanced.
5. Estimate residual and liquidation value
Residual analysis asks what remains after the initial contract or loan period. The lender models both an orderly sale, where there is time to find a buyer, and a forced sale, where equipment may be discounted and dismantling, shipping, data wiping, or site access can reduce proceeds.

The model considers replacement customers, resale depth for that generation, the timing of the next major architecture, and whether the equipment can be moved without losing value. Public sources do not establish one residual-value curve for every GPU generation, so a lender should identify the appraisal methodology and assumptions rather than treating a percentage as universal.
6. Set controls and refresh the mark
At each covenant or borrowing-base date, the lender can update the collateral mark and recalculate headroom. Changes in used-equipment prices, rental rates, electricity costs, utilization, customer credit, or technology roadmaps can reduce the amount eligible to support debt. Reporting may include asset location, uptime, insurance, maintenance, contract status, and evidence that the pledged equipment remains in service.
What information is included in an AI-chip collateral appraisal?
A credible appraisal combines asset facts with operating and contractual evidence. The following categories show what each part contributes to the lender’s decision.
| Appraisal category | Evidence the lender reviews | Why it changes collateral value |
|---|---|---|
| Identity and configuration | Chip generation, model, memory, server design, interconnect, serial numbers and location | Determines compatibility, buyer pool, dismantling cost and fungibility |
| Condition and control | Operating status, maintenance records, warranties, insurance, ownership and liens | Shows whether the lender can take possession and sell usable equipment |
| Market mark | Completed resale transactions and stated appraisal premises | Anchors today’s value instead of relying on list prices or replacement cost |
| Economic life | Workload fit, refresh schedule, power efficiency, software support and competing generations | Determines how long the equipment can earn an attractive price |
| Contracted cash flow | Term, take-or-pay commitments, customer credit, concentration, extensions and prepayments | Supports debt service when resale value is uncertain |
| Residual and liquidation | Potential replacement users, resale depth, orderly versus forced sale and removal timing | Sets downside recovery and the cushion required by the lender |
What loan-to-value or advance rate do lenders use for GPUs?
There is no standard GPU loan-to-value percentage. Each lender sets an advance rate from the appraised value, contracted cash flow, asset concentration, and downside assumptions, then may apply separate eligibility haircuts to older, specialized, or difficult-to-move equipment.
Stijn Van Nieuwerburgh of Columbia Business School cited 70%–80% leverage for physical AI infrastructure in 2026. That is a broad infrastructure observation, not a universal advance rate for individual GPUs. A facility secured by a ring-fenced project with strong take-or-pay revenue may support a different amount from a loan secured only by a mixed pool of used servers.
Many facilities use a borrowing base rather than a single headline LTV. The base can combine an eligible percentage of current equipment value with a separate percentage of qualifying receivables or contracted revenue. The lender then subtracts reserves for customer concentration, unpaid taxes, insurance gaps, maintenance, power obligations, or expected liquidation costs.
Ask for the definition of “value” in the documents. It may mean orderly-liquidation value, net orderly value after costs, a recurring appraisal, or a formula tied to observable transactions. Also ask how quickly an appraisal decline triggers a mandatory paydown, additional equity, or a temporary freeze on new draws.

How do customer contracts affect GPU financing?
Contracts can make a package of rapidly depreciating chips financeable because they provide a path to debt service while the equipment remains useful. They do not eliminate hardware risk: the lender still tests whether the customer can terminate, whether the operator can deliver the contracted capacity, and whether the revenue is concentrated in one counterparty.

Random freezes, missing sound and display glitches usually trace back to one bad driver. Find and replace yours safely.Free scan · under a minuteContract features that strengthen the credit
- Take-or-pay or minimum commitments: payment is due for reserved capacity even if the customer’s usage fluctuates, subject to the contract’s conditions.
- Customer credit quality: a financially strong counterparty reduces default risk, but the lender still checks guarantees, payment history and insolvency treatment.
- Term and extensions: a contract that runs close to the loan’s scheduled amortization gives more visibility than a short agreement with no renewal rights.
- Prepayment and termination language: the lender needs to know whether an early termination payment exists and whether the contract can be assigned after a default.
- Debt-service coverage: projected contract receipts should be tested against interest, principal, power, hosting, maintenance and other operating costs.
Why concentration still matters
One large customer can provide excellent credit and still create concentration risk. If that customer represents most of the platform’s revenue, a non-renewal or renegotiation can reduce both cash flow and the value of the associated chips at the same time. Lenders may cap the amount of exposure to one customer or require a reserve against that concentration.
CoreWeave illustrates the scale of the market rather than a pricing benchmark: Clifford Chance reported GPU-collateralized debt growing from US$2.3 billion in 2023 to a US$7.5 billion facility in 2024. The disclosure shows that lenders can finance large operating platforms; it does not establish the advance rate or terms available to another borrower.
How do lenders handle GPU obsolescence and residual value?
They model obsolescence as a revenue and resale problem, not simply as a depreciation schedule. The central question is whether customers will still pay enough for the capacity after a newer generation is available.
Physical life versus economic life
Physical life ends when equipment fails or can no longer be repaired. Economic life ends earlier if performance per dollar, performance per watt, memory, interconnect, or software support falls behind alternatives. AI hardware is particularly exposed because technology roadmaps can reset market prices quickly. Columbia economist Stijn Van Nieuwerburgh has written that AI hardware has a shorter economic life and greater residual-value risk than traditional collateral such as aircraft.
Refresh and amortization alignment
S&P Global Ratings’ four-to-five-year refresh observation and Clifford Chance’s three-to-five-year average GPU economic life imply that a long, slow amortization schedule can leave a balloon balance after the equipment’s strongest earning period. Lenders may therefore require faster principal repayment, a shorter term, a residual-value reserve, or a mandatory refresh contribution.
Re-leasing and replacement demand
KBRA emphasizes re-leasing demand and price. A fungible accelerator that can serve several common workloads has more fallback value than a configuration tied to one customer’s software, geography, or network. The lender also evaluates whether the operator can move the equipment to another site, obtain power and cooling, and keep it connected to a functioning cluster.

Downside cases
Stress tests can combine a lower rental rate, higher electricity cost, reduced utilization, an early contract termination, and a discount on used equipment. The purpose is not to predict one exact outcome; it is to determine whether debt service and recovery remain acceptable when several adverse factors occur together.
Which financing structure bears the residual-value risk?
The legal structure determines who owns the hardware, who receives operating cash flow, and who absorbs a shortfall when the equipment is worth less than expected.
| Structure | Who owns the equipment during the term? | Where residual risk generally sits | Primary repayment support |
|---|---|---|---|
| Equipment loan | Borrower | Borrower owns the residual at maturity; lender relies on collateral on default | Borrower debt service plus a perfected security interest |
| Fair-market-value lease | Lessor | Usually the lessor, which prices payments around expected end-of-term value | Lease payments, lessee credit and residual recovery |
| Dollar-buyout lease | Lessor until the contractual buyout, then lessee | Largely the lessee or eventual owner because payments amortize equipment cost | Lease payments and the lessee’s support |
| Sale-leaseback | Financier or lessor after a genuine sale | Depends on whether control truly transfers and on the negotiated lease | Lease payments and the operator’s continuing business |
| Vendor or milestone financing | Depends on supplier and finance documents | Allocated by delivery, acceptance, title and recourse provisions | Milestone payments, supplier terms and borrower credit |
| Contract-backed facility | Usually borrower or a special-purpose owner | Hardware is secondary; cash-flow and customer-performance risk dominate | Assigned customer contract, receivables and GPU package |
KBRA notes that repayment can depend on ring-fenced project cash flow, lease performance and residual value, or the credit of a lessee and support provider. Read the documents to see which of those risks the lender is actually underwriting.
How often are AI-chip values updated during a loan?
The documents usually specify covenant or borrowing-base dates, but the exact frequency is deal-specific. At each test, the lender can refresh market prices and rental assumptions, verify that the assets remain at the approved site, and recalculate eligible collateral.
- Market movement: new-generation announcements or used-equipment sales can lower the mark.
- Operating performance: utilization, uptime, power consumption and maintenance affect cash generation.
- Contract changes: a customer cancellation, downgrade, extension or payment default changes the cash-flow case.
- Control events: a relocation, new lien, insurance lapse or unauthorized sale can make equipment ineligible.
- Headroom actions: a shortfall may require a paydown, more equity, extra collateral, a reserve or restrictions on further borrowing.
Borrowers should negotiate notice periods and cure rights. A mark that falls because of a temporary market disruption can create a liquidity crisis if the agreement demands immediate repayment without time to sell, refinance or replace contracts.

- High power cost per unit of compute: expensive electricity reduces the margin available for debt service and makes older chips less competitive.
- Specialized configuration: custom networking, memory, cooling or software dependencies narrow the resale market.
- Customer concentration: a single contract can create a simultaneous revenue and collateral shock.
- Short contract tenor: debt that extends well beyond contracted revenue leaves more reliance on uncertain re-leasing.
- Weak operator controls: poor maintenance, incomplete asset records or uncertain site access complicate repossession and sale.
- Refresh mismatch: slow amortization against a three-to-five-year economic life can create an unacceptable balloon balance.
- Thin resale depth: few completed transactions make a mark less reliable and prompt a larger haircut.
How should a borrower compare two AI-chip financing offers?
Compare the risk allocation, not just the stated interest rate or headline LTV. Put both offers on the same assumptions about contract term, utilization, power costs, refresh spending and a downside sale.

| Comparison question | What to obtain in writing |
|---|---|
| Who bears residual risk? | Ownership, end-of-term purchase option, residual guarantee, insurance and return conditions |
| Does the term match economic life? | Amortization schedule, balloon amount and required refresh contributions |
| How strong is the revenue support? | Eligible contracts, assignment rights, take-or-pay language and customer concentration limits |
| How is value measured? | Appraisal standard, approved valuation provider, netting of sale costs and dispute process |
| How often can the lender revalue? | Testing dates, interim revaluation triggers and cure period for a shortfall |
| What controls the hardware? | Title, liens, location reporting, insurance, access rights and default remedies |
| What protections are required? | Buybacks, guarantees, refresh commitments, residual-value insurance or additional collateral |
A lower nominal rate can be expensive if it comes with frequent mark-to-market tests, a large balloon, broad termination rights, or a requirement to post cash after a modest appraisal decline.
What happens if the borrower defaults?
The lender first determines whether the equipment and contracts can continue operating. Keeping a cluster online may produce more value than immediately stripping and selling it, but that requires site access, power, cooling, software, customer cooperation and an operator capable of maintaining service.
If continued operation is not practical, the lender may pursue an orderly sale or a forced sale. An orderly process can identify replacement users and preserve more value; a forced process may involve discounts, removal costs, shipping, data destruction and delays. Contract assignment rights, customer consent requirements and local lien law can materially change recovery, so the security documents should address them before funding.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsWhat does a prudent AI-chip collateral policy look like?
A sound policy treats the chips, the contracts and the operating platform as one linked credit exposure while assigning a separate downside value to the hardware. It uses conservative assumptions where market evidence is thin, aligns amortization with expected economic life, and updates eligibility as technology and customer demand change.
For borrowers, the strongest package is usually one with transparent asset records, enforceable customer contracts, diversified demand, documented power economics, a credible refresh plan and enough liquidity to withstand a valuation haircut. For lenders, the essential discipline is refusing to turn a broad infrastructure leverage statistic into a universal GPU advance rate.
Frequently Asked Questions
Can used GPUs be pledged as collateral?
Yes, but eligibility depends on model, condition, configuration, title and evidence of actual resale demand. Older or highly customized systems may receive a larger haircut, a shorter loan term or no borrowing-base credit if completed transactions are too scarce.
Can a lender finance GPUs before a customer contract is signed?
It can, but the credit case then relies more heavily on resale value, the operator’s balance sheet and expected re-leasing demand. Once a qualifying contract is executed, the lender may be willing to revise the borrowing base or release a reserve, subject to the facility terms.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
Is residual-value insurance mandatory for GPU financing?
No universal requirement exists. A lender may request residual-value insurance, a vendor buyback, a guarantee or extra equity when used-market prices are difficult to observe, but the protection and exclusions must be reviewed alongside the appraisal assumptions.
Who pays for an independent appraisal?
The financing documents usually allocate appraisal and monitoring costs to the borrower or the special-purpose owner, although the exact arrangement is negotiated. Confirm who selects the appraiser, whether the lender can order an interim review, and how disagreements over value are resolved.
