AI agents are already changing technology mergers and acquisitions, but they are not replacing deal teams. Their strongest current roles are searching and summarizing large information sets, supporting diligence, preparing closing work, and coordinating post-close integration. Deloitte’s 2026 Generative AI in M&A Pulse Study says 90% of surveyed organizations use generative AI somewhere in M&A, 37% use it across multiple stages, 49% use it in deal closing, and 52% use it in post-close integration.
The strategic effect is larger than faster paperwork. Buyers are pursuing scarce capabilities—proprietary data, specialized talent, model and workflow IP, computing capacity, secure infrastructure, and deployable domain expertise. Human professionals still own valuation judgments, negotiations, risk acceptance, governance, and accountability, while agents make the supporting work faster and more searchable.
How are AI agents changing technology M&A?
AI agents are moving from isolated pilots into operating M&A workflows. An agent can retrieve information from approved sources, classify documents, identify inconsistencies, draft an analysis, and route uncertain items to a person. That changes the economics of repetitive work, but it does not make an agent the buyer, negotiator, or accountable decision-maker.

The difference between a useful deployment and a risky experiment is usually controls around data access, review, and escalation rather than the model’s ability to produce fluent text.

For technology buyers, agents also make it practical to evaluate targets by capability instead of by scale alone. A small company with unusual data, scarce engineering talent, defensible model IP, or a workflow that can be deployed quickly may be more valuable than a larger but less differentiated asset.
Where can an AI agent help across the M&A lifecycle?
The best use is stage-specific. Each stage needs a different data set, permission model, and human approval point.
| M&A stage | Useful agent work | Required human gate | Useful outcome measures |
|---|---|---|---|
| Sourcing | Monitor approved market and company sources, cluster potential targets by capability, and prepare a short rationale for further review. | A deal professional confirms strategic fit, conflicts, ownership facts, and whether outreach is appropriate. | Research time per target, coverage of the target universe, and the proportion of leads that survive initial review. |
| Diligence | Index data-room files, extract obligations and technical dependencies, compare statements across contracts and presentations, and flag missing or contradictory evidence. | Legal, financial, technical, security, and business specialists validate findings and determine materiality. | Time to a first issue list, duplicate work avoided, unresolved exceptions, and the quality of evidence attached to each finding. |
| Valuation | Organize approved assumptions, normalize comparable information, and run documented scenarios that analysts specify. | Finance and the investment committee approve assumptions, ranges, sensitivities, and the final valuation view. | Cycle time for scenario preparation, traceability of assumptions, and the number of manual corrections. |
| Negotiation support | Retrieve relevant clauses, summarize requested changes, and show how a term differs from the approved position. | Negotiators decide trade-offs, concessions, representations, and walk-away points. | Response time, clause coverage, and escalation rate for nonstandard language. |
| Closing | Track conditions precedent, assemble signature and approval checklists, identify missing closing deliverables, and prepare status updates. | Authorized legal and transaction leaders certify that each condition is satisfied. | Late items, status-reporting effort, and closing-day exceptions. |
| Post-close integration | Map systems and data owners, sequence integration tasks, summarize dependencies, and maintain an issue queue across workstreams. | Integration leaders approve priorities, access rights, cutover decisions, and changes to operating processes. | Time to critical milestones, unresolved dependencies, adoption of the combined workflow, and incidents caused by integration. |
These measures are management baselines, not universal benchmarks. A deployment should establish its own starting point before claiming that an agent improved cost, speed, insight quality, or integration performance.

Technology M&A is becoming capability-led. McKinsey describes AI investment as reshaping competitive dynamics and catalyzing strategic M&A, with likely targets spanning the stack from physical infrastructure to specialized applications.
Compute, chips, and secure infrastructure
Computing capacity, data-center assets, energy-secure infrastructure, and chip-design capability can determine whether an AI strategy is economically and operationally viable. Buyers may be acquiring reliable access to scarce capacity, lower-latency deployment, or engineering knowledge that would take years to build internally.
Models, data, and training capability
Proprietary data, model-training capability, and model IP are valuable only when rights, provenance, quality, and permitted uses can be demonstrated. During diligence, the question is not simply whether a target has a large data set or a high-performing model; it is whether the buyer can legally and technically continue using those assets after the transaction.

Cloud platforms and vertical AI
Cloud platforms and vertical AI products can provide distribution, deployment tooling, and domain-specific workflows. A target’s advantage may lie in how its model is embedded in a regulated or operational process rather than in the model architecture itself.
Specialized enterprise software and talent
Specialized enterprise software, scarce technical talent, and deployable domain expertise can shorten the path from acquisition to production use. Buyers should test whether key employees, customer relationships, implementation methods, and workflow knowledge are transferable or depend on a few individuals who may leave.
These categories increasingly overlap. Hardware, cloud, models, data, and applications are converging, so a target that appears to be an application company may also be strategically important for infrastructure access, proprietary data, or deployment know-how.
How large and concentrated is the technology M&A market?
Recent deal data points to a strategic, high-value market rather than a broad return to undifferentiated scale buying. McKinsey’s 2026 M&A Trends report recorded the following announced technology-deal figures for 2025:
| Measure | 2025 figure | Qualification |
|---|---|---|
| Announced technology deal value | More than $630 billion | Across more than 800 announced technology transactions in 2025. |
| Technology share of TMT M&A value | 56% | Share of telecommunications, media, and technology M&A value reported for 2025. |
| Average technology deal size | About $779 million | Average for 2025, compared with $525 million in 2024. |
The figures describe announced transactions, not completed deals or guaranteed future returns. They nevertheless show why capability ownership has become a board-level issue: a buyer may be competing for infrastructure, talent, data, or software that many other strategists also need.
Will AI agents replace M&A deal teams?
No. Agents can reduce the amount of manual searching and formatting, but high-stakes M&A decisions still require people who understand context, incentives, uncertainty, and accountability.

Deal teams remain responsible for deciding whether a target fits strategy, judging the quality of evidence, negotiating risk allocation, approving valuation assumptions, and accepting the consequences of a recommendation. An agent can surface a change-of-control clause; it cannot decide whether accepting that clause is worth the strategic opportunity.
Governance maturity is a material constraint. Deloitte reports that only one in five companies has a mature governance model for autonomous AI agents. That gap matters when an agent can act on connected systems, see confidential information, or create an output that others treat as authoritative.
Use autonomy as a controlled spectrum
- Assistive: The agent drafts or retrieves information, while a person performs every action and approves every conclusion.
- Supervised: The agent can execute bounded tasks in approved systems, but exceptions, external communications, and consequential changes require explicit approval.
- Delegated: The agent completes a defined workflow within strict permissions, logging, and rollback controls. This level should be reserved for repeatable, low-consequence tasks with reliable exception handling.
Moving up this spectrum should be an earned decision based on evidence from the specific workflow, not a blanket promise about the underlying model.
The Tool Desk
Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →How should buyers compare AI-agent tools for M&A?
Compare the workflow and control environment, not just the model’s writing quality. A tool that produces impressive summaries but cannot show source passages, enforce permissions, or record approvals may create more risk than value.
| Comparison axis | Questions to ask | Why it matters |
|---|---|---|
| Lifecycle coverage | Which stages are supported today: sourcing, diligence, valuation, negotiation support, closing, or integration? | A narrow tool may be excellent for one bottleneck; a broad claim may conceal shallow functionality. |
| Autonomy level | Does the agent only draft, or can it trigger actions, update systems, or contact people? | More autonomy increases the need for permissions, approvals, monitoring, and rollback. |
| Data and system integration | Can it connect to the approved data room, contract repository, identity system, and integration-management tools without creating uncontrolled copies? | Disconnected systems force manual exports and increase the chance of stale or mis-scoped information. |
| Human review | Can reviewers inspect source passages, edit outputs, assign exceptions, and record who approved a decision? | Traceability is essential when a recommendation affects legal, financial, security, or employee matters. |
| Security and regulatory exposure | How are confidential deal materials isolated, retained, encrypted, and restricted by role and jurisdiction? | M&A data can include trade secrets, personal information, privileged material, and market-sensitive information. |
| Implementation model | What configuration, data mapping, identity work, training, and ongoing administration are required? | The visible license or model is only part of the deployment effort. |
| Measurable outcomes | What baseline will show improvement in cycle time, cost, insight quality, or integration speed? | Without a baseline, faster output can be mistaken for better analysis. |
What is a safe way to implement an AI agent in a deal process?
A staged implementation protects confidential information while producing evidence that the workflow is useful.
- Select one bounded use case. Start with a repetitive task such as document classification, obligation extraction, or closing-status tracking rather than an agent that can make transaction decisions.
- Define the source of truth. List the repositories the agent may read, identify prohibited sources, and decide how updates and superseded documents are handled.
- Set least-privilege access. Give the agent only the permissions needed for the task. Separate read, draft, approve, and execute rights, and keep personal or privileged material out of the workflow unless the control design explicitly covers it.
- Design review and escalation. Specify which outputs require a lawyer, finance professional, security specialist, or integration owner. Require source references and a reason for every escalation.
- Pilot against a known baseline. Run the agent on representative historical or non-live material, compare results with analyst work, and record omissions, false positives, correction time, and unresolved exceptions.
- Log decisions and changes. Retain prompts or task definitions, source versions, agent outputs, human edits, approvals, and system actions according to the transaction’s retention requirements.
- Expand only after control testing. Add new stages or higher autonomy only when the team can explain failure modes, recover from an error, and demonstrate that the added value exceeds the added exposure.
Why do nontechnology companies matter in AI acquisitions?
AI acquisition is no longer confined to software and infrastructure companies. BCG counted 1,355 AI deals in 2025 and reported that nontechnology buyers accounted for 53% of AI software and application acquisitions.

For a bank, manufacturer, insurer, retailer, or healthcare operator, buying an AI application can be a way to secure a workflow advantage, embed domain knowledge, or control a capability that would otherwise remain dependent on a vendor. The strategic test is whether the acquired product can be integrated into approved data, security, and operating processes—not whether the buyer can announce an AI label.

Nontechnology buyers also face a distinctive integration problem: the product may be technically sound but incompatible with identity controls, procurement rules, regulated data handling, or frontline adoption. Their diligence therefore needs business-process owners alongside technology specialists.
What should an AI company prove before a sale?
Sellers that can demonstrate governed, repeatable deployment are easier to underwrite than sellers whose value rests on a prototype or a single technical founder.
- Data rights and provenance: Document where training, retrieval, and customer data came from, what licenses permit, and how deletion or restriction requests are handled.
- Security by design: Show identity controls, tenant separation, logging, incident response, and a clear boundary between customer data and model-improvement processes.
- Workflow outcomes: Quantify a customer process that improved, identify the baseline, and separate measured results from projected benefits.
- Model and workflow defensibility: Explain what is proprietary, what depends on external models, and how the product remains differentiated if a model provider changes terms or performance.
- People and operating continuity: Identify critical employees, document deployment knowledge, and show how support and engineering work can continue after closing.
- Integration readiness: Map interfaces, data dependencies, identity requirements, and the steps needed to run inside a buyer’s approved environment.
What can prevent an AI acquisition from creating value?
Most failure modes are organizational and technical rather than purely algorithmic.
- Uncontrolled data access: A broadly connected agent may expose confidential deal material or combine information that users were not authorized to see together.
- Fluent but unsupported conclusions: A polished summary can hide a missing document, a misread exception, or an assumption that was never approved. Source-linked review is essential.
- Automation without ownership: If nobody is accountable for correcting an agent or deciding an escalation, errors can persist through diligence and integration.
- Buying a prototype as a platform: A demonstration may not reveal inference cost, latency, model dependencies, data-quality work, or the effort required to meet enterprise controls.
- Ignoring integration capacity: Even a strong target can disappoint when the buyer lacks data owners, security resources, change-management support, or a realistic sequencing plan.
- Geopolitical and regulatory friction: Cross-border data restrictions, local infrastructure requirements, and changing AI rules can make a joint venture or localized build-out more practical than a conventional acquisition.
How will AI change technology M&A next?
The market is likely to see continued convergence among hardware, cloud, models, and applications, alongside more acquisitions of enterprise software and services with specialized domain capability. Buyers will increasingly ask whether a target can be deployed securely at scale, not merely whether it has an impressive model.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteWhere data security, geopolitics, or AI regulation complicate a cross-border purchase, joint ventures and localized build-outs provide alternatives to outright ownership. These structures can offer access to capability while limiting data movement or preserving local operating requirements, although they introduce their own governance and control questions.

For boards, the durable decision is not whether to add an “AI agent” line item. It is which capabilities are strategically scarce, which can be built internally, which must be acquired, and what governance is required before an automated system is allowed to influence a transaction or integration.
Frequently Asked Questions
How can a buyer test an AI agent before giving it live deal data?
Use a representative, de-identified document set and compare the agent with an experienced analyst working from the same material. Review both missed issues and unnecessary alerts, then test whether every conclusion can be traced to a source passage before connecting production repositories.
What evidence shows that an AI workflow is improving diligence rather than merely producing more text?
Track a baseline for review time, material issues found, correction effort, and unresolved exceptions. Improvement means the team reaches reliable findings sooner or with less rework; a larger volume of summaries alone is not evidence of value.
Can an AI agent use several model providers in one M&A workflow?
It can, but the buyer should document which provider handles each task, where data is sent, and how outputs are compared or replaced. Provider changes can affect retention, confidentiality, cost, and output behavior, so the architecture needs an explicit substitution and testing process.
What is the role of an integration-management office after an AI acquisition?
It converts the target’s technical capability into sequenced business work: assigning data owners, approving access, resolving dependencies, and measuring adoption. Without that coordination, a capable product can remain a standalone tool instead of becoming part of the combined operating model.
