Its October 19, 2026 registration covers 11,499,992 Class A shares issuable when public warrants are exercised at $11.50, producing up to $132,249,908 in gross cash before costs if every warrant is exercised for cash. Evernorth is not required to use those proceeds to buy XRP. Because issuing the shares expands the economic denominator, the treasury must grow faster than the claim count for XRP per share to increase.
What does Evernorth’s $132 million funding option actually represent?
The figure is the gross exercise capacity of public warrants, not a completed financing. The effective registration statement dated October 19, 2026 covers 11,499,992 Class A shares at an $11.50 exercise price. Multiplying those figures gives a theoretical $132,249,908 before fees, expenses and any other adjustments.
Warrant holders decide whether to exercise. The filing does not make exercise mandatory, and cashless exercise may be available in circumstances specified by the warrant terms. A cashless exercise can produce shares without the full $11.50 cash payment, so the maximum gross figure cannot be treated as guaranteed proceeds.
Nothing in the cited filing requires Evernorth to allocate warrant proceeds to XRP. Management could retain cash, pay expenses, fund operations or pursue other investments. The amount ultimately available for XRP therefore depends on exercise behavior, the form of exercise and management’s allocation decisions.

Will the financing increase XRP per share or dilute holders?
It depends on whether additional XRP grows faster than the number of new economic claims. Evernorth defines its performance measure as XRP attributable to the public parent divided by outstanding Class A and Class C shares. Economic interests held by outside owners of the Pathfinder Digital Assets subsidiary also matter when assessing the claim on consolidated assets.
The conditional starting model
CryptoSlate’s model uses a 473 million XRP common pool, 55,031,628 Pubco Class A and Class C shares, and 22,953,128 outside subsidiary units. Those figures create 77,984,756 modeled economic claims and approximately 6.07 XRP per claim.

The model is conditional rather than a verified post-financing per-share result. A simple division of all consolidated XRP by only publicly traded Class A shares would omit Class C shares and outside units; adding subsidiary units that Evernorth already counts could also double count ownership.

If all 11,499,992 warrant shares were issued, the denominator would increase substantially. Buying fewer XRP than needed to match those new claims would lower XRP per claim even though the absolute treasury rose. Conversely, acquiring enough XRP to exceed the added claims could make the measure accretive.

How much XRP would Evernorth need to buy?
Using the model’s 6.07 XRP per claim and the October 22 XRP snapshot of $1.32, maintaining the ratio would require roughly 70 million additional XRP if every warrant share were issued for cash. At that price, 6.07 XRP costs about $8.01, or 69.62% of the $11.50 gross warrant cash associated with each share.

These are illustrations tied to the stated XRP price and the conditional claim model. They do not account for slippage, fees, taxes, liabilities, cash retained for operations or changes in XRP’s price. If only half of the theoretical warrant cash were directed to XRP, the treasury would still grow in absolute terms but XRP per modeled claim would decline under these assumptions.
Has Evernorth received the warrant money or bought the XRP?
The cited disclosures do not report post-effectiveness warrant cash receipts or a resulting XRP purchase total. The $132,249,908 figure should therefore be read as capacity, not realized funding.
Evernorth’s October 1 announcement projected approximately 473 million XRP at closing and approximately $300 million in gross cash proceeds from the combination and related financing. Its October 9 completion announcement described the Armada combination and the XRPN Nasdaq listing. Those closing figures are separate from later warrant exercises and should not be combined without a matching measurement date.

What is the Cantor committed equity facility?
Evernorth also announced a committed equity facility with CF Principal Investments LLC, associated with Cantor. Unlike public warrants, this facility gives Evernorth control over whether and when to draw, subject to its terms and market conditions. The announced capacity is up to 5,218,935 Class A shares and approximately $80 million of gross proceeds based on the October 22 closing price.

An S-1 filing summary reports approximately $80.7 million of potential gross proceeds from the facility and 26,094,680 Class A shares outstanding as of October 22, 2026. The difference between the approximately $80 million announcement and the $80.7 million filing figure reflects the specific assumptions and disclosure context; neither figure proves that the facility has been fully drawn.

The filing says material XRP ecosystem deployment was not expected before the fourth quarter of 2026 while treasury and compliance infrastructure were being established. An October 14 announcement named Ripple, Kraken, Coinbase and BitGo as intended partners for fourth-quarter strategies involving the 473 million XRP treasury, subject to conditions and approvals. Naming intended partners is not evidence that a transaction, yield program or XRP purchase has been completed.

Chief Financial Officer Matt Frymier described the financing purpose this way: “This represents our first step in putting facilities in place to help grow and manage our treasury in an accretive manner for shareholders.” Whether the result is accretive can only be determined after the share denominator, net cash and added XRP are disclosed together.
Which figures should investors monitor next?
The decisive reconciliation is a same-date comparison of assets, claims and financing proceeds. Watch for filings or releases that provide:
- Class A and Class C shares outstanding after each issuance.
- Outside Pathfinder subsidiary units still carrying economic claims.
- XRP attributable to the public parent, rather than only a consolidated headline balance.
- Warrants exercised for cash, including the number exercised and gross receipts.
- Net cash after commitment fees, transaction costs and other expenses.
- Additional XRP acquired and the price or execution conditions for those purchases.
Then compare incremental XRP with incremental economic claims on the same date. Mixing the October 22 share count with a later XRP balance, or counting outside units inconsistently, can create a misleading per-share figure.
What could reduce XRP per claim even if the treasury grows?
XRP per claim can fall when new shares or subsidiary units increase faster than the treasury, when only part of financing is invested in XRP, or when costs and retained operating cash reduce the amount deployed. XRP’s dollar price also changes the purchasing power of each financing dollar, while liabilities and execution costs affect the economic value that a claim represents.

The cited disclosures provide no realized post-effectiveness purchase total. Until Evernorth reports actual exercises, net proceeds, new XRP and the corresponding Class A, Class C and outside-unit counts, the $132 million remains a financing possibility rather than proof of an accretive XRP-per-share outcome.

Can Evernorth’s warrant holders exercise without paying the full $11.50?

No. The October 14 partner announcement described intended fourth-quarter strategies and remained subject to conditions and approvals. A completed program would require a subsequent disclosure of the transaction, assets deployed and resulting economics.
Why can two Evernorth share counts from 2026 disagree?
