Using an AI tool does not automatically waive attorney-client privilege or make every prompt discoverable. Courts have reached different results based on who used the system, whether counsel directed the work, whether the material was prepared for litigation, and what the provider promised about retention, training, disclosure, and deletion. Attorney-client privilege and work-product protection are separate doctrines, so one may fail while the other survives.
The decisions discussed here are federal trial-court rulings, not a nationwide appellate rule. Treat AI prompts, uploaded files, transcripts, and generated drafts as records that may become evidence, and analyze the specific jurisdiction, protective order, provider contract, and facts before using client information.
Does using AI waive attorney-client privilege?
No categorical rule exists. The legal result depends on confidentiality, the purpose of the communication, the user’s relationship to counsel, counsel’s direction, and the AI provider’s terms. Simply showing an AI answer to a lawyer later does not retroactively create privilege.
Attorney-client privilege generally protects confidential communications made for obtaining or providing legal advice. A third-party AI service can complicate the confidentiality element if its contract allows broad retention, human review, model training, disclosure to third parties, or indefinite storage. The fact that a system is called “private,” “secure,” or “enterprise” is not itself a legal conclusion; the governing terms and actual settings matter.

Work product asks a different question: whether material was prepared because of anticipated litigation and, in many jurisdictions, whether it reflects counsel’s or a representative’s mental impressions. The waiver rules and protection can differ from attorney-client privilege. Analyze both doctrines independently instead of assuming that a single answer controls.
What did the federal AI privilege cases actually decide?
The reported decisions are fact-specific district-court rulings. They illustrate how small changes in user status, supervision, purpose, and provider terms can change the outcome.
| Decision | Key facts | Result described in the reported materials | What it does not establish |
|---|---|---|---|
| United States v. Heppner | A criminal defendant used a consumer version of Claude independently after receiving a grand-jury subpoena. Counsel had not directed the AI work. | The Southern District of New York rejected attorney-client and work-product protection for the documents on those facts. The court considered that Claude was not an attorney and examined the provider’s privacy terms. | It is not a holding that every AI interaction waives privilege or that every AI product lacks work-product protection. |
| Warner v. Gilbarco, Inc. | A pro se employment-discrimination plaintiff used ChatGPT while preparing her case. | The court denied the requested discovery of the AI materials, finding work-product protection and also addressing relevance and proportionality. It treated privilege waiver and work-product waiver as distinct issues. | It is a trial-level ruling tied to the discovery request and the record before that court. |
| Morgan v. V2X, Inc. | Another pro se employment-discrimination matter involving AI-assisted litigation work. | The court protected the work product, required the plaintiff to identify the AI tool, and imposed protective-order language for platforms contractually barred from training on inputs, restricted from third-party disclosure, and capable of deletion on request. | It does not create a universal safe harbor; the restrictions may be difficult for pro se litigants and small firms to meet. |
Why Heppner came out differently
In Heppner, the defendant independently generated documents about a possible defense. The record did not show that counsel instructed or supervised the AI use. The court also evaluated the consumer provider’s confidentiality terms rather than assuming that a chatbot conversation was private. Judge Jed S. Rakoff wrote: “Because Heppner’s use of Claude fails to satisfy either of these rules, the AI Documents do not merit the protections Heppner has claimed.” That sentence describes the court’s application to Heppner’s facts, not an automatic rule for all users.

The ABA’s comparison of the cases reports that both Warner and Morgan treated AI-assisted material as potential work product in pro se litigation. In Warner, the court also found the discovery request deficient on relevance and proportionality. The comparison quotes Magistrate Judge Patti: “ChatGPT (and other generative AI programs) are tools, not persons, even if they may have administrators somewhere in the background.” The point is functional: the tool can assist a litigant’s preparation without becoming a lawyer or a client.
Morgan went further by requiring identification of the tool and prospective safeguards. Its protective-order language focused on contractual commitments against training on inputs, third-party disclosure, and retention when deletion is requested. Those conditions show why a court may protect litigation work while still demanding transparency about the system used.

What is the difference between attorney-client privilege and work product for AI?
Privilege protects qualifying confidential legal communications; work product protects qualifying litigation preparation. AI use can affect the two doctrines differently.
Attorney-client privilege
Ask whether the communication was confidential, made between a client and lawyer (or their necessary agents), and intended to obtain or provide legal advice. If a consumer AI service reserves rights to access, reuse, disclose, or train on the input, an opponent may argue that confidentiality was not maintained. A lawyer’s later review does not fix a communication that was unprivileged when created.
Work product
Ask whether the material was prepared because of anticipated litigation, by or for a party or representative, and whether it reveals protected mental impressions or strategy. A pro se litigant can create work product; representation by counsel is not always required. But ordinary business records, personal brainstorming unrelated to litigation, or material created before litigation was reasonably anticipated may fall outside the doctrine.
Waiver is not the same under both doctrines
Disclosure to an outside service can waive attorney-client privilege if it destroys confidentiality. Work-product waiver often turns on whether disclosure substantially increases the likelihood that an adversary will obtain the material. The cases reported in the ABA comparison treated those analyses separately, so a court may protect litigation preparation even when an attorney-client privilege claim fails.
Can opposing counsel get my ChatGPT prompts or AI files?
They can request them, but discovery is not automatic. A court will usually consider relevance, proportionality, privilege, work-product protection, confidentiality, and the scope of any protective order.

Preserve prompts, uploaded documents, outputs, and revision history when they relate to a dispute or legal advice. Deleting records after a preservation duty arises can create a spoliation issue; retaining everything indefinitely can create unnecessary exposure. Follow the matter’s litigation hold and the provider’s deletion controls consistently.

A court may order limited disclosure, such as identifying the AI tool without producing every prompt, or producing material subject to redaction and a protective order. Morgan demonstrates that tool identification and contractual safeguards can be ordered even when the underlying work product remains protected. Conversely, Heppner shows that an independent consumer-chatbot record may receive no protection on the facts presented.
What to document when AI assists litigation work
- The legal issue or litigation purpose for which the AI was used.
- Who directed the task and who reviewed the result.
- The provider, product tier, account type, and relevant terms in effect at the time.
- Whether inputs were retained, used for training, shared with third parties, or deletable on request.
- What human verification changed before the material was relied on.
Can a lawyer put confidential client information into an AI tool?
Only after evaluating competence, confidentiality, security, supervision, and applicable local rules. Bar guidance does not treat generative AI as exempt from existing professional duties.
ABA guidance
ABA Formal Opinion 512 applies duties of competence, confidentiality, communication, and reasonable fees to generative-AI use. It does not replace the law of a particular jurisdiction, but it makes clear that a lawyer remains responsible for the work and for explaining material risks when client decisions are affected.
Florida
Florida Bar Ethics Opinion 24-1 says lawyers must understand an AI program’s retention, sharing, and self-learning policies; protect client confidentiality; provide accurate and competent services; avoid improper billing; and comply with advertising restrictions. The opinion is advisory and nonbinding.

District of Columbia
DC Bar Ethics Opinion 388 requires enough understanding of generative AI’s operation, risks, and limitations to decide whether it is suitable and accurate for the task and whether use could compromise confidentiality.
North Carolina
North Carolina State Bar Formal Ethics Opinion 1 (2024) permits AI use subject to competence, security, confidentiality, and supervision. It expressly does not decide whether sending information to an AI tool waives privilege, calling that a legal question outside the ethics opinion’s scope. It advises resolving that question before submitting client-specific information to a third-party AI program.
A practical intake decision
- Classify the data. Separate public facts from client-identifying information, trade secrets, health information, strategy, and material protected by an order.
- Check the exact service terms. Confirm retention period, model-training use, human access, subprocessors, breach notification, geographic storage, confidentiality commitments, and deletion rights. Do not assume consumer and enterprise arrangements are equivalent.
- Choose the minimum necessary input. Redact names, account numbers, unique facts, and unnecessary attachments. Use a hypothetical or synthetic example when it will answer the question.
- Set supervision and review. A responsible lawyer should define the task, inspect the output, verify authorities and facts, and decide whether the result is fit for the client or court.
- Record the decision. Note the tool, settings, purpose, safeguards, reviewer, and corrections so the firm can explain its process later.
What provider terms matter most to privilege?
Read the contract and settings that applied when the material was submitted. The following questions are more useful than a product label:
| Control | Why it matters | Questions to answer |
|---|---|---|
| Input retention | Longer retention creates more time for access, subpoenas, breaches, or internal use. | How long are prompts and files stored? Are backups included? |
| Model training | Training or quality review can expand who may see or reuse the content. | Are inputs excluded by default, by account setting, or only by contract? |
| Third-party disclosure | Cloud hosts, subprocessors, and reviewers may affect confidentiality. | Who can access data, for what purpose, and under what confidentiality terms? |
| Deletion | A deletion promise may be important to a protective order or matter policy. | Can a user request deletion? How quickly are active systems and backups cleared? |
| Account separation | Consumer and organizational workspaces may have different defaults and administrators. | Is the account managed, auditable, and contractually tied to the firm or client? |
| Security and incident response | A confidentiality analysis includes foreseeable unauthorized access. | What encryption, access controls, logging, notification, and vendor-audit rights exist? |
A contractual promise is evidence of intended confidentiality, not a guarantee that a court will find privilege. Courts can still examine how the system operated, what the user understood, and whether the material was shared beyond those necessary to the legal representation.

Can an AI transcript of a client call be used as evidence?
Yes. A recording, transcript, or summary can become discoverable or be used to challenge testimony. NYC Bar Formal Opinion 2025-6 recommends obtaining client consent in advance, considering the confidentiality and privilege consequences of creating a persistent record, and independently checking the accuracy of every AI-generated recording, transcript, or summary.

Before turning on transcription, explain what will be captured, where it will be stored, who may access it, and how long it will remain available. Confirm that all required participants consent under the law governing the call; recording rules can vary by jurisdiction. Decide whether the record belongs in the matter file, must be preserved under a litigation hold, or should be deleted under an established retention policy.
Accuracy review is essential. Speech recognition can mishear names, negations, numbers, or legal terms, and a summary can omit qualifying context. Keep the source recording when required, mark corrections transparently, and do not present an unverified AI transcript as a verbatim account.
How should attorneys handle AI evidence in an active matter?
- Identify every AI artifact. Locate prompts, uploads, outputs, transcripts, summaries, metadata, and account logs that relate to the matter.
- Apply the preservation duty. Issue or update a litigation hold when litigation is pending or reasonably anticipated; suspend routine deletion for relevant material.
- Separate legal categories. Label candidate attorney-client communications, work product, ordinary business records, and purely personal material for separate analysis.
- Review the contract and settings. Capture the provider terms and privacy configuration in effect when the artifact was created.
- Verify content. Check citations, quotations, calculations, names, dates, and procedural statements against authoritative sources and the underlying record.
- Prepare a proportional response. If discovery is requested, consider tool identification, redaction, privilege logs, sampling, and a protective order rather than assuming all prompts must be produced or none can be.
- Escalate uncertainty. Consult jurisdiction-specific privilege law, local rules, and any case-specific protective order before making a production or waiver decision.
What does current evidence say about how common AI use is?
The Heppner opinion quoted Bond’s Trends – Artificial Intelligence (2025), accessed by the court in February 2026, as reporting that more than half of U.S. households had adopted AI in some form and that more than 800 million people worldwide used one prominent AI platform each week. The quoted passage did not identify the platform. These figures show why courts and bars are confronting AI records, but they do not establish privilege, security, or admissibility for any particular tool.

Assume an AI interaction may be examined later, then use the least sensitive information and the strongest contractual safeguards that still accomplish the task. Document counsel’s direction and litigation purpose when applicable, keep privilege and work product analyses separate, verify every output, and treat recordings and transcripts as potential evidence. No reported decision here supplies a categorical safe harbor or an automatic-waiver rule.
Frequently Asked Questions
Does labeling a prompt “privileged” protect it?
No. A label does not create privilege if the communication was not confidential, was not made for legal advice, or was exposed to a service provider under terms inconsistent with confidentiality. Courts examine the surrounding facts and contract rather than the label alone.
Can a client use an AI chatbot before hiring a lawyer and then share the chat?
Sharing the chat with a lawyer later does not ordinarily transform the earlier exchange into a privileged attorney-client communication. Preserve the original record and let counsel analyze whether any separate work-product or other protection applies.
Do AI hallucinations make an entire legal file discoverable?
An inaccurate output is not automatically discoverable or unprotected. The practical consequence is that counsel must correct errors, preserve relevant versions when required, and assess each artifact under relevance, privilege, work-product, and proportionality standards.
Can a protective order make an AI platform safe for confidential data?
A protective order can restrict disclosure and require safeguards, as illustrated by the restrictions reported in Morgan, but it cannot rewrite the provider’s contract or guarantee technical deletion. Counsel still must verify that the chosen service can meet the order’s operational requirements.
