The announced terms were $165 million in cash plus a possible $10 million milestone-based earn-out, making $175 million the maximum—not a guaranteed payment. A later accounting filing put the acquisition-date fair value of consideration at $172.4 million.
How much did CyberArk pay for Zilla Security?
CyberArk’s February 13, 2025 announcement described the transaction as $165 million in cash, plus an earn-out of up to $10 million tied to milestones. That is the basis for the “up to $175 million” headline; the maximum included contingent payment rather than $175 million paid entirely in cash. CyberArk’s announcement reported the terms, while TechCrunch’s contemporaneous coverage described the value as up to $175 million.
A later CyberArk financial disclosure measured the acquisition-date fair value of consideration at $172.4 million: $166.4 million in cash and $6 million in contingent earn-out consideration. This is an accounting measurement made after the deal announcement, not a revised announcement that the original maximum was $172.4 million. The announced maximum and later fair-value estimate answer different questions: the first describes the potential deal terms; the second records the value assigned to consideration at the acquisition date. CyberArk’s SEC-filed financial disclosure provides the accounting figures.
Why did CyberArk acquire Zilla Security?
Zilla made identity governance and administration (IGA) software. IGA helps organizations govern who has access to which systems, support access reviews and automate identity provisioning. CyberArk said Zilla’s AI-powered capabilities would add scalable identity compliance and provisioning automation to its identity security platform. CyberArk’s acquisition announcement framed the purchase as a way to bring modern IGA into a platform already focused on identity security and privileged access controls.

That is CyberArk’s stated strategic rationale, not evidence that the acquisition delivered particular security improvements, cost savings or customer outcomes. The announcement does not establish the results of product integration or independently compare Zilla with other IGA vendors.
What changed after Palo Alto Networks acquired CyberArk?
Palo Alto Networks completed its acquisition of CyberArk on February 11, 2026. In its completion announcement, Palo Alto said CyberArk’s identity security solutions would remain available as a standalone platform as product integration began. Those statements describe availability and integration at the time of the announcement; they do not establish later product-branding or availability changes. Palo Alto Networks’ completion announcement is the source for that status.

Palo Alto Networks Chairman and CEO Nikesh Arora framed the parent company’s broader strategy this way: “The emerging wave of AI agents will require us to secure every identity—human, machine, and agent.” That statement expresses Palo Alto’s strategic outlook; it does not report the outcome of Zilla’s integration.
