Sometimes, but not simply because a company uses artificial intelligence. In the United States, a retail investor can buy pre-IPO securities only when the issuer uses a registration exemption that permits that investor to participate, or registers the offering. Accredited investors can access many private Regulation D offerings. Non-accredited investors may qualify through Regulation Crowdfunding, Regulation A, Rule 504, or a Rule 506(b) offering that accepts a limited number of non-accredited purchasers.
Private shares are not listed on an exchange, may be difficult or impossible to resell, and can lose all their value. A claimed IPO timetable, online advertisement, or social-media solicitation does not establish that an offering is genuine, lawful, or transferable. The current offering documents and the rules that apply to your residence determine whether you can invest.
What does buying a private AI company before an IPO actually mean?
You would be buying a security issued by a company that has not completed a public stock offering. That security might be common stock, preferred stock, a membership interest, a convertible note, or another instrument; the exact rights come from the offering documents and the issuer’s governing agreements.

Federal securities law starts with a registration rule: a company generally may not offer or sell securities unless the offering is registered with the Securities and Exchange Commission (SEC) or an exemption is available. Private-company securities therefore do not appear for unrestricted trading on a public exchange. The company must identify the exemption it is relying on and follow that exemption’s investor, disclosure, solicitation, and filing conditions.

The term “AI company” has no special effect on eligibility. A machine-learning developer, robotics business, or generative-AI startup must use the same securities-law routes as other private businesses. What matters is the security, the issuer, the exemption, and your eligibility—not the technology label.
Do I need to be an accredited investor?
Not always. Accredited status is the gateway to many private Regulation D offerings, but several exemptions permit non-accredited participation under specific conditions.
Individual income test
An individual generally qualifies as accredited under the income test with income above $200,000 in each of the prior two years and a reasonable expectation of reaching that level in the current year. The threshold is $300,000 with a spouse or spousal equivalent. The SEC’s investor bulletin, updated September 21, 2026, describes these tests.
Recommended Free Tools
Net-worth test
Another principal test requires net worth above $1 million, either individually or jointly with a spouse or spousal equivalent, excluding the value of the person’s primary residence. Certain liabilities associated with the residence can affect the calculation, so an issuer or intermediary may request supporting records.
Professional credentials and other categories
Specified professional credentials and other categories in the SEC rules can also establish accredited status. The particular credential must fit the rule in force and the issuer’s verification process; a claim in an online profile is not enough by itself.

Accredited status is not a quality rating. It only determines whether an exemption permits you to buy under its eligibility rules. You can still face total loss, limited information, high fees, and no practical way to sell.
Which legal routes can let a retail investor participate?
The routes differ in who may invest, whether advertising is allowed, how much can be raised, what information must be provided, whether an intermediary is required, and how soon securities can be resold.
| Route | Who may invest | Solicitation | Offering or investment limit | Intermediary and disclosure features | Resale considerations |
|---|---|---|---|---|---|
| Regulation D, Rule 506(b) | Unlimited accredited investors; no more than 35 non-accredited investors in a 90-calendar-day period | Generally no general solicitation | The cited federal rule does not impose a dollar cap on the offering | Non-accredited purchasers must be financially sophisticated or use a qualifying purchaser representative; issuer information requirements apply | Private-placement securities are generally restricted and may be difficult to resell |
| Regulation D, Rule 506(c) | Accredited investors only | General solicitation, including internet advertising, is permitted | The cited federal rule does not impose a dollar cap on the offering | The issuer must take reasonable steps to verify every purchaser’s accredited status | Private-placement restrictions and a limited buyer pool can make resale difficult |
| Rule 504 | Any number and type of investor, subject to the rule and applicable state requirements | Depends on the offering’s compliance with the rule and state law | Up to $10 million in a 12-month period | Qualifying issuers must meet the rule’s conditions; disclosure and state-law requirements vary | Securities are generally restricted unless additional conditions are met |
| Regulation Crowdfunding | Non-accredited investors may participate subject to income-and-net-worth-based investment limits; accredited investors do not face those limits under the cited SEC interpretation | Online offering through the permitted framework | Up to $5 million, according to the SEC exemption summary cited | Must be conducted through a registered broker-dealer or funding portal, with required issuer disclosures | Generally no resale during the first year except for specified transfers |
| Regulation A | Can be accessible to retail investors when the issuer qualifies and completes the required process | Public offering activity is permitted after the required qualification | Up to $75 million under the SEC exemption summary cited | Issuer filing, qualification, and disclosure requirements apply | Transferability depends on the security, offering terms, and applicable law |
Rule 506(b): private placements with limited non-accredited participation
Rule 506(b) is commonly used for privately marketed financings. It can accept an unlimited number of accredited investors, but no more than 35 non-accredited investors in any 90-calendar-day period. A non-accredited purchaser must be financially sophisticated enough to evaluate the investment or use a qualifying purchaser representative, and the issuer must provide the information required by the rule.
Because general solicitation is generally prohibited, a public post claiming to offer a 506(b) investment deserves careful scrutiny. The way an opportunity was promoted may conflict with the exemption the issuer names in its documents.
Rule 506(c): advertised offerings restricted to verified accredited investors
Rule 506(c) allows broad advertising, including online advertising, but every purchaser must be accredited. The issuer must take reasonable steps to verify that status. A self-certification checkbox by itself is not sufficient when the company has no other knowledge of the investor’s financial circumstances or sophistication. Verification may involve financial statements, tax documents, brokerage records, or a confirmation from a qualified professional, depending on the process.

Rule 504: a capped offering with variable resale conditions
Rule 504 permits a qualifying issuer to offer up to $10 million during a 12-month period to investors of any type. State securities requirements and the offering’s structure remain important. Securities are generally restricted unless additional conditions are met, so an investor should not assume that a Rule 504 purchase creates an immediately tradable position.
Regulation Crowdfunding: the principal online route for non-accredited investors
Regulation Crowdfunding is designed for online offerings by qualifying companies. The transaction must run through a registered broker-dealer or funding portal, and the issuer must provide the disclosures required by the exemption. Non-accredited investors face investment limits calculated from income and net worth; the cited SEC interpretation does not apply those limits to accredited investors.
The $5 million ceiling is an offering limit, not a promise that every investor may contribute that amount. Your own limit can be substantially lower, and the platform must apply the applicable calculation. Securities generally cannot be resold during the first year except for specified transfers, including transfers to the issuer, an accredited investor, or certain family-related recipients.
Regulation A: a qualified public-offering exemption
Regulation A can reach retail investors when the issuer qualifies and completes the SEC filing, qualification, and disclosure process. The SEC exemption summary cited sets a $75 million offering limit. Qualification does not turn the company into an exchange-listed public company, and the actual transfer rights still depend on the security and the offering documents.
How should I evaluate an online “pre-IPO” offer?
Use the following sequence before sending money. Each step is intended to confirm that the opportunity is a real securities offering rather than a loosely described solicitation.

- Identify the legal issuer. Obtain the company’s exact legal name, jurisdiction of formation, address, and the name of the entity issuing the security. An attractive product name or a trade name is not enough.
- Read the offering document. Find the security type, price, minimum investment, voting and information rights, fees, conflicts, use of proceeds, transfer language, and the exemption being claimed. If there is no coherent document identifying these items, stop.
- Confirm your eligibility. Determine whether the offer is limited to accredited investors, whether you meet the relevant income, net-worth, or credential test, or whether a non-accredited route applies to you.
- Check solicitation rules. Compare how you found the offer with the exemption named in the paperwork. A widely advertised offer should explain why that advertising is permitted; a 506(b) offer generally cannot be publicly solicited.
- Verify the intermediary. Regulation Crowdfunding requires a registered broker-dealer or funding portal. Confirm the intermediary through official regulatory records and use the contact information on its verified website, not a link supplied only in a message.
- Calculate the permitted investment. For Regulation Crowdfunding, apply the platform’s income-and-net-worth calculation. For other exemptions, check issuer minimums, subscription limits, and any concentration warning.
- Review transfer restrictions. Look for resale legends, lockups, consent requirements, a right of first refusal, or a statement that no market exists. Treat a one-year crowdfunding restriction as a practical limitation, not merely a technical footnote.
- Validate payment instructions. Confirm that the receiving account belongs to the issuer or authorized intermediary. Requests for cryptocurrency, gift cards, personal accounts, or urgent wire transfers are warning signs.
- Keep a complete file. Save the subscription agreement, disclosures, confirmations, identity checks, fee schedule, and communications. You may need these records to establish what you bought and what restrictions apply.
What risks and restrictions should a retail investor expect?
- Total-loss risk: Investor.gov warns that a private placement can lose all of its value. A promising AI product does not guarantee revenue, a successful model, or a public listing.
- Illiquidity: There may be no exchange, market maker, or willing buyer. Finding a buyer can take a long time or be impossible.
- Restricted securities: Federal and state rules, contractual legends, issuer consent, and transfer-agent procedures can all limit resale.
- Less disclosure: A private issuer may provide less standardized financial and operational information than a registered public company. Compare the documents actually delivered, not what a pitch deck implies.
- Uncertain exit: An IPO is a possibility, not a contractual redemption date. The company can remain private, change plans, raise more capital, be acquired, or fail.
- Platform and fee risk: Intermediary fees, issuer fees, special-purpose structures, and conflicts can reduce the economic value of your interest. Read how charges are calculated and who receives them.
- Jurisdictional differences: State securities rules, your residence, the issuer’s charter, and transfer-agent procedures can change the practical result even when a federal exemption appears available.
What should I confirm about a specific AI company?
No general federal framework proves that any particular AI company has an open offering. A company must have current documents for the specific security and exemption. Confirm these points in writing:
- The issuer’s legal identity and the exact security being sold.
- The federal exemption and any state-law filings or qualification relied upon.
- The date of the offering documents and whether subscriptions are still being accepted.
- The investor-eligibility test and the evidence required to satisfy it.
- The purchase price, minimum investment, fees, and all intermediary charges.
- The company’s stated use of proceeds and material conflicts of interest.
- Transfer restrictions, resale exceptions, issuer-consent requirements, and the procedure for recording ownership.
- Whether the security is held directly in your name or through a vehicle, nominee, or special-purpose entity.
- How and when you receive reports, tax documents, amendments, and notices of corporate actions.
Do not treat a social-media post, a celebrity endorsement, a countdown, or a claimed IPO date as proof that shares are authentic or transferable. If the issuer will not provide the exemption, governing documents, and payment instructions through verifiable channels, do not proceed.
How do U.S. residence, state rules, and taxes affect the answer?
The framework above is federal and U.S.-focused. Your state of residence, the state where the issuer operates, and the location of the intermediary can add registration, notice, suitability, or resale requirements. A transaction that appears available under a federal exemption may still be unavailable to a particular resident.
Tax treatment is not established by the exemption itself. The security type, holding period, entity structure, distributions, sale, exchange, or eventual IPO can create different tax questions. Obtain advice from a qualified tax professional who can review the actual documents and your jurisdiction before investing.
Is buying before an IPO suitable for a regular investor?
It may be lawful for a non-accredited retail investor through a qualifying route, but legality is only the entry test. You must also be able to tolerate a long holding period, limited information, restricted resale, uncertain valuation, and a complete loss. If you need near-term access to the money or cannot independently verify the issuer and exemption, a private AI offering is unlikely to fit those constraints.

Frequently Asked Questions
Can a private AI company guarantee that it will go public soon?
No. An issuer may describe an IPO as a goal, but a timetable is not a promise that the offering will occur or that your security will become liquid. Treat any guaranteed-listing language as a warning and rely on the contractual rights in the security documents.
Are shares bought through a crowdfunding portal the same as shares traded on a stock exchange?
No. Crowdfunding securities are subject to the exemption’s resale limits and may not have a trading market. The SEC describes being a Regulation Crowdfunding investor as different from being a shareholder in a publicly listed company.
Can a non-U.S. resident use these U.S. exemptions to buy an AI startup?
The framework discussed here is U.S. federal law, and residence can change eligibility and required filings. A non-U.S. investor must check the laws of the investor’s country, the issuer’s jurisdiction, and any rules applied by the intermediary.
Who can explain whether a particular private offering is suitable for me?
An attorney can analyze the exemption, contract, transfer restrictions, and state-law issues, while a tax professional can assess the tax consequences. Neither professional can guarantee that the company will succeed or that an exit will occur.
