Before signing with a business partner, verify five things in evidence: who the person and legal entity are, who owns and controls it, whether its financial story is credible, whether legal or regulatory problems could reach you, and whether it can perform the promised work. Then put contributions, authority, information rights, risk allocation, deadlock and exit terms in a signed agreement.
Use the checklist below as a documented approval process. Ask every candidate for the same core records, investigate discrepancies rather than explaining them away, and involve a business attorney and CPA when ownership, tax, liability or sanctions questions remain unresolved.
What partnership due diligence covers
Due diligence is a structured verification of a proposed partner, not a general impression of trustworthiness. It applies whether you are forming a general partnership, limited partnership (LP), limited liability partnership (LLP), LLC venture or a contractual strategic alliance. The legal consequences depend on the entity type, governing jurisdiction and agreement.

That tax classification does not by itself tell you who can sign, who bears debts or how a membership interest can be transferred.

Federal banking guidance describes due diligence as part of sound third-party risk management and warns that prior familiarity is not an adequate substitute for verification. Treat the process as evidence collection: every assertion should have a document, independent record, reference or clearly recorded explanation.
- Identity and authority: confirm the individual, entity, registration and signing power.
- Ownership and control: map direct and indirect owners, managers, veto rights and economic interests.
- Financial condition: test assets, cash, debt, liabilities, contracts, tax filings and forecasts.
- Legal and reputation exposure: check licenses, sanctions, enforcement, litigation, complaints and insurance.
- Capability and fit: verify people, systems, controls, security and strategic alignment.
- Operating rules: document how money, decisions, information, conflicts and exits work.
1. Confirm identity, entity and signing authority
Verify the person
Obtain government-issued identification for each individual who will own, manage or sign. Match the legal name, address and date of birth (where appropriate to your lawful process) against corporate records and the name on the proposed agreement. Confirm that the person is not using a trading name as a substitute for the legal contracting party.
Verify the entity
Request the formation certificate, current registration or good-standing evidence, governing document and every amendment. Record the jurisdiction, registration number, entity type, registered agent and principal business address. Check the public company or business registry yourself rather than relying only on a PDF supplied by the candidate.

Ask for tax-identification evidence and the entity’s most recent partnership or company filing. If a trade name, parent company or affiliate will actually receive money, hold intellectual property or perform services, identify that party in the contract and investigate it separately.
Verify authority to bind the business
Obtain the partnership agreement, operating agreement, bylaws, board or member resolutions, and any power of attorney that governs signing. The IRS notes that a partnership agreement, amendments or other records showing legal authority may be used to validate access requests; the same principle is useful here. Confirm that the proposed signer is authorized for this transaction, not merely employed by the organization.

- Ask for a written resolution when approval is required by the governing document.
- Check whether two signatures, a member vote or lender consent is required.
- Confirm that guarantees, security interests, exclusivity or intellectual-property assignments receive the required approval.
- Have counsel compare the signatory block with the entity’s exact legal name and capacity.
2. Map ownership, control and beneficial owners
Build an ownership chart
Create a current chart from the entity upward: direct owners, intermediate holding companies, ultimate beneficial owners, managers and any person with veto, appointment or blocking rights. Obtain ownership ledgers, cap tables, membership schedules, subscription agreements and transfer records. Ask whether options, warrants, convertible instruments, trusts or nominee arrangements could change the picture.
Separate economic interests
IRS Form 1065 instructions (2025) require partnership interests to be considered separately for profit, loss and capital. Do not assume a single percentage describes all three. Record each partner’s share of distributions, tax allocations, liquidation proceeds, voting power and required contributions, including preferred or carried interests.

Apply the correct beneficial-owner rule
For covered legal-entity accounts, Federal Financial Institutions Examination Council guidance uses an ownership-prong threshold of 25 percent or more of equity interests plus a control-prong individual. This is a compliance identification rule, not a universal partnership pass/fail score and not a substitute for checking smaller owners with meaningful control. Ask your bank, lawyer or compliance adviser which rule applies to your transaction and jurisdiction.
| Control question | Evidence to request | Why it matters |
|---|---|---|
| Who owns equity? | Cap table, membership ledger, subscription and transfer documents | Reveals economic rights and undisclosed holders |
| Who controls decisions? | Agreement, resolutions, manager appointments and voting schedule | Shows who can approve spending, contracts or strategy |
| Who can block action? | Reserved-matter list, veto clauses and lender covenants | Identifies deadlock and consent risk |
| Who benefits indirectly? | Ownership chart, trust or holding-company records | Supports sanctions, conflict and reputation checks |
3. Test the financial story
Request primary financial records
Ask for recent balance sheets, income statements and cash-flow statements, preferably audited or reviewed where the size and risk justify it. Obtain the latest tax returns, partnership Form 1065 filings and schedules, bank or funding evidence, debt and liability schedules, and details of related-party transactions. Reconcile major figures across statements, tax filings and bank evidence instead of accepting a single forecast.
Investigate obligations that do not appear in headline revenue
List loans, leases, guarantees, security interests, unpaid taxes, deferred payments, customer deposits, pension or benefit obligations, litigation reserves and unfunded commitments. Read major customer, supplier, distribution, licensing and financing contracts for change-of-control clauses, minimum purchases, termination rights and personal guarantees.

Challenge forecasts
Require a model that shows assumptions for volume, price, hiring, capital expenditure, working capital and tax. Compare the forecast with historical performance and signed contracts. Ask what happens if a key customer leaves, funding is delayed or costs rise. A forecast is a planning input, not proof of future earnings.
The Federal Reserve’s interagency guidance recommends reviewing audited statements, annual reports and filings, access to funds, expected growth, earnings, pending litigation and unfunded liabilities. Use those categories to structure your request and record which items were unavailable.
4. Check legal, regulatory and reputation exposure
Licenses and corporate powers
List every license, permit, registration and professional credential required for the promised activity. Verify status with the issuing authority, expiration date, geographic scope, disciplinary history and whether the license is transferable. Confirm that the entity’s formation documents permit the proposed business and that any regulated activity has the required ownership and supervision.
Sanctions, enforcement and litigation
Screen the entity, beneficial owners, directors and key affiliates against applicable sanctions and restricted-party lists. Search court records, regulator enforcement releases, insolvency filings and reliable news archives for claims involving fraud, bribery, discrimination, privacy, consumer harm, safety or money laundering. Obtain docket numbers, pleadings and outcomes for material cases; an allegation, settlement and judgment carry different risks.
Complaints, insurance and remediation
Ask for complaint metrics, chargebacks, recalls, regulator correspondence and corrective-action plans. Verify professional, cyber, general-liability, directors-and-officers and errors-and-omissions coverage where relevant. Check policy limits, exclusions, retroactive dates and whether your venture is an additional insured. A clean reputation search does not replace direct evidence of controls.

5. Assess capability, security and strategic fit
People and delivery capacity
Verify the staff, contractors, facilities, technology and management time assigned to the venture. Request role descriptions, relevant credentials, service-level commitments, continuity plans and references from comparable customers. Speak with references using consistent questions about quality, timeliness, disputes and remediation.
Controls and information security
Understand how the partner protects your data, money and intellectual property. Review access controls, authentication, encryption, logging, vulnerability management, backup and recovery, incident notification, subcontractor oversight and secure deletion. Ask for independent assurance reports or policy evidence when available, but test whether controls cover the actual systems that will handle your information.
Strategic and incentive fit
Document each party’s objective, investment horizon, target customers, risk tolerance and definition of success. Identify competing businesses, side agreements, referral payments and compensation that could reward short-term revenue over quality or compliance. A capable partner can still be unsuitable if incentives, geography, exclusivity or ethical standards conflict.
6. Compare multiple candidates consistently
Use the same evidence request, interview questions and review period for every candidate. A simple internal rubric can make differences visible, but there is no authoritative universal due-diligence score or market pass rate. Weight categories according to the harm a failure would cause in your venture.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minute| Comparison category | Questions to answer | Evidence status |
|---|---|---|
| Ownership and control | Are all owners and veto holders disclosed and documented? | Verified, exception or unresolved |
| Financial strength | Can the partner fund commitments and withstand a downside case? | Statements, filings and funding evidence |
| Liabilities | Are debt, guarantees, taxes, litigation and off-balance-sheet duties known? | Schedule reconciled to contracts |
| Legal and regulatory history | Are licenses current and material matters disclosed with outcomes? | Registry and docket checks |
| Operational capability | Can the team deliver at the required volume and service level? | References, staffing and controls |
| Information security | Will data, systems and intellectual property be protected? | Policies, testing and contract terms |
| Transparency and fit | Does the partner answer consistently and share your objectives? | Interview and conflict record |
| Exit flexibility | Can you leave, replace or buy out the partner if conditions change? | Draft agreement and consent requirements |
7. Put the operating rules in the partnership agreement
Do not rely on informal promises or default statutory rules. Have counsel tailor the agreement to the entity and governing jurisdiction. Small drafting differences can change liability, control and transfer outcomes; SBA guidance notes that LP and LLP protections differ and that some LLC membership transfers may require agreement or consent.

Economics and contributions
- Cash, property, services and timing of each contribution.
- Ownership percentages and separate profit, loss and capital allocations.
- Distribution policy, tax distributions, reserves and treatment of future funding.
- Consequences of a missed contribution, dilution or default.
Authority and decisions
- Ordinary-course authority, spending limits and bank-signing rights.
- Reserved matters requiring unanimous or supermajority approval.
- Hiring, borrowing, guarantees, related-party deals and changes in business scope.
- Access to books, bank records, budgets, audits and inspection rights.
Risk, information and intellectual property
- Confidentiality, data use, security standards and breach notification deadlines.
- Ownership and licensing of pre-existing and newly created intellectual property.
- Representations, warranties, indemnities, insurance and liability caps.
- Conflict disclosure, non-solicitation or non-compete terms where lawful.
Deadlock, transfer and exit
- Escalation from manager discussion to mediation, arbitration or court.
- Deadlock triggers, cooling-off periods and a fair buy-sell mechanism.
- Permitted transfers, right of first refusal, valuation method and payment terms.
- Withdrawal, death, disability, insolvency, expulsion and dissolution procedures.
- Winding-up authority, asset distribution, record retention and customer transition.
8. Run a documented approval workflow
- Define scope. Write the activities, entities, jurisdictions, data access, money flows and risk tolerance before requesting records.
- Send one evidence list. Give every candidate the same request with an owner and due date for each item.
- Verify independently. Check registries, licenses, sanctions lists, court records and references yourself; retain the date and source.
- Reconcile discrepancies. Log conflicting names, percentages, revenue, debt, dates or signatures. Ask for a written explanation and supporting record.
- Assess residual risk. Assign each issue an owner, likelihood, impact, mitigation, deadline and acceptance authority.
- Draft and negotiate controls. Convert material findings into representations, covenants, conditions precedent, audit rights or termination rights.
- Approve or decline. Record who approved, which exceptions were accepted and why. Do not let a commercial deadline erase an unresolved material issue.
- Monitor after signing. Set renewal dates for licenses, insurance, financial statements, sanctions screening, security reviews and ownership changes.
Red flags that require escalation
- Refusal to provide formation, ownership, financial or authority records.
- Unexplained changes in owners, bank accounts, addresses, revenue or liabilities.
- Undisclosed beneficial owners, nominee arrangements or control rights.
- Sanctions matches, license gaps, serious enforcement, insolvency or unresolved fraud allegations.
- Requests for unusual payment routes, personal accounts, rushed signatures or undocumented side letters.
- Forecasts unsupported by contracts, statements that do not reconcile, or material debts omitted from schedules.
- Inability to explain who owns intellectual property or who may access sensitive data.
- Agreement terms that grant broad authority but no records access, audit right or workable exit.
Pause signing and escalate to counsel and an accountant when a red flag affects ownership, authority, solvency, tax, sanctions, regulatory permission or personal liability. A mitigation is adequate only when it is documented, assigned and enforceable.
Entity and tax questions to settle before signing
Ask which jurisdiction’s law governs, whether the venture is a partnership for federal tax purposes, who will file Form 1065, how estimated taxes and tax distributions will be funded, and who controls tax elections and audits. Confirm whether the structure is a general partnership, LP, LLP or LLC and explain the practical liability and control consequences to every owner.
Map transfer restrictions before anyone contributes assets or customer relationships. An ownership interest that cannot be transferred without consent may be difficult to finance or exit. Conversely, an unrestricted transfer could introduce an unknown owner. Align the agreement, registry filings, tax records and cap table so that one authoritative record does not contradict another.
How to keep the checklist useful after closing
Due diligence is not a one-time document exchange. Put review dates in the agreement and assign a business owner to refresh records. Recheck ownership and sanctions when control changes, review financial information at the cadence justified by exposure, and test security and insurance before renewal. Record incidents, complaints and remediation, then revisit whether the original risk acceptance remains valid.
The strongest decision is sometimes “not yet” rather than “yes” or “no.” Require missing evidence, narrow the scope, add conditions precedent or use a short pilot with clear termination rights when the opportunity is promising but verification is incomplete.
