A Bitcoin treasury company stock is not the same as owning Bitcoin. You are buying a residual claim on a corporate structure that may contain Bitcoin, an operating business, debt, preferred securities, cash reserves, taxes, custody risks, and future dilution. The right starting point is the company’s residual Bitcoin value per diluted common share, not its gross BTC balance. Before buying, build a dated holdings ledger, subtract senior claims, model dilution and financing costs, test liquidity in a falling market, and review the operating business separately. Historical figures can become stale quickly: Strategy reported approximately 672,500 BTC at December 31, 2025 and approximately 717,131 BTC at February 13, 2026. Recheck every figure against the latest filing before making a decision.

What are you actually buying when you purchase a Bitcoin treasury stock?

You are buying common equity in a company, not a warehouse receipt for a fixed quantity of Bitcoin. Common shareholders receive whatever remains after creditors, preferred shareholders, taxes, operating liabilities, transaction costs, and other senior claims are satisfied. The company may also have a software, hospitality, media, or other operating business whose cash flows can either support the treasury strategy or consume capital.

That structure creates two separate questions:

  • Asset exposure: How much residual Bitcoin value is attributable to each diluted common share?
  • Business and financing risk: Can the company preserve that exposure without issuing excessive securities, missing obligations, or selling Bitcoin during a downturn?

A stock can rise faster than Bitcoin when investors expect continued Bitcoin-per-share growth, financing access, or a scarcity premium. It can also fall much more than Bitcoin when leverage, dilution, weak cash flow, or a collapsing market premium becomes the dominant issue.

How do I identify the company’s real business model?

Read the business description, treasury policy, risk factors, and recent financing documents before looking at a promotional BTC total. Classify the issuer as an operating company with a Bitcoin reserve, a company that has pivoted toward a treasury strategy, or a vehicle whose main economic purpose is Bitcoin accumulation.

Questions to answer from filings

  • What does the company sell today, and who pays for it?
  • Does the operating business generate cash before financing activity?
  • Is Bitcoin described as a reserve asset, a capital-allocation policy, or effectively the main business?
  • What does management say about exits, liquidity, custody, and future financing?
  • Are management incentives tied to BTC per share, revenue, cash flow, stock price, or another metric?

Strategy publishes a Bitcoin treasury policy while operating an enterprise analytics software business. Metaplanet describes a treasury pivot in 2024 alongside a Tokyo hotel and a Bitcoin Magazine Japan license. Those businesses should not be treated as interchangeable wrappers around the same asset.

How do I build a dated Bitcoin holdings ledger?

Start with the most recent filing or official holdings disclosure, then record every later purchase, sale, transfer, pledge, or restriction. A Bitcoin number without a measurement date is not enough for valuation.

  1. Record the quantity. Write the exact BTC amount and whether it is approximate.
  2. Record the measurement date. Distinguish a quarter-end balance from a later press release or dashboard update.
  3. Record the filing and publication dates. A December 31 balance may not have been filed until weeks later.
  4. Classify ownership. Note whether coins are held directly, through a subsidiary, with a custodian, in a lending arrangement, pledged as collateral, restricted, or otherwise unavailable.
  5. Record the valuation convention. Note the Bitcoin price, currency, exchange-rate assumption, and time used in any calculation.
  6. Add subsequent transactions. Adjust for disclosed activity after the reporting date instead of silently mixing dates.

Strategy illustrates why this discipline matters: it reported approximately 672,500 BTC at December 31, 2025 and approximately 717,131 BTC at February 13, 2026. The latter disclosure gave an aggregate fair market value of $49.29 billion for those holdings. Neither figure should be presented as a current balance after later purchases, sales, or transfers.

How do I convert gross Bitcoin into common-share exposure?

Use gross BTC only as the first line of the analysis. The simple calculation is gross BTC value = BTC held × BTC market price. It does not tell you what common shareholders would receive.

A residual-value worksheet

Line item What to record Why it matters
Bitcoin holdings Quantity, date, ownership status, and valuation price Establishes the starting asset pool
Cash and USD reserves Unrestricted cash and reserves, with stated purpose May support obligations or be unavailable for common shareholders
Debt and debt-like instruments Principal, interest, maturity, collateral, and conversion terms Ranks ahead of common equity and can force asset sales
Preferred stock Liquidation preference, dividends, conversion rights, and redemption terms Creates a senior claim and possible dilution
Other liabilities Taxes, leases, operating payables, litigation, and contingencies Reduce the value left for common shareholders
Share count Basic, diluted, and fully diluted shares, including in-the-money awards Determines per-share exposure

A practical model is:

residual value for common = BTC value + available cash − debt − preferred claims − other material liabilities − transaction costs

Then calculate residual BTC value per diluted share = residual value for common ÷ fully diluted common shares. The result is an analytical estimate, not a guaranteed liquidation value. Taxes, operating assets, liabilities, and accounting conventions can make a strict “Bitcoin-only” calculation incomplete.

Strategy’s disclosed Net BTC methodology deducts selected out-of-the-money debt-like instruments and preferred stock, adds USD Assets, and uses fully diluted shares. The company warns that its assumptions can materially overstate or understate residual Bitcoin. Treat that methodology as a company-defined KPI, not as a universally accepted accounting measure.

How do I tell whether the stock trades at a premium or discount?

Compare the share price with residual Bitcoin value per diluted share using the same timestamp and assumptions:

market-implied multiple = stock price ÷ residual BTC value per diluted share

If the multiple is above 1.0, the stock trades at a market-implied premium to the modeled residual value. Below 1.0 indicates a discount. Label the result as a market-implied multiple rather than traditional net asset value unless the calculation meets the accepted definition of NAV.

Strategy explicitly says its mNAV is not equivalent to “net asset value” or “NAV” or any similar metric. It also notes that versions of the metric before July 23, 2026 are not automatically comparable with later versions. Check the formula, share-count convention, debt treatment, and date before comparing two mNAV figures.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What can a premium mean?

  • Investors expect future BTC-per-share growth from additional financing.
  • The company retains access to attractive equity, convertible, or preferred markets.
  • The operating business has value beyond its Bitcoin holdings.
  • Management has a policy or execution record that investors value.
  • The shares are liquid or scarce relative to available Bitcoin exposure.

What can a discount mean?

  • Debt, preferred dividends, or maturities create refinancing risk.
  • Future issuance may dilute common holders.
  • Operating cash flow is weak or negative.
  • Custody, governance, tax, accounting, or regulatory concerns are unresolved.
  • Investors doubt that financing will remain available during a Bitcoin decline.

Neither a premium nor a discount proves mispricing. It tells you which assumptions deserve investigation.

Can dilution make a Bitcoin treasury company a bad investment?

Yes. A transaction can increase the company’s total BTC while reducing the residual value or economic exposure attributable to each common share. Every issuance must be evaluated on a per-diluted-share basis, not by the headline number of coins purchased.

Analyze each financing in six steps

  1. Count the new common shares, conversion shares, warrants, or preferred securities.
  2. Identify the issue price, conversion price, redemption terms, and maturity.
  3. Measure the new senior claim, including interest and preferred dividends.
  4. Record how much Bitcoin the proceeds actually purchased and when.
  5. Recalculate residual BTC value per fully diluted share under base, lower-price, and higher-price scenarios.
  6. Test what happens if the stock premium compresses or capital markets close before the next financing.

Strategy states that an issuance may be accretive to Net BTC per share under specified mNAV assumptions. It also states that this does not establish accretion to earnings, cash flow, book value, enterprise value, intrinsic value, or trading price. “Accretive” therefore needs a metric attached to it.

Useful financing comparison fields

Field Why it belongs in the model
BTC per diluted share Shows gross exposure after new shares and conversion rights
Residual BTC per diluted share Includes debt, preferred claims, and available cash
Cash interest and preferred dividends Shows recurring obligations that can consume reserves
Maturity schedule Identifies dates when refinancing or repayment is required
Collateral and covenants Shows whether a Bitcoin fall can trigger restrictions or forced action
Remaining issuance capacity Indicates how much future dilution or funding flexibility is possible

What happens if Bitcoin falls and the company has debt?

A Bitcoin decline can reduce asset value, shrink the stock’s premium, increase leverage ratios, and make new financing more expensive or unavailable. If fixed charges continue while the reserve falls, management may have to issue shares at an unfavorable price, refinance on worse terms, sell Bitcoin, or dispose of operating assets.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Run three downside cases

  • Price shock: Revalue Bitcoin after a large decline while leaving debt principal unchanged.
  • Market-access shock: Assume no new equity, convertible, or debt financing for the next maturity period.
  • Premium-compression shock: Reprice the common stock at a much lower multiple of residual BTC value, reducing the proceeds available from issuance.

Then compare unrestricted cash and designated reserves with interest, preferred dividends, operating expenses, maturities, and any collateral requirements. Strategy reported a $2.25 billion USD Reserve as of February 13, 2026 and warned that depletion of reserves combined with unavailable financing could require Bitcoin sales to meet obligations. Its Form 10-K also says the company may be required to sell Bitcoin to satisfy financial obligations or liquidity needs.

The key question is not whether the company has enough Bitcoin in a spreadsheet. It is whether it can meet obligations without selling the asset during the market conditions in which selling would be most damaging.

How should I evaluate custody, security, and availability?

Do not assume that reported Bitcoin is immediately available to common shareholders. Read disclosures about private-key control, custodians, subsidiaries, insurance, pledges, lending, rehypothecation, and access restrictions.

  • Who controls the private keys or custody accounts?
  • Are coins held directly by the issuer or through a subsidiary or third-party custodian?
  • Are any holdings pledged, lent, restricted, or subject to counterparty rights?
  • What insurance exists, and who bears losses beyond policy limits?
  • What cybersecurity, access-control, and recovery procedures are disclosed?
  • Could a legal, regulatory, or operational event delay access to the coins?

SEC-filed risk disclosures identify custody, private-key, cyberattack, and unauthorized-access risks as material categories. A filing that does not provide a complete custody comparison is not evidence that the assets are fully secure.

What accounting, tax, and regulatory issues can change the analysis?

Reported earnings and book value may not track the market value of Bitcoin or the value of common equity. Read the latest Form 10-K, Form 10-Q, Form 8-K, prospectuses, and risk factors for the issuer’s accounting and tax treatment.

  • Accounting: Check how Bitcoin is measured and how unrealized changes affect reported results.
  • Taxes: Look for taxable gains, deferred-tax balances, limitations, and consequences of selling Bitcoin.
  • Securities law: Review disclosure obligations and any restrictions affecting issuance or trading.
  • Regulation: Identify rules that could affect holding, financing, custody, or transactions in Bitcoin.
  • Comparability: Confirm that two companies use comparable dates and definitions before comparing earnings, book value, or KPI results.

Strategy’s SEC-filed risk disclosures specifically list Bitcoin-price changes, accounting treatment, securities laws, tax consequences, liquidity, custody and security, and debt service as factors that can affect results.

How do Strategy’s reported figures illustrate the process?

Strategy’s disclosures provide a useful example of date and metric discipline, not a recommendation. The company reported approximately 713,502 BTC and a 22.8% BTC Yield during 2025, then reported approximately 717,131 BTC at February 13, 2026. It later reported 840,447 BTC as of August 9, 2026, describing that amount as approximately 4% of total Bitcoin supply.

BTC Yield is a company-defined performance measure. It can show a change in Bitcoin exposure relative to a share-count denominator, but it does not by itself measure shareholder return, earnings, cash flow, intrinsic value, or the market price of the stock. Reconcile the metric with dilution, debt, preferred claims, and the price paid for new Bitcoin.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The figures are historical and volatile. The company’s dashboard identified securities and Bitcoin market data through October 28, 2026, but market prices and holdings can change after that timestamp. Refresh holdings, share counts, debt, preferred claims, market prices, and financing capacity immediately before publication or an investment decision.

How do I compare two Bitcoin treasury companies fairly?

Use the same date, currency, price timestamp, share-count convention, and residual-value formula for both issuers. A comparison that uses one company’s quarter-end holdings and another’s later press release can create a false ranking.

Comparison axis What to compare
Bitcoin exposure Gross BTC and residual BTC per diluted share
Valuation Stock price versus residual BTC value per diluted share
Capital structure Debt, preferred stock, conversion rights, maturities, and fixed charges
Liquidity Unrestricted cash, designated reserves, and coverage of obligations
Operating business Revenue, margins, cash generation, customer demand, and capital needs
Custody Control, encumbrances, counterparties, insurance, and access disclosures
Governance Treasury policy, issuance authority, incentives, and shareholder protections
Trading context Exchange, geography, currency, liquidity, and local-market risks

Strategy combines Bitcoin with enterprise analytics software, debt, and multiple preferred securities. Metaplanet describes a Japanese treasury strategy alongside a Tokyo hotel and a Bitcoin Magazine Japan license. Their different operating assets, currencies, markets, and financing structures require normalized assumptions rather than a simple BTC-total ranking.

What documents should I read before placing an order?

Use this sequence so that promotional metrics do not substitute for primary disclosures:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Open the latest annual and quarterly filings.
  2. Read the business description and treasury policy.
  3. Extract Bitcoin holdings, the measurement date, custody status, and subsequent transactions.
  4. Read debt, preferred-stock, convertible, liquidity, and maturity footnotes.
  5. Review recent 8-K filings, prospectuses, and financing announcements.
  6. Reconcile basic, diluted, and fully diluted shares.
  7. Build the residual-value and downside worksheets.
  8. Read risk factors covering price, accounting, tax, regulation, custody, and debt service.
  9. Only then compare the stock price with residual BTC value per diluted share.

Keep a dated copy of each input. If a number cannot be tied to a filing, official dashboard, or clearly identified disclosure, mark it as unverified rather than filling the gap with an estimate.

What should a final investment checklist contain?

  • Latest BTC quantity and exact measurement date.
  • Subsequent purchases, sales, transfers, pledges, or restrictions.
  • Residual value after debt, preferred claims, taxes, and other material liabilities.
  • Fully diluted share count, including conversion rights and awards.
  • Stock price and residual BTC value per share measured at the same time.
  • Financing terms, cash interest, preferred dividends, and maturities.
  • Reserve coverage under a severe Bitcoin decline and a closed-capital-markets scenario.
  • Custody, private-key, insurance, counterparty, and encumbrance disclosures.
  • Operating revenue, margins, cash flow, and governance incentives.
  • Accounting, tax, securities-law, and regulatory risks.

Bottom line: what is the decisive test?

The decisive test is whether the common-share claim remains attractive after you replace gross BTC with residual BTC value, fully diluted shares, senior financing claims, operating liabilities, and realistic liquidity stress. A rising Bitcoin balance is not enough. The stock is only compelling if the company can grow or preserve per-share exposure, fund its obligations, and survive a market in which Bitcoin falls and financing becomes difficult.

Frequently Asked Questions

Which filing should I open first for a Bitcoin treasury company?

Start with the latest annual or quarterly filing, then read any subsequent 8-K, prospectus, or official holdings update. The later documents may change the BTC balance, share count, debt, preferred claims, or reserve position reported at quarter-end.

How often should I recalculate a treasury stock’s Bitcoin value per share?

Recalculate after every material purchase, sale, financing, conversion, preferred issuance, or major Bitcoin-price move. At minimum, update the worksheet whenever a new filing or official holdings disclosure changes an input.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Does a company’s BTC Yield equal my return as a shareholder?

No. BTC Yield is a company-defined exposure metric, not a complete shareholder-return measure. Your return also depends on the stock price, dilution, debt and preferred claims, operating results, taxes, and changes in the market premium or discount.

Can a discount to Bitcoin value persist for years?

Yes. A discount can reflect leverage, weak cash generation, governance concerns, custody uncertainty, tax exposure, or doubts about future financing. A low multiple is a prompt to investigate those risks, not a timetable for convergence.
