There is no universal best M&A advisor for a SaaS sale. The right choice depends on your ARR and expected enterprise value, SaaS segment, geography, likely buyer mix, and the senior banker who will run the process after the pitch. For most founder-led and mid-market exits, specialist boutiques such as L40°, Software Equity Group, Vista Point Advisors, Windsor Drake, Corum Group, AGC Partners and iMerge Advisors are sensible starting points. Larger technology banks become more relevant as deal size, cross-border complexity and public-company buyer access increase.
Use the ranges and firm profiles below to build a shortlist, then verify recent comparable closings, actual senior coverage, buyer reach, conflicts and the complete fee-and-tail language before signing.
Which M&A advisor fits my SaaS company’s ARR and deal size?
ARR is a useful first filter, but it is not an eligibility rule. Enterprise value, growth, retention, profitability, customer concentration, geography and whether a software or financial buyer is most likely can move you into a different advisor tier. The bands below are indicative starting points, not guarantees that a firm will accept a mandate.

| About $2M–$30M ARR | Boutique software or SaaS specialist | Corum Group, Software Equity Group, Vista Point Advisors, Discretion Capital, L40°, iMerge Advisors and Livmo are included in Livmo’s scored group. | Five recent transactions near your expected value, buyer type and who will execute day to day. |
| About $5M–$100M ARR or roughly $20M–$200M EV | Established mid-market technology advisor | L40°, AGC Partners, Software Equity Group, Vista Point Advisors, Windsor Drake, Union Square Advisors, Drake Star and Corum Group. | Cross-border execution, strategic and sponsor coverage, and senior banker continuity through diligence. |
| Upper-mid-market and large strategic transactions | Technology investment bank with enterprise-scale distribution | Qatalyst Partners, Morgan Stanley TMT, Goldman Sachs TMT, Evercore, Houlihan Lokey Technology Group and, in Windsor Drake’s framing, Arma Partners. | Whether your transaction is large enough to receive senior attention and a tailored buyer strategy rather than a standard process. |
These ranges overlap. Ask every candidate for closed SaaS transactions within approximately 0.5x to 2x of your expected enterprise value, including buyer type, geography and outcome where disclosure is permitted. A famous logo with no close comparables is weaker evidence than a less famous firm that repeatedly sells companies like yours.

What are the strongest specialist advisors for a founder or mid-market SaaS sale?
Industry comparison pages repeatedly surface the following firms, but their published lists use different methodologies and should be treated as starting points rather than an audited league table.
L40°
L40° focuses on SaaS, artificial intelligence and technology. It states a client range of approximately $5M–$100M ARR, is mainly sell-side, and also offers debt advisory and selected buy-side work. Its positioning covers North America, Europe and Latin America, which may help when a process needs cross-border buyer access. L40° describes the partner who remains involved in month six as more important than the pitch team and emphasizes competitive tension as a driver of price.
Software Equity Group
Software Equity Group is presented as a B2B software and SaaS sell-side specialist. L40° places it in the roughly $5M–$100M ARR range. During interviews, confirm the exact vertical experience, the senior person assigned to your mandate and whether its recent closings resemble your retention, growth and margin profile.

Vista Point Advisors
Vista Point Advisors is described as founder-led software and internet focused and sell-side only in L40°’s comparison. That source lists transaction sizes of approximately $25M–$500M. If your expected value is below or above that band, ask how the firm defines its current minimum and which partner would own the process.
Windsor Drake
Windsor Drake covers fintech, payments, B2B SaaS, cybersecurity and artificial intelligence. Its published pages place activity from roughly $5M to $300M in enterprise value, while L40°’s table describes $3M–$50M EV as a common band. The overlap between those descriptions is not a promise of eligibility; request recent deals in your exact range and sector.

Corum Group
Corum Group is repeatedly rated as a lower-middle-market software and information-technology specialist. Windsor Drake identifies it as a potential fit when a software company is likely to be the buyer. That orientation can matter when product integration and strategic fit are more important than a broad auction of financial sponsors.
iMerge Advisors
iMerge Advisors is positioned as a lower-middle-market SaaS and software sell-side specialist. Published ranges place it around $3M–$50M or $5M–$50M ARR, depending on the source and definition. Reconcile those ranges in an interview and ask for the last five relevant closings rather than relying on a headline band.

These firms appear in the core mid-market technology tier. Their potential fit is strongest when you need a wider strategic and sponsor network than a very small boutique can provide. The deciding evidence should be comparable transactions and the specific team, not inclusion on a list.
Enterprise-scale technology banks
Qatalyst Partners, Morgan Stanley’s technology, media and telecommunications group, Goldman Sachs’ TMT group, Evercore and Houlihan Lokey Technology Group appear in an enterprise-to-large-cap list. Their scale may suit a large strategic sale, a complex cross-border transaction or a situation requiring public-company access, but a founder-scale exit may not receive the same attention. Arma Partners is described by Windsor Drake as an upper-mid-market to large-cap option.
Should I hire a boutique advisor or a large investment bank?
A boutique is often better when the company is in the lower or core middle market and needs a specialist who will personally manage the sale. A large bank can be preferable for a very large transaction, a public-company buyer set, a complicated financing structure or a process spanning several continents.

| Factor | Boutique specialist | Large technology bank |
|---|---|---|
| Typical fit | Founder-led and mid-market SaaS with a focused buyer universe. | Upper-mid-market, large strategic or highly complex transactions. |
| Senior access | Often direct partner or managing-director involvement; verify in writing. | Strong senior brand, but confirm who does the work after the pitch. |
| Sector depth | Usually concentrated in software, SaaS or adjacent verticals. | Broad technology coverage with specialist teams and industry access. |
| Buyer reach | Can be deep in a defined niche; test international and sponsor coverage. | Potentially broad strategic, private-equity and public-company relationships. |
| Economics | Usually a lower retainer and a success fee negotiated around the mandate. | May carry higher minimums or more formal fee structures. |
| Main risk | Limited capacity, concentrated relationships or dependence on one rainmaker. | Delegation to junior staff or insufficient attention for a smaller mandate. |
The practical test is not “boutique versus bank.” It is whether the proposed team can create competitive tension among credible buyers while protecting confidentiality and keeping senior judgment available through close.
How do I compare SaaS M&A advisors during interviews?
Run a structured, evidence-based interview. Give each firm the same high-level facts and ask for written answers so you can compare like with like.
- Request five close comparables. Ask for the last five SaaS transactions within approximately 0.5x–2x of your expected enterprise value. Record ARR, growth, net retention, margins where available, buyer type, geography, announced value and whether the firm represented the seller.
- Name the actual execution team. Identify the partner or managing director who will be involved during month six, diligence and closing. Put that person’s expected role and availability in the engagement letter; a pitch-team handoff is a common source of disappointment.
- Test buyer reach. Ask which strategic acquirers, private-equity sponsors and PE-backed platforms the firm contacted in the last 24 months, and request examples of cross-border execution if international buyers matter. Distinguish a relationship that produced a meeting from one that produced a completed transaction.
- Map conflicts. Determine whether the firm also represents buyers, raises capital or has portfolio-company relationships that could overlap with your buyer list. Require disclosure and a written process for handling conflicts before confidential information is shared.
- Ask how the auction will work. Request a sample timetable, buyer-screening rules, information memorandum responsibilities, management-meeting plan and the point at which the firm would recommend exclusivity.
- Clarify downside scenarios. Ask what happens if no acceptable bid appears, a buyer requests a long exclusivity period, diligence reveals a problem or the transaction changes from a stock sale to an asset sale.
How long does a SaaS exit take?
Current mid-market guides describe approximately six to nine months from formal launch to close, plus preparation. A clean company with organized data and a narrow buyer set can move faster; cross-border diligence, regulatory review, earn-outs, rollover equity or a difficult quality-of-earnings review can extend the schedule.
- Preparation: normalize financial statements, define ARR and retention metrics, assemble contracts and intellectual-property records, and resolve obvious legal or customer-concentration issues.
- Market positioning: build the confidential information memorandum, buyer list and management presentation. Agree on what is disclosed at each stage.
- Initial outreach: contact a controlled set of strategic buyers, sponsors and PE-backed platforms, usually under confidentiality arrangements.
- First-round indications: compare valuation, structure, financing certainty, rollover requirements and strategic rationale rather than headline price alone.
- Management meetings and diligence: provide deeper financial, product, security, legal, tax, employment and customer information to shortlisted bidders.
- Final bids and exclusivity: negotiate the letter of intent, exclusivity period, purchase-price mechanics and protections before granting a buyer a clear path to signing.
- Definitive agreement and closing: complete confirmatory diligence, financing, regulatory steps and transition arrangements.
How much does a SaaS M&A advisor charge?
Typical boutique economics described in 2026 guides include a retainer in the low tens of thousands of dollars, generally credited against a 2%–5% success fee. L40° reports that effective fees often decline from roughly 3%–4% near a $20M transaction toward about 2% near $100M. These are market descriptions, not mandatory rates; the engagement letter controls.
| Fee term | What to ask |
|---|---|
| Retainer | Amount, payment schedule, whether it is refundable and exactly how it is credited against the success fee. |
| Success-fee base | Whether the percentage applies to enterprise value, equity value, cash at close, assumed debt, working-capital adjustments or total consideration. |
| Earn-out and rollover | Whether contingent consideration, seller rollover equity, employment payments or consulting fees are included in the fee base and when they become payable. |
| Expenses | Which travel, data-room, legal, research and third-party costs require approval and whether there is a cap. |
| Tail | Duration, usually discussed in the 12–24 month range, and which buyers or affiliates are covered after termination. |
| Termination | Notice period, fees if you stop the process, and treatment if a buyer introduced during the mandate closes later. |
Compare proposals on total expected dollars under several outcomes, not just the percentage. A lower headline rate can be more expensive if the fee base includes rollover and earn-out value or if the tail is unusually broad.

What buyer and valuation trends should a SaaS seller understand in 2026?
Buyer mix and recurring-revenue quality influence both outreach and valuation. L40° reports that strategic acquirers closed 137–155 acquisitions in each of the six quarters through Q2 2026, with an average deal value around $200M. That is L40°’s market framing, not a universal SaaS-only statistic, so ask how the figures were defined before using them as a forecast.
Windsor Drake states that approximately 58% of SaaS M&A transactions were driven by private-equity buyers in 2025 and cites an 11.7x median revenue multiple for companies with net revenue retention above 120%. Those are publisher-reported figures with definitions and comparable-company scope that should be verified. They are not a valuation promise for an individual company.
Your advisor should explain how buyers may value growth, gross margin, net retention, customer concentration, services mix, implementation burden, security posture, cash generation and the durability of the addressable market. Ask for a valuation range under different structures, including cash at close, earn-out, seller rollover and management-retention terms.

Preparation improves buyer confidence and gives advisors better evidence for pricing. Create a secure, indexable data room and reconcile every metric used in the pitch.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problems- Monthly income statements, balance sheets and cash-flow statements, with a bridge from accounting revenue to ARR.
- Customer-level ARR, bookings, churn, expansion, contraction, gross revenue retention and net revenue retention, with definitions and cohort views.
- Contract templates, renewal terms, assignment and change-of-control clauses, discounts, implementation obligations and unusual service commitments.
- Product roadmap, architecture overview, uptime history, security controls, penetration-test summaries and material incident records.
- Intellectual-property ownership, open-source software policies, employment agreements, contractor assignments and immigration matters where relevant.
- Sales-pipeline detail, channel agreements, customer concentration analysis and a realistic forecast with assumptions.
- Tax filings, debt documents, capitalization table, option grants, related-party transactions and any threatened or pending disputes.
Do not inflate ARR by including one-time services, uncollectible contracts or unsigned expansions. Inconsistent definitions are discovered quickly in diligence and can damage both price and credibility.

What mistakes should I avoid when selecting an advisor?
- Choosing by logo alone: A large brand does not automatically provide the right fit for a mid-market software exit.
- Accepting vague comparables: “Technology transactions” are not the same as closed SaaS deals with similar retention, growth and enterprise value.
- Ignoring the execution team: Require the senior banker you meet to remain involved through diligence and closing.
- Overlooking conflicts: Buyer mandates, capital-raising work and portfolio relationships can affect outreach and negotiation.
- Optimizing only for headline price: Financing certainty, indemnity exposure, earn-out risk, rollover terms and closing conditions can change the real value.
- Signing a broad tail: Define covered buyers, affiliates, time period and the fee base before termination rights are needed.
- Launching before the business is ready: A rushed process can expose weak metrics and reduce leverage with the best buyers.
What is a practical decision framework for choosing one firm?
Score each finalist against the factors that matter to your transaction, then investigate any unusually high or low score.
| Criterion | Suggested question |
|---|---|
| Comparable experience | Can the team show five recent closings near my expected enterprise value and SaaS profile? |
| Senior involvement | Who will lead buyer calls, management meetings, negotiation and diligence in month six? |
| Buyer coverage | Can the firm reach credible strategics, sponsors and PE-backed platforms in my geographies? |
| Sector understanding | Does it understand my sub-sector, sales motion, retention model, security requirements and services mix? |
| Independence | Are conflicts disclosed, and is the firm’s sell-side role clear? |
| Process quality | Will the team create competitive tension without disclosing sensitive information too early? |
| Economics | Are retainer credit, fee base, earn-out, rollover, expenses and tail unambiguous? |
| Working relationship | Will the team communicate at the pace and level of detail required by the founders and board? |
After scoring, call two or three former clients whose transactions resemble yours. Ask what changed after signing, how often senior bankers appeared, whether buyer feedback was candid and how the firm handled a difficult diligence issue. Those conversations often reveal more than a polished pitch.
Frequently Asked Questions
Do I need an investment bank if my SaaS company is worth less than $2 million?
Not necessarily. Smaller, simpler businesses are often sold through marketplaces or brokers, but you should still compare confidentiality, buyer qualification, valuation support and minimum fees. An advisor that only lists businesses may not provide the auction design and diligence management needed for a complex SaaS transaction.
Outdated Drivers Are Slowing You Down

A free scan shows the junk files, broken settings and background clutter dragging Windows down - then fixes them in one click.Free scan · Windows 10 & 11What SaaS metrics will an advisor ask for first?
Expect requests for ARR definition, growth rate, gross and net retention, churn, customer concentration, gross margin, services mix and cash generation. Provide monthly and cohort views where possible, because buyers test whether reported recurring revenue is durable rather than merely large.
Can I interview more than one M&A advisor at the same time?
Yes, and a short competitive selection is usually useful. Share the same high-level information, avoid giving multiple firms unrestricted confidential customer data, and tell finalists when a decision will be made so proposals remain comparable.
Should I sell to a strategic buyer or private equity?
Neither category is automatically superior. A strategic buyer may pay for product overlap or distribution synergies, while a sponsor or PE-backed platform may offer a different structure, continued role and rollover opportunity. Evaluate certainty, structure, governance and post-close plans alongside price.
What happens if my preferred buyer does not close?
Your engagement letter should explain whether the advisor can restart outreach, how exclusivity ends and whether a tail fee applies. Preserve an updated data room and buyer log so a second process can begin without rebuilding every document.
