You can use AI to review, compare, summarize, or draft a contract without exposing sensitive data only after your organization has approved the tool, the specific purpose, the data route, and the people who can access it. A “private” toggle is not a contract control. Your agreement with the AI provider must define permitted data, prohibit unapproved training and secondary use, control subprocessors and support access, require security across the system’s lifecycle, and provide deletion, audit, incident, and exit rights. Keep a qualified human responsible for every material legal conclusion because AI output can be inaccurate, biased, or incomplete.

What should you do before putting any contract into an AI system?

Start with an approval gate, not a prompt. Do not submit contract text until the organization has classified the material, approved the use case, mapped the processing chain, and confirmed contractual and technical safeguards.

  • Classify the content: mark personal information, trade secrets, regulated data, legally privileged material, security details, pricing, and information restricted by a customer, partner, or public-sector contract.
  • Define the task: specify whether the system will extract clauses, summarize obligations, compare versions, classify risk, draft language, or perform another bounded function.
  • Approve the route: identify the application, account type, region, integrations, storage locations, administrators, reviewers, and subprocessors that may handle the input or output.
  • Confirm access controls: limit use to named or role-based users, require strong authentication, and prevent prompts and outputs from appearing in unrelated workspaces.
  • Record the decision: keep the approved purpose, data categories, risk assessment, owner, review date, and stop conditions in your internal register.

The Australian Office of the Australian Information Commissioner (OAIC, 2024–2025) says privacy obligations apply both to personal information entered into an AI system and to output that contains personal information. Its due-diligence recommendations cover intended use, access, testing, human oversight, and privacy and security risk. Commercial availability does not remove those obligations.

How do you classify contract information and define an approved use case?

Make the smallest data set that can answer the business question. A request to identify renewal dates may need only the relevant clauses; it does not automatically justify uploading the entire agreement and its schedules.

  • 12-Month Warranty: Backed by a 12-month manufacturer warranty for peace of mind. Designed to meet strict quality control standards for reliable everyday performance.

Build a data inventory

  • Personal information: names, addresses, signatures, identification numbers, employee details, customer records, and any information that can identify a person.
  • Confidential business information: prices, discounts, forecasts, source code, product plans, negotiation positions, and supplier terms.
  • Privileged or work-product material: legal advice, litigation strategy, investigation notes, and counsel communications.
  • Regulated information: health, financial, children’s, employment, export-controlled, or sector-specific records.
  • Third-party restricted material: data that another agreement permits you to use only for a stated purpose or in a specified location.

Write a purpose statement

State the exact permitted operation, the expected output, the approved users, and the prohibited uses. For example: “The service may extract notice periods from agreements supplied by the legal operations team to produce an internal obligations table. It may not train a general model, improve a product, benchmark customers, create profiles, or use the text for any unrelated request.” A purpose statement that says only “AI assistance” is too broad to enforce.

Choose minimization and de-identification

Remove names, signatures, account numbers, and irrelevant schedules where the task does not require them. Pseudonymization reduces exposure but is not the same as anonymization: a party that holds the re-identification key can still connect the text to a person. Preserve enough context for accurate analysis and document what was removed so reviewers understand the limits of the result.

How do you map controller, processor, and joint-controller roles?

Analyze each processing operation separately and put the result in the agreement. The Information Commissioner’s Office (ICO) advises identifying distinct operations and purposes across the whole supply chain, then formally documenting and agreeing the relationship in contracts.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Operation Questions to answer Contract record
Prompt and document handling Who decides why the contract is analyzed and what means are used? Identify the controller, processor, or joint-controller relationship and the permitted instructions.
Hosting and storage Which provider stores inputs, outputs, logs, backups, and encryption keys? Name the hosting role, locations, retention period, and subprocessor chain.
Model operation Does the AI provider process only on instructions, or decide its own purposes such as training or analytics? Prohibit independent purposes unless expressly approved and allocate responsibility for each one.
Human support Can employees, contractors, or support agents view prompts or outputs? Define authorization, confidentiality, access logging, screening, and exceptional-access procedures.
Integrations Do plug-ins, document systems, identity services, or monitoring tools receive the data? List each integration and require equivalent restrictions.
Output reuse Who determines whether an output enters a customer file, decision system, or new dataset? Assign review duties, permitted reuse, correction obligations, and deletion responsibilities.

Do not assume that one label covers the entire service. A provider may be a processor for document analysis but a separate controller for billing, abuse prevention, or product analytics. If both parties determine purposes and means for the same operation, assess joint-controller obligations rather than accepting a generic “service provider” description.

Which AI data-use clauses protect contract text?

Use direct prohibitions and affirmative duties. A marketing statement that data is “private” is not a substitute for negotiated terms that survive configuration changes and support requests.

Purpose and permitted data

List the data categories, approved regions, user groups, and functions. Require the provider to process only what is necessary to deliver the named service and to follow documented instructions. Ban combining the customer’s content with another customer’s data except where the agreement expressly permits a technically isolated operation.

Training and secondary use

State that prompts, uploaded files, outputs, embeddings, metadata, and logs may not be used to train, fine-tune, evaluate, benchmark, advertise, or improve a model or service unless the customer gives specific written approval. Cover both automated processing and human review. Require the provider to identify any de-identified or aggregated use and explain why it cannot be traced back to the customer or an individual.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

This matters because the Federal Trade Commission (FTC) warns that model-as-a-service customers may disclose internal documents and user data, and that breaking privacy commitments or omitting material data-use facts can create enforcement exposure. The FTC’s stated principle is simple: “There is no AI exemption from the laws on the books.”

Retention, logs, and support access

Set separate limits for live inputs, outputs, prompts, telemetry, abuse-detection logs, backups, and support copies. Require deletion or irreversible de-identification after the stated period, and make support access exceptional, time-limited, approved, and logged. The vendor should disclose whether staff can view content, from which countries, for what reasons, and under what confidentiality obligations.

Subprocessors and onward transfers

Require a current list of subprocessors, their functions, locations, and data categories. Choose a notification-and-objection process or prior written approval for additions, with a right to terminate or stop the affected processing if a material risk cannot be resolved. Flow down the same confidentiality, security, deletion, incident, and audit duties to every subprocessor.

Confidentiality hierarchy

Make the AI clause at least as protective as the main agreement’s confidentiality clause. State that contract content, prompts, outputs, and derived representations are confidential information, and specify that the provider cannot claim ownership merely because its system generated or transformed an output.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What security requirements should an AI contract contain?

Specify controls and evidence, not a vague promise to use “industry-standard security.” Security must cover design, development, deployment, operation, monitoring, maintenance, and updates.

  • Encryption: require encryption in transit and at rest, documented key management, and separation of customer-managed keys where risk justifies it.
  • Identity and least privilege: require role-based access, multi-factor authentication for administrators, privileged-access review, session controls, and prompt/output isolation between tenants.
  • Secure development: require threat modeling, code review, dependency management, vulnerability remediation, secure configuration, and testing for prompt injection, data exfiltration, model inversion, and unauthorized tool use.
  • Resilience and backups: define recovery objectives, backup protection, restoration testing, and the treatment of deleted data in backup media.
  • Logging and monitoring: record administrative access, data exports, model or policy changes, failed authentication, and unusual retrieval or tool activity without collecting unnecessary sensitive content in logs.
  • Isolation: explain how customer data is segregated from other tenants, training pipelines, analytics stores, and development environments.
  • Vulnerability management: set severity-based response times, disclosure procedures, patch verification, and notification for vulnerabilities that could expose prompts or outputs.

The National Cyber Security Centre’s 2023 guidance puts the lifecycle principle plainly: “Security must be a core requirement, not just in the development phase, but throughout the life cycle of the system.” Make that a continuing contractual duty so a later model update or new integration does not silently lower protection.

What incident, breach, and regulator-assistance terms are needed?

Define an incident broadly enough to include unauthorized access, accidental disclosure, loss of availability, unsafe model behavior, prompt injection that exposes data, and a subprocessor failure.

  1. Require notice to named contacts without unreasonable delay and provide a firm outside deadline that is compatible with your legal reporting duties.
  2. Specify the initial facts: affected systems, data categories, time window, suspected cause, containment steps, and likely consequences.
  3. Require updates as facts develop, preservation of relevant logs, and cooperation with forensic investigation and regulator communications.
  4. Allocate responsibility for notifying individuals, customers, contracting authorities, and regulators where required by law.
  5. Require corrective actions, root-cause reporting, and verification that containment did not create additional copies.

The ICO identifies assistance with breaches, data-subject requests, impact assessments, and regulator obligations as important processor terms. Include those duties even when the vendor says it will “handle compliance” because your organization may still carry the legal responsibility.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

How should human review and AI accuracy be handled?

Treat AI output as an assistive draft, not an authoritative legal interpretation. Assign a qualified reviewer to verify every material extraction, comparison, risk flag, or proposed clause against the source document.

Set review boundaries

  • Require human confirmation before a deadline, payment, liability cap, renewal, termination right, or compliance obligation is recorded as fact.
  • Require a source citation or page-and-clause reference for each material conclusion where the system supports it.
  • Prohibit automated legal advice, contracting decisions, or external communications without an approved human workflow.
  • Record uncertainty, missing pages, unreadable scans, conflicting clauses, and the reviewer’s resolution.

Contract for measurable performance

Where performance matters, define accuracy measures, availability targets, response times, and service-level remedies for the particular task. The ICO recommends accuracy key performance indicators or service-level agreements, documentation of training and system constraints, fairness evidence, explainability information, independent evaluation, and ongoing review. Do not accept a single headline accuracy percentage without the test population, task definition, language, version, and known failure modes.

Require change notification

Make the provider document material model, retrieval, safety-policy, interface, and subprocessor changes. Require notice before a change that could affect confidentiality, location, retention, output behavior, or contractual compliance. Reserve the right to test a new version, suspend processing, or exit if the risk profile materially changes.

What extra controls apply to tenders and procurement responses?

If AI helps prepare a bid, tender, or procurement response, protect the contracting authority’s confidential information and be transparent about the use where the procurement rules or instructions require it.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Identify whether the system will process specifications, evaluation criteria, draft answers, pricing, or prior bids.
  • Prohibit using confidential contracting-authority information to train or improve a general model.
  • Disclose AI assistance when required and describe the human verification process.
  • Apply additional due diligence to accuracy, robustness, credibility, security, and provenance of generated content.
  • Keep evidence showing which sections were generated, edited, checked, and approved.

UK Procurement Policy Note 02/24 recommends proportionate controls, supplier disclosure, and additional testing for accuracy, robustness, and credibility. A procurement response can be rejected or create a contractual dispute if generated claims are unsupported, so preserve the source and review trail.

How do you compare AI providers before signing?

Use the same written questions and require evidence rather than comparing marketing labels. The cheapest or most feature-rich service may create the greatest legal and exit cost if its data practices are unclear.

Comparison area What to require Evidence to request
Training and secondary use Express no-training and no-product-improvement rule for customer content, outputs, metadata, and logs. Contract clause, configuration record, and change-notice commitment.
Retention and deletion Separate periods for inputs, outputs, logs, support copies, and backups; deletion certificate at exit. Retention schedule, deletion procedure, and sample certificate.
Subprocessors Named functions, locations, notice or approval process, and equivalent flow-down terms. Current register and change history.
Encryption and access Encryption, key controls, least privilege, tenant isolation, administrator MFA, and access logging. Security architecture, independent assessment, and audit summary.
Residency and transfers Approved processing locations, transfer mechanism, and restrictions on remote support access. Data-flow diagram and transfer terms.
Incidents Notice deadline, cooperation, evidence preservation, and allocation of notification duties. Incident plan and recent exercise summary, where available.
Human review Limits on staff access, support confidentiality, approval workflow, and access records. Support-access policy and audit-log description.
Transparency and testing Model constraints, training-data provenance where relevant, independent testing, fairness and explainability information. Model or system documentation and evaluation reports.
Portability and lock-in Exportable prompts, outputs, metadata, configurations, and audit records in a usable format. Exit runbook and sample export.
Remedies and liability Indemnities, liability allocation, service credits, suspension rights, and termination for material data misuse. Redline-ready terms and insurance information.

If the provider will not answer a material question, record the uncertainty as a risk decision. Do not silently treat an unanswered question as “no risk.”

How do you write deletion, exit, and portability terms?

Plan the end of the relationship before the first upload. A deletion promise that omits backups, replicas, caches, and support workspaces leaves the most difficult copies unaddressed.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Define the trigger: deletion starts when the customer requests it, the purpose ends, the agreement terminates, or a legal hold is released.
  2. Set deadlines: use separate deadlines for active systems, searchable logs, replicas, and backups, and state when the clock begins.
  3. Specify the return format: require a usable export of documents, prompts, outputs, annotations, configurations, permissions, and audit records.
  4. Address legal retention: permit retention only where legally required, isolate retained material, prohibit operational use, and delete it when the obligation ends.
  5. Require certification: obtain a signed confirmation identifying systems checked, exceptions, dates, and the responsible officer.
  6. Provide migration help: require reasonable assistance, transition access, and cooperation with a replacement provider without using the data for leverage.

Unless a narrowly defined legal requirement applies, the provider should not retain contract text after termination. Include remedies if it misses deletion or cannot produce the agreed export.

How do you operate the contract safely after signing?

Contract language works only when the service is configured and monitored to match it. Assign an owner who can stop processing and convene legal, security, privacy, procurement, and business stakeholders.

  • Before each new use: check the data classification, purpose, user group, region, and whether the existing approval covers the task.
  • During use: use approved workspaces, minimize uploads, prevent copy-and-paste into personal accounts, and review generated outputs before storage or transmission.
  • Monthly or risk-based: review user access, support events, exports, subprocessor changes, incidents, model updates, and deletion records.
  • After a material change: repeat the impact assessment when the provider adds a model, integration, location, training practice, or new data category.
  • At renewal: verify that the contract, security evidence, data-flow map, and processing-role analysis still match reality.

Keep independent verification. The OAIC and UK procurement guidance both emphasize human oversight because outputs can be inaccurate, biased, or incomplete. A reviewer should be able to retrieve the source clause, understand the system’s limitations, and explain why the final decision is reliable.

What are common failure modes and how can you fix them?

“The vendor says it is private, so we uploaded the contract.”

Why it fails: “Private” may describe visibility in an interface, not training, support access, retention, residency, or subprocessors. Fix: obtain binding terms for each data path and test the configured account before production use.

Free tools Windows power users keep installed

One-click scans. No signup required.

“We banned training but forgot outputs and logs.”

Why it fails: providers may treat metadata, feedback, or generated summaries differently from uploaded files. Fix: define customer content to include inputs, outputs, prompts, embeddings, metadata, and logs, then list every permitted exception.

“The processor clause covers the entire supply chain.”

Why it fails: hosting, analytics, support, identity, and model operations can have different purposes and legal roles. Fix: map each operation and record controller, processor, or joint-controller status for each party.

“We deleted the workspace, so deletion is complete.”

Why it fails: backups, replicas, exports, tickets, and security logs may remain. Fix: define all storage layers, deadlines, legal-hold exceptions, and certification evidence.

“A reviewer glanced at the summary.”

Why it fails: a fluent answer can omit exceptions or invent a conclusion. Fix: require clause-level verification, record uncertainty, and prohibit automated legal or commercial decisions without accountable human approval.

“The provider changed the model without telling us.”

Why it fails: a change can alter retention, accuracy, residency, or access behavior. Fix: require advance notice of material changes, testing rights, suspension, and termination when risk cannot be accepted.

What should a practical approval checklist contain?

Use this checklist for each new AI contract workflow:

  • ☐ Data categories, sensitivity, legal basis, and third-party restrictions are recorded.
  • ☐ The purpose, output, users, locations, and prohibited uses are written.
  • ☐ Controller, processor, and joint-controller roles are assigned for every operation.
  • ☐ Inputs, outputs, prompts, embeddings, metadata, logs, backups, and support copies are covered.
  • ☐ Training, benchmarking, product improvement, advertising, and human-review uses are prohibited or expressly approved.
  • ☐ Subprocessors, transfers, residency, and remote support access are known and controlled.
  • ☐ Encryption, identity, isolation, logging, resilience, secure development, monitoring, and vulnerability duties are contractual.
  • ☐ Incident notice, investigation, regulator assistance, and evidence preservation are defined.
  • ☐ Accuracy, fairness, explainability, independent testing, and change notification are addressed.
  • ☐ Human review, source verification, and stop conditions are built into the workflow.
  • ☐ Return, portability, deletion, backup treatment, certification, and migration assistance are agreed.
  • ☐ Remedies, audit rights, liability allocation, and termination for unacceptable data use are clear.

Is a contract clause enough to protect sensitive data?

No. The agreement establishes enforceable expectations, but the organization still needs minimization, approved configurations, access management, monitoring, testing, trained reviewers, and a way to stop the workflow. Conversely, technical controls without precise contractual limits may leave training, support access, retention, or subprocessor use legally ambiguous. Treat the contract, architecture, operating procedure, and review evidence as one control system.

What is the bottom-line decision rule?

Approve AI contract processing only when you can explain what data enters the system, why it enters, who can access it, where it goes, how long it remains, whether it can influence a model, how incidents are handled, how accuracy is checked, and how every copy will be removed. If a provider cannot give a clear, binding answer on a material point, keep the sensitive text out, redesign the task with less data, or choose a service whose controls can be verified.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Frequently Asked Questions

Can redacting names make a contract safe to upload?

Not necessarily. Clause wording, dates, prices, unique technical details, and negotiation history can identify a company or person even after names are removed. Test whether the remaining context can be linked back to an individual or deal, and retain the re-identification key separately if pseudonymization is used.

Should legal-privilege requirements be written into the AI agreement?

Yes, if privileged or counsel-created material may be processed. State that the provider receives it only for the approved service, may not disclose or reuse it, must restrict support access, and must assist with preservation and deletion. Have counsel assess whether the proposed workflow could affect privilege in the relevant jurisdiction.

What should we do if an AI vendor refuses a no-training clause?

Treat the refusal as a material risk, not as a setting you can assume will remain enabled. Do not upload sensitive contracts unless legal and security owners expressly accept the risk; alternatives include using non-sensitive excerpts, a separately isolated deployment, or a provider that will sign the restriction.

How often should an AI contract workflow be reassessed?

Use both a scheduled review and event-driven reviews. Reassess when the provider changes its model, subprocessors, regions, retention, support process, or terms, and whenever your organization adds a new data category or purpose. Keep the prior decision so reviewers can see what changed and why the approval still applies.
