What happened in the Hortonworks–Onyara acquisition?
Hortonworks entered a definitive agreement to acquire Onyara on August 22, 2015, publicly announced the agreement on August 25, and later reported that the acquisition closed on August 31. The announcement said the transaction was expected to close during the third quarter. Hortonworks’ subsequent SEC filing confirms the completion date. Reported transaction consideration
Hortonworks reported acquisition-date fair-value consideration of $26.514 million, or approximately $26.5 million. The filing describes the consideration as common stock and a share holdback, so the amount should not be read as a cash purchase price. Hortonworks 2015 Form 10-K
Why did Hortonworks acquire Onyara?
The strategic fit was data in motion: the ingestion and movement of information as it arrives from devices, systems, and users. Hortonworks described Onyara as the creator of and a key contributor to Apache NiFi. Hortonworks CEO Rob Bearden described the acquisition as a technology-team addition, saying: “Onyara’s impressive work on security and simplicity in NiFi, combined with their commitment to open source makes for a perfect addition to our technology team.” That is the company’s rationale, not an independent assessment of NiFi’s security or usability. What were HDF and HDP, and how did they fit together?
Hortonworks presented Hortonworks DataFlow (HDF), powered by Apache NiFi, as its data-in-motion platform. It described Hortonworks Data Platform (HDP), based on Hadoop, as its data-at-rest platform for data management and storage. The products were presented as complementary: HDF could ingest and move data into HDP for analytics, rather than competing with HDP for the same role. Hortonworks 2015 Form 10-K

What data and use cases did Hortonworks describe?
Hortonworks said its combined HDF and HDP approach could automate and secure data flows, ingest information from edge sources, and analyze streaming data. The company framed this in the context of connected devices and the “Internet of Anything.” These were vendor descriptions of the intended use and capabilities, not independently measured performance or customer outcomes. The strategic idea was to collect and route diverse incoming data, then make it available to HDP-based analytics. The sources establish how Hortonworks described the architecture at the time; they do not establish that every deployment achieved real-time analysis or a particular level of security.

Hortonworks’ 2016 annual filing reports that NiFi had been open sourced before the acquisition and that no technology was acquired in the transaction. The acquisition brought Onyara into Hortonworks and aligned its NiFi expertise with Hortonworks’ HDF strategy; it should not be described as Hortonworks purchasing NiFi as proprietary technology.
