What was Emerson Network Power?
Emerson Network Power served data-center and telecommunications infrastructure markets. Its business included uninterruptible power supplies (UPS), thermal-management products, data-center services and solutions, and Trellis data-center infrastructure management (DCIM) software. These offerings supported the power, cooling, monitoring, and operational needs of facilities; they were part of an enterprise infrastructure business, not a consumer-product range.
Emerson’s 2015 Form 10-K reported that Network Power accounted for 19 percent of Emerson’s sales that year. That figure describes the 2015 sales mix, not the business’s present-day size. Emerson Electric Co., 2015 Form 10-K, filed November 18, 2015.
What did Emerson announce in June 2015?
On June 30, 2015, Emerson said it planned to separate Network Power through a spin-off. The announcement was part of a broader portfolio restructuring. Contemporary coverage described the business and proposal at the time: Data Center Knowledge, June 30, 2015.

The proposed distribution was described as tax-free, but that treatment and the transaction itself were subject to conditions. Emerson’s filing listed completion of due diligence, favorable tax opinions, local regulatory approvals, SEC review of the Form 10, and final board approval among them. The announcement therefore did not, by itself, establish that the separation had closed. The conditions are set out in the 2015 Form 10-K.
Why did Emerson say it wanted to separate the business?
Management’s stated case was that independence would give Emerson and Network Power sharper strategic focus and help each allocate resources and capital to its own markets. In June 2015 announcement coverage, Emerson chairman and CEO David Farr said: “Emerson and Network Power will each have sharper strategic focus, enabling both companies to better allocate resources, incentivize employees, and allocate capital to capture the significant long-term opportunities in their respective markets.” This was management’s rationale for the plan, not evidence that the intended benefits were achieved. What happened after the announcement?
By June 2016, SEC separation materials identified Vertiv as the independent company that would hold the separated Network Power business. This is the later identity to use when discussing the separated company; Emerson Network Power refers to the business before separation. SEC separation materials, June 17, 2016.

A July 2015 trade-press follow-up discussed possible benefits such as greater agility, partnerships, and expansion into adjacent markets.
