Investigate the startup as if you were underwriting a risky investment and accepting a demanding job at the same time. Before signing, verify cash and runway, paying-customer evidence, founder and manager reliability, the exact role, guaranteed compensation, equity documents, intellectual-property ownership, employment restrictions, and the amount of personal downside you can absorb.

Do not accept confidence, a polished pitch, or a percentage of equity as substitutes for records. Ask for numbers and documents, write down assumptions, and make the decision on guaranteed cash and realistic contingencies; treat equity as uncertain upside.

Start with an evidence-first diligence process

Private-company diligence is the research you do before committing capital, and the same discipline applies when your labor and income are at risk. StartEngine’s 2026 private-company checklist identifies the team, product and market, financials, cap table, use of proceeds, legal and regulatory matters, traction, burn, and runway as core areas. For a job candidate, add the written employment terms and your own financial capacity.

  1. Request records before making a final commitment. Ask for a current cash-and-burn snapshot, a capitalization summary, the equity-plan documents, the employment agreement, and evidence supporting customer and product claims.
  2. Interview more than the hiring manager. Speak with at least one current employee and, if possible, a former employee. Ask founders and managers the same risk questions separately and compare the answers.
  3. Reconcile words with metrics. A revenue claim should align with customer counts, payment records or recurring-revenue reporting. A hiring plan should align with the stated burn and runway. A promised grant should appear in approved documents.
  4. Write assumptions and triggers down. Record what must happen for the company to raise, reach profitability, ship a milestone, or hire your team. Note who controls each dependency and what happens if it slips.

The goal is not to eliminate startup risk; that is impossible. It is to identify which risks are understood, funded, and shared fairly, and which are being transferred to you without disclosure.

Can the company survive long enough for your work to matter?

Ask for a cash, burn, and runway snapshot

Request current cash on hand, average monthly operating burn, outstanding debt or repayment obligations, and runway under the present hiring plan. Then ask for runway after your start date, including your salary, benefits, equipment, recruiting costs, and any planned hires that depend on your arrival. A single runway number is incomplete unless you know the cash balance, the burn period used, and the assumptions behind future hiring.

Ask what milestone unlocks the next financing or revenue step: a signed contract, a product release, a regulatory approval, a usage target, or a profitability threshold. Clarify whether the next round is signed, in diligence, merely planned, or dependent on finding a lead investor. “We are raising” describes an intention, not available cash.

Question Evidence to request Risk signal
How much cash is available? Recent balance summary and date of the figure Only an old figure or a verbal estimate
What is monthly burn? Recent management accounts showing recurring and one-time costs Burn excludes founder pay, contractors, debt, or planned hires
How long is runway? Calculation using current cash and stated burn, plus a post-hire scenario Runway depends on an unspecified future round
What funds the next step? Milestone definition, financing status, and contingency plan No milestone, lead investor, or fallback if the raise fails

There is no reliable universal minimum runway for every startup or role. A company with a short runway and signed near-term contracts may be less exposed than one with a longer runway and no path to revenue, but you should verify the contracts and assumptions rather than infer safety from a headline number.

Test the downside if funding does not arrive

Ask what expenses would be cut first, whether hiring would freeze, whether salaries could be delayed, and how much notice employees would receive. Find out whether payroll is run by the employing company or another entity, and whether any salary is deferred, conditional, or payable only after financing. A founder who cannot describe a contingency plan is asking you to supply one with your savings.

Verify that traction is real and relevant

Separate product activity from paying demand

Ask who the target customer is, what painful problem is solved, and why the company wins against the alternatives customers use today. Then request measurable evidence: paying-customer count, revenue or bookings definition, retention or repeat use, sales-cycle length, conversion rates, pipeline stage, and concentration in the largest customer. Clarify the percentage of users who pay and whether reported growth comes from new accounts, expansion, one-time projects, or free usage.

Request a product roadmap with dates and dependencies, and ask what evidence would invalidate the current strategy. Compare that answer with the metrics. A product story without customer evidence is not enough; StartEngine and JustBacked both emphasize testing traction rather than accepting a narrative.

Use customer-development discipline

The Startup Owner’s Manual, published by O’Reilly in March 2020, is a 608-page guide with 77 checklists covering customer development, business-model hypotheses, metrics, financial-model validation, and operating decisions. You do not need to adopt its process wholesale, but its checklist approach is useful: identify the hypothesis, the metric that tests it, the date by which it must be tested, and the consequence if it fails.

  • Ask whether customers renew, use the product repeatedly, or merely signed a pilot.
  • Check whether the largest customer represents a material share of revenue and what happens if that account leaves.
  • Distinguish a qualified pipeline from a list of names; ask for stage definitions, decision makers, expected close dates, and historical conversion.
  • Ask which product milestone is required to close current opportunities and whether engineering capacity can deliver it.

Assess founders, manager, and culture

Check alignment and candor

Investigate founder backgrounds, prior startups or domain work, time commitment, and references. Ask each founder to name the company’s largest current risk, the disagreement they most recently had, and how the decision was resolved. Consistent, specific answers are more informative than a shared slogan. Rice Business advises examining founder alignment, funding and financial stability, compensation, equity, legal registration, employer responsibilities, and employment compliance.

Speak with people who experience the company

Ask a current employee what surprised them after joining, how priorities are set, and whether commitments are honored. Ask a former employee why they left, what they would negotiate differently, and whether payroll, equity paperwork, or workload matched the offer. Notice whether interviewers answer direct questions with numbers and documents or redirect every concern to vision.

Culture is not a list of perks. Observe how bad news travels, whether dissent is safe, how credit and blame are assigned, and whether founders change priorities without explaining trade-offs. Those patterns predict your day-to-day risk better than a mission statement.

Make the role concrete before you accept

Define authority and the first 90 days

Get the reporting line, decision rights, dependencies, location, equipment, travel, and on-call expectations in writing. Agree on two or three first-90-day outcomes that can be observed, such as a shipped capability, a validated process, or a measurable customer result. Also define one-year success measures and who evaluates them. JustBacked specifically recommends asking what success looks like in 90 days and in a year.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Expose workload and pivot risk

Ask for expected weekly hours, meeting load, release cadence, incident responsibility, and the work that will stop when new work is added. “Everyone does everything” can mean useful breadth, or it can conceal unlimited scope. Ask what changes if the company pivots, misses a milestone, or raises less than planned: does your title, manager, location, compensation, or team change, and can you decline materially different work?

Audit cash compensation and benefits

Separate guaranteed and conditional pay

Write salary, bonus, commission, signing payment, deferred salary, reimbursement, and equity on separate lines. Confirm the employing legal entity, payment dates, currency, payroll schedule, and what happens if a payment is late. A bonus target is not guaranteed cash, and a promise to restore a below-market salary after fundraising is not a current salary.

Confirm benefits and termination terms

Verify eligibility dates and costs for health or other insurance, paid leave, retirement contributions, parental benefits, equipment, travel reimbursement, severance, and notice. Ask whether benefits continue during a funding delay and whether contractors receive any of them. Clarify what happens if the company misses payroll, raises less than planned, or terminates the role after a pivot. AWS Startups notes that compensation and equity arrangements involving founders, early employees, and investors are easy to get wrong; insist on precise written terms rather than informal explanations.

Understand what your equity actually represents

Identify the instrument and the denominator

Request the grant notice, equity-plan document, board approval, and any tax forms. Record whether you receive an option, restricted stock, restricted stock unit, or another instrument; the number of securities; and the percentage on a fully diluted basis. “One percent” is meaningless without the denominator and a date. Ask for the current fully diluted share count and how unissued option-pool shares are treated.

Term What to verify Why it changes value
Strike or purchase price Price per share and when it is fixed Determines the cash and tax cost to acquire shares
Valuation Latest preferred financing price and applicable 409A valuation, where relevant Preferred and common shares can have different rights and values
Vesting Schedule, cliff, commencement date, and treatment of partial months Leaving early can forfeit unvested awards
Acceleration Single-trigger or double-trigger terms and covered transactions Determines whether vesting changes in an acquisition
Exercise window Post-termination deadline and any early-exercise rules A short window can make vested options unaffordable to keep
Liquidity and exit Repurchase rights, transfer limits, acquisition treatment, and liquidation preferences A paper percentage may never become cash

Model dilution and financing instruments

Ask how SAFEs, convertible notes, warrants, future option-pool increases, and new financing rounds affect your percentage. Request a simple cap-table scenario showing the current ownership, the next planned financing, and a downside case. JustBacked names shares outstanding, strike price, vesting, and exercise window as essential questions; Zuber Partners adds SAFEs, notes, side letters, and written equity promises.

Do not use a universal “fair” equity percentage or a generic startup-success probability; no reliable universal figure establishes either. Value the grant only after you understand the instrument, dilution, tax exposure, liquidity restrictions, and the realistic chance of an exit.

Confirm ownership of code, inventions, and company records

Check the cap table and approvals

Ask whether the cap table reconciles to stock-purchase agreements, option grants, board approvals, SAFEs, notes, and warrants. Inconsistent records can delay fundraising or create disputes over your grant. Ask who maintains the records and when you will receive countersigned copies.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Verify intellectual-property assignments

Confirm that every founder, employee, and contractor who created relevant work assigned inventions and other intellectual property to the company. Ask how the company handles open-source and third-party licenses, including approval, attribution, and security review. Techstars identifies unsigned consulting agreements, vague compensation promises, unapproved adviser equity, missing confidentiality or IP-assignment language, worker-classification issues, and required-but-missing 83(b) elections as recurring legal gaps.

Do not contribute code, designs, or research before you know who owns them and whether your agreement claims prior or side-project work. List pre-existing inventions explicitly and obtain a written carve-out where appropriate.

Read restrictions and immigration terms closely

Have a qualified professional in your jurisdiction review confidentiality, invention assignment, noncompete, nonsolicit, moonlighting, repayment, arbitration, termination, and governing-law clauses when they are broad or unusual. Check whether you are an employee or contractor and whether the classification matches the promised benefits and tax treatment. A restriction that materially limits your next job can outweigh a modest equity upside.

If your immigration status depends on this job, verify sponsorship history, responsible counsel, filing timing, work-location rules, and a contingency plan for termination or delayed funding. Rice Business and StartupEditor both flag legal registration, employer obligations, restrictive terms, and visa support as issues requiring examination.

Calculate whether you can afford the downside

Start with the cash you can reliably access, then subtract essential monthly expenses, debt payments, health coverage, relocation costs, and the time and cost of finding another job. Compare that reserve with the period you could remain unemployed if the startup closes or misses payroll. Include benefits you would lose and taxes or exercise costs created by the offer.

Make three personal scenarios: the company performs as promised, funding is delayed and compensation or hiring pauses, and the company fails with little notice. Decide in advance the conditions that would make you decline, such as no written salary guarantee, an exercise cost you cannot fund, or restrictions that block your likely next role. Equity should not be counted as emergency savings.

Use a clear proceed, pause, or decline rule

Proceed

Proceed when the company shows credible runway to a defined milestone, measurable customer evidence, founders who answer plainly, a role with decision rights, cash compensation you can live on, and equity terms you understand in signed documents.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Pause or renegotiate

Pause when answers are verbal only, the cap table or IP records are unavailable, salary depends on an unspecified future event, the role has no success definition, or restrictions materially limit your next job. Ask for a deadline for documents and make any acceptance conditional on receiving them.

Decline

Decline when the company cannot explain its cash position or payroll plan, refuses reasonable diligence, misrepresents customer or equity facts, or requires personal financial exposure you cannot survive. A strong mission does not compensate for an undisclosed ability-to-pay problem.

For tax-sensitive equity, unusual restrictions, worker-classification questions, immigration matters, or complex financing instruments, obtain advice from a qualified local lawyer or tax professional before signing. Your final decision should reflect verified facts, explicit assumptions, and a downside that remains survivable if the optimistic case never arrives.
