A falling IT share price is a signal to investigate, not proof of a bargain. Before buying, explain the decline from the company’s filings, rebuild its operating and cash-flow picture, test valuation under less favorable assumptions, and check technology, cybersecurity, competitive, financing and liquidity risks. Then write the thesis, disproof conditions and maximum position size before placing an order.
The most defensible candidate is not necessarily the stock down the most. It is the business whose downside you can describe, finance and tolerate after considering valuation, balance-sheet resilience and your existing exposure to the same technology themes.
Start by explaining why the stock fell
Read the latest earnings release, annual or quarterly report and any current report that describes a material event. Do not accept a chart, headline or social-media explanation until it is tied to a company disclosure or clearly identified sector event.
Classify the decline
One drop can have several causes. Mark every category that applies and identify the evidence for each:

- Weaker demand, cancellations or a lost customer.
- Reduced revenue, profit or cash-flow guidance.
- Gross-margin or operating-margin compression from pricing, mix, wages or cloud-computing costs.
- A delayed product, failed launch, supply interruption or inventory correction.
- A cybersecurity incident, outage, ransom demand, data exposure or remediation expense.
- Regulatory action, export controls, privacy requirements or an intellectual-property dispute.
- Share issuance, convertible debt, acquisition financing or a large increase in stock-based compensation.
- Higher debt costs, a refinancing problem or a covenant concern.
- A sector-wide valuation reset caused by interest rates, earnings expectations or risk aversion.
- A broad-market sell-off unrelated to the company’s operations.
A sector repricing can create an opportunity, but it can also hide a company-specific deterioration. If management has not explained an unusual move, treat the missing explanation as a risk rather than assuming the market is irrational.
Use filings as the evidence base
The U.S. Securities and Exchange Commission says securities disclosure is meant to provide timely, comprehensive and accurate information about risks and events that a reasonable investor would consider important. Use the filing system to verify revenue, margins, cash flow, debt, share count, guidance, legal matters and risk factors instead of relying on summaries.
Compare the date of the price move with the date of the disclosure. A later filing may correct an earlier impression, and an earnings-call comment that is not reflected in a filing should not be treated as equivalent to audited financial information.

Rebuild the operating picture from at least three years of data
Create a simple worksheet from the most recent annual reports, quarterly reports and earnings materials. Three years is long enough to expose a cycle, an acquisition effect or a gradual deterioration that one quarter can conceal.

Separate durable growth from accounting optics
Ask whether growth is organic or acquired, recurring or project-based, and supported by customer usage or by shipments into a channel. Review deferred revenue, remaining performance obligations and renewal or retention disclosures where available. A large contract announcement is less valuable if the customer can cancel, implementation is incomplete or revenue will be recognized over many years.

Compare receivables with reported sales and operating cash flow. Sales that rise while collections weaken can indicate looser terms, customer stress or premature recognition. Inventory that grows faster than demand can precede write-downs, discounting and lower margins, especially for hardware and semiconductor businesses.
Reconcile non-GAAP measures to generally accepted accounting principles. Exclude neither recurring compensation nor recurring restructuring costs simply because management labels them “one-time.” The aim is to estimate the cash and ownership economics that remain for each share.
Test valuation with explicit, adverse assumptions
A price-to-earnings or price-to-sales ratio is only an input. The Federal Reserve notes that price-to-expected-earnings and equity-risk-premium measures require judgment about future earnings and economic conditions. A lower multiple can still be expensive if the earnings denominator is about to fall.
Choose the measure that fits the business

Build a three-case valuation
- Write the base case. State revenue growth, operating margin, tax rate, capital expenditure, working-capital needs and diluted share count for the next several years. Use assumptions you can trace to filings, contracts or a defensible industry range.
- Write the downside case. Reduce growth, normalize an unusually high margin, raise the discount rate and lower the exit multiple. Include a customer loss, product delay or higher cloud and component costs if those are plausible.
- Write the upside case. Allow only improvements that have a mechanism, such as signed capacity, visible adoption or a cost program with measurable milestones. Do not count an announced artificial-intelligence feature as revenue until customers pay for it.
- Compare the current price with all three cases. The purchase should not depend on the most optimistic case being correct. Record the implied expectations in the current price and the percentage loss if the downside case occurs.
Account for market concentration
The International Monetary Fund’s October 2025 Global Financial Stability Report said concentration in a narrow group of mega-cap IT and artificial-intelligence-related firms was at a historic high. It warned that stretched valuations can allow an adverse shock to trigger a sudden repricing of risk. The same report attributed 57% of U.S. real GDP growth since the fourth quarter of 2024 to private fixed investment in information-processing equipment, using Federal Reserve Economic Data and U.S. Bureau of Economic Analysis data.
These figures describe market and macroeconomic concentration, not a forecast for any particular issuer. If several holdings depend on the same data-center build-out, chip cycle, cloud provider or AI spending trend, treat them as one correlated position when setting portfolio exposure.

Inspect technology, cybersecurity and intellectual-property risk
The SEC’s technology and intellectual-property guidance asks companies to assess how theft or compromise of technology, data or IP could affect financial condition, results, reputation, stock price and long-term value. Federal Reserve guidance also notes that IT deficiencies can transmit into operational, credit, market, liquidity and legal risks.

Review disclosed incidents and controls
- Identify breaches, outages, ransomware, unauthorized access and customer-notification obligations.
- Check the duration of downtime, remediation costs, insurance recovery, lost customers and regulatory investigations.
- Look for repeated incidents, delayed disclosure or language that leaves the scope and cost uncertain.
- Assess whether critical systems are tested, segmented, backed up and supported by qualified security staff.
- Read privacy, data-governance and data-localization obligations in every major operating region.
Do not assume that cyber insurance or a vendor indemnity removes the risk. Coverage may exclude the most expensive events, and a technical fix does not restore customer trust or a damaged competitive position.
Check IP and regulatory dependencies
- Search filings for patent disputes, open-source-license obligations, trade-secret claims and restrictions on training or using data.
- Map export controls, sanctions, content rules and sector-specific regulation that could limit sales or product functionality.
- Identify dependence on a small number of cloud, chip, component or data suppliers, including termination rights and price escalators.
- Ask whether a generative-AI feature is producing paid revenue, is still a pilot or can be rapidly commoditized by larger platforms.
Materiality is ongoing. A risk that was immaterial last year can become significant after a new product launch, acquisition, law or supplier failure.
Test competitive durability and revenue quality
Questions for every IT business
- What customer problem is solved, and how costly is it to switch to a substitute?
- Are renewal rates, net revenue retention, backlog or usage trends disclosed and improving?
- Does the company control distribution, an ecosystem, proprietary data, certification or a workflow that competitors cannot easily copy?
- Can it raise prices without losing customers, or is growth purchased through discounts and generous implementation services?
- Are reported bookings, remaining obligations and billings converting into cash on schedule?
Distinguish recurring subscriptions from one-time projects, reseller shipments and consumption that can reverse quickly. Investigate unusual quarter-end deals and channel inventory rather than treating every booking as durable demand.

Stress the balance sheet and financing runway
Calculate net cash or net debt, interest coverage, free cash flow after required investment and the timing of every material maturity. Include leases, purchase commitments, guarantees and convertible notes where they could consume cash or dilute shareholders.

Balance-sheet questions
- How many quarters of cash remain at the current burn rate and in the downside case?
- Does debt mature before the company is expected to become cash-flow positive?
- Are interest rates fixed or floating, and what happens if refinancing costs rise?
- Do covenants depend on adjusted EBITDA, minimum liquidity or asset values that could fall during a downturn?
- Could a new equity issue, employee option exercise or convertible conversion materially reduce your ownership?
- Are buybacks funded by durable free cash flow or by borrowing?
Stock-based compensation belongs in the ownership calculation. A company can report positive adjusted earnings while issuing enough shares to offset much of the economic benefit. Compare per-share revenue and free cash flow, not just total-company figures.
Verify liquidity, listing and filing status
Before placing an order, check the exchange, average daily volume, bid-ask spread, recent trading halts and the issuer’s reporting status. A large percentage rebound in a thinly traded security may be impossible to enter or exit at the displayed price.
FINRA warns that low-priced stocks may have less disclosure, low liquidity and greater manipulation risk. Confirm that the issuer is registered or otherwise eligible to trade and that required reports are available through the SEC’s filing database. Read the actual filing, not a copied screenshot or an unverified summary.
Liquidity checks that affect position size
- Use a limit order when the spread is wide; avoid assuming the last trade is a price you can obtain.
- Compare your intended order with normal daily volume and the depth visible on both sides of the market.
- Check whether trading has been halted, the listing is under review or the security has moved between exchanges.
- Plan how you would exit during a market-wide or company-specific shock, when liquidity usually worsens.
Screen promotional claims and AI-related fraud
The SEC, North American Securities Administrators Association and FINRA warned in a 2024 investor alert that AI-themed investment fraud is increasing. They specifically caution investors not to use AI-generated information as the basis for investment decisions.

- Open the company’s filing directly and verify the ticker, legal issuer and exchange.
- Look for the claimed contract, customer, revenue, patent or technology in company disclosures.
- Check whether a promotion is anonymous, paid, affiliate-linked or accompanied by screenshots of supposed returns.
- Treat guaranteed returns, secret algorithms, urgent deadlines and claims of risk-free AI profits as fraud indicators.
- Compare promotional statements with audited financial statements and regulatory filings; unexplained conflicts are a reason to stop.
Artificial intelligence can help organize documents, but generated summaries can omit qualifiers, invent citations or confuse similarly named issuers. The primary filing remains the source to verify material facts.

Compare candidates on consistent axes
Use one table for every company you are considering. Consistency prevents a dramatic percentage decline from receiving more attention than a stronger but less volatile business.

Score or rank only after filling every material cell. If a value is unknown, write “not established” and decide whether the uncertainty itself is unacceptable.
Write the investment decision before buying
Use a one-paragraph thesis
State what the business does, why the decline is temporary or already reflected in the price, which measurable facts support recovery, and what valuation you believe is reasonable. Keep the thesis specific enough that another person could identify whether it is working.
Define invalidation signals
List at least three facts that would disprove the thesis. Examples include a specified retention level falling below target, a lost customer representing a stated percentage of revenue, a margin threshold that cannot be restored, a cyber event with unquantified liability, or a financing need before cash flow turns positive. Tie each signal to a filing, earnings release or dated operating milestone.
Set review dates and position limits
- Choose a review date linked to the next filing, product milestone or debt maturity rather than to a short-term price target.
- Set a maximum portfolio weight before purchase, including correlated holdings and potential dilution.
- Decide in advance what evidence would make you add, hold or exit; do not change the rule solely because the price moved.
- Consider staged buying only if your time horizon, liquidity needs and risk tolerance can withstand further losses.
The SEC warns that short-term investing in volatile markets carries significant risk of loss and that social-media recommendations are not a substitute for independent research. A dip can continue while the business is sound, and a rebound can occur before the underlying problem is solved.
A printable pre-purchase checklist
- I can explain the decline using a dated filing or clearly identified company disclosure.
- I recorded at least three years of revenue, margins, free cash flow, capital expenditure, cash, debt and diluted shares.
- I separated organic growth from acquisitions and recurring revenue from one-time projects.
- I tested valuation with lower growth, normalized margins, a higher discount rate and a lower multiple.
- I reviewed cyber incidents, privacy, IP, export controls and critical supplier dependencies.
- I understand customer concentration, retention, switching costs and credible substitutes.
- I checked maturities, covenants, interest coverage, cash runway and dilution.
- I verified the exchange, liquidity, filing status and availability of primary disclosures.
- I independently verified every promotional or AI-related claim.
- I wrote the thesis, three invalidation signals, review date and maximum position size.
Only after all ten checks are complete should the question change from “Why is this stock down?” to “Does this risk-adjusted opportunity fit my portfolio?”
