Albertsons is not being sold to Kroger. The proposed $24.6 billion acquisition was blocked by a federal court and a Washington state court on December 10, 2024, and Albertsons terminated the merger agreement the next day. That means projected effects on prices, store ownership, jobs and loyalty accounts remain counterfactual. Albertsons and Safeway stores continue to operate under Albertsons Companies’ existing decisions, and Albertsons forU remains the active loyalty program.
What happened to the Albertsons–Kroger deal?
Kroger announced a proposed acquisition of Albertsons valued at $24.6 billion. The transaction would have combined two of the largest U.S. supermarket operators, but it never closed. The Federal Trade Commission challenged the deal, arguing that removing Kroger and Albertsons as separate competitors would harm shoppers and workers in many local markets.
On December 10, 2024, an Oregon federal court and a Washington state court blocked the transaction. Albertsons terminated the merger agreement on December 11, 2024. There is therefore no operating “combined Kroger-Albertsons” company, no merger-created price schedule and no merger-wide change to customer accounts or employee contracts.

Why did regulators and courts oppose the acquisition?
The FTC’s case focused on local competition rather than simply the national number of supermarkets. In many cities and towns, a Kroger banner and an Albertsons Companies banner compete for the same weekly grocery trips. The agency argued that eliminating one of those choices could give the surviving company more power to raise prices or reduce promotions.
Henry Liu, director of the FTC’s Bureau of Competition, said the acquisition “would lead to additional grocery price hikes for everyday goods” and would worsen consumers’ financial strain. The FTC also said a combined company would remove a major competing employer, weakening workers’ ability to obtain higher wages, better benefits and improved working conditions.

Kroger and Albertsons disputed that analysis. They said greater scale would help them compete with large retailers such as Walmart, Amazon and Costco, and they promised to invest $500 million in price reductions after closing. Those savings were a company commitment for a transaction that never happened, not a measured result.
The proposed remedy
To address competition concerns, the companies proposed selling 579 stores and related assets to C&S Wholesale Grocers for approximately $2.9 billion. The package included selected Albertsons and Safeway banner rights, private-label access and distribution and corporate infrastructure intended to make C&S a viable competitor.

The courts nevertheless concluded that the divestiture would not adequately reproduce the competition lost through the merger. Because the injunctions stopped the acquisition, the C&S package was never implemented as a merger remedy.

Could grocery prices have gone up or down?
There is no post-merger price record to answer that question because the merger did not close. Any statement about a Kroger-owned Albertsons price level is a forecast, not an observed outcome.
The FTC’s price-risk theory
The FTC’s concern was strongest in local markets where Kroger and Albertsons banners are close substitutes. If two nearby chains became one owner, shoppers could lose a meaningful alternative for staples, pharmacy purchases and weekly promotions. The agency predicted that reduced head-to-head competition could produce additional price hikes for everyday goods.
The companies’ efficiency argument
Kroger and Albertsons argued that a larger network could spread purchasing, logistics and technology costs over more stores. They said those efficiencies would improve their ability to compete with much larger retailers and pledged $500 million for lower prices after closing. No independent post-closing test can verify that promise because there was no closing.

What shoppers can conclude today
Current Albertsons or Safeway prices are not merger prices. They reflect ordinary factors such as local competition, supplier costs, promotions, labor expenses and each store’s pricing decisions. A future sale or restructuring would need to be evaluated market by market: a location with several strong competitors could experience a different outcome from a town where the acquired chain is one of only two full-service supermarkets.
Would stores have closed or changed names?
The proposed transaction did not itself announce a nationwide closure program. Instead, the companies offered to transfer 579 stores to C&S, along with selected banner licenses and operating assets. A transferred location could have retained an Albertsons or Safeway name under a license, adopted another banner, changed its assortment or received a different investment plan from its new owner.
The remedy’s stated commitments were designed to keep the divested stores open and preserve frontline employment. However, a change in ownership can still affect hours, product mix, pharmacy services, private-label availability, delivery coverage and local promotions. The courts’ rejection of the remedy means none of those proposed transitions occurred as part of this deal.

What has not changed
- There is no merger-driven requirement for an Albertsons or Safeway store to rebrand.
- The 579-store transfer to C&S did not take place as the proposed remedy.
- Store-level decisions remain subject to Albertsons Companies’ normal ownership, lease, investment and restructuring choices.
How to assess a later sale
If Albertsons or a particular banner is involved in a future transaction, the relevant questions will be local and specific:
- Which stores are included, and how much overlap exists with the buyer’s existing locations?
- Will the banner name, pharmacy, fuel operation and private-label products continue?
- Are leases, distribution centers and online-delivery territories included?
- Does the buyer publish commitments about keeping stores open, and for how long?
What would a sale mean for Albertsons employees?
The FTC warned that combining two large grocery employers could reduce workers’ bargaining leverage. With fewer competing employers in a local labor market, employees might have fewer outside options when negotiating wages, benefits, scheduling and working conditions.
The companies’ proposed divestiture promised that frontline associates at the transferred stores would remain employed and that existing collective-bargaining agreements would continue. Those promises were tied to the proposed C&S remedy. Because the acquisition was blocked and the agreement terminated, they never became merger-wide obligations.

What determines jobs now?
Current employment outcomes depend on ordinary Albertsons business decisions, store performance, leases, staffing needs, existing contracts and any later restructuring. Employees should rely on notices from their employer and union, not on assumptions based on the canceled Kroger transaction.
Questions employees should ask about any future transaction
- Is employment guaranteed only through closing, or for a stated period afterward?
- Will collective-bargaining agreements be assumed, renegotiated or replaced?
- Which entity will issue paychecks, administer benefits and handle accrued leave?
- Are pensions, retirement plans, health coverage and seniority protected during a transfer?
- Could a buyer consolidate stores, pharmacies, warehouses or administrative functions?
What happens to Albertsons forU points, coupons and accounts?
Albertsons forU remains a free loyalty program across participating Albertsons Companies banners. The terms shown as updated June 12, 2026 describe personalized weekly deals, points on eligible purchases, grocery and fuel discounts, an annual birthday treat and one free item each month.

Points earned at participating banners are combined when a member uses the registered phone number or app card. For online shopping, the account used to place an order must be the same as, or linked to, the forU account for offers to apply.
Why online and in-store savings may differ
Albertsons states that prices, promotions, offers and savings can vary by store and between online and in-store orders. A coupon visible in the app may therefore have different eligibility, timing or value when an order is placed for delivery or pickup. Check the offer details and confirm that the correct forU account is attached before submitting an online order.
Was forU supposed to move to a Kroger system?
No merger-driven migration occurred. Since the transaction was terminated, there is no requirement to transfer forU points, coupons, purchase history or account credentials into a Kroger loyalty system. Do not assume that balances would transfer in a future sale unless a new buyer publishes specific terms covering points, expiration dates, privacy and account linking.
How to protect your loyalty savings now
- Sign in to the official Albertsons or Safeway app and confirm that your phone number and email address are current.
- Use the registered phone number or app card at checkout so eligible points and offers attach to the correct account.
- For pickup or delivery, verify that the ordering profile is linked to forU before adding coupons.
- Read each offer’s eligibility and expiration language; a personalized deal is not necessarily valid at every store or through every channel.
- Keep receipts or screenshots for a missing-point or coupon dispute and contact customer support through the banner where the purchase occurred.
How to judge a future Albertsons sale
A new transaction would require its own regulatory review and customer terms. The canceled Kroger proposal shows why headline purchase prices are not enough to predict a shopper’s experience. Compare the following items in the buyer’s filing, consent order or customer notice:

| Loyalty data and balances | Look for rules covering points, coupons, expiration, privacy, account linking and whether online and in-store offers remain different. |
For the 2024–2025 proposal, the answer on each point is now clear: the acquisition was blocked, the agreement was terminated, the 579-store divestiture did not occur, and forU continues under Albertsons Companies’ current program terms.
