Before signing a defense construction Other Transaction Agreement (OTA), confirm the Department of Defense authority, prove that the proposed work qualifies as an eligible prototype effort, and read the negotiated agreement as a project-specific allocation of cost, schedule, data, labor and performance risk. An OTA’s flexibility does not guarantee cost visibility, favorable changes treatment or a later production award.
Start with the solicitation, draft agreement, appropriation and project scope. The documents—not the OTA label—determine your obligations. The U.S. Government Accountability Office (GAO) reports that a “well-written OTA cannot compensate for a poorly planned acquisition.” GAO-25-107546
1. Verify that the authority and construction scope are legally suitable
The material evidence concerns DoD prototype OTAs under 10 U.S.C. § 4022. GAO describes a prototype project as including a proof of concept, model or novel application of commercial technology for defense purposes. That description does not establish that ordinary facility construction, repair or military construction automatically qualifies.

Have qualified government-contract counsel test the actual work scope against that authority. A project can be located on a military installation and still require a different contracting vehicle if the work is conventional construction rather than a technology prototype.

Check the statutory eligibility condition
GAO states that a DoD prototype OTA may be used only when at least one statutory condition is met. The agreement file should show which condition the agency relies on and how it was documented.
| Potential condition | What to request | Risk if unclear |
|---|---|---|
| Participation by a nontraditional defense contractor or nonprofit research institution | The solicitation’s definition of the participant and the written determination showing participation | You may price work under an authority that does not apply to the proposed team |
| All significant participants are small businesses or nontraditional defense contractors | Participant list, size or status support and the agency’s determination of who is “significant” | A large or traditional participant could undermine eligibility |
| Specified cost sharing | The required cost-share percentage, eligible contributions, valuation method and records requirement | Unpriced contribution obligations can become an unfunded liability |
| Senior procurement executive approval based on exceptional circumstances | The approval, rationale and any limits attached to it | You may be relying on an exception that is incomplete or narrower than the proposal |
Do not treat the agency’s use of the word “OTA” as a legal conclusion for your particular construction package. The GAO’s full report explains the prototype context and the limits of general conclusions. GAO full report
2. Define exactly what you must build, demonstrate and deliver
OTAs use customized terms rather than a uniform set of Federal Acquisition Regulation clauses. Your first practical risk is an incomplete statement of work that makes a construction contractor responsible for outcomes it cannot measure or control.

Scope and technical baseline
- Identify drawings, specifications, performance requirements, interfaces, site boundaries and government-furnished property.
- Separate prototype technology work from ordinary excavation, utilities, structures, commissioning and maintenance.
- List assumptions about geotechnical information, access, security, outages, hazardous materials and existing conditions. State which party bears each assumption.
- Define the condition that constitutes a completed prototype: installed asset, demonstrated function, test report, operating data or another objective result.
Deliverables and acceptance
Every deliverable should have an owner, format, due date, review period and acceptance test. Specify whether acceptance is based on substantial completion, a milestone demonstration, documentary approval or successful operational testing. Include a deemed-acceptance rule or escalation path if the government does not respond within the stated review period. Without that mechanism, a completed installation can remain unpaid while parties debate whether it has been accepted.

Schedule and site constraints
Put the baseline schedule, critical path, government-furnished information dates and access windows in the agreement. Identify whether weather, security restrictions, shutdowns, late design decisions or other government-caused events entitle you to time, money or both. A construction schedule that depends on uncommitted government actions is not a reliable price basis.
3. Read the negotiated risk allocation clause by clause
GAO warns that OTA flexibility can reduce the government’s visibility into contractor costs. The customized document may omit familiar protections or use bespoke language. Do not assume that a standard federal clause, remedy or audit right applies unless the agreement actually includes it.
| Risk area | Questions to answer before signature |
|---|---|
| Price structure | Which tasks are fixed-price, reimbursable, cost-shared or payable by milestone? What labor, material, overhead and fee records support payment? |
| Cost records | What accounting records must be maintained, for how long, and what access does the government have to verify invoices or contributions? |
| Changes | Who may issue a change, what written authorization is required, how is price calculated, and can you stop changed work pending agreement? |
| Inspection and testing | When may the government inspect, what tests are controlling, and who pays for retesting or corrective work? |
| Warranties and remedies | What is warranted, for how long, and are repair, replacement, re-performance, withholding or damages available if acceptance criteria are missed? |
| Termination | Can the government terminate for convenience, failure to perform or funding limits? What demobilization, inventory, subcontract and profit recovery follows? |
| Disputes | Which official decides a disagreement, what notice deadline applies, where must a claim be filed and may work continue while it is pending? |
| Subcontractor performance | Which obligations flow down, who bears a lower-tier default and what consent is required for substitutions? |
These are review prompts, not universal OTA clauses. The signed text controls. Obtain a redline that shows every incorporated attachment, technical data requirement, security document and government-furnished-property schedule.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problems4. Protect payment, cost visibility and change control
GAO reports that standard contracts can give DoD greater cost insight and reduce overpayment risk, while OTA flexibility may provide less visibility. That difference matters when site conditions change or a prototype’s design evolves.

Make the payment mechanism measurable
- Map each invoice to an accepted milestone or measured quantity.
- Define allowable cost categories, markups, escalation treatment and currency of any cost-share contribution.
- Set invoice-review deadlines and identify the official who may reject or approve an invoice.
- State whether retainage, withholding or setoff is permitted and when withheld amounts are released.
- Require a written funding-availability notice before work proceeds beyond the funded stage.
Prevent informal scope growth
Require a signed change order before performing changed or additional work, except for narrowly defined emergency actions. The change process should cover design revisions, differing site information, government delay, security restrictions, utility conflicts and technology substitutions. It should state whether overhead, extended field costs, idle equipment, remobilization and subcontractor cancellation charges are recoverable.
Keep contemporaneous schedules, daily reports, photographs, test records, delivery tickets and labor-hour data. Those records support both an invoice and a later disagreement over entitlement. If the agreement gives the government limited cost access, negotiate a practical record set that still permits verification of your price and cost-share commitments.
5. Set technical-data and intellectual-property rights deliberately
DFARS Subpart 227.71 distinguishes unlimited, government-purpose and limited rights. The result often depends on whether development was funded by the government, privately or with mixed funds. Do not let a broad deliverables list silently transfer commercial design information that the project does not need.
Build a data-rights schedule
- List every technical-data, software, model, drawing, as-built record, test result and maintenance document to be delivered.
- Identify the funding history for each item and the rights category proposed for it.
- Mark proprietary, limited or restricted material exactly as the agreement requires; do not rely on an informal cover letter.
- Reserve pre-existing commercial technology and clearly separate it from project-funded modifications.
- Specify whether the government may disclose data to other contractors, use it for maintenance, or authorize manufacture by another source.
- Flow the agreed rights and marking duties to subcontractors and obtain the licenses needed to deliver their work.
DFARS says that specifically negotiated license rights should identify the government’s permitted release or disclosure and be included in a license agreement. Resolve that language before signature, including the duration, field of use, geographic scope and treatment of derivative designs. DFARS Subpart 227.71

6. Do not assume a follow-on production award
A prototype OTA can be a path to a later production contract, but it is not a promise of volume, price or award. Follow-on production under 10 U.S.C. § 4022 has statutory and documentation conditions. DFARS 206.001-70 states that the prototype solicitation and agreement must include provisions for a follow-on production contract and that applicable statutory requirements must be met.
Questions to put in the solicitation and agreement
- What event constitutes “successful completion” of the prototype?
- Who makes that determination, using which test data and acceptance standard?
- What competition, notice, eligibility or participant conditions apply to the production award?
- Is the expected production vehicle another OTA, a FAR contract or an indefinite-delivery arrangement?
- Which prices, warranties, data packages and configuration baselines carry forward?
- Can the agency buy from another source if the prototype succeeds but your production capacity, price or eligibility changes?
GAO reports that DoD selected 18 weapon-system efforts for review; 10 planned to switch to standard contracts for production. That sample is not a universal transition rate, but it shows why a contractor should plan for both an OTA prototype and a separate production competition. GAO report
DFARS 206.001-70 is shown on Acquisition.gov as Change 5/7/2026, effective May 7, 2026. Check the current text and the project’s solicitation rather than relying on an older template. DFARS 206.001-70

Ask the agency to identify, in writing, how those rules apply to this instrument, location, funding, work scope, employee classifications and subcontract tiers. Confirm the required wage determination, posting and payroll records, fringe-benefit treatment, worker classifications, correction process and consequences for noncompliance. Have counsel examine whether the negotiated OTA terms incorporate labor requirements directly or make compliance a condition of the project.
Use the current Acquisition.gov text and the solicitation’s labor clauses; the general FAR rule does not resolve a particular site or instrument. FAR 22.402 FAR 22.403-1
8. Verify subcontract, site and operational obligations
The available authorities do not establish universal OTA requirements for bonding, insurance, safety or environmental controls. Treat each as a document-review question, not an assumption.

Subcontracting
- Identify every mandatory flow-down, government consent right and lower-tier reporting duty.
- Match subcontract payment terms to the government’s milestone and acceptance schedule so you do not finance an indefinite delay.
- Require subcontractors to preserve data markings, labor records, security controls and change notices.
- Define responsibility for design errors, defective work, warranty calls and lower-tier claims.
Site and operational controls
- Confirm badging, escort, clearance, cybersecurity and controlled-area rules before mobilization.
- Assign responsibility for permits, utility locates, outages, environmental surveys, waste handling and restoration.
- Ask whether the solicitation requires payment or performance bonds, special insurance, professional liability coverage or pollution coverage.
- Price demobilization, storage and remobilization if the government suspends access or changes the installation schedule.
9. Understand the scale and contracting context
GAO reported more than $16 billion in DoD prototype OTA obligations in fiscal year 2024 and $2 billion in reported DoD production OTA use that year. Separately, GAO reported more than $18 billion in total DoD OTA obligations in fiscal year 2024, up from $1.8 billion in fiscal year 2016. The figures describe different OTA categories in the report and should not be added together.
The growth explains why an OTA may appear in a major defense project, but volume is not evidence that your construction scope is eligible or that the agency will provide standard-contract protections. The agreement still determines your economics, records, remedies and data exposure.
10. Use this pre-signature process
- Obtain the complete package: solicitation, draft OTA, attachments, statement of work, drawings, funding information, security documents and incorporated policies.
- Identify the authority: record the statutory basis, prototype rationale, appropriation and one of the eligibility conditions, with supporting agency documentation.
- Test the work scope: separate technology demonstration from conventional construction and flag any task that appears unrelated to a prototype objective.
- Build a responsibility matrix: assign design, permits, site information, government-furnished property, testing, acceptance and operations duties.
- Model the cash curve: calculate labor and material exposure before each milestone payment, including cost-share and retainage.
- Redline changes and delays: require written authorization, pricing rules and time relief for government-caused events and differing conditions.
- Schedule data negotiations: classify pre-existing, privately funded, mixed-funded and project-funded information before delivering drawings or software.
- Map production rights: document successful completion, follow-on vehicle, competition conditions and what is—and is not—guaranteed.
- Validate labor and site compliance: obtain written answers on wage rules, classifications, bonds, insurance, safety, environmental controls and access.
- Obtain specialist review: have government-contract or defense OTA counsel review the final risk allocation, especially if the project combines prototype technology with substantial construction.
Red flags that justify a pause
- The agency cannot identify the statutory authority or the eligibility condition supporting the OTA.
- The statement of work describes ordinary facility work but provides no technology prototype objective.
- Acceptance depends on an undefined government judgment, with no test method or response deadline.
- Payment is milestone-based but milestones are not measurable or depend entirely on government discretion.
- Changes may be directed orally, with no pricing method or entitlement to time relief.
- The data clause grants broad release rights without distinguishing commercial, privately funded and government-funded information.
- Follow-on production is described as “expected” but the agreement lacks completion, competition and eligibility provisions.
- Labor, bonding, insurance, safety or environmental obligations are left to later instruction.
An OTA can be an effective prototype vehicle, but its advantages come with a need for disciplined drafting and records. Sign only when the authority, scope, acceptance, payment, changes, data rights, production path and construction compliance duties are explicit in the documents you will perform.
