Market capitalisation is the equity market value of a listed company: its current share price multiplied by the number of shares outstanding. A company with 1 billion shares trading at R50 has a gross market capitalisation of R50 billion. That figure is a live snapshot, not a permanent valuation.
There is no single universal list of South Africa’s “biggest companies”. A credible ranking must identify its security universe, market-cap definition, investability and liquidity screens, currency, and as-of date. The Johannesburg Stock Exchange (JSE) All Share and Top 40 use different ranking bases, while S&P Dow Jones Indices publishes another JSE-based approach.
How market capitalisation is calculated
The basic formula
The calculation is:
Market capitalisation = current share price × shares outstanding
“Shares outstanding” means the company’s issued equity shares held by investors, adjusted for the share classes and corporate actions relevant to the calculation. If the price is quoted in rand, the result is a rand market value. If a data provider converts the price into US dollars, euros or another currency, the ranking can change as exchange rates move even when local share prices do not.

A worked calculation
Suppose Company A has 1 billion ordinary shares and trades at R50. Its gross market capitalisation is R50 billion. If the share price rises to R55 while the share count is unchanged, the value becomes R55 billion. If the company issues 100 million new shares at the same R55 price, the gross value becomes R60.5 billion because both the price and the number of shares are inputs.
Why the number changes
Share prices move continuously during trading, so an intraday market cap differs from a closing-price market cap. The share count can also change through new issues, buybacks, stock splits, mergers, conversions, employee schemes or the creation of another listed equity instrument. A ranking that does not state its observation time can therefore become stale or impossible to reproduce.
Gross, free-float and net market capitalisation
Rankings often disagree because “market cap” is being used for different measures. The following terms are related but not interchangeable.

A founder, government, parent company or cross-shareholding may hold a large block that rarely trades. That block contributes to gross market cap, but the investable portion can be much smaller. Providers also apply rules for liquidity, security type and minimum public ownership. Consequently, a company can rank highly by gross value and lower by investable value.
How the JSE organises company-size rankings
The JSE’s headline equity series covers eligible instruments on the Main Board and groups them by company size using market capitalisation. The family includes the All Share Index (J203), Top 40 (J200), Large & Mid Cap (J206), Large Cap (J205), Mid Cap (J201), Small Cap (J202) and Fledgling (J204).

These percentages are coverage bands of the eligible market, not permanent labels attached to a company. A share-price move, a new listing, a buyback or a change in eligibility can move an issuer between bands at a review.
How the JSE Top 40 is selected
1. Start with the eligible universe
The Top 40 is drawn from the All Share universe rather than from every security traded anywhere in the world. The relevant Main Board eligibility, security-type, liquidity and free-float rules are applied first.

The JSE requires at least 5% free float for the Top 40, subject to the methodology’s stated exceptions and cut-off rules. A company with a large total equity value can fail to qualify if too little of its stock is available to public investors or if it does not meet liquidity requirements.
3. Rank by net market capitalisation
After the screens, candidates are ordered by net market cap, which reflects the JSE’s investability treatment rather than simply multiplying the price by every issued share. This is why the Top 40 ranking is not a list of the 40 largest gross-cap companies.
4. Select the most investable companies
The JSE describes J200 as consisting of the 40 most investable companies in J203. The index can contain more than 40 instruments when one company has multiple eligible equity instruments, so “40” refers to the constituent selection framework, not necessarily a count of distinct rows on every data display.

5. Rebalance on the scheduled cycle
Top 40 reviews occur in March, June, September and December. A ranking captured between reviews may differ from the next official composition because prices change daily but membership is reassessed on the quarterly timetable.

Different universes
One website may rank all JSE Main Board securities, another may use only J203, and a third may build a provider-specific composite. A company absent from one universe cannot appear in its ranking, regardless of size.
Different market-cap bases
Gross, free-float, float-adjusted and net market caps answer different questions. A gross-cap table measures total equity value; an investable index estimates the value realistically available to public investors after provider rules.
Different eligibility screens
Liquidity, minimum free float, security type, sector restrictions and other investability requirements can exclude a large but closely held or thinly traded issuer. Screens may also differ between the JSE and an international index provider.
Different review dates
The JSE reviews J200 quarterly and most size indices semi-annually. A market-cap table updated after a major price move but before a formal review can show a different order from the official index. Always record the date and whether values use intraday or closing prices.

Listings and domicile
A company can have a primary listing on another exchange and a secondary JSE listing. The JSE recognises that a secondary JSE listing may coexist with a primary listing elsewhere. Therefore, a JSE-based “South Africa” list may include an issuer whose legal domicile is outside South Africa.
Currency and corporate actions
Rand values and converted foreign-currency values are not directly comparable without the exchange-rate date. Splits, rights issues, buybacks, mergers and share conversions can alter the denominator or the treatment of a security. A provider that has incorporated an action will not necessarily match a website using an older share count.
JSE rankings versus S&P South Africa indexes
S&P Dow Jones Indices provides a separate framework. The S&P South Africa Composite is a float-adjusted, market-cap-weighted index of large-, mid- and small-cap companies listed on the JSE. Its South Africa 50 index comprises the largest 50 companies by float-adjusted market capitalisation from that composite.
S&P’s eligibility definition includes South African and foreign-domiciled companies listed on the JSE. Thus, “largest South African companies” is incomplete unless the ranking names the provider, the listing universe and the domicile treatment. S&P South Africa 50 also has 50 companies as its target, not the JSE’s 40-company Top 40 framework.
How to compare a published ranking correctly
- Identify the provider and index. Record whether the source is the JSE, S&P Dow Jones Indices or a commercial data service.
- Check the universe. Confirm whether it covers all eligible Main Board securities, J203, a composite index or only companies meeting a domicile definition.
- Read the market-cap label. Look for gross, net, free-float or float-adjusted wording. Do not treat those columns as equivalent.
- Check screens. Note minimum free float, liquidity, security-type and any sector or investability rules.
- Write down the as-of date and price convention. Closing prices, intraday prices and different time zones can produce different values.
- Confirm currency. A rand ranking and a US-dollar ranking can change order when exchange rates move.
- Inspect corporate-action treatment. Verify that the share count reflects recent issues, buybacks, splits, mergers or conversions.
- Check listing and domicile rules. Determine whether secondary JSE listings and foreign-domiciled issuers are included.
A practical example of ranking differences
Consider two hypothetical companies, both priced at R100. Company B has 1 billion issued shares, giving it a gross market cap of R100 billion, but a controlling shareholder owns 90%, leaving only 10% available to public investors. Company C has 700 million shares, a gross market cap of R70 billion, and 80% public availability.

A gross-cap list places Company B first. A float-adjusted comparison would value the publicly available portions at roughly R10 billion for Company B and R56 billion for Company C before any further provider screens. Company C could therefore rank higher in an investable index even though its total equity value is lower. The example is illustrative; actual index treatment depends on each provider’s documented free-float and liquidity rules.
Market cap is not a fair-value opinion
Market capitalisation is an observed price-based value, not a conclusion that a company is economically worth that amount. The JSE states that its valuation role determines closing prices from marked data and is not to provide an economic fair value based on fundamental valuation approaches. Market cap therefore tells you what the market is pricing the equity at the specified time, not what an analyst believes the business should be worth.
Tax valuation is a separate issue. SARS describes market-value and weighted-average methods for specified South African-listed-share valuation situations and an arm’s-length willing-buyer/willing-seller approach for unlisted shares. Those tax rules should not be substituted for the JSE’s index-ranking formula.

- Calling a gross-cap table “the Top 40”. Use J200 only when the source follows the JSE Top 40 methodology.
- Counting companies instead of instruments. Multiple eligible equity instruments can make the displayed instrument count exceed 40.
- Ignoring free float. Total shares and publicly tradable shares can be very different.
- Mixing dates. A price from one day and a share count from another can create a value no provider actually used.
- Assuming size bands are permanent. Large, mid, small and fledgling classifications are review-based coverage segments.
- Assuming “South African” means South African-domiciled. JSE universes can include foreign-domiciled issuers and dual listings.
- Using market cap as a valuation verdict. It is a market observation, not a fundamental fair-value estimate.
For a reproducible calculation, capture the price, share count, currency, timestamp, provider, index universe and adjustment method in the same record. That documentation is what allows two readers to explain a difference instead of merely observing that their rankings do not match.
