Local governments can require only what state law, a charter, an ordinance, and the project’s approval pathway authorize. A development agreement or community-benefits agreement can set measurable obligations for documented impacts—such as roads, water, wastewater, emergency response, noise, lighting, reporting, workforce commitments, community investments, and project phasing. It cannot be used safely to invent a tax, impact fee, permit condition, or regulatory power that the locality does not otherwise possess. Grid interconnection, electric-system reliability, and many air-permitting decisions may belong to state or federal agencies instead.

The answer changes with the state, the city or county’s legal status, whether the site is in a city or unincorporated area, ownership of the affected infrastructure, and whether the project is already vested or approved. Treat the examples below as illustrations of different legal approaches, not a nationwide rule.

Start with authority, not negotiation

Before discussing benefits or mitigation, identify the legal instrument and the power behind it. A zoning condition, statutory development agreement, community-benefits agreement, water-use agreement, public-works agreement, utility contract, and tax incentive are different instruments. Each has its own decision-maker, notice requirements, approval standard, and enforcement limits.

Ask four threshold questions:

  • Which government has jurisdiction over the parcel—city, county, special district, or another authority?
  • What statute, charter provision, ordinance, or utility rule authorizes the proposed term?
  • Is the term tied to a documented project impact or to a separately authorized public benefit?
  • Which agency owns or regulates the affected asset, such as a road, water main, electric grid, or air permit?

A negotiated signature does not cure a lack of authority. If a locality cannot impose a charge or condition through its ordinary legal powers, placing the same demand in a private agreement creates litigation and enforceability risk.

What a lawful agreement can address

Roads and public infrastructure

Where engineering evidence connects the project to incremental demand, an agreement may allocate responsibility for road reconstruction, turn-lane work, bridge capacity, water-main replacement, sewer extensions, or other public facilities. The scope should identify the asset, design standard, cost estimate, schedule, permits, and acceptance process. If the road or utility belongs to another city, county, utility authority, or state agency, that owner may need to approve the work or become a party.

Water and wastewater

Large facilities should disclose their water source, cooling technology, average and peak-day demand, wastewater volumes and discharge path, reliability assumptions, and effects on existing users and environmental resources. A water agreement can require metering, frequency of reports, data formats, conservation measures, drought triggers, and contingency actions for supply interruptions. Those terms must fit the locality’s utility authority and any state water law.

Emergency response and fire protection

Data centers can create unusual demands on fire and emergency services. Review fire-flow calculations, hydrant and reservoir capacity, site access, bridge and road weight limits, radio coverage, generators, fuel storage, battery-energy-storage systems, uninterruptible-power systems, and hazardous-material inventories. New Jersey guidance recommends site-specific preplanning and training and says developers should fund needed public fire-protection or emergency-response improvements when the project makes them necessary. An agreement should identify the equipment, training, staffing, construction, and maintenance obligations rather than promise a general “public-safety contribution.”

Land-use compatibility and mitigation

The applicable zoning and site-plan process may address setbacks, building height, noise, lighting, traffic circulation, landscaping, screening, construction hours, and generator testing. Conditions should be linked to adopted standards or documented impacts and should state how compliance will be measured. A county ordinance cannot automatically regulate incorporated cities inside the county.

Community, workforce, and fiscal terms

Parties may define community investments, apprenticeship or training opportunities, local hiring goals, a community fund, or allocation of incentive proceeds. They can also condition an incentive on verifiable investment, jobs, taxable value, or operating milestones and specify what happens if projections fail. Tax abatements, redevelopment agreements, and public-works commitments remain legally distinct; each requires its own authorizing law and process. New Jersey’s 2026 municipal-finance notice warns that public-works requirements can apply even when the developer pays the full cost.

Phasing, expansion, and long-term performance

For multi-building campuses, define phases, expansion triggers, maximum load or water thresholds, review points, and obligations that apply to later buildings. Include reporting dates, audit rights, successor obligations, security or escrow where lawful, breach notices, cure periods, termination or modification rights, and remedies. A promise without a measurable deliverable or enforcement mechanism is difficult to administer.

What local governments generally cannot do through a side agreement

  • Create an unauthorized tax or impact fee. North Carolina’s development-agreement statute expressly allows allocation of financial responsibility for facilities but bars a tax or impact fee not otherwise authorized by law.
  • Control another regulator’s function. A city cannot decide electric-grid interconnection or regional reliability when those matters belong to a state utility commission, a regional transmission organization, or another agency.
  • Bind property outside its jurisdiction. A county’s unincorporated-area ordinance does not automatically govern a city, and a city cannot promise work on infrastructure it does not own without the owner’s participation.
  • Bypass required procedures. Hearings, notice, environmental review, procurement, public-works, prevailing-wage, contractor-registration, debt-approval, and recordation rules may apply even when terms are negotiated privately.
  • Impose unsupported or disproportionate conditions. A demand unrelated to project impacts or outside the governing legal standard is vulnerable to challenge and may not be enforceable merely because the developer signed.

Jurisdictional examples and their limits

Jurisdiction or vehicle Authority and process described by the source Subjects and stated limits
North Carolina Chapter 160D development agreement Local government must hold a legislative hearing with specified notice. Agreements are recorded within 14 days, and burdens bind successors. The statute provides breach notice, reasonable cure time, possible termination or modification, and injunctive enforcement. May cover public facilities, environmental protection, public health and safety, historic preservation, and allocation of facility costs. It may not include a tax or impact fee not otherwise authorized. Unless the agreement provides otherwise, laws in force when it is executed generally govern covered development, subject to statutory exceptions.
New Jersey municipal guidance State guidance recommends a pre-negotiation review of master-plan fit, infrastructure and resource demand, community engagement, and emergency response. The August 25, 2026 Local Finance Notice identifies additional implementation rules. Potential subjects include infrastructure, water, emergency response, community-benefits, redevelopment, and property-tax incentive agreements. Public-works, prevailing-wage, and contractor-registration requirements may apply to municipal-property work even when the developer funds it.
Fort Worth, Texas explanation The city describes its role as local rather than statewide. Its stated focus is zoning regulations, noise regulations, water-utility requirements, and city economic-development incentives. The city identifies grid access, interconnection, and reliability as matters for the Public Utility Commission of Texas and ERCOT.
Linn County, Iowa ordinance Approved February 18, 2026, for unincorporated Linn County. For large projects, the framework requires a water study and water-use agreement with tracking and reporting, plus an economic-development agreement with a community fund. The county states that its zoning authority does not extend to cities within Linn County.

These examples show why a clause that is valid in one place may fail elsewhere. North Carolina’s vesting and recordation rules should not be projected onto another state; Fort Worth’s division between city and grid authority is not a universal statement for every Texas municipality; and Linn County’s ordinance says nothing about projects inside incorporated cities.

A practical sequence before negotiations

  1. Map the project and parties. Identify the applicant, landowner, operator, known end user, parcel status, city or county jurisdiction, utility ownership, and whether approvals or vested rights already exist.
  2. List every proposed instrument. Separate zoning approval, development agreement, community-benefits agreement, water agreement, utility agreement, tax incentive, and public-works agreement. For each, name the authorizing law and decision-maker.
  3. Request project-specific evidence. Obtain power load and interconnection status; grid-upgrade costs; water source, cooling design, average and peak demand; wastewater needs; construction and operating traffic; generator and fuel details; battery systems; emergency plans; jobs and phases; fiscal assumptions; and requested infrastructure.
  4. Conduct technical and legal review. Municipal engineering, public works, utilities, fire officials, emergency management, finance, planning, and counsel should review the materials. Include affected counties, utility authorities, school districts, and other infrastructure owners where their assets or responsibilities are involved.
  5. Convert impacts into measurable clauses. Assign each obligation to a responsible party and specify scope, design criteria, deadline, funding, reporting format, inspection rights, adjustment triggers, successor duties, breach notice, cure, and remedies. Check procurement, prevailing-wage, contractor-registration, debt-approval, and public-hearing rules.
  6. Use the required public process. Publish proposed terms, provide the notice required by statute or ordinance, hold hearings when required, and consider a hearing for transparency even when guidance merely recommends one. Record the final agreement when law requires it.

How to draft obligations that can be enforced

Define the deliverable

Replace “provide adequate water” with a specified source, maximum daily and peak-day volume, metering location, reporting interval, testing method, and drought response. Replace “support emergency services” with named equipment, training hours, access improvements, maintenance duties, and acceptance criteria.

Set timing and dependencies

State whether a contribution is due at permit issuance, before energization, at each construction phase, or after a verified milestone. Tie expansion rights to completion of identified improvements rather than to an indefinite promise to negotiate later.

Allocate cost and ownership

Identify who designs, permits, builds, inspects, owns, operates, and replaces each improvement. If a developer builds a public asset, address dedication, warranty, insurance, easements, and long-term maintenance.

Build in reporting and review

Require periodic reports for water use, peak load, construction traffic, noise, jobs, investment, or community-fund payments as relevant to the agreement. Give the government a defined right to inspect records and verify data, while protecting legitimately confidential information.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Address successors and default

State whether obligations bind purchasers, tenants, operators, and future phases. Provide written notice, a reasonable cure period, consequences for uncured breach, and any lawful security. North Carolina’s statute illustrates these mechanics, but another jurisdiction may require different language or approvals.

Grid, air, and other matters outside ordinary local control

Electric capacity is often the project’s largest external dependency, but a local agreement cannot substitute for the state or regional interconnection process. Fort Worth expressly distinguishes its local authority from the Public Utility Commission of Texas and ERCOT on grid access and reliability. A city can still address land use, noise, water utility requirements, and its own incentives while coordinating with the agencies that control interconnection.

Likewise, air permits for emergency generators, environmental approvals, and interstate or regional utility matters may involve state or federal agencies. A local agreement can require the developer to obtain and maintain those permits, provide copies, or follow a construction schedule, but it should not promise an outcome the local government cannot grant.

Questions officials should ask about public value

  • Which costs are incremental to this facility, and which are broader capital needs that should not be shifted without legal authority?
  • Who receives a community investment, under what allocation formula, and with what public reporting?
  • Are projected jobs, investment, tax base, or revenues verified milestones or merely estimates?
  • What happens if the project is sold, downsized, delayed, or expanded?
  • Does the agreement preserve later health, safety, environmental, or emergency regulations that the law allows the government to adopt?
  • Can the government enforce the term against successors and recover costs if the developer defaults?

Common failure modes

Calling a negotiated payment an impact fee

If state law does not authorize the charge, changing its label will not make it lawful. Document the statutory basis and the impact analysis before setting an amount.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Negotiating before technical review

Without peak-load, water, wastewater, traffic, and emergency data, officials cannot distinguish a necessary improvement from an unsupported demand. New Jersey’s municipal resource materials specifically direct officials to obtain these assumptions and technical assistance before negotiations.

Ignoring ownership and geography

A county may lack authority inside a city; a city may not own the road or water main at issue; and a utility authority may need to approve connection terms. Bring those entities into the process before commitments are published.

Leaving performance vague

“Good-faith cooperation” does not specify a deliverable, deadline, measurement, or remedy. Use schedules, exhibits, reporting templates, and acceptance standards.

Overlooking public-works rules

Developer funding does not necessarily remove prevailing-wage, contractor-registration, procurement, or public-property requirements. The New Jersey notice dated August 25, 2026, highlights this issue for certain municipal-property projects.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Bottom line for a proposed data center

A local government’s strongest position is a documented, project-specific agreement built on clear authority and a transparent process. It can require mitigation and public benefits that the governing law permits, assign responsibility for infrastructure and emergency needs, and condition incentives on verifiable performance. It cannot use a private agreement to acquire powers reserved to another agency or to impose an unauthorized tax, fee, or regulation. Confirm the current statute, ordinance, utility rules, incentive terms, and project status in the actual jurisdiction before relying on any example.
