Legal AI agents are useful assistants, not autonomous lawyers. They can accelerate research, summarize records, draft documents, extract facts, generate citation leads, collect intake information and route work. A qualified lawyer must still verify the authorities and facts, exercise legal judgment, protect confidential information, supervise the system and approve advice, negotiations, client communications and court filings. Giving an AI system unsupervised control over those functions creates accuracy, ethics and professional-liability risks.
What a legal AI agent is
A legal AI agent is software that uses a language model or related machine-learning system to perform a sequence of legal-work tasks. Depending on its configuration, it may search a document set, answer questions about supplied files, draft text, classify matters, extract dates and obligations, or hand work between applications. “Agent” describes the workflow automation; it does not give the software a law license or professional judgment.
The governing question is not whether a tool is marketed as an agent, copilot or chatbot. It is what the system actually does, what information it receives, who can rely on its output and whether the task requires a lawyer’s personal judgment. The American Bar Association’s Formal Opinion 512 (July 29, 2024) says lawyers must understand both the benefits and risks of technologies they use. Florida Opinion 24-1 and New York City Bar guidance apply the same professional duties when generative AI is involved.

Research and issue spotting
An agent can turn a research question into search terms, identify potentially relevant cases and statutes, summarize competing rules, and organize authorities by jurisdiction or issue. It can also flag missing facts that may affect the analysis. The New York City Bar describes legal AI uses that include drafting and analyzing documents, providing legal citations, and supporting data-management review, analytics and visualization.

These are lead-generation functions. The lawyer must define the jurisdiction and time period, supply the relevant facts, inspect the underlying authority and decide whether the source actually supports the proposition. An AI-generated list of cases is not a validated table of law.
Drafting and editing
AI can produce a first draft of a memorandum, chronology, discovery request, contract clause, checklist, deposition outline or client update from instructions and source material. It can change tone, simplify language, compare versions, identify inconsistent defined terms and suggest questions for a supervising attorney.
Drafting is safest when the permitted scope is narrow and the source text is supplied. A lawyer should specify the client’s objective, governing law, audience, prohibited assumptions and required citations. The output remains a draft until a responsible lawyer checks every material statement and revises it.

Summarization and document analysis
Large collections of pleadings, contracts, emails or discovery responses can be searched and summarized quickly. An agent may extract parties, dates, payment terms, indemnities, termination rights, privilege indicators or references to particular events. It can create a chronology or a list of documents that need human attention.
Summaries can omit qualifiers, merge people with similar names, misread a negation or treat an allegation as an established fact. Preserve links or page references to the source documents so the reviewer can test each important extraction.
Citation and quotation assistance
A system can propose citations, locate passages in a supplied authority set and format references. It can also identify where a draft lacks support. Citation generation is not citation verification: the lawyer must open the case, statute or regulation, confirm that it is still valid, read the relevant passage and check that the quotation, procedural posture and proposition match.
Fact gathering and intake support
A controlled agent can ask clients or prospective clients for dates, names, locations, documents and a concise description of events. It can detect unanswered factual fields, send a secure questionnaire and route the matter to a practice group. Intake automation must stay factual and transparent; it should not diagnose a claim, predict an outcome or tell a person what legal step to take.

Workflow and administrative support
AI can classify incoming documents, assign tasks, draft internal status notes, identify deadlines for confirmation and populate fields in a case-management system. Automation can reduce repetitive work, but a human must confirm deadlines, recipients, permissions and any action that changes a client’s legal position.
Why independent review is mandatory
Hallucinated authorities are a measured risk
A 2024 study by Matthew Dahl, Varun Magesh, Mirac Suzgun and Daniel E. Ho tested answers to specific, verifiable questions about random federal court cases. It reported legal hallucinations in 58% of answers from ChatGPT-4 and 88% of answers from Llama 2 under the study’s conditions. The figures are not a forecast for every product or prompt, but they demonstrate why a plausible-looking answer cannot be accepted without checking.
The same study found that models may fail to correct an incorrect legal assumption in the question and may not recognize when they are hallucinating. A reviewer therefore has to test the premise as well as the answer. Search the primary source independently; do not ask the same model to certify its own work.
The lawyer remains accountable
Florida Opinion 24-1 states that a lawyer must review generative-AI work product, verify the accuracy and sufficiency of AI research and remain responsible for the resulting work. It says a lawyer may not delegate to generative AI an act that could constitute the practice of law, such as negotiating claims, or a function requiring the lawyer’s personal judgment and participation.
ABA Formal Opinion 512 and New York City Bar guidance likewise keep competence, confidentiality, communication, diligence, candor to a tribunal, supervision, conflicts, discrimination, fees and compliance with law in force. Using a vendor does not transfer those duties. A client or court receives the firm’s work, not an excuse that software produced it.
What a legal AI agent should not do alone
Give individualized legal advice
An unsupervised chatbot should not tell a person that a specific claim is valid, select a legal strategy, interpret the person’s rights for a particular dispute or recommend a filing deadline. General legal information can be educational, but an answer based on an individual’s facts is advice and requires a qualified lawyer’s involvement. A system should clearly state its nonlawyer status and provide a path to human assistance.
Make legal judgments or choose strategy
Deciding whether to settle, assert a privilege, waive a right, disclose a document, accept a clause or pursue a procedural tactic requires context, professional judgment and often client consultation. An agent may present options and identify considerations; it should not make the decision or silently execute it.

Negotiate claims or agreements
Negotiation involves authority, valuation, risk tolerance, timing and communications that can bind a client. Florida Opinion 24-1 identifies negotiating claims as an example of a practice-of-law function that cannot be delegated to generative AI without the lawyer’s personal judgment and participation. AI may prepare a draft or organize positions, but a lawyer must control the negotiation and approve messages before they are sent.

An agent should not independently file a pleading, motion, brief, exhibit or proposed order. Before submission, a lawyer must confirm jurisdiction, caption, parties, signature and verification requirements, deadlines, formatting, service, factual assertions, quotations and every cited authority. The lawyer also must satisfy the duty of candor; a filing containing an invented case or inaccurate statement can create sanctions and professional-discipline exposure.
Represent itself as a lawyer
A chatbot must not imply that it is an attorney, that an attorney has reviewed its answer when none has, or that use of the system creates representation. Branding, welcome messages and escalation language should make the system’s nonlawyer status unmistakable.
How an intake chatbot can be used safely
Intake is a high-risk boundary because a person may reasonably believe that a welcoming conversation is confidential legal advice. Florida Opinion 24-1 warns that an overly welcoming chatbot can create a prospective-client or lawyer-client relationship without the lawyer’s knowledge.
- Identify the system. State at the start that the user is speaking with a nonlawyer automated system and that no attorney-client relationship is created by the conversation unless the firm expressly agrees.
- Limit questions to facts. Ask for contact details, opposing parties, dates, locations, relevant documents and a factual description. Do not ask the system to decide whether the person has a claim or what they should do.
- Give a human route. Offer a phone number, secure form or scheduled review by a lawyer for legal questions, urgent deadlines and emergency situations.
- Control conflicts information. Collect only the names and details needed for a conflicts check, restrict access and prevent the bot from promising representation before the firm completes its process.
- Preserve and protect the record. Apply the firm’s retention, access and deletion rules to transcripts. Tell users how information will be handled before they disclose sensitive details.
- Escalate risk signals. Route questions involving imminent deadlines, detention, domestic violence, safety threats, active litigation or a request for legal advice to a lawyer rather than generating a substantive answer.
Confidentiality and data governance
Confidentiality obligations continue when a firm uses an AI service. Before entering client information, determine where data is processed, how long prompts and outputs are retained, whether the vendor uses them for training, which personnel or subcontractors can access them, how deletion works, what security controls apply and whether data may be disclosed to another jurisdiction.
Use a configuration approved for legal work rather than a consumer account with unknown retention settings. Remove unnecessary names, account numbers, medical details and other identifiers. Separate matters and access permissions, encrypt data in transit and at rest where available, log administrator activity and document the vendor’s incident-notification process.
Informed client consent may be required when the proposed use creates a meaningful risk to confidentiality or involves disclosure to a third party. Explain the purpose, material risks, alternatives and costs in terms the client can understand. Do not assume that a generic privacy policy answers the firm’s professional obligations.

A human-controlled workflow for legal AI
The following sequence keeps responsibility visible from the initial prompt through delivery.
- Define the task. Write what the system may do, what it may not do, the intended audience, the jurisdiction, the relevant date and the required output format.
- Choose the data. Supply only the documents and facts necessary for that task. Remove irrelevant identifiers and confirm that the firm is authorized to use the material.
- Set the source boundary. Instruct the system to rely on supplied authorities or an approved database and to mark anything it cannot support. Do not let it fill gaps with assumptions.
- Generate a working product. Keep the output labeled as AI-assisted, store the prompt and source set when firm policy requires it, and prevent automatic external sending.
- Check facts and law. Compare every material factual statement with the record. Open each cited primary source, confirm the quote and holding, check amendments and subsequent treatment, and verify the court, jurisdiction, date and procedural posture.
- Apply legal judgment. Decide the strategy, advice, negotiation position and risk treatment yourself. Resolve ambiguities instead of allowing the model to choose silently.
- Obtain approval. A responsible lawyer should approve client communications, advice, agreements, filings and any output that could affect a legal right or deadline.
- Record and improve. Keep an audit trail of material AI use, corrections, approvals and incidents. Update prompts, access rules and training when a failure reveals a control gap.
How to review an AI-generated legal document
Substantive accuracy
- Check that the document answers the assigned question rather than a similar one.
- Test the client’s assumptions and identify facts the model treated as true without support.
- Confirm names, dates, amounts, defined terms, cross-references and quotations against the source record.
- Look for omitted exceptions, adverse authority, jurisdictional limits and unfavorable facts.
Authority and citation integrity
- Open every cited case, statute, rule and regulation in an authoritative source.
- Confirm that the authority exists, is from the correct jurisdiction and was in force on the relevant date.
- Read enough of the opinion to verify the holding, procedural posture and context of the quotation.
- Check subsequent amendments, overruling, distinguishing decisions and local filing rules.
Client and court readiness
- Remove internal prompts, speculative language and unsupported confidence.
- Ensure the tone and explanation match the client’s instructions and the lawyer’s communication duties.
- For a tribunal, verify every factual assertion, disclose controlling adverse authority where required and comply with signature and certification rules.
- Obtain the designated lawyer’s approval before release or filing.
Supervision, staffing and billing
Lawyers must supervise employees, contractors and vendors who use the system. Set written rules for approved tools, permitted matters, prompt handling, escalation, access rights, quality checks and incident reporting. Training should cover hallucinations, confidentiality, unauthorized practice, conflicts and how to report a suspected error.

Billing must reflect reasonable, actual work and costs. Do not bill a client for invented time, duplicate effort or an unreviewed machine output. If AI changes the amount or nature of work, explain material effects when communication or fee rules require it, and preserve records that support the invoice.
How to evaluate a legal AI agent
A feature list is not enough. Evaluate the system against the professional risks created by the intended use.

Common failure modes and fixes
The model invents a case or quotation
Fix: Stop distribution, locate the primary authority, correct the draft and determine whether anyone received or relied on the error. Require source-linked citations and independent verification for future work.
The answer accepts a false premise
Fix: Reframe the prompt as a set of propositions to test. Ask for contrary authority and missing facts, then perform the legal analysis yourself.
Confidential information enters an unapproved account
Fix: Follow the firm’s incident procedure, restrict access, preserve relevant logs, notify responsible leadership and assess client-notification or regulatory obligations. Do not continue using the account for matter data.

An intake bot gives advice or promises representation
Fix: Disable the response path, review transcripts, contact affected people when appropriate, add explicit nonlawyer and no-representation notices, restrict the bot to factual questions and require human escalation.
An automated workflow sends or files the wrong document
Fix: Use approval gates, recipient and matter checks, deadline confirmation and a second-person review for high-consequence actions. If a filing occurred, consult the responsible lawyer immediately about correction and disclosure duties.
Rules are evolving by jurisdiction
There is no single nationwide rule that answers every deployment question. The ABA, Florida Bar and New York City Bar materials identify overlapping duties, but courts and regulators may impose additional requirements. A March 2025 Department of Justice Journal article reported that the State Bar of California was examining generative AI’s effect on unauthorized practice of law and whether legal generative-AI tools should be licensed or regulated.

Reassess the policy when a court issues an order, a bar publishes an opinion, the vendor changes retention or training terms, or the model and workflow materially change.
Practical decision rule
Use an agent without real-time lawyer intervention only for low-consequence internal assistance where the task, data and output are bounded and a later reviewer can reliably detect errors. Require contemporaneous lawyer control whenever the output interprets a person’s rights, selects strategy, communicates externally, negotiates, affects a deadline, changes a legal position or goes to a client or tribunal. If the firm cannot explain who reviewed the result, which sources support it and how confidential information was protected, the workflow is not ready for production.
Bottom line
Legal AI can make lawyers faster at research, drafting, summarization, document review, intake and workflow administration. It cannot safely replace the lawyer’s judgment, confidentiality controls, supervision, candor or accountability. Treat every output as an assistive draft, verify it against primary sources and the record, and require a qualified lawyer to approve advice, negotiations, client-facing work and court submissions.
