NTDOY is an unsponsored American Depositary Receipt (ADR) for Nintendo Co., Ltd. that trades on the U.S. over-the-counter (OTC) market. Under the current arrangement, four NTDOY American Depositary Shares (ADSs) represent one Nintendo ordinary share in Japan. The receipt trades in U.S. dollars, while the underlying ordinary share is yen-denominated.
That structure gives a U.S. investor a dollar-traded way to obtain exposure to Nintendo without buying the Japanese ordinary share directly. It is not a separate Nintendo operating company and it is not a NYSE or Nasdaq listing. What NTDOY is

For Nintendo, the receipt is identified by the ticker NTDOY. The underlying company is Nintendo Co., Ltd.; NTDOY itself is not a second operating company or a new class of Nintendo business. The current program is classified as unsponsored, and the depositary records list multiple institutions rather than one issuer-sponsored program.

What one NTDOY share represents
The phrase “one NTDOY share” is often used casually, but the precise instrument is one ADS. The current ratio is four NTDOY ADSs for one Nintendo ordinary share. Therefore:

This is an economic comparison, not a guaranteed trading price. The calculation must account for the fact that NTDOY is quoted in U.S. dollars and the Japanese ordinary share is yen-denominated. OTC bid-ask spreads, foreign-exchange movements, different market hours, depositary charges and delayed price updates can make the two lines diverge temporarily.
Why the ratio matters for portfolio size
If an investor owns fewer than four ADSs, the position corresponds to less than one ordinary share on a ratio basis. If the investor owns four ADSs, the underlying-share equivalent is one ordinary share. This relationship does not mean the investor receives a Japanese exchange listing in the brokerage account; the account continues to show and trade the U.S. ADS line.
How NTDOY works from purchase to sale
1. The investor places a U.S.-dollar OTC order
An investor uses a brokerage account that supports the NTDOY OTC line and submits an order using the ticker NTDOY. The quoted security is the ADS, so the trade is priced in U.S. dollars rather than Japanese yen. The broker’s commission, spread and any account-level foreign-market or OTC charges depend on that broker’s terms.

2. The OTC trade changes ownership of the ADS
When the order executes, the investor owns the U.S.-traded depositary receipt. The receipt represents an interest in the pool of Nintendo ordinary shares maintained for the program; it is not a direct purchase of a separate Nintendo subsidiary.
3. Depositary and custodian records maintain the link
The depositary institution administers the receipt program, while a local custodian holds or records the Japanese ordinary shares supporting the ADSs. The ratio tells the depositary how many ADSs correspond to each ordinary share. Corporate actions and cash distributions are processed through this chain before they reach the ADS holder’s broker account.
4. The investor receives proceeds through the ADS program
When Nintendo declares a distribution that is passed through the program, the depositary processes the payment and the broker credits the investor’s account in the form and currency supported by the account. Withholding, currency conversion and depositary-related charges can reduce the amount ultimately credited.
5. Selling reverses the exposure
To exit, the investor sells NTDOY through the OTC market. The sale is of the ADS position. It does not require the investor to place a separate order for Nintendo’s Japanese ordinary shares.

Why NTDOY trades over the counter
NTDOY trades on the U.S. OTC market rather than on the NYSE or Nasdaq. “OTC” describes the trading venue; it does not change the identity of Nintendo or the ADS-to-ordinary-share ratio.

For a reader, the practical consequences are:
- Broker access matters. The account must permit trading in the specific OTC security.
- Liquidity can differ from a major exchange line. A quoted price may not have the same depth or execution conditions as a heavily traded exchange-listed stock.
- Spreads affect parity. The price at which an investor can buy may be above the price at which the investor can sell, so a midpoint comparison can overstate executable value.
- Trading hours do not perfectly overlap. The U.S. OTC quote and the Japanese market are open at different local times, allowing exchange rates or new information to move one line before the other updates.
The OTC designation is therefore a market-structure fact, not a warning that the receipt is unrelated to Nintendo. It tells you to evaluate execution quality and account eligibility in addition to the underlying company exposure.
What “unsponsored” means for NTDOY
Program records classify NTDOY as an unsponsored ADR. In practical terms, the receipt line is maintained through depositary arrangements rather than a single issuer-sponsored program. Citi’s program record lists BNY Mellon, Citi, Deutsche Bank and JPMorgan as depositaries associated with the record.
Multiple depositary records make it important to identify which depositary notice applies to a particular event. A corporate-action notice, dividend notice or fee schedule may be issued by a different depositary than the one an investor expects from a ticker lookup. The broker statement should show the actual entry and any charge applied to the investor’s position.

The 2022 ratio change and Nintendo’s stock split
Nintendo announced a ten-for-one split of its ordinary shares in Japan effective October 3, 2022. BNY Mellon’s August 11, 2022 corporate-action notice states: “Nintendo Co., Ltd. has announced a ten (10) for one (1) stock split on its ordinary shares in the local market effective October 3, 2022.”
The same notice records the ADR ratio change from 8 ADSs representing 1 ordinary share to 4 ADSs representing 1 ordinary share. Citi’s program record also lists the change from 1 ordinary share:8 ADSs to 1 ordinary share:4 ADSs, effective October 3, 2022.

BNY Mellon’s notice also states an issuance fee of $0.01 per ADS issued for the adjustment. That is a fee specified for the corporate action; it should not be assumed to be a recurring annual fee or the same as a cash-distribution fee.

Dividends, withholding and depositary charges
Dividend payments on NTDOY are event-specific. Citi’s dividend record, generated October 12, 2026, shows payment entries dated July 20, 2026 and December 16, 2025. The displayed payment, withholding and fee fields vary by entry, so there is no single permanent “NTDOY dividend amount” that can be applied to every payment.

It also notes that the actual fee can differ when another depositary is the “First Filer.” As a result, the net amount in a brokerage account can differ from a headline distribution calculated from the Japanese ordinary-share dividend.
How to reconcile a dividend entry
- Find the NTDOY payment date and gross amount on the broker statement.
- Check whether withholding tax or another statutory deduction appears separately.
- Look for a depositary or cash-distribution fee.
- Check the exchange rate used if the payment was converted before being credited in U.S. dollars.
- Match the entry to the relevant depositary notice, especially when multiple depositaries appear in program records.
This process distinguishes a lower net credit caused by withholding, conversion or fees from a change in Nintendo’s declared distribution.

Because the underlying company is the same, major Nintendo news can affect both lines. Their prices can nevertheless differ at a particular moment because the U.S. quote incorporates the exchange rate, four-ADS ratio, OTC execution conditions and the fact that the Japanese market may be closed.

A practical parity check
To compare a displayed NTDOY quote with the Japanese share, first confirm that the quote is for one ADS. Multiply the ADS price by four to express the value of the underlying ordinary-share equivalent in U.S. dollars. Then convert that amount into yen using the exchange rate relevant to the comparison time.
- Record the NTDOY bid, ask or executed price and label which one you are using.
- Multiply that per-ADS price by 4.
- Convert the resulting U.S.-dollar amount into yen.
- Compare the converted figure with the Japanese ordinary-share price from a matching time window.
- Allow for the OTC spread, currency spread, depositary costs and non-overlapping market hours before treating a difference as meaningful.
The result is a diagnostic estimate, not an arbitrage guarantee. A quote taken during Japanese market hours and compared with a stale U.S. OTC quote can appear misaligned even when both markets are functioning normally.
Common mistakes and how to avoid them
Mistake: treating NTDOY as one whole ordinary share
Why it happens: Brokerage screens often label every position as “shares.”
Fix: Apply the current 4 ADS:1 ordinary-share ratio. One ADS is one-quarter of an ordinary share on a ratio basis.
Mistake: using the old 8:1 ratio
Why it happens: Older articles and account records may predate the October 3, 2022 adjustment.
Fix: Use the current BNY Mellon directory ratio and check the effective date of any corporate-action notice.
Mistake: assuming a U.S.-dollar quote removes yen exposure
Why it happens: The trade ticket and account statement show dollars.
Fix: Remember that the underlying ordinary shares are yen-denominated. Currency movements can change NTDOY’s dollar value even when Nintendo’s yen price is unchanged.
Mistake: comparing midpoint prices as if they were executable
Why it happens: OTC screens may display a midpoint or a delayed quote.
Fix: Compare the relevant bid or ask, confirm quote timing and account for the spread before estimating what a purchase or sale would cost.

What to verify before trading NTDOY
- Confirm that the ticker is NTDOY and that your broker permits the OTC security.
- Verify the current 4 ADSs:1 ordinary-share ratio.
- Check whether the quote is delayed and review the bid-ask spread.
- Use a currency conversion that matches the time of the Japanese-share comparison.
- Read the broker’s commission, OTC and foreign-exchange terms.
