An at-the-market (ATM) share offering is a registered program that lets a public company sell newly issued shares into the existing trading market over time, at prevailing or market-related prices instead of one fixed offering price. A broker-dealer sales agent executes sales under a prospectus supplement and sales agreement. The company can usually decide when to sell, how much to offer, and when to pause, subject to the agreement’s limits.
For investors, the key questions are how many shares could be issued, how many have actually been sold, what the company will do with the proceeds, and whether the additional capital can outweigh the dilution and selling pressure created by a larger share count.
What an ATM offering means
The Securities and Exchange Commission defines an ATM offering under Rule 415(a)(4) as “an offering of equity securities into an existing trading market for outstanding shares of the same class at other than a fixed price.” In practical terms, the company registers a program in advance and sells shares into normal market trading rather than selling the entire issue to investors at a single negotiated price.
An ATM normally involves a shelf registration statement, a prospectus supplement describing the program, and one or more broker-dealers acting as sales agents. The registered shares are issued by the company in a primary offering. Some ATM structures can also involve resale securities, but the investor questions about dilution are most immediate when the issuer creates new shares.

Except for standard USB webcams (which use USB data only), they are not compatible with HDMI/DisplayPort cables, video-capable USB-C hubs, or docking stations with video output.
- Convert USB-A Ports to USB-C: Designed to connect USB-C earphones, cables, flash drives, card readers, and other USB-C accessories to standard USB-A ports. Plug-and-play with no drivers or software required.
- Aluminum Alloy Housing: Built with a sturdy aluminum alloy shell that aids in heat dissipation and protects against daily wear and scratches. Designed to maintain a stable and secure connection.
- Compact & Travel-Friendly: The ultra-compact design allows the adapter to stay plugged into your device without blocking adjacent ports or adding bulk, reducing wear and tear on your original USB ports.
- 12-Month Warranty: Backed by a 12-month manufacturer warranty for peace of mind. Designed to meet strict quality control standards for reliable everyday performance.
The prospectus sets an authorized ceiling, not a promise that the company will raise that amount. Only completed sales create gross proceeds, and commissions and other offering expenses reduce the cash the company keeps.
How an ATM program works
1. The company registers the securities
The issuer uses an effective shelf registration statement and files a prospectus supplement that adds the ATM plan. SEC staff guidance treats the supplement as part of the registration statement and requires it to describe the plan of distribution, the agents, and material operating terms.
Eligibility matters. Primary programs generally rely on the issuer’s ability to use Form S-3, F-3 or N-2 under Rule 415(a)(1)(x), subject to the applicable conditions. For issuers relying on specified Form S-3 or F-3 instructions, SEC staff interpretations describe a limit of one-third of public float for certain primary offerings. That limit is not a universal cap on every ATM; the relevant form, issuer status and registration language control.
2. The issuer signs a sales agreement
The company appoints one or more broker-dealers as sales agents. The agreement normally covers the agent commission, expense reimbursement, representations, indemnification, termination rights and limits on how sales may be conducted. It may also set a minimum sale price, a maximum number of shares or dollars per day, and volume restrictions tied to market trading.
3. The company sends placement notices
Instead of committing to sell the whole authorization, the issuer sends a placement notice when it wants the agent to sell. A notice can specify a start and end date, a share or dollar target, a minimum acceptable price, and daily or aggregate limits. The company can generally suspend or resume sales under the agreement, although the exact rights depend on the filed terms.

4. The agent sells into the market
Sales can occur on Nasdaq or another existing trading market, through a market maker, to the agent as principal, or in negotiated transactions at prevailing or related prices. The execution method and price restrictions should be read in the prospectus supplement rather than assumed from the phrase “at the market.”
5. The company reports what happened
Later Form 8-K, 10-Q and 10-K filings may disclose the number of shares sold, gross and net proceeds, agent compensation, remaining capacity and the use of funds. An amended or terminated prospectus supplement can change the program’s status. A headline announcing an ATM does not establish that any shares have yet been sold.
Authorized capacity is different from money raised
An ATM prospectus may authorize a maximum dollar amount, a maximum number of shares, or both. That figure describes the outer boundary of the program. It is not cash on the balance sheet and is not evidence that investors have bought the full amount.
For example, Actuate Therapeutics’ 2025 filing authorized up to $100,000,000 of common-stock sales through named agents. The filing’s maximum was a capacity figure; the company would receive proceeds only as sales occurred. NextPlat Corp’s 2026 supplement likewise described an offering ceiling and market-based sales rather than a guaranteed financing amount.
When reviewing an issuer, separate four numbers:
- The maximum dollars authorized.
- The maximum shares authorized, if stated.
- The shares actually sold by the reporting date.
- Gross proceeds and net proceeds after commissions and expenses.
Those numbers can differ substantially when the share price changes, when the issuer uses only part of the authorization, or when it pauses the program.

How an ATM can affect existing shareholders
Ownership dilution
When the company issues new shares, total shares outstanding rise. An investor who does not buy additional shares therefore owns a smaller percentage of the company. The percentage change depends on the number of new shares issued relative to the pre-offering share count.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
The effect is mechanical: if an investor owns a fixed number of shares while the denominator grows, that investor’s ownership percentage falls. Voting influence can decline for the same reason.
Per-share measures
A larger share count can reduce earnings per share and book value per share when earnings or equity do not increase by enough to offset the issuance. The eventual result depends on the price at which shares are sold, the net cash raised, and what management does with that cash. Capital used to retire expensive debt, fund productive operations or complete a value-creating transaction may produce a different long-term result from capital used to cover continuing losses without an improvement plan.
Trading supply and price pressure
Ongoing sales add stock to the market. The price response is company-specific and can depend on the stock’s liquidity, the pace of sales, the valuation investors assign to the company, the stated use of proceeds and expectations about future financing. There is no universal percentage decline or rise after an ATM announcement. The available evidence does not support treating an ATM announcement alone as a predictable price signal.
What an ATM means for someone buying shares
You buy at a market-related price
An ATM buyer generally purchases at the prevailing market price or another price tied to market trading, not at one fixed price chosen months earlier. That can reduce the pricing certainty associated with a traditional underwritten offering, but it does not tell you whether the market price is fair.

New buyers can still face dilution
The prospectus may present an assumed immediate dilution calculation for a purchaser. NextPlat’s May 2026 supplement gave an example of $0.75 of immediate dilution per share under the assumptions stated in that filing. That number belongs to the filing’s assumptions and should not be generalized to other issuers, dates or prices.
The financing does not guarantee better business results
An ATM can provide cash for debt repayment, operating expenses, acquisitions, research or general corporate purposes. Raising money does not by itself make the company profitable, remove execution risk or establish that the shares are undervalued. Read the issuer’s liquidity, debt, operating-loss and going-concern disclosures alongside the offering document.
Why companies use ATM programs
- Incremental access to capital: The issuer can sell smaller amounts over time instead of completing one large transaction.
- Timing flexibility: Management can seek to sell when market conditions, liquidity or the share price are more favorable and pause when conditions deteriorate.
- Less pricing commitment: The company is not required to set one fixed price for the entire authorization.
- Uncertain proceeds: Because both the number of shares and market price vary, the final amount raised is not known in advance.
- Transaction costs: Agent commissions and offering expenses mean net proceeds are below gross proceeds.
The trade-off is that the company gives up some certainty about the total financing and may create continuing supply in the market. Existing holders bear the dilution if new shares are issued.
How to read an ATM prospectus and later filings
- Open the latest prospectus supplement. Confirm the filing date, security being sold, maximum dollar amount, maximum share count and whether the supplement is still effective.
- Measure potential dilution. Compare the maximum possible issuance with current shares outstanding and with the public float. Use the share limit when one is stated; a dollar limit requires a price assumption and therefore cannot be converted into a fixed share count without qualification.
- Identify the sales agents and compensation. Check the commission rate, expense reimbursement, indemnification and any other compensation provisions.
- Find operating limits. Look for minimum prices, daily or aggregate volume caps, permitted markets, principal-versus-agent sales, suspension rights and the agreement’s expiration or termination provisions.
- Read use of proceeds. Determine whether management lists debt repayment, working capital, acquisitions, research, capital expenditures or general corporate purposes. Broad language gives management more discretion but gives investors less detail about the intended return on capital.
- Review financial urgency. In the latest 10-Q or 10-K, examine cash, operating cash burn, debt maturities, revenue trends, losses and any going-concern language. A large authorization can coexist with a short cash runway.
- Check subsequent reports. Look in later 8-K, 10-Q and 10-K filings for actual shares sold, gross proceeds, net proceeds and remaining capacity. Treat the latest reported activity as more informative than the original authorization.
Terms that matter most to investors
| Term | Why it matters | What to locate |
|---|---|---|
| Maximum dollar amount | Shows the upper financing capacity, not cash already raised | Prospectus cover page and supplement |
| Maximum share count | Allows a direct comparison with shares outstanding and float | Offering size and dilution sections |
| Agent commission | Reduces net proceeds and affects financing cost | Plan of distribution and sales agreement |
| Minimum price | Can limit sales at very low prices, if included | Placement-notice and trading restrictions |
| Daily volume or dollar cap | Constrains the pace of market supply | Sales agreement and supplement |
| Permitted sale methods | Shows whether sales may occur on an exchange, through a market maker, to the agent as principal or in negotiated trades | Plan of distribution |
| Use of proceeds | Indicates the proposed purpose of the capital | Use-of-proceeds section and risk factors |
| Remaining capacity | Shows how much additional issuance may still occur | Most recent periodic or current report |
Comparing two ATM programs
Do not rank programs by the headline authorization alone. Compare the terms and the issuer’s financial position in the same order an investor would experience them.

Calculating dilution from dollars alone
A dollar authorization becomes a share count only after dividing by an assumed sale price. Because the market price can change, present any calculation as a range or scenario rather than a certain number.
Ignoring expenses
Gross proceeds overstate the cash available to the company. Subtract agent commissions and offering expenses when assessing runway or debt repayment capacity.
Assuming every ATM is sold continuously
Placement notices, daily limits and suspension rights mean a program may be inactive for long periods. The most recent periodic report is needed to determine whether sales are occurring.

Treating dilution as the only outcome
Dilution is a direct ownership effect, but the value impact also depends on what the company accomplishes with the net proceeds. Analyze the financing purpose and operating outlook rather than relying on the share-count change alone.
A practical investor decision framework
Use the following sequence whenever an issuer announces an ATM:
- Establish the baseline: record current shares outstanding, public float, market price and market capitalization from the latest filing and market data available to you.
- Size the exposure: read the prospectus for dollar and share limits, then compare the possible issuance with the baseline share count.
- Price realistic scenarios: consider more than one possible selling price because the authorization does not determine how many shares will be issued.
- Inspect the economics: account for commissions, expenses and any minimum-price or volume restrictions.
- Test the funding need: compare the intended use of proceeds with cash burn, debt maturities and the company’s stated operating plan.
- Verify execution: use subsequent 8-K, 10-Q or 10-K disclosures to replace assumptions with reported shares sold and net proceeds.
- Make no announcement-only trade: regard the ATM as financing information that requires company-specific analysis, not as an automatic buy or sell signal.
Bottom line for investors
An ATM offering gives a public company a flexible way to issue shares into the market over time. It can extend the cash runway or fund strategic plans, but every newly issued share reduces existing holders’ proportional ownership and may affect per-share results. The decisive evidence is not the authorized ceiling: it is the actual shares sold, the net cash received, the terms governing future sales, and whether management can use that capital productively.
