A sale-and-leaseback lets an airline sell an aircraft or engine to a lessor, receive the sale proceeds, and immediately lease the asset back so it can keep operating it. The airline gives up ownership in exchange for liquidity, then takes on lease payments and detailed contractual duties. The transaction is not automatically a loan or a free source of cash: accounting depends on whether a genuine sale occurred, and the lease can restrict how the aircraft is maintained, used and returned.

What is a sale-and-leaseback deal?

In an aircraft sale-and-leaseback, the airline transfers an aircraft, engine or sometimes another aviation asset to a leasing company. The lessor becomes the owner and leases the same asset back to the airline for an agreed term. The airline keeps flying the aircraft, but it no longer owns the underlying asset during the lease.

The arrangement can involve a newly delivered aircraft or one already in the fleet. For a new aircraft, the sale may happen when the plane is delivered. For an aircraft already in service, the airline sells an asset it owns and signs a lease that starts immediately or shortly afterward. Airline disclosures describe both aircraft and engine sale-and-leasebacks.

Economically, the transaction exchanges an ownership interest for cash today and a contractual right to use the asset in the future. The lessor receives lease payments and retains ownership value, including the aircraft’s residual value subject to the contract. The airline receives proceeds but must make the scheduled payments and comply with the lease until expiry, renewal, purchase or another agreed end point.

How the transaction works, step by step

  1. The parties identify the asset and terms. The airline and prospective lessor agree which aircraft or engine is involved, its condition, delivery timing, purchase price, lease term, payment schedule, options and maintenance provisions.
  2. The lessor buys or takes title. The lessor pays the agreed amount and becomes the legal owner. In a new-aircraft transaction, this may occur around delivery; in a fleet monetization, it is a transfer of an aircraft already operated by the airline.
  3. The airline receives proceeds. Cash from the transfer can provide financing for aircraft acquisitions or other corporate needs permitted by the transaction documents. The sources reviewed establish the financing use, but not that proceeds are unrestricted in every deal.
  4. The aircraft is leased back. The airline signs an operating or other lease and continues using the aircraft on its routes. The lease specifies rent, term, maintenance standards, insurance, reporting, permitted operations and return conditions.
  5. The airline operates and maintains the aircraft. Although ownership has changed, day-to-day operational and maintenance duties generally remain with the airline under the lease. The contract determines who pays for maintenance reserves, major events, parts and repairs.
  6. The aircraft is returned, renewed or otherwise disposed of. At the end of the term, the airline may return the aircraft, exercise a renewal or purchase option if one exists, or negotiate another outcome. Return-condition requirements can create significant costs if the aircraft does not meet the agreed standard.

A change in legal title and a cash payment do not by themselves prove an accounting sale. IFRS-reporting airlines cited in their annual reports test the arrangement against the sale requirements in IFRS 15. If those requirements are not met, the transfer is treated as financing rather than as a completed sale.

Why do airlines use sale-and-leasebacks?

Aircraft acquisition financing

The clearest documented use is financing aircraft purchases. International Airlines Group (IAG) reports that it regularly uses sale-and-leaseback transactions for aircraft acquisition financing. A carrier can therefore fund a delivery while preserving the operational use of the aircraft instead of waiting years to recover value through an eventual sale.

The structure can be useful when an airline wants to spread the cost of an aircraft over lease payments rather than fund the entire purchase with cash or secured borrowing. It may also give the airline access to a lessor’s financing capacity and residual-value expertise. Those potential advantages are deal-specific; the cited disclosures do not establish that sale-and-leasebacks are always cheaper than debt or that they improve every airline’s financial position.

Converting aircraft value into liquidity

An airline that already owns aircraft can monetize part of the fleet’s value and continue flying the planes. Southwest Airlines’ 2025 Form 10-K illustrates this approach: the company sold aircraft it was operating and immediately leased them back for defined periods. The cash arrives at closing, while the aircraft remains available for scheduled service under the lease.

Matching financing with the period of use

Leasing can align payments with the years in which the airline expects to use the aircraft. That does not eliminate the cost of capital or the airline’s obligations; it changes the timing and legal form of those obligations. A proper comparison must include the full payment schedule, fees, maintenance exposure, residual-value effects and any options.

What the rationale does not prove

  • A sale-and-leaseback is not automatically less expensive than a mortgage, bond or secured aircraft loan.
  • Sale proceeds are not necessarily unrestricted cash; covenants and transaction documents may limit their use.
  • A recognized accounting gain is not the same as the amount of cash raised or the transaction’s total economic benefit.
  • The strategy does not erase aircraft-related liabilities. Lease liabilities, maintenance duties and return obligations remain relevant.

What happens in the accounts?

If the transfer qualifies as a sale

Under the IFRS policies described by Lufthansa Group and Volaris, a qualifying sale leads the seller-lessee to derecognize the underlying aircraft and recognize a right-of-use (ROU) asset for the use it retains through the lease. The airline recognizes only the gain or loss attributable to the rights transferred to the buyer-lessor, rather than treating the entire difference between carrying value and sale price as an unrestricted profit.

The airline also recognizes a lease liability for the contractual lease payments. The ROU asset and lease liability mean that the transaction still appears on the balance sheet in a different form. The exact presentation, subsequent depreciation, interest and expense pattern depends on the applicable accounting framework and the lease classification.

If the transfer does not qualify as a sale

If the IFRS 15 sale criteria are not met, the accounting does not treat the lessor as having acquired the asset for financial-reporting purposes. Lufthansa’s 2025 annual-report policy states: “If there has been no sale according to the IFRS 15 criteria, the lessee continues to carry the asset unchanged and recognises a financial liability in the amount of the transfer price, which is accounted for in line with IFRS 9.” In that case, the cash received is presented as financing, not as sale proceeds accompanied by a partial derecognition.

Why pricing and control matter

Accounting analysis considers whether the buyer obtained control and whether the terms reflect market conditions. In the IFRS disclosures reviewed, off-market terms can be treated as a prepayment or as additional financing. A contract that appears to be a sale legally can therefore produce financing accounting if the substance does not satisfy the criteria.

Accounting treatment is jurisdiction- and framework-dependent. The descriptions above reflect the IFRS-reporting airline policies cited, not a universal rule for every airline, tax system or contract.

Southwest’s reported transactions: proceeds, gain and lease balances are different numbers

Southwest Airlines Co.’s 2025 Form 10-K provides a concrete example, but its figures should not be treated as a market average or a forecast. In the fourth quarter of 2024, Southwest sold 35 Boeing 737-800 aircraft to UMB Bank for $871 million and immediately leased them back for approximately two to three years. In the first quarter of 2025, it sold one additional aircraft to UMB for $24 million and leased it back for approximately three years.

Item Reported detail What the figure represents
Fourth-quarter 2024 sale $871 million for 35 Boeing 737-800 aircraft Sale proceeds in the transaction described by Southwest’s 2025 Form 10-K
Fourth-quarter 2024 leaseback Approximately two to three years Stated leaseback period for those 35 aircraft
Gain recognized $92 million Accounting gain reported for the fourth-quarter 2024 transaction, not the cash raised
Operating-lease balances $319 million in right-of-use assets and liabilities Reported lease balances associated with the transaction, not a measure of sale proceeds
First-quarter 2025 sale $24 million for one aircraft Sale proceeds for the additional aircraft
First-quarter 2025 leaseback Approximately three years Stated leaseback period for that aircraft

The separation among proceeds, recognized gain and ROU assets and liabilities is the key lesson. Calling the $92 million gain “cash raised” would misstate the filing. Likewise, the lease balances are not an additional sale price; they reflect the continuing right to use the aircraft and the associated obligations.

Lease duties and operational restrictions

Moving an aircraft from owned to leased status can introduce controls that did not apply in the same way when the airline owned it. IATA’s Guidance Material and Best Practices for Aircraft Leases, 4.1 Edition (2025), warns that a lease can impose “new compliance obligations and operational limitations during the term of the lease which previously may not have existed, such as restrictions on sub-leasing, replacement of parts, maintenance and certification standards, geographic limitations on operation, financial and technical reporting, etc.”

Maintenance and certification

The airline must perform or arrange maintenance to the standard in the lease and applicable aviation rules. Parts replacement, life-limited components, records and certification status may require lessor approval or prescribed documentation. Volaris separately reports estimated return obligations tied to aircraft and engine maintenance conditions, showing why maintenance exposure can continue beyond routine operating costs.

Use and subleasing

Lease terms can limit subleasing, assignment, route or geographic use, and the number or type of cycles and hours permitted. An airline planning seasonal capacity changes should verify that the contract allows the intended deployment rather than assuming that ownership-level flexibility remains.

Reporting and financial covenants

The lessor may require regular financial and technical reports, inspection access, insurance evidence and notice of incidents or modifications. Breaching a covenant can trigger remedies even when the aircraft remains airworthy and commercially useful.

Redelivery condition

IATA notes that a sale-and-leaseback, particularly for a used aircraft, may be delivered “as-is” without the extensive delivery inspections common in a standard operating lease. The lease will nevertheless commonly specify detailed redelivery conditions designed to preserve the lessor’s asset value and remarketability. The airline should model the cost of meeting those conditions years before the return date.

How to evaluate a sale-and-leaseback

Management should compare the complete economics with alternatives, not just the headline cash amount. A practical review covers these areas:

Decision area Questions to answer
Net cash and price What is the cash received after fees, taxes and transaction costs? Is the purchase price consistent with market value? What is the present value and timing of every lease payment?
Accounting Does the transfer satisfy the applicable sale test? What ROU asset, lease liability, gain or financing liability will be recognized?
Control and flexibility How long is the lease? Are renewal, purchase or early-termination options available? Can the airline sublease, relocate or modify the aircraft?
Maintenance and residual exposure Who pays for heavy checks, engine events, parts, maintenance reserves and redelivery work? Which party bears residual-value risk?
Operational fit Can the airline comply with geographic, utilization, reporting, insurance and certification requirements throughout the term?
Liquidity and resilience Would fixed lease payments remain manageable under weaker demand, higher fuel costs or grounded aircraft? Does the deal preserve or consume borrowing capacity?

Contracts should be reviewed by aviation counsel, accounting specialists and maintenance teams together. The financial model needs scenarios for early return, delayed deliveries, major maintenance, aircraft downtime, currency movements where applicable and failure to meet redelivery specifications. No single sale-and-leaseback structure allocates every risk in the same way.

Common misunderstandings

“The airline sold the aircraft, so it has no aircraft liability.”

Ownership has changed, but the airline normally has a lease liability and continuing performance obligations. It may also owe maintenance, insurance, reporting and return costs.

“The accounting gain is the benefit.”

The gain is an accounting measure for rights transferred under the applicable rules. It is separate from sale proceeds and does not capture the present value of future rent, transaction costs or operational restrictions.

“Every sale-and-leaseback is a sale for accounting.”

IFRS-reporting airlines test whether the buyer obtained control under IFRS 15. A failed test produces financing treatment in the cited policies, even when cash and legal documents look like a sale.

“A leaseback is just the same as owning.”

The airline may keep flying the same aircraft, but a lessor’s consent rights, inspection rights and redelivery standards can materially narrow operational freedom.

What readers should take away

A sale-and-leaseback is a financing and asset-ownership choice: an airline turns an aircraft’s value into cash while retaining its use under a lease. Airlines use the structure most clearly to help finance acquisitions and to monetize aircraft already in service. The price of that liquidity is a continuing stream of lease payments, accounting recognition of retained use or financing, and obligations governing maintenance, reporting, operations and return condition. The transaction makes sense only when those long-term costs and constraints are acceptable alongside the cash received at closing.
