When a crypto-mining company cannot repay expansion debt, it usually faces a liquidity and covenant crisis before it faces bankruptcy. Management may seek a waiver, defer maturities, sell bitcoin or equipment, raise rescue capital, or file Chapter 11. A Chapter 11 filing can let the company keep mining while the court controls new financing, creditor claims, asset sales and the restructuring plan. The eventual recovery for each creditor depends on lien priority, collateral value, contracts and the confirmed plan; existing shareholders are often diluted heavily when debt becomes equity.

The immediate sequence after a missed payment

Expansion financing is commonly built around fixed obligations: principal and interest on ASIC loans, equipment leases, power commitments, hosting fees, facility rent, payroll and construction or electrical upgrades. Bitcoin revenue, however, changes with the coin price, network difficulty, transaction fees and protocol halvings. If cash on hand cannot cover the next payment, the company normally moves through a sequence rather than jumping directly to a court filing.

  1. Default and covenant pressure: A missed payment can trigger a payment default. A breached leverage, minimum-liquidity or collateral covenant may also give lenders rights even before a scheduled payment is missed.
  2. Waiver or maturity negotiation: Management may ask lenders to waive a default, extend maturities, capitalize interest or temporarily change financial tests. These agreements can require additional collateral, reporting or fees.
  3. Liquidity measures: The miner may sell bitcoin, slow expansion, shut unprofitable machines, sell surplus ASICs, renegotiate power and hosting contracts, or raise emergency equity or convertible debt.
  4. Enforcement or restructuring: If negotiations fail, secured lenders may enforce their liens subject to applicable law, while the company may pursue an out-of-court restructuring or Chapter 11 protection.

The critical question is whether the facilities can produce positive cash flow after electricity, hosting and debt service. If they can, a going-concern restructuring may preserve more value than a forced sale. If not, selling the machines, sites or contracts may produce more for creditors than continuing to operate.

Why expansion debt becomes dangerous so quickly

Halving cuts revenue per block

Core Scientific stated that the April 2024 Bitcoin halving reduced the block reward from 6.25 BTC to 3.125 BTC. Assuming a stable network hash rate and stable bitcoin price, the company estimated that mining revenue could decline by 50%. That is a potential revenue reduction under those assumptions, not a guaranteed decline in a particular miner’s total revenue: coin prices, transaction fees, fleet efficiency and network share can change the result.

Bitcoin may have to be sold before it can help later

Core Scientific disclosed that its debt agreements required bitcoin to be sold within 10 days of receipt. The proceeds were typically used for operations and growth. A mandatory cash sweep can protect lenders, but it removes the miner’s ability to hold coins for a later price increase or use them as discretionary liquidity. When revenue falls, the company may therefore have little inventory to sell while its bills remain fixed.

Fixed costs continue while machines earn less

Power contracts, hosting obligations, leases, ASIC-loan payments and facility capital expenditures do not automatically fall when network economics deteriorate. A machine can have a resale value, but a forced liquidation may realize less than the associated debt and permanently remove the earning capacity needed for a recovery. That mismatch—variable revenue against largely fixed costs—is why a balance sheet can become distressed even when the fleet still has substantial physical value.

Can a crypto-mining company keep mining during Chapter 11?

In a US Chapter 11 case, the company generally remains in possession of its business as a debtor in possession, subject to Bankruptcy Court jurisdiction. Operations can continue, but not on an unrestricted basis. The court oversees major financing, asset sales, claim procedures and the plan of reorganization. Post-petition electricity, wages and other approved operating expenses must be paid, and the company may need court authority for debtor-in-possession financing or transactions outside the ordinary course.

Continuing to mine is economically justified only when the expected value of operating exceeds the cost of power, hosting, maintenance, court-supervised financing and other obligations. A fleet that is cash-flow positive after those costs may support a sale or reorganization as a going concern. A fleet that loses money after power and required post-petition expenses may be shut down or sold, even if the company originally entered bankruptcy intending to continue mining.

What the court and creditors evaluate

  • Liquidity runway: Cash available after payroll, electricity, hosting and post-petition obligations.
  • Operating economics: Revenue per machine compared with power rate, uptime, pool fees, repairs and debt service.
  • Collateral: ASICs, bitcoin, receivables, sites, leases, power contracts and other pledged assets.
  • Contract portability: Whether hosting, power and real-estate agreements can be assumed, assigned or rejected.
  • Plan value: Whether creditors receive more from continued operations than from an immediate sale.

Who gets the mining rigs when the miner goes bankrupt?

Bankruptcy does not automatically transfer every ASIC to the largest lender. Ownership and control depend on the contracts and the court’s orders. An equipment lender with a perfected security interest may have a claim against identified machines or their proceeds. A lessor may assert ownership rather than a loan claim. A hosting provider may have contractual rights, setoff arguments or a possessory lien under applicable law. The estate may own unencumbered machines, while multiple lenders may claim overlapping collateral.

The practical process is usually an inventory and valuation exercise followed by one of three outcomes:

  • Surrender or enforcement: A secured creditor receives its collateral or obtains authority to repossess or liquidate it, subject to the automatic stay and court procedures.

ASIC liquidation prices are highly sensitive to generation, efficiency, condition, firmware, location, power access and bitcoin-market conditions. A buyer may discount machines that cannot be energized promptly, so a lender’s face-value claim can exceed the net proceeds from a forced sale.

How creditor priority determines recoveries

Priority is document-specific, but the broad order in a Chapter 11 case is important. Administrative and other allowed post-petition claims generally receive priority over pre-petition unsecured claims. A properly perfected secured claim is paid from its collateral value before unsecured creditors share any remaining value. Unsecured creditors divide the residual estate under the plan, while equity receives value only after higher-ranking claims are satisfied or a negotiated plan gives it consideration.

Collateral value and claim amount can diverge. If a lender is owed $100 million but its collateral nets $60 million after sale costs, the secured portion may be $60 million and the deficiency may be unsecured, depending on the documents and valuation ruling. Intercreditor agreements, guarantees, avoidance actions, contract rejection damages and disputed claims can change the final distribution. No universal recovery percentage can be promised from the fact that a company owns a large mining fleet.

What happens to shareholders?

Shareholders are at the bottom of the capital structure. When debt exceeds the value of the business, existing equity may be cancelled with no distribution. Even when the company survives, creditors may receive most or all of the new common stock, warrants or other securities in exchange for reducing debt. Existing holders can therefore retain a small stake, be diluted to a nominal percentage or be replaced entirely. The confirmed plan—not the filing announcement—determines the result.

Two documented outcomes: reorganization and liquidation

Case Key dates and path What creditors received or pursued Lesson
Core Scientific Voluntary Chapter 11 filed December 21, 2022. The Bankruptcy Court confirmed the Fourth Amended Joint Chapter 11 Plan on January 16, 2024; it became effective January 23, 2024, when the company emerged. Claims were satisfied and extinguished through new common stock, warrants, contingent value rights, new secured convertible notes due 2029 and new secured notes due 2028. The company’s January 23, 2024 release said the plan reduced debt by $400 million by converting equipment-lender and convertible-note debt to equity. A miner can preserve operations and emerge as a going concern when a court-approved plan and sufficient liquidity support future operations.
Compute North Chapter 11 filed September 22, 2022. Substantially all assets were sold through a series of Section 363 sales, followed by a liquidation plan. Marathon Digital Holdings filed claims tied to hosting agreements, a senior promissory note, a breached letter of intent and lost revenue. A February 2023 settlement created one allowed unsecured claim of $40.0 million and confirmed 39,597 Series C preferred shares. The plan provided for liquidation of remaining assets and distribution under a waterfall. When continued operations do not offer enough value, court-supervised sales and liquidation can replace a going-concern recovery.

These cases show why a filing alone does not answer “who gets paid.” Core Scientific’s outcome involved a reorganized operating company and new securities. Compute North followed an asset-sale and liquidation path with a negotiated unsecured claim. The contracts, collateral, financing and plan were different.

How management decides between restructuring and liquidation

Test the going-concern case

Management and advisers model revenue under several bitcoin prices, network-hash-rate assumptions and curtailment scenarios. They subtract electricity, hosting, labor, maintenance, insurance, taxes, court costs and proposed debt service. The model should also include the capital needed to replace obsolete machines and maintain power and interconnection rights. A positive result does not guarantee confirmation, but a negative result makes a liquidation or sale process more likely.

Map liens and contracts

Every ASIC batch, wallet, receivable, site lease, power agreement and hosting contract should be matched to its lender, guarantor, filing and default provisions. This identifies which assets can be sold freely, which require lender consent and which may be stranded if a host or power counterparty fails. The Compute North case illustrates the risk: a hosting failure can leave a customer with equipment-related, contract and lost-revenue claims at the same time.

Raise rescue capital carefully

Emergency financing can fund electricity and payroll long enough to complete a sale or plan, but it often carries high fees, liens, milestones and priority over existing claims. A borrower should compare the value preserved by the financing with the dilution and seniority it grants to the new lender. Court approval may be required for debtor-in-possession financing.

What creditors, customers and shareholders should check

For equipment lenders and other secured creditors

  • Confirm the scope and perfection of liens over ASICs, bitcoin, receivables, sites and contract rights.
  • Separate collateral value from the debtor’s total claim, including likely sale costs and downtime.
  • Monitor insurance, custody and access controls for machines and digital assets.
  • Evaluate whether a consensual sale preserves more value than immediate enforcement.

For hosting customers

  • Read termination, cure, relocation, access and lien provisions in the hosting agreement.
  • Document serial numbers, ownership, deposits, prepaid power and unpaid revenue.
  • Prepare for transport, redeployment and energization costs if the host cannot continue.
  • File a timely proof of claim for contract damages, while recognizing that unsecured recovery may be limited.

For shareholders

  • Read the proposed disclosure statement and plan, not only management’s press release.
  • Check the valuation range and the amount of new debt issued at emergence.
  • Look for conversion mechanics, warrants, contingent value rights and cancellation provisions.

Core questions answered

What happens if a bitcoin miner defaults on its loans?

The lender may declare a default, demand payment, enforce collateral or negotiate a waiver. The miner may sell bitcoin or rigs, raise rescue capital, restructure privately or file Chapter 11. The path depends on liquidity, collateral and whether operations remain profitable after power and debt costs.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Can ASIC miners be seized or liquidated to repay debt?

They can be repossessed or sold when a creditor has enforceable rights, subject to the automatic stay, court orders, ownership disputes and any competing liens. Net sale proceeds—not the machines’ original purchase price—determine how much debt is actually repaid.

Do shareholders get wiped out?

They can be. If liabilities exceed enterprise value, the plan may cancel existing shares. If the business has going-concern value, shareholders may receive a diluted stake, but creditors commonly receive the controlling equity when debt is converted.
