The result depends on your signed agreement, how the acquisition is structured, which entity remains responsible, and any required government or FAA action. Before relying on the old plan, get written confirmation of the responsible provider, mission details, payment and insurance arrangements, approvals, and your remedies if the mission changes or does not fly.
Start with the launch-services agreement
Find the exact legal entity named as the provider in your signed launch-services agreement and any amendments. A familiar company name or brand may not be the entity that owes you performance. The acquisition announcement is not a substitute for confirming who is contractually responsible after closing.
Review the agreement for provisions addressing:
- Assignment and change of control: Does a transfer of the agreement or a change in ownership require your consent, notice, or an opportunity to object? These clauses may treat an asset sale differently from a change in ownership of the same company.
- Termination and default: What happens if the provider or buyer cannot perform, becomes insolvent, or does not obtain required approvals? Check whether termination is allowed and whether fees or penalties apply.
- Delay and long-stop dates: Does the agreement set a latest acceptable launch date, and what can you do if it is missed?
- Vehicle, site, and mission changes: What approvals or remedies apply if the rocket, launch site, integration plan, or mission requirements change?
- Payments and insurance: Who holds or owes your deposits and milestone payments, and who must arrange the relevant coverage?
There is no single rule in the reviewed public evidence that decides the outcome for every private customer. Contract terms differ. For example, Astra Space’s 2022 Form 10-K said some of its launch and space-product contracts allowed termination for convenience, sometimes with penalties that could rise closer to launch; it also described circumstances in which customers moved from Launch System 1 to Launch System 2 might not owe those penalties. Those statements describe Astra’s contracts and circumstances at that time, not a general right available to customers of other providers.
How the deal is structured can matter
A stock purchase, an asset transfer, and a merger can leave different questions about the identity of the contracting party and who has assumed its obligations. The distinction is especially important for U.S. government contracts, which have specific rules; those rules do not decide the rights of private customers.

This is a checklist of issues, not a conclusion about the legal effect of any particular deal. Have qualified counsel review the agreement and transaction documents if the mission or prepaid amounts are material.
Confirm whether the mission plan is actually changing
Do not assume the buyer can freely substitute a rocket, site, or date—or that you can insist the original plan remain unchanged. The agreement determines what changes are allowed and what consent, acceptance, delay, or termination rights apply.

Ask the provider and buyer to confirm in writing whether the following remain the same, and identify any changes with their contractual effect:
- launch vehicle and configuration;
- launch site and target date, including any revised long-stop date;
- payload integration plan and mission-assurance commitments; and
- any required customer approvals or changes to the statement of work.
Get explicit answers about prepayments and insurance
Ask whether each deposit, milestone payment, escrow balance, or credit remains with the original provider, is assumed by the buyer, or is refundable under a specific contract provision. Identify the entity responsible if the mission is cancelled or the provider cannot perform; do not treat a promise to “honor” bookings as a clear payment remedy.

Also confirm who procures payload, transit, and launch insurance and whether the named insureds, coverage periods, limits, exclusions, or claims contacts will change. A historical Motorola/NewCo/Boeing transition agreement illustrates how deal documents can make these matters specific: it conditioned a defined launch-obligation transfer on Boeing’s consent, addressed novation, stated a payment consequence for cancellation or termination, and allocated prepayment and launch-insurance responsibilities. It is an example of one negotiated transaction, not a standard term or a current market rule.
Government customers should contact the contracting officer
For U.S. federal contracts, FAR 42.1204 addresses when the Government may recognize a successor after a transfer of all or relevant contract-performing assets. It also says novation is unnecessary when a stock purchase leaves the same contracting party in control and performing. If the Government does not concur in a transfer, the original contractor remains obligated and could face default termination if it fails to perform. These rules apply to government contracts, not automatically to a private launch booking.

If the mission is NASA-sponsored, ask the contracting officer how the acquisition affects the specific task order, provider eligibility, and approvals. NASA describes VADR launch services as procured through firm-fixed-price task orders and its participating providers as FAA-licensed. The VADR provider list was described as current as of July 2025, so it should not be treated as a current roster without rechecking.

For a U.S. launch license governed by 14 CFR § 415.13, “Only the FAA may transfer a launch license.” A proposed transferee must apply and meet the applicable licensing requirements. The FAA may reuse findings from the original licensing record and modify the license to account for the transfer. A sale announcement alone does not establish that the license has transferred or that the new owner is authorized to conduct the licensed operation.

The FAA said on March 17, 2026, that commercial launch and reentry licensing was proceeding under Part 450, which consolidated four earlier rules and allows one license to cover portfolios of operations, vehicle configurations, mission profiles, and multiple sites. That flexibility concerns how licensing can be structured; it does not automatically transfer a seller’s authorization to a buyer or alter a customer’s contract.
What to request before treating the old booking as secure
- Ask for the post-closing legal name of the entity responsible for your mission and written confirmation that it has assumed the applicable obligations.
- Request a transaction-specific explanation of whether the deal is a stock purchase, merger, or asset transfer, and how the agreement’s assignment or change-of-control terms are being handled.
- Obtain a written status for the vehicle, site, schedule, integration plan, long-stop date, and mission-assurance commitments, with any proposed changes identified.
- Reconcile every payment, refund, credit, and escrow amount with the entity responsible for it if the flight does not occur.
- Confirm the insurance provider and responsible party, relevant insureds, coverage period, limits, exclusions, and claims contact.
- For a licensed U.S. launch, verify the license holder and ask whether the FAA has taken any required transfer or modification action.
- For government work, ask the contracting officer whether novation, an ownership-change agreement, or task-order action is required for your contract.
- Identify the remedies and deadlines that apply if the acquisition does not close, the buyer fails to perform, required approvals are not obtained, or the contractual long-stop date passes.
Choose a path only after checking your rights
Depending on the agreement and the buyer’s proposal, the practical options may include continuing under a documented assumption or consent arrangement, negotiating revised mission terms or protections, or terminating and seeking a refund or alternative provider if the contract allows it. Compare any proposal against the enforceability of the obligation, the buyer’s ability to perform, mission and schedule compatibility, recovery of prepaid funds, insurance continuity, and the time and cost of rebooking. These are possible approaches, not choices every customer is entitled to make.
